A. Form of Business Organization
I, Mary Gates McCamy, purpose to begin a company named “New to You Consignment
Boutique”. The company will be a sole proprietorship, with me as an individual being the
company. The company’s income will be my income and will be taxed as such. The business will
be registered in the state of Alabama for state and local tax purposes, for permits and licenses,
and for an IRS tax identification number.
Vision Statement
To enable my target customers to dress fashionably at an affordable price, and to
promote self-confidence and achievement in my customers by heling them to look their best.
I will provide fashionable, gently used clothing at a reasonable price, thereby maintaining and
growing a successful clothing consignment business and securing a reasonable profit.
Mission Statement
I will achieve my vision for the company by following the direction of my expert Board of
Directors and formulating managerial and operational policies and procedures to meet
individual goals set that will result in success for the company.
Core Value
The company will operate with a core value and guiding principle of honesty and integrity
toward customers and employees. An organizational culture of cooperation and customer
service will be established.

The board members will not be paid salaries. They have agreed to volunteer their time.
2. C. Officers andResponsibilities:
President
The President John D. McCamy, will be the chief officer of the Board. He will preside at all
meetings. He will be the chief financial advisor of the company and have final approval of all
major financial decisions. He will review all financial statements at least quarterly to discern
health of company and adequate growth. He will review and advise on managerial and
operational policies.
Vice President
The Vice-President, Cheryl M. McCamy, will perform all duties as assigned by the Board and the
President. She will attend all Board meetings and preside over meetings in the absence of the
President. She will serve in an advisory capacity to the CEO in some managerial and operational
procedures.
Secretary
The secretary, Caitlin E. McCamy, will attend all Board meetings. She will be responsible for
taking and keeping minutes of all Board meetings and will publish the minutes and provide
them to all Board members. She will perform all duties as directed by the President and the
Board.
Treasurer
The treasurer, Devan T. Rigoni, will be responsible for all the financial details of the Board. She
will work under the direction of the Board of Directors and the President. She will be
responsible for providing correct and accurate reports of the financial health of the company
and will report pertinent financial facts to the Board in a timely manner, at least quarterly. She
will be responsible for overseeing the work done by the accounting firm that the company uses.

G. Operatingplan/schedule of upcomingwork for next 1 to 2 years:
Inventory:
Inventory is derived from items brought in by consignors to submit.
Inventory is prepared according to written procedure. Inventory is aged 30–60 –
90 days automatically by software program and pulled for sale discount or return
to consignor if not sold within that timeframe.
Production schedule:
All items submitted for consignment will be processed according to
12. procedure within three days of receiving items. Time allotted to steam, hang, and
merchandise each item will be specified in written procedure. Each item is
entered into inventory management software for use in sales and inventory
management.
Administrative costs:
Administrative costs associated with the costs and preparation of goods
sold include materials for tagging, pricing, marketing, steaming of each item,
software for point of sale and maintenance of inventory, maintenance of physical
facility, employee costs, amortization of loans, insurance, utilities, phone line,
rent, and office/selling supplies.
Policies and procedures:
Policy and procedure manual written and periodically updated by
owner/manager contains all information needed by employees to carry out each
step of operation of store. Each employee is given a written copy of employee
handbook/policies and written procedure for each work responsibility they
perform.
Human resources:
The owner/manager and sales associates perform all necessary functions
and procedures required by store. Specific job descriptions and procedures are
found in the policy and procedure manual for the store. All federal and state laws
are followed regarding employee withholding taxes, unemployment insurance,
safety, and welfare. Periodic pay raises will be administered based on time
served and merit. Training is administered by owner/manager and occasional
workshops sponsored by NARTS.
Distribution:
Distribution of the product is achieved by direct retail sale to customer present at
store or delivery by USPS for website purchases.
Suppliers:
Suppliers will be contacted as needed for office supplies, printed
consignment and contract forms, advertising brochures, flyers, and posters and
any other equipment such as additional clothing hangers.
Customer service:
13. The owner/manager and sales associates will follow written policies,
procedures, and techniques to provide optimal customer service. Online reviews
and cash register surveys will be analyzed and policies and procedures updated
to continually optimize customer service.
Quality control:
Inventory and sales software will prevent outdated and old merchandise
from remaining on the selling floor. Periodically a mystery shopper will shop at
the store to test the quality of customer service, organization and cleanliness of
store, and general shopping experience. Results will be reported to owner/
manager for analysis and corrective action if needed.
Sales terms:
Payment for goods will be accepted in the form of cash, credit cards, and
debit cards. All forms of payment will be processed through the software
(SimpleConsign by Traxia) purchased for store. All point of sales procedures
such as credit and debit card processing are included in the system. This system
also supports the store website e-commerce sales.
SimpleConsign software system:
SimpleConsign software system by Traxia will be purchased for use as
point of sale, pricing, and inventory control system. Owner/manager and sales
associates will receive training and operation of the system at the store by
SimpleConsign instructors as specified in the contract. The system will be
installed and maintained by SimpleConsign, as included in the purchase price.

All procedures are included in the policy and procedure manual written by
owner/manager. This manual is available for sales associates at all times.
