INTRODUCTION
Tech Mahindra Limited is an Indian multinational provider of information
technology (IT), networking technology solutions and Business Process
Outsourcing (BPO) to various industry verticals and horizontals. Anand
Mahindra is the Chairman of Tech Mahindra, which is headquartered at Pune and
has its registered office in Mumbai.
Part of the Mahindra Group, Tech Mahindra is a US$4.6 billion company[3] with
over 115,000 employees across 90 countries.[2] It provides services to customers
which include Fortune 500 companies. It is also one of the Fab 50 companies in
Asia, a list compiled by Forbes.[4] Tech Mahindra was ranked #5 in India's software
services (IT) firms and overall #111 in Fortune India 500 list for 2012.[5]Tech
Mahindra, on 25 June 2013, announced the completion of a merger with Mahindra
Satyam.[6]

HISTORY
Foundation
Mahindra & Mahindra started a joint venture with British Telecom in 1986 as a
technology outsourcing firm. British Telecom initially had around 30 percent stake
in the Tech Mahindra company. In December 2010, British Telecom sold 5.5 per
cent of its stake in Tech Mahindra to Mahindra & Mahindra for Rs 451 crore.[7] In
August 2012, British Telecom sold 14.1 per cent of its stake to institutional
investors for about Rs 1,395 crore. In December 2012, British Telecom sold its
remaining 9.1 per cent (11.6 million shares) shareholding to institutional investors
for a total gross cash proceeds of Rs 1,011.4 crore. This sale marked the exit of
British Telecom from Tech Mahindra.[8]
Acquisition of Satyam Computer Services Ltd.
After the Satyam scandal of 2008-09 Tech Mahindra bid for Satyam Computer
Services, and emerged as a top bidder with an offer of Rs 58.90 a share for a 31
per cent stake in the company, beating a strong rival Larsen & Toubro.[9] After
evaluating the bids, the government-appointed board of Satyam Computer
announced on 13 April 2009: "its Board of Directors has selected Venturbay
Consultants Private Limited, a subsidiary controlled by Tech Mahindra Limited as
the highest bidder to acquire a controlling stake in the Company, subject to the
approval of the Hon'ble Company Law Board."

Through a subsidiary, it has emerged victorious in Satyam sell-off, a company
probably two times its size in number of people. This was one of the largest merger
deals in India's tech industry.
Merger with Mahindra Satyam
Tech Mahindra announced its merger with Mahindra Satyam on March 21, 2012,
after the boards of the two companies gave their approval, to create a 2.5 billion $
IT Company.[10][11][12] The two firms had received the go-ahead for the merger from
the Bombay Stock Exchange and the National Stock Exchange.[13] On June 11,
2013, Andhra Pradesh High Court gave its approval for the merger of Mahindra
Satyam with Tech Mahindra, after the Bombay high court had already given its
approval.[14][15][16][17] Vineet Nayyar said that technical approvals from the Registrar
of Companies in Andhra Pradesh and Maharashtra are required which will be done
in two to four weeks, and within eight weeks, the new merged entity would be in
place. The new organisation would be led by Anand Mahindra as
Chairman, Vineet Nayyar as Vice Chairman and C. P. Gurnani as the CEO and
Managing Director.[18][19][20] On June 25, 2013, Tech Mahindra announced the
completion of its merger with Mahindra Satyam to create the nation's fifth largest
software services company with a turnover of USD 2.7 billion.[21][22] Tech Mahindra
got the approval from the registrar of companies for the merger at 11:45 pm on
June 24, 2013.

July 5, 2013 has been determined as record date on which the Satyam Computer
Services ('Mahindra Satyam') shares will be swapped for Tech Mahindra shares
under the approved scheme.[23] Mahindra Satyam (Satyam Computer Services),
was suspended from trading with effect from July 4, 2013, following the
merger.[24] Tech Mahindra completed share swap and allocated its shares to the
shareholders of Satyam Computer Services on July 12, 2013.[25] The stock
exchanges have accorded their approval for trading the new shares effective July
12, 2013. Tech Mahindra posted net profit of Rs 686 crore for the first quarter
ended June 30, 2013, up 27% compared to the corresponding quarter last
year.[26][27][28] By March 2016, Tech Mahindra's post-tax earnings had surged past
that of M&M.

Tech Mahindra Foundation is the Corporate Social Responsibility (CSR) arm of
Tech Mahindra. It was set up in 2007 as a Section 25 Company (referred to as
Section 8 Company in the Companies Act, 2013), with a vision of Empowering
through Education, and a mission encapsulated in the words below:
Educated, skilled and able women and men are a country’s true strength. We
aspire to see children who are purposefully engaged, youth that is constructively
employed and a society that provides equal opportunities to people with different
abilities. Through its corporate social responsibility initiatives, the Mahindra Group
commits itself to this.
The key focus areas for Corporate Social Responsibility at Tech Mahindra
Foundation are:
• Empowerment of girls/women
• Empowerment of people with disabilities
• Corporate volunteering
These three areas are cross cutting themes for all our projects and programmes
at Tech Mahindra Foundation.

In-Service Teacher Education Institute (ITEI)
In-Service Teacher Education Institute (ITEI) was established in 2012 as a Public
Private Partnership (PPP) between the East Delhi Municipal Corporation and Tech
Mahindra Foundation with the aim of ensuring the continuous professional
development of teachers and school leaders to create happier classrooms.
The municipal corporation runs hundreds of primary and nursery schools in the
capital city, in which close to 2.1 lakh children are enrolled. It also employees 5,500
teachers. This is where ITEI plays its role of creating happier classrooms. With its
objective to improve and update the skills of teachers ITEI works towards bringing
the quality enrichment in education. The ITEI operates with a vision of becoming
a Centre of Excellence in teacher education by ensuring the continuous
professional development of teachers and school leaders. It has four departments
– Hindi, English and Environmental Studies. In addition, it offers short, co-curricular
workshops in related subjects such as IT, creating teaching-learning material
(TLM), yoga, theatre, art etc.
Along with its workshops, ITEI is also a lively hub for discussions on teaching
pedagogy, child development and more. It invites eminent educationists for its
monthly lecture series, which is open to all teachers. Its annual teacher fair “Srijan”
has become a much-awaited event for all its stakeholders.

Tech Mahindra SMART Academy For Healthcare, New Delhi
Launched in May 2016, The Tech Mahindra SMART Academy for Healthcare is a
state-of-the-art training institute established as a CSR initiative of Tech Mahindra
Limited. It aims at creating a cadre of well qualified, trained professionals in the
field of allied healthcare by providing high quality, innovative and interactive
training to young men and women keen to pursue a career in healthcare.
The SMART Academy for Healthcare has been set-up in collaboration with Harijan
Sevak Sangh - a social development organisation, founded by Mahatma Gandhi
in 1932 at Kingsway Camp, New Delhi. Surrounded by the serenity of the Gandhi
Ashram, the Academy is itself housed in a heritage building that dates back to
1936.

SMART Academy for IT & Logistics
The Tech Mahindra SMART Academy for IT & Logistics was launched in
Visakhapatnam July 2017 to train youth for employment in the local port-related
jobs, as well as the growing need for trained web developers, app designers and
graphic designers. By including elements of coding, the Academy ensures that
students completing the design courses have skills that are required by the
industry and are easily absorbed by them.
The shipping and logistics sector in India is growing rapidly with Andhra Pradesh
handling 13% of India’s total port traffic. With ports such as Visakhapatnam,
Gangavaram, Kakinada, Rawa and Krishnapatnam already operational and others
in the pipeline, the shipping and logistics sector is expected to generate more
employment.

Situated within the Tech Mahindra campus in Visakhapatnam, the Academy has a
training atmosphere on par with corporate work environments. The computer labs
are fully equipped with the latest software, and additional attention is paid to
developing soft skills and English skills.

Tech Mahindra School of Nursing
Banasthali Vidyapith and Tech Mahindra Foundation have joined hands to
establish the “Tech Mahindra School of Nursing” with state-of-art facilities to
promote excellence, and provide career opportunities to women in the field of
nursing.
Tech Mahindra Foundation is funding the construction of the building of the School
of Nursing. Once established, the Tech Mahindra School of Nursing will offer
graduate programmes in nursing and also carry out research in relevant areas.
This partnership brings together Banasthali Vidyapith, a pioneer in women’s
education in India, with Tech Mahindra Foundation, one of the best known CSR
organisations working in skill development.
Banasthali Vidyapith was established in 1936, initially as a school for girls, and
over the decades has grown to be a full-fledged university. It caters to the
education of girls right from kindergarten to post-graduate programmes. Along with
the SMART Academies for Healthcare, the School of Nursing is Tech Mahindra
Foundation’s third direct intervention in the area of healthcare skill development.

Technical Education
MAHINDRA EDUCATIONAL INSTITUTIONS (MEI)
Tech Mahindra’s initiatives in technical education are carried out through Mahindra
Educational Institutions (MEI), under which the Institution has extended
infrastructural and operational support to Mahindra Ecole Centrale, a state of-the-
art technical institution in Hyderabad. The institution offers a four-year B.Tech
Programme in association with Ecole Centrale, Paris under an industry academia
memorandum of understanding with Jawaharlal Nehru Technological University,
Hyderabad.
The institution’s vision is to train engineers to be entrepreneurial and innovative as
well as technically trained, so that they are capable of meeting the greatest
challenges of the era. It is aligned to MEI’s work for the cause of promoting quality
higher education by establishing institutions of higher learning, encourage
education and research work in different disciplines and to promote innovation and
technology development

COLLABORATED PROGRAMS
Education
Tech Mahindra Foundation's overarching goal is 'Empowerment through
Education.' It works with Government Primary Schools by supporting initiatives that
lead to sustainable transformation. The Education programme works with schools,
teachers and the community to impart quality education to children from
disadvantaged communities, with a focus on improving learning outcomes.
The Foundation's work in education focuses upon two thematic areas:
ARISE, All Round Improvement in School Education Programme helps children
acquire grade-appropriate competencies and helps in all around development of
children. It works with Government schools in six states of India.
SHIKSHAANTAR or Teacher Empowerment Programme empowers teachers by
building their professional and academic capacities. The In-Service Teacher
Development Programmes have benefitted over 26,000 teachers, 1,000+ school
management professionals in over 1000 government schools across India.
The programmes are run in both direct and partner implementation modes.

All Round Improvement in School Education
The ARISE or All Round Improvement in School Education focuses on enabling
children from the underprivileged and marginalised socio-economic strata to get a
quality education and optimize their full potential. The ARISE programme works in
partnership with Municipal Corporations to develop primary Government Schools
into model schools of excellence.
Tech Mahindra Foundation works with East and South Delhi Municipal
Corporations (SDMC and EDMC), Chennai Municipal Corporation, Pune Municipal
Corporation, Municipal Corporation of Greater Mumbai (MCGM) and Benguluru
Municipal Corporation to bring quality education in 35 primary government schools.
ARISE programme builds upon along four crucial, connected dimensions of school
improvement
ARISE had a total target of reaching out to 37 schools and 15367 children which
also included the ARISE + schools and children.
• The academic dimension, to ensure that children acquire grade-appropriate
learning with understanding.

• The social dimension, to ensure that families and communities participate actively
in the process of education along with children, teachers, school management and
the system.
• The infrastructural dimension, to ensure that schools and classrooms are happier,
effective places of learning.
• The organizational dimension, to ensure that schools work as effective units of
education functioning as well-managed organizations
Shikshaantar
‘Shikshaantar’ means creating a difference in education. Tech Mahindra
Foundation's Shikshaantar programme works towards creating happier
classrooms by empowering teachers.
The most important component of the ‘Shikshaantar’ programme is professional
development of primary government school teachers, principals, school
inspectors, education officers, leaders and management officials. In particular,
primary school teachers are trained to impart knowledge through art and craft, thus
enabling child-centred learning.

The programme also enhances language capacities of teachers in Municipal
Corporation Schools across India.
Shikshaantar had a target of 7 centres and to train 7161 teachers in 16-17.
Employability
The SMART programme began in 2012 with 3 centres and trained 1,000 youth in
the first year. Today, the Foundation supports 80 SMART Centres across 12 cities
of India, training more than 17,000 youth annually and successfully plugging the
demand and supply gap in multiple manufacturing and service industries. 50% of
the beneficiaries are women and 10% are young people with disability.
The SMART Vocational Training Programme Includes:

The Criteria For Selection Of A SMART Beneficiary Are:
• Above 18 years
• Able to read and comprehend simple English
• Belong to socio-economically disadvantaged urban communities

• In immediate need of a job
The SMART training Programme is NSDC Certified and rigorous in processes. It
follows a well-defined curriculum that is aligned to the QPs (Qualification Packs)
and NOS (National Occupational Standards) as laid down by different Sector Skill
Councils.
The Training Manuals are detailed and easy to comprehend. A robust system of
regular assessments and certification on successful completion of the training are
an integral part of the programme. Immense importance is given to train the
students in soft skills. Youth graduating from SMART centers are successfully
placed in the service and manufacturing sectors. The SMART programme has a
live Management Information System that helps in monitoring and evaluation of
quantitative and qualitative data across all locations.
The Foundation implements the SMART programme through partner NGOs
across twelve cities in India. It constantly invests in high-quality training and
capacity building of its partners.

SMART T
The SMART-T or Technical Training programme offers training in trades related to
job opportunities in the manufacturing industry. In the year 2016-17 the SMART-T
programme will train more than 2,500 youth.
Apart from the Foundation course, the SMART-T Centres offer training in the

The Foundation runs 16 SMART T centres in 9 cities - Bengaluru, Chandigarh,
Delhi, Chennai, Kolkata, Mumbai, Nagpur, Pune and Visakhapatnam.

DISABILITIES
ARISE+
ARISE+, or All Round Improvement in Special Education, is a special programme
which encompasses the Foundation's work in the area of school education for
children with disabilities.
Working with diverse groups within the domain, the Foundation empowers children
with disabilities, including sight impairment, hearing / speech impairment, loco-
motor disabilities, and a range of mental disorders and disabilities across India.
The ARISE programme has been conferred the 2nd Pandit Madan Mohan
Malaviya Award for Best CSR Practices in Education in 2015 by CSR Times.
SMART+
The SMART+ programme offers training to youth with disabilities. In the year 2016-
17, the SMART+ programme will train more than 1,800 youth with different
disabilities.
After the overwhelming success of the SMART programme, the SMART+
programme was launched in 2013 to include youth with disabilities. A specially
designed curriculum plus well-equipped classrooms enable effective
communication in classrooms so as to enable youth with disabilities to learn.
