5. Wynajmujący oświadcza, że przedmiot najmu jest sprawny i zdatny do użytku.
§2
Wydanie przedmiotu najmu
1. Wynajmujący oświadcza, że zobowiązuje się wydać Najemcy opisany w §1 przedmiot najmu nie
później niż ........... dni kalendarzowych od daty zawarcia niniejszej umowy.
2. Najem samochodu polega na oddaniu Najemcy do użytkowania samochodu na okres obowiązywania

2. 3. Wydanie samochodu i jego zwrot po zakończeniu najmu zostaną potwierdzone pisemnym protokołem
zatwierdzonym przez przedstawicieli obu Stron.
§3
Zasady eksploatowania samochodu
1. W przypadku konieczności eksploatacji samochodu poza terenem określonym w pkt. 1 tego paragrafu,
Najemca obowiązany jest uzyskać zgodę Wynajmującego dowolnym kanałem komunikacyjnym (telefon,
fax, poczta elektroniczna). Wynajmujący ma obowiązek niezwłocznego udzielenia odpowiedzi, nie później
niż dzień po otrzymaniu wniosku od Najemcy. Brak odpowiedzi Wynajmującego w terminie oznacza jego
zgodę.
2. W sytuacji opisanej w pkt. 1 tego paragrafu Najemca zobowiązuje się do wykupienia niezbędnego
ubezpieczenia.
§4
Zakończenie umowy najmu
Po zakończeniu najmu Najemca zwróci pojazd w stanie niepogorszonym ponad normalne zużycie
uwzględniające wykorzystywanie pojazdu przez Wynajmującego w celach związanych z prowadzoną
przez niego działalnością.
§5
Obowiązki Wynajmującego
1. Wynajmujący zobowiązany jest do:
1) zapewnienia samochodu zastępczego o takich samych lub wyższych parametrach technicznych
i wyposażeniu w przypadku kradzieży, wypadku, awarii lub czynności serwisowych trwających
ponad 24h. Samochód zastępczy winien być udostępniony Najemcy w ciągu 24 godzin dnia
roboczego (poniedziałek-piątek z wyłączeniem dni ustawowo wolnych od pracy) od chwili
zgłoszenia przez Najemcę zapotrzebowania. Wynajmujący ma obowiązek dostarczyć samochód
zastępczy do miejsca wskazanego przez Najemcę. Wydanie i zwrot samochodu zastępczego
musi być potwierdzone pisemnym protokołem,
2) zapewnienia pełnej obsługi serwisowej samochodu obejmującej swym zakresem okresowe
przeglądy techniczne i okresowe wymagane przez producenta, naprawy gwarancyjne
i pogwarancyjne, wymianę części i płynów eksploatacyjnych, wymianę żarówek, zużytych piór
wycieraczek, ogumienia, sezonową wymianę opon i ich przechowywanie,
3) uczestniczenia w procedurze organizacyjnej usuwania szkód, również powypadkowych
i dochodzenia odszkodowań,

Zmiana samochodu w związku z kradzieżą lub innym nadzwyczajnym zdarzeniem
W przypadku kradzieży lub innego zdarzenia skutkującego trwałym brakiem możliwości korzystania
z dotychczasowego pojazdu, Wynajmujący wyda Najemcy samochód docelowy w zamian za samochód
zastępczy w terminie do ………… dni od dnia kradzieży lub innego zdarzenia, przy czym samochód
wydany docelowo będzie o takich samych lub wyższych parametrach technicznych niż utracony pojazd.
Wydanie samochodu Najemcy przez Wynajmującego nastąpi w miejscu uzgodnionym przez Strony.
Opłata za wynajem samochodu docelowego jest taka sama, jak za samochód będący pierwotnym
przedmiotem najmu. Wydanie i zwrot samochodu docelowego winno być potwierdzone pisemnym
protokołem.
§7
Okres obowiązywania umowy
1. Umowa zawarta zostaje na okres ………. miesięcy, tj. od dnia …………………… do dnia
……………….., z zastrzeżeniem pkt. 2 tego paragrafu.
2. Najem samochodu rozpoczyna się w dniu protokolarnego wydania samochodu i trwa do dnia

§8
Czynsz najmu
1. Wysokość miesięcznego wynagrodzenia, z zastrzeżeniem postanowień niniejszej umowy, zostanie
ustalona według wysokości odpowiedniej stawki. Wykaz stawek zawarty jest w załączniku nr 3 do umowy
(Stawki czynszu).
2. Określona w załączniku nr 3 kwota miesięcznej opłaty za najem samochodu jest określona
indywidualnie dla przedmiotu najmu i zawiera wszystkie koszty niezbędne do realizacji przedmiotu
umowy, a w szczególności:
● koszty obsługi serwisowej,
● ubezpieczenie samochodu w zakresie OC, AC (ze zniesieniem udziału własnego), NNW,
Assistance o zakresie terytorialnym UE,
● koszty bieżącej eksploatacji samochodu, takie jak np. koszty mycia, paliwa, opłat za korzystanie
z autostrad i parkingów, itp. obciążają Najemcę.

Płatności
1. Czynsz, o którym mowa w §8, będzie płatny przelewem na rachunek Wynajmującego [nr rach.]

2. Za dzień dokonania płatności przez Zamawiającego uznaje się dzień złożenia w banku dyspozycji

Ubezpieczenie
1. Wynajmujący zobowiązuje się do posiadania ważnego ubezpieczenia od odpowiedzialności cywilnej
w zakresie prowadzonej działalności związanej z przedmiotem zamówienia na sumę ubezpieczenia
w wysokości co najmniej …………..… zł (słownie ……………..…………………..……………………………).
2. Wynajmujący zobowiązuje się do utrzymywania ubezpieczenia, o którym mowa w pkt. 1 tego
paragrafu, przez cały okres obowiązywania niniejszej umowy.
3. Wynajmujący zobowiązuje się do przekazania kopii dokumentów ubezpieczenia określonego w pkt 1
Najemcy.
§12
Odstąpienie od umowy przez Najemcę
1. Zamawiający ma prawo odstąpić od umowy nie później niż po upływie …… miesięcy od dnia jej
zawarcia w przypadku, gdy:
● Wynajmujący opóźnia się z wydaniem Najemcy samochodu o ponad ….. dni w stosunku do
terminów określonych w Umowie,
● wydany samochód nie spełnia wymagań i standardów określonych w załączniku nr 1 do umowy,
a Wynajmujący w wyznaczonym przez Najemcę dodatkowym terminie nie dostarczył samochodu
spełniającego te wymagania i standardy.
2. W przypadkach określonych w pkt. 1 Wynajmującemu nie przysługują względem Najemcy jakiekolwiek
roszczenia.
3. Oświadczenie o odstąpieniu od umowy powinno nastąpić w formie pisemnej pod rygorem nieważności.

5. §13
Wypowiedzenie umowy
1. Najemca ma prawo wypowiedzieć umowę ze skutkiem natychmiastowym w przypadku rażącego
naruszenia postanowień Umowy przez Wynajmującego oraz w sytuacji, gdy Wynajmujący kolejny raz nie
wywiązuje się ze swoich obowiązków.
2. W sytuacjach innych niż przedstawiona w pkt. 1, Najemcy przysługuje prawo wypowiedzenia umowy
z zachowaniem miesięcznego okresu wypowiedzenia ze skutkiem na koniec następnego miesiąca
kalendarzowego. Wypowiedzenie umowy winno być poprzedzone wezwaniem do należytego wykonania
postanowień Umowy.
3. Wynajmujący może wypowiedzieć umowę ze skutkiem natychmiastowym, jeśli Najemca zalega
z zapłatą czynszu powyżej …… dni od dnia wymagalności. Nie dotyczy to zalegania z winy
Wynajmującego (niedostarczanie Najemcy faktur, niewłaściwy numer rachunku bankowego, etc.).
4. W przypadku wypowiedzenia umowy Wynajmującemu przysługuje wynagrodzenie za okres najmu
samochodu przypadający do dnia rozwiązania umowy.
5. Oświadczenie o wypowiedzeniu może nastąpić wyłącznie w formie pisemnej pod rygorem nieważności.
§14
Kary umowne
1. Najemcy przysługuje prawo do obciążenia Wynajmującego karami umownymi zawartymi w załączniku
nr 4 do umowy (Kary umowne).
2. Kary umowne podlegają sumowaniu - zwłaszcza kara naliczona za wypowiedzenie umowy nie wyłącza
prawa do naliczenia kary z innego tytułu, np. z tytułu opóźnienia.
3. Roszczenia z tytułu kar umownych będą pokrywane w pierwszej kolejności z wynagrodzenia, a dopiero
potem z zabezpieczenia należności.
4. Odpowiedzialność Stron z tytułu nienależytego wykonania lub niewykonania umowy wyłączają
zdarzenia siły wyższej (akty terroru, kataklizmy, powstania, zamieszki), których nie można było
przewidzieć, ani im zapobiec.

6. §15
Zmiany umowy
1. Najemca dopuszcza możliwość zmiany parametrów technicznych wydawanego samochodu przy
założeniu, że:
● parametry samochodu nie będą niższe od parametrów samochodu pierwotnie będącego
przedmiotem umowy,
● zmiana nie wpłynie na zwiększenie wynagrodzenia.
§16
Postanowienia końcowe
1. Niżej wymienione załączniki stanowią integralną część niniejszej umowy:
● załącznik nr 1 - Wymagania techniczne i historia pojazdu,
● załącznik nr 2 - Osoby upoważnione,
● załącznik nr 3 - Stawki czynszu,
● załącznik nr 4 - Kary umowne.
2. W sprawach nieregulowanych niniejszą umową obowiązują przepisy Kodeksu cywilnego.
3. Ewentualne spory, jakie mogą wyniknąć z realizacji umowy, Strony poddają rozstrzygnięciu właściwym
dla siedziby Najemcy sądom powszechnym.
4. Umowa została sporządzona w dwóch jednobrzmiących egzemplarzach, po jednym dla każdej
ze stron.
