Vodacom GroupPty Ltd: 1 February 2001 – 31 May 2013
 Bidfor Mozambique Mobile Telecommunications Licence: I was
recruited by the Group Executive for Regulatory Affairs Mr Thomas Beale
to assistin the bid for Mozambique’s 2nd
Mobile Telecommunications
Licence. This mainly consisted of assisting in the bid and negotiations
with the MozambiqueGovernment on the terms and conditions for the
said Licence. Negotiations continued for morethan a year, the main
issueof contention being the interconnection regime and rates to apply
between Vodacomand TDM and its sister company Mcel, the State
owned fixed line operator and its mobile subsidiary. The Licence was
awarded in August2002, and operations commenced in December 2003.
 Tanzania: Seconded fulltime to VodacomTanzania fromJanuary 2002 –
June 2002 to assistthe MD Bruce Sherwood and his regulatory officer
William Ngeleja in negotiating a new interconnection regime with the
Tanzania Telecommunications Regulator and other mobile companies.
Also assisted in other regulatory matters such as fees, additional
spectrumand combating additional telecommunications based taxes.
 Lesotho: During the period of June 2001 – December 2001, assisted in
negotiating the terms and conditions pertaining to the renewal of
VodacomLesotho’s mobile telecommunications licence, and new fees
and taxes pertaining to such renewal.
 Corporate Governance: FromJune2001 – March 2003 was responsible
for preparing quarterly reports for VodafoneGroup and Vodacom
Group’s Board of Directors regarding all regulatory issues in Tanzania,
Lesotho and Mozambique.
 Fulltime secondment toVodacomMozambique as HOD Legal and
Regulatory March2004 toAugust 2006: My main responsibilities was to
set up, train newly recruited staff and manage the legal and regulatory
department reporting directly to the MD (firstClive Tarr, then Josedos
Santos (now CEO at CellC). Regulatory responsibilities included liaising
with the MozambiqueTelecommunications Regulator (INCM) and the
Ministry of Communications on the various legal obligations and licence

4. conditions such as fees to be paid, roll-out obligations, obtaining
additional spectrum, subscriber registration, quality of service
obligations and interception and monitoring obligations to the
Mozambiquepolice. Legal responsibilities mainly concerned the drafting
of servicecontracts with suppliers and maintaining an efficient contract
management system.
 August 2006 promotedtoExecutive Headof Department at Vodacom
Group Headquarters: A new unit was created at HQ to overseeall
VodacomGroup’s international activities including activities in the
operating companies in Lesotho, Tanzania, Democratic Republic of
Congo and Mozambique. I reported to Mr JP Snijders and Thomas Beale
who reported directly to the CEO. In this regard, my brief was to provide
guidance and supportto the legal and regulatory departments in the
various operating companies. Vodacom Group in consultation with the
relevant MD assumed responsibility for all official submissions to the
various regulators and/or Ministries responsiblefor the
Telecommunications portfolio.
 Other activities performedfor Vodacom Group 2006 to2013:
- Due diligence investigations for the purchaseof Ghana Telecoms on
behalf of VodafoneGroup;
- Due diligence investigations for the purchaseof Mali Telecoms on
behalf of VodafoneGroup;
- Due diligence investigations for the purchaseof Gateway Telecom by
VodacomGroup;
- Due diligence investigation for purchasing smallmobile operator in
Malawi;
- Assisted in a Competition Law compliance programmefor Vodacom
Group and its operating companies including VodacomSouth Africa
(attended a 3-day training coursein this regard);
- Assisted in a Privacy Law compliance programmefor Vodacom
Group;
- Assisted in the sale of a majority shareholding of Vodacom to
VodafoneGroup and Vodacom’s listing on the JSE;
- Assisted in the development of a legal compliance manual for

My main client during these years were the Pretoria Metropolitan Authority
(now the ThswaneMetropolitan Authority) for which I provided research into
transportation law, land use planning law and general policy and legal analysis.
April 1994 –30 April 1995:ResearchOfficer at the Institute for Social and
Economic Research, Rhodes University
Recruited to participate in the National Land Committee’s Land Reform
research project. My main brief was to investigate and analyselegislation
governing ruraltenure and land use in the former Ciskei (principally in the
Keiskammahoek region). Also participated in an extensive social and economic
survey regarding land use patterns. I reported directly to the project leader
Professor Chris deWet of Rhodes University’s Anthropology Department.
