Cloud Computing a leading and getting widely adopted technology in industry, unveils some unprecedented challenges to security of company’s resources such as capital and knowledge based assets. Traditional contracts and licensing agreements may not provide adequate legal resources and remedies normally associated with the layers of protection for corporations. Lifting the Corporate Veil. Power Point Presentationseri bangash
"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.
Undercapitalization: If a corporation is formed with insufficient capital to conduct its intended business and meet its foreseeable liabilities, and this lack of capitalization results in harm to creditors or other parties, courts may lift the corporate veil to hold shareholders or members liable.
Failure to Observe Corporate Formalities: Corporations and LLCs are required to observe certain formalities, such as holding regular meetings, maintaining separate financial records, and avoiding commingling of personal and corporate assets. If these formalities are not observed and the corporate structure is used as a mere façade, courts may disregard the corporate entity.
Alter Ego: If there is such a unity of interest and ownership between the corporation and its shareholders or members that the separate personalities of the corporation and the individuals no longer exist, courts may treat the corporation as the alter ego of its owners and hold them personally liable.
Group Enterprises: In some cases, where multiple corporations are closely related or form part of a single economic unit, courts may pierce the corporate veil to achieve equity, particularly if one corporation's actions harm creditors or other stakeholders and the corporate structure is being used to shield culpable parties from liability.

Adrien van den Branden (Lead Coach)
Adrien obtained an LL.M. in Commercial Law at the University of Cambridge in 2014
and learned to code at Le Wagon coding school.
As a bar-registered lawyer, he worked for international law firms Linklaters and CMS
in the area of technology, media and communications as well as data protection. He
started his own IP/IT boutique firm lawfortech.io.
Adrien also co-founded incubateur.legal, the innovation hub of the French and
German-speaking Bars Association of Belgium, and reshape.legal, a non-profit
turning every stone to foster innovation in the legal world.
Thomas Vanderstraeten (Tech Expert)
Thomas obtained an MSc in Applied Mathematics at the Catholic University of
Louvain in 2012.
After working as a strategy consultant at Bain & Company for more than 3 years, he
delved into code and is now CTO at Seraphin, a leading digital insurance broker in
Belgium. Thomas is also the founder of cryptizens.io, a high-energy launchpad for
tech & blockchain ventures.

William-James Kettlewell (Coach)
William-James obtained a Master’s degree in Engineering at the Free University of
Brussels in 2015 and another Master’s degree in Public and International Law at the
same alma mater in 2018.
After finishing his master’s thesis on the interaction between artificial intelligence and
law, he became a member of the Brussels Bar and currently practices in Baker
McKenzie’s Brussels office, where he specialises in new technologies.
Because of his double background and his keen interest in the topic, he is a regular
speaker in AI & Law, having participated among others in TBM’s 2018 conference «
Artificial Intelligence in Legal Counsel & Law Practice » and organised the panel «
Machine Learning for Lawyers » organised as part of the États Généraux du
Numérique.
