A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.

Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.

Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.

While filmingmyshortfilm Ihave learnedhow tobe more organisedwithwhatneededtohappen
for example asI wasthe cameraoperatorI had to be reallybe organisedwithwhere the actorshad
to be placed, while filmingwe hadtodo a lot of practice runs thiswouldbe because we hadto see if
the shot lookednice beforewe actuallystartedtorecord, toenable usto getthe perfectshot,
althoughthisdidtake a lotof time forus to getthe rightshow we was usingourtime wiselysowe
wasn’twaitingalot of time tryingto filmone scene, fromthisexperience Ihave learnedthat
rehearsals are highlyimportantforfilming. While filmingthe shortfilmwe have come across
problemswiththe actorsbecause none of the actors live close toeachotherthismade it reallyhard
for usto set datesto enable ustofilm, fromthisIhave learnedthatlearningmore information
aboutthe actors like forexamplewhentheyare normallyfree, forthemtofilmbecause thiswould
make it a lotmore simple forthe crewtobe more organised.Ihave learnedthatwe shouldhave
thoughtaboutwhat jobroleswouldhave workedbetterwithacertainindividual because knowing
the crewsskillsthattheyare goodat helpsastheycan use thiswiththeirwork, althoughwhilewe
was filmingthe shortfilmeveryone pickedupskillsastheywere working. The groupwasgoodat
problemsolvingforanexample we hadasituationwhere one of the actorscouldn’tmake itto film,
therefore we hadtofindanotheractor on a Sundayto come and filmforus, thiswas decidedreally
quicklyandthe actor was foundquicktoo,we had a lotof problemswithwhichdayswe were going
to be filmingonbecause certainactorscouldn’tmake iton certaindays, therefore we decidedthat
we was goingto change the locationsof the filmsoit wouldbenefitthe actors,we decidedto
change the locationto somewhere nearthe college,we decidedtodothisbecause all of the actors
attendedtothe college meaningthattheywill be present,we pickedadate thatwas mostsuitable
for the actors whichwasa Fridayas everyone hada2:30 start whichmeantthat everyone wasable
to attendcollege earlytoenable the crew tocontinue filming.
Whenfilmingthe shortfilmwe came acrosssome weaknessof the pre-productioninorganisingthe
time, asour short filmwasmeantto be filmedwhenitstartstogetdark we all hadto meetat a later
start, althoughbecause we hadtobe filminginthe darkthiswasa problemtocertainactors as they
wasn’table to make iton themdays, because of thiswe decidedtochange the time of the filman
filmthe shortfilmat mid-day,althoughthiswasn’taproblembecause thismake itreallycleartothe
audience whatwasgoingonin the film, aswe had six or sevenpeopleonthe locationthatwe was
filmingatthisgota bitannoyingbecause the actorscouldn’thearwhattheywere beinginstructed
to do,meaningthatwe had to do it multipletime, althoughthisbenefitedthe actorsandthe crew
because the actors where gettingpractice meaningthatthe shotswouldlookbetter.Whenfilming
we had camera problemsbecause the camerahadstoppedworkingwhenwe washalf wayof filming
certainparts of the scene, thismeantthatwe had to carry on and extendthisontoanotherdaydue
to the camera because itstoppedworking.
The shootingschedule wasdetailed, althoughthe timesthatwe gave forus to filmwasn’trealisticas
for an example we hadtwoshotsthathad to be done in15 minutes, althoughwhenwe actually
startedto filmwe realisedthat15 minuteswasn’tenoughforthe shotswe were planningtodo.In
the space of 15 minuteswe hadto complete 2shots whichwhere an, extreme wide shotthat
showedthe protagonistwalkingdowntowardsthe alleyway,whichwentintoanormal wide shot,
the othershot includedatrackingshotfrom behindof the protagonistwalkingdownthe alleyway.
We shouldhave beenmore organisedandrealisticaboutthe time thatwe shouldhave giventofilm
the shotsneeded,alsothe storyboardwasdetailedanddidinclude whatneedtohappenwhen
filmingthe shots, although we werelackingshotasoverall we managedtoobtainjustabout20, this
meantthat the filmwasn’tgoingtobe 5 minuteslongbutmuchless.While filmingthe shortfilmwe
2. were usingthe storyboardtosee whichof the shots we have filmedandwhichoneswe haven’tyet
done,thishelpedkeepthe creworganisedwhenfilming because itkepteveryonemoving.
The shot listwasorganisedcorrectly,we managedtofilmall of the shotsthat where onthe shotlist,
because we hada fewtrackingshotswe decidedthatitwouldbe simple foruswhenfilmingthatwe
wouldgroupall of them, because thiswouldmeanthatwe are goingto be doingthisone afterthe
other.Trackingshot iswhere youhave to be followingthe actorinfront at the same pace behind
them, because we didn’thave anactual equipmenttodoan actual trackingshot thismeantthat it
wouldtake more time forthisto be filmed.Groupingthemmeantthatwe wouldbe doingall of the
longestshotsone afterthe other.
In all of the locationsthatwe filmedonwe didn’thave aproblem, aswe didn’tneedpermissionto
filmonthe site that we choose, because we changedthe time thatwe were filmingwe didn’thave a
problemwiththe lighting, the locationthatwe were filmingindidn’thave any problemswith
backgroundnoise.Whenfilmingwe hadtodo rehearsalswe didthis bygettingthe actorto do what
theyare meantto dobut justto see howthiswouldlookinthe camera, whenwe thoughtthat one
of the practice oneswhere goodwe wouldstartto film.We pickedactorsthat hadexperiencewith
acting, like Itheyhad done dramain secondaryschool thenitwouldhave beenideal, althoughthe
mainactor Simone didn’thave experience withacting she didfitthe actor’srole because there
wasn’tanythingthatshe reallyhadto do butjust be herself while filming.
Everyone inthe crewtooktheirrole more or lessresponsible althougheveryoneone inthe crew
where justhelpingeachotherwithwhattheyhadtodo anywaysif theywere havingtrouble,
because Iwas the locationmanagerandthe cameraoperatorI had to thinkaboutwhere andwhyI
choose the certainlocations, althoughIhadto thinkaboutwhetherthe actorswouldbe able to
make it to the certainlocation.
The equipmentwasall checkedandchargedalthoughthe firstdaythat we startedto film the
camera stoppedworkingwhenwe washalf wayfilmingthe scene, because the camerahadstopped
workingwe hadto reschedule whenwe needtofilmagain, thistime we made sure thatthe camera
was workingandthe batterywason full charge before we startedtoshoot.Certainactors didturn
up late, althoughthiswasn’taproblembecause we juststartedtofil the otherscenesthatthe other

Overall whenplanningtomake the shortfilmandwheninthe processof filmingthe mosthardest
thingas tryingto come up withtimesthatwouldhave beenrealisticwhenfilming, aswe didn’tknow
