 According to Prof. Haney: “ A company is an
artificial person created by law, having
separate legal entity, with perpetual succession
and a common seal.
 According to Lord Justice Lindley : “A company
is an association of many person who
contribute money and money’s worth to a
common stock and employ it in some trade or
business and who share the profit & Loss
arising there form.
Characteristics of Company.
 Incorporated association.
 Artificial Legal person.
 Separate legal entity.
 Perpetual existence.

Difference between Company & Partnership.
COMPANY
 Company is an artificial person created by law.

 The co. mgmt. handle by the board of directors.
 The company can issue there share to general
public.
PARNERSHIP
 Partnership is the agreement between the
partners .
 Partnership comes under the partnership Act
1932.
 Unlimited liability.
 The mgmt. is handle directly with its partners.
 In partnership they cannot issue there shares in
the market.

 There is must be at least 3 directors in a
public company.
PRIVATE CO.
 Minimum paid up capital is ₹ 1 lakh.
 Min. no. of members is 2,
 Max. no. of members is 50.
 They have not the right of issuing the shares in
the market.
 No such remuneration applied in private
company.
 A private company have only 2 directors.
