The co-operative allows members to share costs and improve the area's image, giving it a stronger brand and higher profile to attract more visitors.

THE CHALLENGE
When considering the future of Clansman
Dynamics after his own exit, owner Dick
Philbrick looked for a model that offered
safeguards for the future of the company
and cemented its position in East Kilbride to
the benefit of employees. For him, the ideal
succession solution would measure business
success over years and not months.
THE SOLUTION
An encounter with the internationally-
renowned Mondragon Cooperative in Spain’s
Basque region in 2003 inspired Dick, who saw
first-hand how employee ownership could
motivate staff. Foreign firms had already made
offers for the business and soon after, he
was asked about his retirement plans. With
Mondragon at the forefront of his mind, he
chose to reject external advances, knowing that
relocation would be inevitable and decided to
sell the company to its employees. In 2009 he
started discussions with specialist advisers
about making the transition and the deal was
completed in December of that year.
DEAL STRUCTURE AND
OWNERSHIP
With assistance from Co-operative
Development Scotland and the specialist
advisers, an Employee Benefit Trust was
established to buy the business on behalf of the
employees. A cash deposit from the company
itself, specialist funding, a bank loan and a very
significant cash contribution from employees
provided the funding.
GOVERNANCE
AND EMPLOYEE ENGAGEMENT
Every month, Clansman Dynamics holds
meetings where staff contribute to business
decisions and market strategy. Employee owners
vote on resolutions put forward by directors,
including pay-rises and how to balance risk with
reward. Employee owners are offered a range of
incentives to reward their role in helping ensure
the business’s ongoing growth, including share
save options, bonus payments and dividends – all
of which help to drive productivity and innovation.
THE IMPACT
The business and the confidence of employees
has improved markedly as a result of employee
ownership, but the real benefit is in securing the
company’s future. Profits have doubled in the
first five years since the transition while turnover
has grown to reach £11.4million in 2014. There
have been no redundancies in 20 years. With
staff showing ambition, determination and vision,
Clansman’s measured but ambitious approach
to risk led to 2014 being its busiest year yet for
technical developments.
