ZipReward Recruiting Plan


PLAN PURPOSE

This incentive plan is designed to provide ZipRealty agents or employees an opportunity to
earn an incentive based on their individual ability to recruit qualified real estate agents or
employees to join ZipRealty.


QUALIFYING PERIOD

       • ZipOne: 3 months continuous tenure of referred agent or employee
       • ZipTwo: 6 months continuous tenure of referred agent or employee



REWARD
Participating agents or employees must choose one of the following options

                    Both referring and referred                Either referring or referred
                  individuals are licensed agents           individual is not a licensed agent
               $500 + 5% of QR generated by the
               referred agent in his or her first 3       $500 paid after referred individual’s
 ZipOne
               months, up to $1,000 maximum, paid         completion of 3 months of continuous

PROCEDURES

1. When a ZipRealty agent or employee identifies a qualified candidate for ZipRealty, he or
   she provides general information about the Company and determines the candidate’s
   possible interest in employment or affiliation as an agent with the Company.

2. The referring agent or employee informs the District Staffing Manager that he/she would
   like to refer an agent to work at ZipRealty. The referring agent provides contact
   information for the referral to the Staffing Manager.

3. The referring agent or employee indicates which option they would like to choose for the
   referral payment (ZipOne or ZipTwo).
4. The Staffing Manager completes the ZipReward Referral Process in Workday.

5. The referring agent or employee may be eligible for ZipOne or ZipTwo based on the
   conditions in this Plan.


PLAN ADMINISTRATION

Award Calculation

•   The referring individual will receive his or her award payment within two pay periods (for
    employees) or one month for non-employee agents following the qualifying period:

•   Award amounts can be modified to reflect business objectives.


ELIGIBILITY

•   Participants must be employed or engaged as an agent with ZipRealty on the
    calculation date in order to receive an award. No award is earned by any participant until
    date of calculation.

•   Candidates who had previously contacted ZipRealty regarding agent positions do not
    qualify as referrals pursuant to this program

•   Candidates who had previously worked at ZipRealty do not qualify as referrals pursuant
    to this program


•   A Non-Agent employee is not eligible to receive an award when referring a candidate for
    a position over which he or she has hiring or supervisory authority. Management staff
    who have responsibility for recruiting and hiring are ineligible to participate in the
    ZipRewards program


PLAN MANAGEMENT

The existence of this plan does not constitute the right to continued participation with the
Company, or continued participation in the plan.

Because future business conditions cannot be anticipated, ZipRealty reserves the right to
change or end the plan at any time, for any reason. The Company will notify participants if
the plan should change or terminate.
