1. Welsh is properly classified as an employee agent, because she signed an employment agreement which required her to work on site and authorized her to market and rent self-storage units in Space Place to customers needing temporary or additional storage space. 2. In renting self-storage units to tenants, Welsh is acting on behalf of a partially disclosed principal. 3. Welsh breached her duties of obedience, loyalty, confidentiality, due care and good faith which she owed to Space Place. 4. Space Place has several, viable causes of action against Midtown, including misappropriation, unjust enrichment, conversion, and/or misuse of confidential information and/or trade secrets; tortious interference with contractual relationships; and tortious interffrence with prospective business relationships. 5. By diverting customers to Midtown and taking and using confidential, trade secret information, Welsh and Midtown are likely criminally liable for theft and misappropriation of trade secrets and conspiracy..
