Diageo plc
Ian Cray, Diageo plc's Treasurer, looked out of his office window onto the busy streets of London in
October 2000. The London–based consumer goods company Diageo had recently announced its intention to sell its packaged food subsidiary,
Pillsbury, to General Mills. Earlier in the year, Diageo also announced its intent to sell 20% of its Burger King subsidiary through an initial public
offering during
2001, to be followed by a spin–off of the remainder of Burger King after December 2002. If these transactions took place, the firm would be focused
exclusively on the beverage alcohol industry. As
Diageo's business was restructured, it was an opportune ... Show more content on Helpwriting.net ...
The firm was organized along four business segments. The largest was the Spirits and Wine business, which produced and marketed a portfolio of
beverage alcohol such as scotch, vodka, gin, and tequila. Diageo's brands included Johnnie Walker, Smirnoff, J&B, Bailey's, Gordon's, Tanqueray,
Cuervo, and Malibu. This division was not only the biggest (with revenues of ВЈ5 billion and the leading market share in the U.S. and U.K. markets)
but also the fastest growing of Diageo's businesses, with sales growth of 8% for the year. More than 70% of sales and sales growth came from the
Europe and North
America markets. This segment enjoyed the largest profit margins of all of the segments, with 15% operating margins and growth in total operating
profits of 15%. The high levels of operating profits reflected Diageo's strategy of concentrating on premium brands and pricing. (Exhibits 1 and 2
contain historical financial information for Diageo and its business segments.)
Diageo's second largest division was Guinness Brewing, which produced and sold beer to markets around the world. This segment, while substantially
smaller in sales than the Spirits and Wine Division, was a close second to it in terms of operating profit growth rate. Due to the similarity in the
products and distribution channels for these two businesses, Diageo was

How Dow Chemical Could Benefit From The Acquisition Of Dupont
Acquisitions and mergers is the growth strategy of many companies today. Sometime a company may decide to buy shares in another company while
other times a company may decide to acquire the whole company. This paper discusses how Dow Chemical could benefit from the acquisition of
DuPont. It will also cover the various accounting methods used.
Introduction to Dow Chemical and DuPont Dow Chemical was founded in 1897 and became incorporated in 1947. Dow Chemical is an integrated
science and technology company which produces chemicals, advance materials, agro–science and plastic products. All Dow facilities are technology

DuPont has 6 major segments which include Agriculture, Electronic Communication, Industrial Biosciences, Nutrition and Health and Performance
Material and Safety. 54% of DuPont 's agriculture sales are outside the United States. DuPont is one of Dow 's major competitors worldwide and is
the second largest chemical company in the United States [E I du Pont, 2015] and [Investor Relations, 2015]. DuPont has been facing several
challenges over the past year. A recent Wall Street Journal article outlines the challenges DuPont is dealing with as a decline in sales and disagreements
amongst shareholders. DuPont is blaming much of their troubles on the increase value of the U.S. dollar and foreign currency translations.
Shareholders believe that now is the time to streamline their processes and spin off DuPont into 4 different companies [DuPont Forecast, 2015].
Financial Statements retrieved from Market Watch support the articles claim that DuPont sales are declining. DuPont has seen their sales growth
decline to a negative 2.87% and their cost of goods sold growth decline to a negative 16.65% [DuPont Financial, 2015].
Dow 's Strategic Plan Dow Chemical is known best for acquiring other companies. In October, 2014 Dow formed a joint venture with Univation
Technologies, LLC by purchasing ExxonMobil 's shares of this company. Exxon Mobile is also a major competitor of Dow. Acquisitions have allowed
Dow Chemical to diversify their product line and

Dow Corning Case Study : Dow Corning When Their CRM Went...
This case study is telling some key factors that helped the company, Dow Corning when their CRM went mobile. Mobile CRM increases sales
productivity and improves relationships with customers (O'Brien, 2011). Chip Reeves is the current director of marketing and sales processes but
he used to be a salesman. Chip Reeves had an advantage when selecting how to make the functions of the CRM mobile device more likable and
enjoyable for salesman being that he used to be a salesman. Chip Reeves knows the information most salesmen want to get to quick and he knows
the importance of keeping the mobile device productive for them when working in the field with customers. Many companies and CIOs are
struggling to determine exactly how best to mobilize critical applications that can bring measurable payback to the company but also limit the
disruption to and administrative headaches in their users' lives (O'Brien, 2011). Chip Reeves knows that salespeople would rather be productive and
make a sale rather than spend time logging unnecessary things into a mobile device. Whit his gained knowledge of that fact, Chip Reeves made a
point to make all information on the CRM mobile device effective and access to more information.Chris Reeves paid attention to the process pain
points that a salesperson has and he made them simpler and the process smooth. All information gained on the device is "need to know." Challenges
were had when implementing mobile CRM at Dow Corning but Reeves and his team

Dow Chemical Accounting Homework
Dow Chemical Company is a manufacturer and supplier of products used primarily as raw materials in the manufacture of customer products and
services. Its product lines include chemicals, advanced materials, agro–sciences and plastics businesses. Attached are the excerpts from Dow
Chemical's Annual report for 2012. Based on the information in the financial statements and footnotes, please, answer the questions below. Assume a
tax rate of 35%.
1. Which cost flow assumptions does Dow Chemical use to value its inventories?
Inventories are stated at the lower of cost or market. The method of determining cost for each subsidiary varies among LIFO, FIFO, and average cost.
What is the value of inventories that ... Show more content on Helpwriting.net ...
LIFO liquidation may be due to company not purchasing any more inventory (the prices are too high), and depleting its cheap inventory. When
inventory costs are increasing, this results in higher net income. Either involuntary (disruptions in supply) or voluntary (earnings management).
5. Suppose that Dow Chemical has no inventory left at the end of NEXT year (i.e., fiscal year 2013). Would Retained earnings at the end of fiscal
year 2013 under their existing accounting policy for inventories be higher than, lower than, or the same as what it would have been had they used
FIFO as a cost flow assumption for all of their inventories? If different, by how much? Explain.
Same as RE if they used FIFO. Since there will be nothing left in inventory after the year, Dow Chemical would be using same inventory (and
therefore the same inventory price for COGS) in both scenarios.
Also b/c LIFO Reserve = Cum. pre–tax income FIFO – Cum. pre–tax income LIFO = 0 => Cum. pre–tax income FIFO = Cum. pre–tax income LIFO
How would your answer to above change if purchase prices for Dow Chemical's inventories are expected to increase by approximately 50% in fiscal
year 2013?
Would not change. The answer to this question is driven by the LIFO reserve in 2013, and, by definition, that stays the same, at 0, regardless of how
much inventory is purchased in 2013.
6. International Financial Reporting Standards do not permit the use of LIFO as a cost flow assumption for inventory

Bhopal Gas Tragedy
The Bhopal Disaster was one of the world's worst Industrial catastrophes. It occurred on the night of December 2–3, 1984 at the Union Carbide India
Limited pesticide plant in Bhopal, India. A leak methyl isocyanate gas and other chemicals from the plant resulted in the exposure of hundreds of
thousands of people.
Estimates vary on the death toll. The official immediate death toll was 2259 and the government of Madhya Pradesh confirmed a total of 3787 deaths
related to the gas release. Other estimate 3000–8000(Greenpeace) died within weeks and another 8000–20000(Greenpeace) have since died from gas
related diseases. It is estimated that 10 to 30 people continue to die from exposure every month. According to the Indian medical research 25000
people have died from exposure since the initial explosion.
The UCIL factory was built in 1969 to produce the pesticide Sevin using methyl isocyanine as an intermediate. An MIC production plant was added in
1979. During the night of December 2–3, 1984, water entered a tank containing 42

Dow Chemical's Bid for the Privatization of PBB in
Argentina
op yo On November 10, 1995, Oscar Vignart, vice president of business development for Latin America for Dow Chemical Company (Dow), and Luis
Marcer, CFO of Dow QuГmica Argentina, considered the bidding price on PetroquГmica Bahia Blanca S.A. (PBB), which was being privatized by the
Argentine government. PBB produced both ethylene and polyethylene. It was part of a petrochemical complex located in Bahia Blanca, 700 kilometers
south of the Argentine capital, Buenos
Aires.1 Vignart believed that the acquisition of PBB offered Dow a once–in–a–lifetime opportunity to become the leading polyethylene player in Latin
America.

A plant for cracking ethane was estimated to cost $400 million to $500 million, a plant for cracking naphtha
$1 billion.3 Roughly half of the world's ethylene plants, particularly those in gas–poor regions such as
Japan and Western Europe, utilized naphtha. Plants in gas–rich regions such as North America and the Middle East more frequently employed ethane

Large plant sizes and the need for economies of scale rendered the ethylene industry highly capital intensive. Consequently, capacity additions or
reductions could significantly affect balance of supply and demand, influencing capacity utilization rates, prices, and profit margins. Ethylene
profitability was tightly linked to its global operating rate. Among the investors in the ethylene business were oil companies, governments, pure
chemical companies, conglomerates, private investors, and joint ventures. According to UBS Warburg plc, financial return objectives ranged from loss
leader to zero return to beating the cost of capital. The loss leader or zero–return player was often a government operator that was, directly or
indirectly, financing capital–intensive ethylene plants in order to stimulate downstream business. This was the case in Brazil, where the government
sponsored a "tripartite" model, in which private Brazilian capital, multinationals holding the technology, and the government would each

The Tragedy Of The Bhopal Chemical Leak
In today's society of industrialization, a few disasters may occur due to irresponsibility. Such disasters can range from an insignificant aspect to
something absolutely detrimental. Chemical leaks are a rather harmful accident, especially in industrialized factories. This was the case in 1984 when
Union Carbide's safety mechanism failed to detain three tanks of Methyl Isocyanate (MCI for short). As a repercussion, a massive chemical leak of
white fog polluted the city of Bhopal's atmosphere within a moment. The tragedy of the Bhopal Chemical Leak leads to the world's curiosity of what
happened on that day, why exactly chemicals– such as Methyl Isocyanate –are dangerous, and where the city of Bhopal stands as of today. Devastation

Could it be because of poor management at the plant? What if the construction of the corporation was a horrendous location for the plant to operate?
Before the matter of what happened is approached, it is important to understand the decline of the factory. According to a site entitled "The Bhopal
Medical Appeal", it was recorded that the manufacturing of the factory was unregulated even from the beginning. For instance, the company's
downfall was due to a failed achievement of profiting off of Indian farmers. With the farmers being poor and suffering through a lack of water, Union
Carbide's dream of hitting big withered away slowly. It was not until the 1980s when Union Carbide decided to ultimately shut down production at the
factory3. Although the company abandoned the plant, Union Carbide decided that the factory was safe enough to vacate. To add, Union Carbide
heavily trusted the safety mechanism installed for the purpose of there ever being a chemical leak. The corporation felt no threat towards a potential
failure of the equipment. However, three tanks full of Methyl Isocyanate remained untouched as well as a removed flare tower. Also, a shut–off safety
contraption lingered inoperable containing a scrubber, a refrigerator, and a water curtain3. On the same night of December 2nd, a maintenance
employee visited the dilapidated plant to check on the safety equipment. One pull of the tarnished pipe sent

Dow's Expansion into Nuclear Weapons and the Aftermath
Rocky Flats Plant, a nuclear weapons production facility managed by Dow from 1951 to 1975, produced plutonium triggers for hydrogen bombs. A
number of accidents took place under Dow's management during this period. In 1957, radioactive particles were released into the atmosphere due to
the burning of plutonium dust by a fire in the facility. In 1967, 3,500 barrels (560 m3) of lubricants and solvents, laden with plutonium, leaked into the
ground. Another fire took place in 1969 and it was the costliest industrial accident in the USA up to that time. Finally, Rockwell International took over
the management of the facility in 1975.

The original product wasn't so hot – if the gooks (Vietnamese) were quick they could scrape it off. So the boys started adding polystyrene – now it
sticks like shit to a blanket. But then if the gooks jumped under water it stopped burning, so they started adding Willie Peter (white phosphorus) to
make it burn better. It'll burn under water now. And just one drop is enough; it'll keep on burning right down to the bone so they die anyway from
phosphorus poisoning."
Agent Orange was another of the Dow's horrific innovations. This time it was with another company, Monsanto with Dow being the principal
manufacturers. Agent Orange, a chemical defoliant containing dioxin, was used during the US military's chemical warfare in Vietnam. US air force
planes bombed jungles and paddy fields with Agent Orange to destroy forest cover and food crops used by the Vietnamese resistance and villagers.
The defoliant which was poison in itself was also contaminated with dioxins which caused serious health effects in generations of humans. In 2005, a
lawsuit was filed by Vietnamese victims of Agent Orange against Dow and Monsanto Co. The lawsuit was dismissed whereas, Dow settled for $180
million with 4,000 American veterans exposed to the herbicide during the Vietnam War in 1984. The Vietnamese victims are still waiting for justice to
be delivered.

Dow Chemical Case Question 1 Polyethylene is the world's most widely used plastic. Polyethylene plastic's principal application was in packaging,
from trash bags to milk jugs. It was widely used in the manufacture of everything from trash bags, picnic cutlery and garbage pails, to plastic toys.
Polyethylene also replaced glass, wood, and metal in certain applications. There were three types of polyethylene, Low–density polyethylene, High
density polyethylene and Low linear density polyethylene. Polyethylene produced from ethylene. Ethylene is produced from oil or natural gas.

The expansion of its polyethylene capacity in Bahia Blanca would require the company to build a world–class competitive cracker (stage 3). Doing so
would nearly triple PBB's ethylene capacity. Therefore, Dow had to not only consider what to bid for PBB in the privatization, but also develop an
overall plan for the development of Dow's polyethylene business. Dow had to incorporate the terminal value of each stage of the project. Question 3:
The followings are the arguments that support the acquisition of PBB: 1. The whole project will increase Dow shareholder's wealth. As a public
company, the first aim of the management team is to increase the shareholder wealth. The project proposed by the management team is definitely
consistent with this goal. And bidding on the PBB is the first stage of the whole project. The exact increase in shareholders' equity may be various at
this point as it depends on lots of other factors ( we will discuss the risk of valuation thought the whole case.), but in general, the management team is
confident in the future outlook. 2. The other important strategic purpose of acquiring PBB is that it is the first stage towards consolidating all Bahia
Blanca's polyethylene activity under Dow's control. The 3–stage project will make Dow to be the leading company of polyethylene in Argentina, even
in Latin America because of its MNC background. This will have

The Integrative Model Of Organizational Behavior
Organizational commitment is one of the two individual outcomes derived from individual mechanisms like job satisfaction, stress, motivation, trust,
justice, ethics, and learning and decision making. These mechanisms and outcomes can be found on the integrative model of organizational behavior
(OB). Colquitt, LePine, and Wesson defined organizational commitment in their Organizational Behavior 5th Edition book as the desire of an
employee to remain a member of the organization (p 64).
Being committed to an organization and going through different commitment stages is something that I personally experienced at my job. For the past
four years, I have been working at Dow AgroSciences LLC legal department. I started there as a high school Co–Op and continued an employment
with this company throughout college up to present time.
Reviewing types of commitment, I can tell that I experienced all three of them through different stages of my career at Dow. During my first two years,
I definitely felt an emotion–based affective commitment, which defined as the desire to stay with the company due to an emotional attachment to the
organization and its employees. With this commitment, employees stay because they want to (65). I was hired with two of my friends from high
school, so be able to work with them and building closer relationships was a big emotion–based factor. Other factors that made me want to stay there
was the professional atmosphere, flexible work hours, friendly coworkers, goal–driven job duties, and supportive supervisor. Having co–workers that
thank me for everything I do, motivates me to do my best at all tasks and built a desire in me to exceed others' expectations through my performance.
In the past two years, my commitment type slightly shifted to the continuance and normative commitment. Because two of my friends left Dow and
ratio of tasks challenge and my educational growth has not been balanced, I do not feel as motivated and interested in the work as I was in the
beginning of my career. Going through the Kelley School of Business helped me to acquire knowledge and skills that exceed my job tasks skills level.
Unfortunately, this creates boredom and assists with withdrawal behavior.

Per Environmental Protection Agency (EPA) guidelines, it is best during massive fire events to withdraw from the area and let burn off take place

scenario, the chemical could be readily identified allowing for a proper response by emergency responders, with proper precautionary gear to protect

random, less detrimental incidents as past history such as shoe bombers and such. Utilizing such a chemical in a discreet manner, rendering
identification difficult if not impossible, would provide rather substantial physical effects with all the reactive, flammable, health, and incompatible

The Invention Of The Television And Internet
What exactly is remix? Remix is the creation of a new or derivative piece of art through the alteration, modification, or transformation of elements
of the original. A remix is a piece of art that may have had items added, appropriated, or removed. Remix is everywhere and is nothing new in
public space. People have been doing it for hundreds of years by altering paintings and other artistic art pieces. The advent of new technology and
different forms of media have allowed people to remix in entirely different ways, utilizing new techniques, materials, and ideas. The popularization
of the television and Internet has allowed digital forms of remix, previously impossible or only attainable for a small niche of the public. Though
Banksy, Electronic Disturbance Theater, and the Yes Men group have taken advantage of digital forms of remix through different means, the Yes
Men group has remixed public space the best. Artists often put their work in the public domain or space, but what exactly is that? Public space is
just that, locations accessible to the public with the most general being out on the streets, places accessible or viewable to anyone without
discrimination. They are visible to anyone who has the means of getting to the place, charges no fees, and is open to everyone. This type of space
encompasses sides of buildings exposed to the street, parks, and open spaces such as plazas. Another type of public space includes privately owned

$1.64 of current assets for every $1.00 of current liability. The current ratio should be at a 2 or greater to be considered a safe risk; however, BASF is a

economical loss due to its cyclic nature of production. The production does not run at full efficiency every time. This leads to the waste of energy,
money and resources. * There was no transparency in the price of EP&I products which can act as a hindrance in the market. No transparency of

concern for the development of the company but it can degrade the motivation which can degrade the strength and unity of the employees in the

Essay on Use of DBCP and Relation to Infertility
Use of DBCP and relation to infertility
Dow produced DBCP (1,2–dibromo–3–chloropropane), a soil fumigant, and nematicide, which was sold under the names the Nemagon and Fumazone
until the late 1970s. US banned DBCP in 1979 after it was linked to human sterility in California. But, Dow and three other companies continued
producing the hazardous pesticide DBCP for years after it was banned and exported it to developing countries.
Animal testing had revealed that the product caused male sterility in rats and the companies knew about it at least since the 1960s, but concealed this
information. They also neglected to report the related findings of reduced sperm and atrophied testicles of rabbits and monkeys in the information

The company, however, continued to market Dursban in developing countries, including India and claimed it was safe for humans and pets. In 2003,

General to end Dow's illegal advertising of Dursban as "safe".
Acquisition of Union Carbide
The Bhopal Disaster of 1984 was the worst industrial disaster in the history of the world. It was caused by the accidental release of methyl
isocyanate (MIC) from a Union Carbide India, Limited (UCIL) pesticide plant located in the heart of the city of Bhopal. UCIL was a joint venture
between Union Carbide and a public/private consortium of Indian investors. The MIC leak killed thousands outright and injured anywhere from
150,000 to 600,000 others, at least 15,000 of whom died later from their injuries. The contamination due to the leak is still active and no cleanup has
been done till now.
Despite the involvement of Union Carbide in a criminal case in India, location of the plant in the heart of the city and the disaster site still not cleaned
up, Dow bought Union Carbide in 2001. The transfer of ownership led to complicating the issue of cleaning up the plant and its environs of hundreds of
tonnes of toxic waste, which has been left untouched. Environmentalists have warned that the waste is a potential minefield in the heart of the city, and

Case Study Of Bhopal Gas Tragedy
HAZARDOUS CHEMICAL PROJECT December 2nd of 1984 marked the eve of one of the world's most extensive and deadliest industrial disasters,
known now, thirty years later, as 'The Bhopal Gas Tragedy' or 'The Bhopal Disaster', among others. Essentially: between twenty–seven and forty tons of
methyl isocyanate gas and other assorted chemicals leaked from a tank at a plant owned by Union Carbide India Limited (UCIL), the Indian subsidiary
of the American company Union Carbide Corporation (UCC), itself a subsidiary of the Dow Chemical Company (Eckerman). This catastrophic failure
followed the introduction of water into an MIC storage tank, which caused an explosive chain reaction (Dhara). The chemical cloud produced by the
reactions, which the plant's ... Show more content on Helpwriting.net ...
The plant's placement (near a densely populated area) was noted as hazardous years before the tragedy, but UCC insisted on the location. The planning
board's motivation for their insistence was primarily that it was cheaper to build using a pre–existing plant in the non–ideal location as a basis rather
than building an entirely new plant in the more thinly populated area the Bhopal government had designated for hazardous industry (Eckerman). Had
the plant been built in a more sparsely populated area, casualties and damage from the gas leak might have been drastically reduced. The tragedy
might have been completely averted had UCC opted to use the more expensive production process (obviating the need for MIC) instead of the cheaper,
more dangerous process (as discussed above). More economies were taken with the safety and security systems (Eckerman), which, properly installed
and maintained, might have kept the tragedy from happening or lessened its effects; although the company maintained at first that the Bhopal plant was
equipped as well as were its plants in other countries, UCC later admitted that the safety equipment in the plant was subpar

In summary, it cannot be said that exact cause of most severe traffic accidents are known with certainty but it is believed that speeding and drinking,
jointly or separately, play some role in the events that lead up to those accidents. Also to blame, in many instances, are the design of the highway, the
condition of the weather, the maintenance of the vehicle, the time of the day (many severe accidents occur at dusk, with poor lighting and tired
drivers), and the presence of radar detectors. A study by the Ohio State Police found that radar detectors were present in at least one of the vehicles
involved in 69% of all severe traffic accidents on the highways of that state in 2005. Studies in other states have confirmed that finding, with some
estimates of the relationship running as high as 75%.
The use of radar detectors is illegal in many if not most states, but neither the manufacturing nor the marketing of the units has ever been banned by the
federal government which, of course, is the sole authority which could regulate their interstate trade. The U.S. constitution forbids any state from
restricting" imports" from any other state. Currently, therefore, there often occur an unusual situation in which the use if the radar detector sets may be
illegal within a given state, but the sale of those sets is not illegal and cannot be prohibited within that state.
The manufacture and marketing of radar detectors was expanding industry,

Ethics of Penn Square and Dow Corning
Ethics of Penn Square Bank and the Dow Corning Bankruptcy Penn Square Bank: What were the ethical pressures on the firm concerning

Penn Square Bank was a small commercial bank in Oklahoma City which made high–risk financial loans during the late 1970s in the oil boom. The
bank ultimately collapsed during the early 1980s due to their financing practices. The bank was overestimating and valuing its customer's gas and oil

Dow Corning Corporation was founded in 1943 as a jointly owned enterprise by The Dow Chemical Company and Corning Incorporated to develop the
potential of silicone materials. Dow Corning's principal businesses were silicone materials and polycrystalline silicon.
In the early 1960's Dow Corning supplied Texas plastic surgeons Frank Gerow and Thomas Cronin with silicone for their medical implant device
research. Gerow and Cronin, using Dow Corning silicone, invented the first silicone breast implant as a device to aid women who had undergone
mastectomies. At that time, the Food and Drug Administration had no regulations governing implantable devices. Companies like Dow Corning had to
determine the safety of devices on their own. The surgeons conducted clinical trials of the implant prior to product introduction in 1964. In the next
several years, the implant grew popular for cosmetic surgery as well as reconstructive, and Dow Corning cornered both markets. Between 1960s and
the mid–1990s, about two million women nationwide have received breast implants, most of them for cosmetic reasons. However, some women have

Rohm & Haas
Executive Summary
Rohm & Haas recently introduced a new product, Kathon MWX, in order to exploit an untapped portion (reservoir capacity under 1,000 gallons) of the
biocide market. Even with limited competition within this segment, Kathon MWX has not been able to produce its annual target revenues, only
capitalizing on roughly 6% of said target in a 5 month period. Large–scale distributors, who exhibit the most buyer power and influence over end
customers in the industry, threaten manufacturer brand equity by relabeling all biocide maintenance products under their own brands. Even though
Rohm & Haas does not allow distributors to change the label on Kathon MWX, the lack of end customer awareness for the manufacturer brands has ...

The higher margin products also miss a benefit either in fungi or smell reduction. Why should Rohm & Haas expect large volume sales and scale
economies on the industry quality leading product when it's offered on the dollar menu? The distributors operate a toll–booth and the highest bidder
gets to pass. Rohm & Haas needs a competitive value proposition that cannot be refused.
Evaluation & Recommendation
Little or no brand awareness of Kathon 886 currently exists. By rebranding Kathon MWX–– a brand extension of Kathon 886, Rohm and Haas Brand
does not add any value to the brand nor to the positioning of the new product. We recommend that Rohm & Haas markets Kathon MWX under a
different name that better describes the product and by which customers can recognize it. We suggest that that the new brand name suggests something
about the benefits of Kathon MWX, but more than a name is needed.
To develop brand awareness for the rebranded MWX among end customers in the short–term, the company can continue its current strategy of pursuing
distributors and have them include the new brand name with the package. However, the strong sell comes from raising prices (and margins) to
distributors (see exhibit #2). Rohm & Haas can inherently raise its prices to a competitive level,

When information is initially placed into a user's computer, it must somehow be routed, and the various layers of the Internet allows for this to occur.
One can think of an example of a person sending a package and using the services of a postal carrier to think of how data is carried through on various
networks and its levels.
The Internet is a wonderful place, but it can also be incredibly scary as it was initially designed to share information and not necessarily to ward
against those that would do harm against others. In today's ever evolving work place, something as simple as network patching can reduce the
company's attack surface up to 70% (Stewart, 2017). Overall, a company must become more proactive in their thought process. It is no longer about
the possibility of an attack occurring, but more than likely the 'when' of a cyber–attack occurring to a business. In addition to keeping up with patches,
a company should have security products installed such as firewalls, anti–virus programs, or anti–malware software in order to block or contain threats
if they do get through.

PROCUREMENT PERFORMANCE AND VALUE MANAGEMENT
INTRODUCTION
To realize the success of a project, the value must be attained through the core objectives and goals of the project to the stakeholders. This could be
achieved by using the right processes throughout the project life cycle.
VALUEMANAGEMENT
Value Management (VM) is a well structured or established process that is used for defining and maximizing value of money (OCG, 2007 p.3). It is
applicable to all sort of projects regardless of being big or small and the duration and it runs throughout the project life cycle from the inception to
completion. Its benefits have been found to be efficient and effective when an external facilitator being a consultant or ... Show more content on

al., 2011).
EXAMPLE FROM PUBLIC SECTOR
Value Management was applied in the California Department of Transport (Caltrans) when Anthler's Bridge Crossing was being re–constructed by
saving ВЈ7million and increases its traffic operation performance by 19%. This has aided in solving the problem of transportation from the previous
constructed bridge and its traffic congestion and reduces life cycle cost to maximize project performance (OGC, 2007 p.39)
EXAMPLE FROM PRIVATE ORGANISATION
The Dow Chemical Company over the last four years has developed a vision, functional systems, and tools, for the 'value management' of its
Intellectual Assets (IA). This initiative has developed some competencies in the area of 'measuring and valuing' IA, and in developing systems that
support the leveraging of IA for maximum value (Petrash, 1999)
CONCLUSION
In conclusion, PM's must ensure alignment of value management and procurement performance management to have effective procurement process
since the two are correlated. Implementing these two concepts reduces waste and defects, increases production efficiency, reduce cost and also help in
decision making.

Case: Dow’s Bid for Rohm and Haas
Why does Dow want to buy Rohm and Haas? Was the $78 per share bid reasonable? Why was the deal structured as all cash?
Dow Chemical ("Dow") wants to acquire Rohm and Haas ("Rohm") for its strong operational and strategic fit. When Liveris became Chairman and
CEO of Dow, he shifted the focus to growth and profitability by becoming an asset light producer of commodity chemicals and becoming a
high–valued–added producer of specialty chemicals and advanced materials. This combination is a step in that direction that would bring together
best–in–class products and technologies, broad geographic reach, and strong industry channels for growth opportunities. Rohm would also expand
Dow's network into emerging markets and alter Dow's earnings ... Show more content on Helpwriting.net ...
Thus, if one completely removes the revenue synergies, as these are typically the most difficult to achieve in comparison to cost synergies, the implied
share prices fall right near the $78 bid price, which makes it a reasonable bid.
The reason why it was structured as an all–cash deal was driven by the fact that 32% of Rohm's shares wanted to sell substantially all of their shares
within 1.5 years. Furthermore, Dow had a potential cash inflow of over $7 billion in cash from the JV agreement, a $4 billion financing option of
8.5% convertible preferred equity and $13 billion in bridge loans. When compared to the 8.5% WACC, these options may potentially be less expensive
than issuing equity.
What are the major deal risks inherent in this merger transaction? How and to whom does the merger agreement allocate these key risks? (See, in
particular, case exhibit 4.)
Some of the major deal risks inherent in this merger transaction are as follows. Dow will have to make integration decisions that are absolutely critical
to making the acquisition pay off through the cost and growth synergies. Additionally, Dow agreed to a contract with no financing out, which means
that the offer is not contingent on Dow securing financing. Furthermore, the material adverse effect clause stipulates that any adverse effect to the
specialty chemical industry or the economy or markets generally is excluded. Also, if the merger does

watching the fire burn and eat away at hard–earned work. Over 160 miners died doing what (some of them) loved. Most death–themed casualties
happened from asphyxiation from smoke. The flags were at half mass that day, all of the wars happening were forgotten because of this great
devastation. The Speculator Mine made most of the income, but when this great desolation happened, no other mine was as important as this one. In all
of the miners' families' hearts, this mine was made a family history story. So when they went to bed, they lay there,... Show more content on

dows bid for rohm and haas
1) Introduction
The case presents an American company Dow, producer of commodity chemicals, who is in the final stages of acquiring another company Rohm and
Haas. Dow's CEO has been working for four years to transform Dow from a producer of low–value, highly cyclical commodity chemicals to a
producer of high–value, specialty chemicals and advanced materials. Rohm is a perfect match for Dow in respect of the strategic and financial
perspective. Dow is also pursuing another key deal with Kuwait's Petrochemical Industries Company (PIC) that was supposed to generate $7 billion
cash net of tax which could be used to finance acquisition of specialty chemical maker Rohm & Haas for $18.8 billion all cash deal. However, by late

We explore the Equity Value's sensitivity to the discount rate as well as to the projected growth rate. This sensitity is shown in Table . Using the
baseline assumptions (WACC=8.5%, growth rate=2%), we arrive at a base equity level without synergies of $46.41 per share. However, this value is
quite sensitive to both the WACC and growth rates. The overall spectrum of base values ranges from $27.75/share to $73.42/share, with the baseline
assumptions falling squarely in the middle.
Table 4: Per–Share Equity Value without Syergies
Value of the Cost Synergies
To be able to recognize the cost synergies, Dow had to incur a one time cost of $1.3 billion spread over two years. Dow also stated that it would take
2 years for them to fully recoginize the cost synergies. We found that $800 million of cost synergies would be worth and additional $32.18 perRohm
and Haas share.
Value of the Growth Synergies
Growth Synergies are estimated to be between $2B and $2.6B based on expanded market porfolios, increased geographic reach and innovative
technologies. We assume that these Growth Synergies would also take two years to completely recognize. The equity value per Rohm and Haas share
is stated in the table below to view the difference between $2B and $2.6B:

$ 2,000 $ 2,300 $ 2,600

Roller Coasters Good Or Bad
Roller coasters are the bomb. Would people still enjoy amusement parks if they knew the danger of them? Roller coasters cause deaths and severe
injuries. In one year, there's 350 injuries on roller coasters. It's like an injury a day! Now, it's much rarer, because the technology is safer, but there's
always a slight risk. Inspectors notice that most injuries or deaths are from rides over twenty years old. One coaster is less than 10 years old.
Amusement parks are fun, but can be life threatening. From 1987 to 1999, forty–two death documents were reported to the park health institute.
Imagine being at an amusement park. Smell the popcorn, and french fries. The loud carnival music, and the screams of people on a roller coaster. Isn't it

Bhopal Gas Tragedy
Bhopal Gas Tragedy – Who is responsible? It was a normal day in Bhopal – the heart of India. Fathers coming back from work, mothers cooking dinner
for the family, some kids studying and most playing out in the gallis (small streets in India). After dinner they all go into their world of dreams.
Kids dreaming of their games the next day, pregnant ladies dreaming of the fast approaching days when their babies would be born into this world,
worker fathers dreaming of saving more money for their kids' secure futures. What happened in the midst of that night is beyond anybody's
imagination. A poisonous gas leaked from a pesticide factory and covered the whole city in its thick blanket of deadly gas. For many who slept that
night, they never saw another morning. You think that is bad? For a lot many who escaped death met with an even more pathetic future when they
were crippled for life – some went blind, some had major skin and lung diseases and many had genetic deformation. And that's not even the worst.
Even thirty years after the incident, people are still facing the consequences of the gas leak. Many babies born suffer from genetic disorders if at all
they are not still born. God knows up to what generation this is going to continue. It was around 1 am on the 3rd of December, 1986 that the world's
worst industrial disaster took place – now popularly known as the Bhopal Gas Tragedy – which "officially" killed more than 4,000 people and injured
more than 500,000

DOW CHEMICALS

  • 1. DOW CHEMICALS 9 – 2 0 1– 0 3 3 REV. AUGUST 6, 2003 GEORGE CHACKO PETER TUFANO Diageo plc Ian Cray, Diageo plc's Treasurer, looked out of his office window onto the busy streets of London in October 2000. The London–based consumer goods company Diageo had recently announced its intention to sell its packaged food subsidiary, Pillsbury, to General Mills. Earlier in the year, Diageo also announced its intent to sell 20% of its Burger King subsidiary through an initial public offering during 2001, to be followed by a spin–off of the remainder of Burger King after December 2002. If these transactions took place, the firm would be focused exclusively on the beverage alcohol industry. As Diageo's business was restructured, it was an opportune ... The largest was the Spirits and Wine business, which produced and marketed a portfolio of beverage alcohol such as scotch, vodka, gin, and tequila. Diageo's brands included Johnnie Walker, Smirnoff, J&B, Bailey's, Gordon's, Tanqueray, Cuervo, and Malibu. This division was not only the biggest (with revenues of ВЈ5 billion and the leading market share in the U.S. and U.K. markets) but also the fastest growing of Diageo's businesses, with sales growth of 8% for the year. More than 70% of sales and sales growth came from the Europe and North America markets. This segment enjoyed the largest profit margins of all of the segments, with 15% operating margins and growth in total operating profits of 15%. The high levels of operating profits reflected Diageo's strategy of concentrating on premium brands and pricing. (Exhibits 1 and 2 contain historical financial information for Diageo and its business segments.) Diageo's second largest division was Guinness Brewing, which produced and sold beer to markets around the world. This segment, while substantially smaller in sales than the Spirits and Wine Division, was a close second to it in terms of operating profit growth rate. Due to the similarity in the products and distribution channels for these two businesses, Diageo was

Sometime a company may decide to buy shares in another company while other times a company may decide to acquire the whole company. Introduction to Dow Chemical and DuPont Dow Chemical was founded in 1897 and became incorporated in 1947. DuPont is one of Dow 's major competitors worldwide and is the second largest chemical company in the United States [E I du Pont, 2015] and [Investor Relations, 2015]. DuPont has been facing several challenges over the past year. A recent Wall Street Journal article outlines the challenges DuPont is dealing with as a decline in sales and disagreements amongst shareholders. DuPont has seen their sales growth decline to a negative 2.87% and their cost of goods sold growth decline to a negative 16.65% [DuPont Financial, 2015]. • 4. Dow Corning Case Study : Dow Corning When Their CRM Went... This case study is telling some key factors that helped the company, Dow Corning when their CRM went mobile. Mobile CRM increases sales productivity and improves relationships with customers (O'Brien, 2011). Chip Reeves is the current director of marketing and sales processes but he used to be a salesman. Chip Reeves had an advantage when selecting how to make the functions of the CRM mobile device more likable and enjoyable for salesman being that he used to be a salesman. Chip Reeves knows the information most salesmen want to get to quick and he knows the importance of keeping the mobile device productive for them when working in the field with customers. Many companies and CIOs are struggling to determine exactly how best to mobilize critical applications that can bring measurable payback to the company but also limit the disruption to and administrative headaches in their users' lives (O'Brien, 2011). Would Retained earnings at the end of fiscal year 2013 under their existing accounting policy for inventories be higher than, lower than, or the same as what it would have been had they used FIFO as a cost flow assumption for all of their inventories? If different, by how much? Explain. Same as RE if they used FIFO. Consequently, capacity additions or reductions could significantly affect balance of supply and demand, influencing capacity utilization rates, prices, and profit margins. Ethylene profitability was tightly linked to its global operating rate. Among the investors in the ethylene business were oil companies, governments, pure chemical companies, conglomerates, private investors, and joint ventures. According to UBS Warburg plc, financial return objectives ranged from loss leader to zero return to beating the cost of capital. The loss leader or zero–return player was often a government operator that was, directly or indirectly, financing capital–intensive ethylene plants in order to stimulate downstream business. What if the construction of the corporation was a horrendous location for the plant to operate? Before the matter of what happened is approached, it is important to understand the decline of the factory. According to a site entitled "The Bhopal Medical Appeal", it was recorded that the manufacturing of the factory was unregulated even from the beginning. For instance, the company's downfall was due to a failed achievement of profiting off of Indian farmers. With the farmers being poor and suffering through a lack of water, Union Carbide's dream of hitting big withered away slowly. It was not until the 1980s when Union Carbide decided to ultimately shut down production at the factory3. Although the company abandoned the plant, Union Carbide decided that the factory was safe enough to vacate. To add, Union Carbide heavily trusted the safety mechanism installed for the purpose of there ever being a chemical leak. The corporation felt no threat towards a potential failure of the equipment. However, three tanks full of Methyl Isocyanate remained untouched as well as a removed flare tower. Also, a shut–off safety contraption lingered inoperable containing a scrubber, a refrigerator, and a water curtain3. The Integrative Model Of Organizational Behavior Organizational commitment is one of the two individual outcomes derived from individual mechanisms like job satisfaction, stress, motivation, trust, justice, ethics, and learning and decision making. These mechanisms and outcomes can be found on the integrative model of organizational behavior (OB). Colquitt, LePine, and Wesson defined organizational commitment in their Organizational Behavior 5th Edition book as the desire of an employee to remain a member of the organization (p 64). Being committed to an organization and going through different commitment stages is something that I personally experienced at my job. For the past four years, I have been working at Dow AgroSciences LLC legal department. I started there as a high school Co–Op and continued an employment with this company throughout college up to present time. Reviewing types of commitment, I can tell that I experienced all three of them through different stages of my career at Dow. During my first two years, I definitely felt an emotion–based affective commitment, which defined as the desire to stay with the company due to an emotional attachment to the organization and its employees. With this commitment, employees stay because they want to (65). I was hired with two of my friends from high school, so be able to work with them and building closer relationships was a big emotion–based factor. Other factors that made me want to stay there was the professional atmosphere, flexible work hours, friendly coworkers, goal–driven job duties, and supportive supervisor. Having co–workers that thank me for everything I do, motivates me to do my best at all tasks and built a desire in me to exceed others' expectations through my performance. In the past two years, my commitment type slightly shifted to the continuance and normative commitment. Because two of my friends left Dow and ratio of tasks challenge and my educational growth has not been balanced, I do not feel as motivated and interested in the work as I was in the beginning of my career. Acquisition of Union Carbide The Bhopal Disaster of 1984 was the worst industrial disaster in the history of the world. It was caused by the accidental release of methyl isocyanate (MIC) from a Union Carbide India, Limited (UCIL) pesticide plant located in the heart of the city of Bhopal. UCIL was a joint venture between Union Carbide and a public/private consortium of Indian investors. The MIC leak killed thousands outright and injured anywhere from 150,000 to 600,000 others, at least 15,000 of whom died later from their injuries. The contamination due to the leak is still active and no cleanup has been done till now. Despite the involvement of Union Carbide in a criminal case in India, location of the plant in the heart of the city and the disaster site still not cleaned up, Dow bought Union Carbide in 2001. The transfer of ownership led to complicating the issue of cleaning up the plant and its environs of hundreds of tonnes of toxic waste, which has been left untouched. Case Study Of Bhopal Gas Tragedy HAZARDOUS CHEMICAL PROJECT December 2nd of 1984 marked the eve of one of the world's most extensive and deadliest industrial disasters, known now, thirty years later, as 'The Bhopal Gas Tragedy' or 'The Bhopal Disaster', among others. Essentially: between twenty–seven and forty tons of methyl isocyanate gas and other assorted chemicals leaked from a tank at a plant owned by Union Carbide India Limited (UCIL), the Indian subsidiary of the American company Union Carbide Corporation (UCC), itself a subsidiary of the Dow Chemical Company (Eckerman). This catastrophic failure followed the introduction of water into an MIC storage tank, which caused an explosive chain reaction (Dhara). The plant's placement (near a densely populated area) was noted as hazardous years before the tragedy, but UCC insisted on the location. The planning board's motivation for their insistence was primarily that it was cheaper to build using a pre–existing plant in the non–ideal location as a basis rather than building an entirely new plant in the more thinly populated area the Bhopal government had designated for hazardous industry (Eckerman). Had the plant been built in a more sparsely populated area, casualties and damage from the gas leak might have been drastically reduced. The tragedy might have been completely averted had UCC opted to use the more expensive production process (obviating the need for MIC) instead of the cheaper, more dangerous process (as discussed above). More economies were taken with the safety and security systems (Eckerman), which, properly installed and maintained, might have kept the tragedy from happening or lessened its effects; although the company maintained at first that the Bhopal plant was equipped as well as were its plants in other countries, UCC later admitted that the safety equipment in the plant was subpar ... Also to blame, in many instances, are the design of the highway, the condition of the weather, the maintenance of the vehicle, the time of the day (many severe accidents occur at dusk, with poor lighting and tired drivers), and the presence of radar detectors. A study by the Ohio State Police found that radar detectors were present in at least one of the vehicles involved in 69% of all severe traffic accidents on the highways of that state in 2005. Studies in other states have confirmed that finding, with some estimates of the relationship running as high as 75%. The use of radar detectors is illegal in many if not most states, but neither the manufacturing nor the marketing of the units has ever been banned by the federal government which, of course, is the sole authority which could regulate their interstate trade. Thus, if one completely removes the revenue synergies, as these are typically the most difficult to achieve in comparison to cost synergies, the implied share prices fall right near the $78 bid price, which makes it a reasonable bid. Furthermore, Dow had a potential cash inflow of over $7 billion in cash from the JV agreement, a $4 billion financing option of 8.5% convertible preferred equity and $13 billion in bridge loans. Value of the Growth Synergies Growth Synergies are estimated to be between $2B and $2.6B based on expanded market porfolios, increased geographic reach and innovative technologies. We assume that these Growth Synergies would also take two years to completely recognize. The equity value per Rohm and Haas share is stated in the table below to view the difference between $2B and $2.6B: Sensitivity Analysis $ 2,000 $ 2,300 $ 2,600 Syn/Share $ 5.90 $ 6.75 $ 7.67

  • 46. Roller Coasters Good Or Bad Roller coasters are the bomb. Would people still enjoy amusement parks if they knew the danger of them? Roller coasters cause deaths and severe injuries. In one year, there's 350 injuries on roller coasters. It's like an injury a day! Now, it's much rarer, because the technology is safer, but there's always a slight risk. • 47. Bhopal Gas Tragedy Bhopal Gas Tragedy – Who is responsible? It was a normal day in Bhopal – the heart of India. Fathers coming back from work, mothers cooking dinner for the family, some kids studying and most playing out in the gallis (small streets in India). After dinner they all go into their world of dreams. Kids dreaming of their games the next day, pregnant ladies dreaming of the fast approaching days when their babies would be born into this world, worker fathers dreaming of saving more money for their kids' secure futures. For a lot many who escaped death met with an even more pathetic future when they were crippled for life – some went blind, some had major skin and lung diseases and many had genetic deformation. And that's not even the worst. Even thirty years after the incident, people are still facing the consequences of the gas leak. Many babies born suffer from genetic disorders if at all they are not still born. God knows up to what generation this is going to continue. It was around 1 am on the 3rd of December, 1986 that the world's worst industrial disaster took place – now popularly known as the Bhopal Gas Tragedy – which "officially" killed more than 4,000 people and injured more than 500,000 ...
