- SEC is the national government regulatory agency tasked with supervising
the corporate sector in the Philippines
- Mandated to formulate policies and recommendations on issues concerning
the securities market
- Aims to protect municipal agencies and investors by promoting fair and
transparent practices
- Oversees the involvement and operations of organizations and individual
investors
- Approve, reject, suspend, revoke or require amendments to registration
statements, and registration and licensing applications
4. Brief History
About SEC
SEC was created by the Congress
of the Philippines in 1936 as part of
the Securities Act (Commonwealth
Act No. 83).
The first commissioner of SEC was
Ricardo Nepomuceno.
The SEC was not in operation
during the Japanese occupation of
the Philippines, but was restored in
1947.
Chairperson Emilio Benito Aquino
is the first CPA- Lawyer appointed
as Chairperson and CEO of the
SEC.
5. How to Register
to SEC?
Primary Registrations
• All applications and supporting documents must be in four (4) copies and in A4 size bond paper with a cover sheets.
• Documents signed abroad must be authenticated by the Philippine Embassy or Consulate in the country where signed.
• Audited Financial Statements and Special Audit Reports must be certified by an independent Certified Public Accountant (CPA), with Statement
of Representation filed with the SEC. Said statement must indicate the CPA Cert. No., PRC/BOA No. and the PTR No. of the CPA and SEC
accreditation of External Auditor if applicable.
• All applications must indicate the Tax Identification Number (TIN) of the incorporators, directors/trustees, stockholders/members for
corporations, and partners for partnerships.
• Foreign investors are allowed to indicate passport number in lieu of TIN for registration of a corporation/partnership.

6. CHAIRMAN EMILIO B. AQUINO
Officials and
Offices
Emilio Benito Aquino is the first CPA-Lawyer
appointed as Chairperson and CEO of the
Securities and Exchange Commission (SEC). He
will serve for a term of seven years. He
assumed office last June 7, 2018. He was earlier
appointed as SEC Commissioner on December
2, 2016.
COMMISSIONER EPHYRO LUIS B.
AMATONG
Ephyro Luis B. Amatong was appointed commissioner of the Securities and Exchange
Commission (SEC) by President Benigno S. Aquino III on April 23, 2014 and took his
oath of office on May 13, 2014.Before joining the SEC, Mr. Amatong was an Assistant
Secretary of the Department of Finance (DOF) where he had an active role in a
number of privatization projects, including the privatization of 74 hectares of the
Food Terminal, Inc. (P24 billion).
7. COMMISSIONER JAVEY PAUL D. FRANCISCO
Javey Paul Durban Francisco is a
career public servant who has been
with the SEC for the last 17 years. He
rose from the ranks starting out as a
Securities Counsel II in 2001,
promoted to Securities Counsel III in
2003, then Officer-in-charge in 2005.
Prior to his appointment as
Commissioner by President Rodrigo
Roa Duterte on April 18, 2018, he was
the SEC’s Director for its Davao
Extension Office, a position he has
held since 2007. Said Office has
jurisdiction over SEC operations in
Regions XI, XII and some parts of the
Autonomous Region in Muslim
Mindanao.
COMMISSIONER KELVIN LESTER K. LEE
Kelvin Lester K. Lee, a lawyer, was appointed Securities and Exchange Commission(SEC)
Commissioner by President Rodrigo Roa Duterte on 25 January 2019. Prior to joining the
Commission, Atty. Lee was an Assistant Secretary in the Office of the Executive Secretary
(OES), Office of the President (OP), where he handled special concerns of the Executive
Secretary, Government Owned and Controlled Corporations(GOCCs) and various
agencies/instrumentalities under OP. In late 2018, in addition to his functions as Assistant
Secretary, he was also designated as the Head of the Strategic Action and Response
Office (STAR). As Head of STAR, Atty. Lee was responsible for its constituent offices,
namely, the Presidential Complaint Center(PCC) and the 8888 Citizen’s Complaint Center.

11. Online Activities
SEC Company Registration System
The Company Registration System (CRS) is the full automation and online pre-processing of corporations and
partnerships, licensing of foreign corporations, amendments of the articles of incorporation and other corporate
applications requiring SEC approval.
Interim Registration System
This interim registration system will be available to facilitate application for registration of One Person Corporation
and corporations with 2-4 incorporators. The system will allow an applicant or its duly appointed representative to
submit the proposed company name and input details of the articles of incorporation for review of the Commission.
SEC Payment Portal
The SEC Payment Portal is a web-based system that allows for the payment of registration and other transaction
fees, as well as penalties, online and using debit and credit cards, digital wallets and other cashless payment
options.
12. The New SEC Logo
Principal Elements of the Logo
Hexagon – The shape depicts the SEC’s core values. It also suggests balance, cohesion and
communication.
Three Rising Buildings – The bars represent the corporations, the SEC, and the investors. The image of
these buildings connotes the SEC’s contribution to national economic development through its three
critical roles, viz: corporate registrar, corporate regulator, and champion of investor protection.
Diamond – Each side of the diamond corresponds to the people who make up the agency working
together towards the achievement of its mission and its vision, viz: the leadership, the management, the
technical specialists, and the support staff.
13. Subliminal Elements of the Logo
Shield – The logo is reminiscent of a shield symbolizing the protection that the SEC provides to investors.
Gold Bars – The two bars on both sides are shaped as gold bars denoting wealth and prosperity, which
are important facets of the market it encompasses.
Philippine Flag – The three shades of the logo take their cue from the color pattern of the Philippine flag
– to pay homage to the Republic that the agency serves.
Color
The SEC’s official color is green, which signifies life, growth and harmony. It also denotes money
and finances.
Registration in the National Historical Commission of the Philippines
The logo is duly registered in the National Historical Commission of the Philippines signed in April
2016 by its Chair, Hon. Maria Serena I. Diokno, and by the Deputy Executive Secretary of the Office of
the President, Hon. Michael P. Ong.
14. Plans and Programs
The SEC SuperVision 2019 - 2025 is a manifestation of what the management intends to do and
achieve in the next seven years as it embarks on a journey towards quality and performance
excellence. It is crafted not only to serve as a guide for the organization but as well as to
communicate clearly its goals and objectives within the given timeframe. This was produced through
a series of activities that internally and externally assessed its environment; revisited the mission,
vision and core values; crafted the strategy map and scorecard; and, identified possible programs and
projects. Rapid environment scanning workshop was also conducted to provide opportunity for
officers to assess the previous years’ organizational performance and suggest new critical programs
and projects. Clean - up and consultative sessions were facilitated to further refine the initial outputs of the
strategic planning training.
