Yum! Brands (USA) To Acquire The Habit Restaurants, Inc.
Yum! Brands, Inc. and The Habit Restaurants, Inc. announced that they
have entered into a definitive agreement pursuant to which Yum! Brands
will acquire all of the issued and outstanding common shares of The Habit
Burger Grill for $14 per share in cash or a total of approximately $375
million. The board of directors of The Habit Burger Grill, acting on the
recommendation of a special committee composed of non-executive
independent directors, has unanimously approved the transaction. The
acquisition of The Habit Burger Grill will add an award-winning
fast-casual concept with a loyal fan-base to Yum! Brands, the world’s
largest restaurant company in terms of units and parent of the KFC, Pizza
Hut and Taco Bell global brands. Founded in California in 1969, The
Habit Burger Grill offers a flavor-forward variety of made-to-order items
uniquely chargrilled over an open flame. Fan favorites include
charburgers, hand-filleted and marinated chargrilled chicken sandwiches,
sushi-grade chargrilled ahi tuna sandwiches, fresh salads, craveable sides
and handmade frozen treats. The Habit Burger Grill, named Best Regional
Fast Food in USA Today’s 2019 Best Readers’ Choice Awards, operates
nearly 300 company-owned and franchised restaurants across the U.S. and
in China.

Caesars Entertainment (USA) And Vici Properties Inc. Announce Sale Of
Harrah’s Reno To Cai Investments

Caesars Entertainment Corporation and VICI Properties Inc. announced they have signed an agreement to sell
Harrah’s Reno Hotel and Casino to an affiliate of CAI Investments (the “Buyer”) for $50 million. The proceeds
of the transaction shall be split 75% to VICI and 25% to Caesars, while the annual rent payments under the
Non-CPLV Master Lease between Caesars and VICI will remain unchanged. Under the terms of the agreement,
Caesars will continue to operate the property upon closing of the transaction pursuant to a short-term lease with
the Buyer, which will allow Caesars to cease operations at the property during the second half of 2020. At the
end of the term, Caesars will deliver the property to the Buyer to be redeveloped into a non-gaming hotel and
mixed-use development. The agreement allows for Caesars to retain its guest data and places no restrictions on
Caesars’ marketing activities. Reno will continue to be part of the Caesars Rewards network during the term of
the short-term lease with Buyer.

Department of Paediatrics and Adolescent Medicine, Li Ka Shing Faculty of Medicine, The University of Hong Kong. The
programme aims to provide comprehensive dental care services for underprivileged young children, especially the
pre-primary students who are not covered by the current School Dental Care Service administered by the Department of
Health. Sponsored by Great Eagle Group, “Oral Health Services for Preschool Children” will provide dental care services
for 500 preschool children in Hong Kong this year. The services cover a wide range of areas, including oral health
education, oral examination, dental scaling, preventive dental treatment (e.g. topical fluoride applications, pit, fissure
sealants, etc.), dental fillings, simple dental extractions, also timely referral of complicated cases to specialist care. Early
childhood is a critical period of development. However, the School Dental Care Service currently provided by the
Department of Health does not cover children from this age group. Kindergarten students with dental problems have to visit
private dental clinic or wait until they become eligible for the public service. Therefore, children from underprivileged
families could not receive timely dental treatment, causing delayed treatment and worsening of dental problems.

Aramark, the leading U.S.-based food service provider, announced a partnership with Certify My Company, to assist
self-classified suppliers in obtaining third-party diversity certifications. The partnership furthers Aramark’s commitment to
increase overall spend with small and diverse suppliers to 25 percent by 2025. Aramark’s robust supply chain already
includes more than 6,000 small or diverse suppliers, about 18 percent of which are third-party certified as diverse. A diverse
business is generally defined as one that is 51 percent owned and controlled by women, ethnic minorities, veterans,
LGBTQ, or disabled person(s). By working with Certify My Company, which provides certification assistance to diverse
business owners by guiding and assisting them through the comprehensive process of becoming certified, Aramark will be
able to identify and engage with even more certified suppliers. In addition to partnering with Certify My Company,
Aramark will sponsor Centers of Excellence (COE) programs through regional affiliates of the National Minority Supplier
Development Council like, the Eastern Minority Supplier Development Council (EMSDC), who certify and match
minority-owned businesses with local member corporations. The COE programs will promote supplier diversity best
practices, knowledge-sharing and procurement opportunities for minority businesses of all sizes, and will provide Aramark
team members, specifically those in Aramark’s Employee Resources Groups, with opportunities to mentor emerging
Minority Business Enterprises.

agreement announced today is the 306-room InterContinental Chiang Mai Mae Ping Hotel. As the world’s first international
luxury travel hotel brand, InterContinental Hotels & Resorts has been pioneering new international destinations for decades.
The brand sets itself apart by delivering world-class standards of sophistication through understated service and exceptional
amenities. It is famed for its devotion to the comfort and wellbeing of guests through personalised and attentive services.
IHG’s loyalty programme IHG® Rewards Club of more than 100 million enrolled members also provides access to a global
following of travellers. The hotel is expected to open in 2021 and will continue its extension with full operations in 2022,

Marriott International announced it has signed a contract with Grupo Elise to debut the company’s
millennial-focused Moxy Hotels brand in Mexico with a 120-room hotel. The property is slated to rise in stylish
Chapultepec with close proximity to the Roma Norte neighborhood, characterized by a contemporary art scene,
hipster culture and vibrant nightlife and Mexicos prestigious Paseo de La Reforma. Construction on the Moxy
Mexico City is expected to begin in late 2020, with the opening expected in 2022. The hotel is expected to feature
120 small yet cozy guest rooms with smart modular furniture and hi-tech touches, embracing today’s Millennial
traveler. The design is also set to include buzzing public spaces aimed to be the center of activity for guests
featuring an industrial chic look, bold programming with local flavor, and communal tables offering plenty of
opportunities to plug and play. Additionally, Grupo Elipse plans to feature a vibrant B&F program including its

Marriott International, Inc. announced that it has signed an agreement with Fibra Inn to bring the W Hotels
brand for the first time to Mexico’s Yucatan Peninsula. The property is expected to rise on an oceanfront site in
Playa del Carmen within walking distance to entertainment, upscale shopping and restaurants. When the
218-room hotel opens in 2023, it is expected to provide Playa del Carmen visitors an exciting, new lodging
option that embodies the W Hotels brand’s “work hard, play hard” philosophy. Fibra Inn’s plan calls for
multiple food and beverage venues both indoors and out; a signature WET Deck (pool deck); AWAY® Spa;
FIT ® Fitness Centre, as well as a beach club and rooftop bar. For corporate and social events, the property is
also slated to feature 500-square-metres of meetings and events space.

The Las Vegas Convention and Visitors Authority (LVCVA) has partnered with MGM Resorts International and WeChat at Tencent to produce a
video campaign commemorating the launch of Las Vegas’ mini program, Meet Vegas, which is the core part of a joint activation to welcome Chinese
travelers to Las Vegas. The announcement is the latest in a series of collaborations between the LVCVA and Tencent, owner of China’s largest social
media platform, WeChat. Meet Vegas is designed by LVCVA as a customized mini program platform, or applet within the WeChat ecosystem that
provides personalized information and services for Chinese visitors coming to Las Vegas, in partnership with WeMeet. Meet Vegas is a valuable
resource providing additional information from tipping and discounts to details on attractions, local restaurants, and online live translation features.
The platform Meet Vegas will also link many Las Vegas local businesses together, including MGM Resorts International, McCarran International
Airport in Las Vegas, Caesars Entertainment, Simon Property Group, among others. The special effects video campaign used to commemorate the
launch of Meet Vegas uses a technology-driven video with special lighting and visual effects projected on the world-famous Fountains of Bellagio.
The stunning display depicts highlights of the destination and local partners’ innovation on WeChat. The campaign will run on Las Vegas and MGM
Resort International’s WeChat platforms, and within the WeChat ecosystem. It will also be echoed in China in January across various channels to
promote Las Vegas as a “Smart Event, Smart Travel” city. In advance of China’s biggest holiday, Chinese New Year (Spring Festival), Las Vegas’

Yum! China Holdings Co., Ltd. announced recently that following the March announcement on Investor Day with Sinopec Sales Co.,
Ltd. and has reached the strategic cooperation, the first batch of gas station channel franchise restaurants of the two parties will open to
welcome guests this month. PetroChina Kunlun Hospitality and Yum! China's first KFC franchise restaurant, Kunming Xifu Road
Restaurant, opened on December 17. At the same time, Sinopec Sales and Yum China's first KFC franchise restaurant will also be
grandly opened at Tianyuan Gas Station in Dalian, Liaoning Province on the 23rd of this month. In the future, Yum! China will
gradually open more gas stations to join restaurants as planned. The strategic cooperation between Yum! China and the two major oil
companies will greatly enhance the development of Yum! China's distribution of stores in gas stations and highway service areas across
the country. At present, Sinopec has more than 30,000 gas stations in China, and PetroChina has more than 20,000 gas stations
nationwide. Sinopec Sales and PetroChina Kunlun Hospitality are wholly-owned subsidiaries of Sinopec and PetroChina, respectively.
Its business scope covers the gas station non-oil products business of the parent company and its affiliates. Through the dual-track
model of leasing and joining, Yum China plans to open 100 stores in gas station channels within three years.

Whitbread Plc has successfully won planning permission on appeal for a 294-bedroom hub by Premier Inn hotel in Marylebone
in central London. The appeal allows Whitbread to comprehensively redevelop a former office building at 191 Old Marylebone
Road into a new thirteen storey hotel. The planning appeal focused on the location of the hotel’s servicing bay. Whitbread
successfully argued that the servicing bay should be located on Harcourt Street, a street adjacent to 191 Old Marylebone Road,
rather than on Old Marylebone Road as was preferred by Westminster City Council. The granting of planning consent at Old
Marylebone Road adds to Whitbread’s growing pipeline of hub by Premier Inn hotels in central London. The business operates
eight ‘compact’ hub by Premier Inn hotels in zones 1 and 2 with new openings scheduled at West Brompton and Soho in the
first half of 2020. Launched in 2015, hub by Premier Inn hotels offer compact bedrooms – approximately half the size of a
‘standard’ Premier Inn room – with a contemporary design style, a focus on technology and a relaxed ‘Lounge’ style food and
beverage (F&B) offering. Outside of central London, Whitbread operates three hub by Premier Inn hotels in Edinburgh.

Premier Inn is launching the UK’s first-ever ‘wake up-time’ story book for children. Inspiring children to start the day in the best way possible. The
UK’s largest hotel company – which helps millions of people get a great night’s sleep each year – is searching for young UK literary talent to help it
publish a children’s short story book packed with original tales. Part of the book will be dedicated to bedtime stories to help encourage a great night’s
sleep, while uniquely the other part will be dedicated to stories designed to be read in the morning – to inspire young people to get their day off to the
best possible start. The budget hotel chain is encouraging children and young people 15 and under to submit an original 500-word short story – either
round the theme of relaxation or inspiration. Young people are invited to let their imaginations run riot – and stories can be inspired from their own
real-life experiences or something from the depths of their imaginations. The hotel company will publish a diverse collection of tales, so stories
revolving around friendship, families, animals or even science fiction are all welcome, providing they slot into the themes above. Premier Inn experts
and an esteemed panel of judges will crown national prize-winners in two categories: under 10s and ages 11-15. In addition, there will be twelve
regional runners-up, celebrating the UK’s literary brilliance all the way from the South West to Scotland. To launch the nationwide competition in the
lead up to Christmas, children being cared for at Great Ormond Street Hospital (GOSH) were treated to story readings by Father Christmas and his
festive elves. Premier Inn is a longstanding supporter of Great Ormond Street Hospital Children’s Charity (GOSH Charity) and the winning stories
will be available for a donation, with all proceeds donated to GOSH.

Brands will acquire all of the issued and outstanding common shares of The Habit Burger Grill for $14 per share in cash or a total of approximately $375 million. The board of directors of The Habit Burger Grill, acting on the recommendation of a special committee composed of non-executive independent directors, has unanimously approved the transaction. The acquisition of The Habit Burger Grill will add an award-winning fast-casual concept with a loyal fan-base to Yum! Brands, the world’s largest restaurant company in terms of units and parent of the KFC, Pizza Hut and Taco Bell global brands. Founded in California in 1969, The Habit Burger Grill offers a flavor-forward variety of made-to-order items uniquely chargrilled over an open flame. Fan favorites include charburgers, hand-filleted and marinated chargrilled chicken sandwiches, sushi-grade chargrilled ahi tuna sandwiches, fresh salads, craveable sides and handmade frozen treats. Announce Sale Of Harrah’s Reno To Cai Investments For any queries, Please write to marketing@itshades.com 2 Caesars Entertainment Corporation and VICI Properties Inc. announced they have signed an agreement to sell Harrah’s Reno Hotel and Casino to an affiliate of CAI Investments (the “Buyer”) for $50 million. The proceeds of the transaction shall be split 75% to VICI and 25% to Caesars, while the annual rent payments under the Non-CPLV Master Lease between Caesars and VICI will remain unchanged. Under the terms of the agreement, Caesars will continue to operate the property upon closing of the transaction pursuant to a short-term lease with the Buyer, which will allow Caesars to cease operations at the property during the second half of 2020. At the end of the term, Caesars will deliver the property to the Buyer to be redeveloped into a non-gaming hotel and mixed-use development. The agreement allows for Caesars to retain its guest data and places no restrictions on Caesars’ marketing activities.
