FIXED TERM EMPLOYMENT CONTRACT
Dear SURYANARAYANAN R S
We are pleased to offer you employment at IKYA Human Capital Solutions for a fixed period of
employment as per the following terms:
DEPUTATION:
You will be deputed at our work site of client site under this Contract. The terms of employment is
exclusively with IKYA, the employee shall never be deemed to be the employee of the client, where you
have been deputed under this Contract.
TENURE:
This contract will serve as a written notice of termination. In ordinary course, the duration of the
Temporary employment contract shall be for a period of 1 months from OCT 06, 2016 till OCT 31, 2016
This temporary appointment will automatically come to an end on above DATE or extended date as the
case may without notice or reason or payment in lieu of notice. You shall at no point of time stake any
claim or right to claim employment, damage, loss or compensation of any sort whatsoever either against
us or any of our Clients where your deputation was.
COTERMINOUS:
Notwithstanding the Tenure of this Contract, in the event of the project / work / deputation for which
you are being employed terminates before your Contract end period, this Contract shall be coterminous
with the project / work. During the period of contract, either of the parties may terminate the Contract
by giving 15 days prior notice in writing or payment in lieu thereof. However due to breach of code of
conduct, misbehavior or indiscipline etc, then in such cases, IKYA will have / reserve rights to terminate
immediately without giving notice period.
LOCATION:
Presently you are posted at our client site at SALEM. Your services are liable to be transferred without
any additional benefit or facilities from one establishment of our client to another client. This purely
dependent on the availability of project or opportunity.

You are appointed as SORT CENTRE ASSOCIATE.
REMUNERATION:
The details of your salary break up with components are as per the enclosure attached herewith.
Additionally, upon successful completion of the tenure with over 95% attendance, you would be eligible
for 10 days of gross pay at the end of contract.
EXTENSION:
The contract may be extended further for such a period and on such terms and conditions as may be
deemed fit and proper by both the parties.
WORKING HOURS:
Hours of work will vary from week to week. You will be notified of the same through posting of
schedules.
You may be required to work on any of the shifts on rotation or need basis & you may have to even
work overtime as per company?s requirements. OT amount will be paid as per norms
TERMINATION & SUSPENSION:
At any time, if the company receives any complaints of Misbehavior, Theft, Irregularity to work or other
kind of activities that may lead to disruption of operations, the company will terminate your contract
within a day.
Upon termination of employment with client, and regardless of the reason for such termination, you will
promptly return to, or leave with client all documents, records, notebooks, magnetic tapes, disks or
other materials, including all copies, in his or her possession or control which contain Confidential
Information of client or any other information concerning client, its products, services or clients,
whether prepared by yourself or others
INDEMNITY & CONFIDENTIALITY:
You acknowledge that the Confidential Information of Client is a special, valuable, and unique asset of
the client, and you agree at all times during the period of your employment, and at all times after
termination of such employment, not to disclose for any purpose and to keep in strict confidence and
trust all of such Confidential Information. You agree during and after the period of such employment not
to use, directly or indirectly, any Confidential Information other than in the course of performing duties
as an employee of client, nor will you directly or indirectly disclose any Confidential Information or
anything relating to it to any person or entity except, with client?s consent, as may be necessary by
client policies and rules established from time to time by the client for the protection of its Confidential
Information.

CODE OF CONDUCT:
You shall not engage in any act subversive of discipline in the course of your duty/ies for the Client
either within the Client's organization or outside it, and if you were at any time found indulging in such
act/s, the Company shall reserve the right to initiate disciplinary action as is deemed fit against you.
You are expected to work according to your best ability and meet the performance targets. Continuous
under-performance can lead to termination.
HOLIDAYS:
You will be entitled to paid holidays in a year as notified by the company from time to time. You are
eligible for leaves in accordance to the leave policy of IKYA. Application for availing leaves shall be given
at least 7 days in advance.
ADDRESS FOR COMMUNICATION:
The address of communication for the purpose of service of notice and other official communication to
the company shall be the registered address of the company. The address of communication and service
of notice and other official communication is the address set out as above and your present residential
address namely. In the event there is a change in your address, you shall inform the same in writing to
the Management and that shall be the address last furnished by you, shall be deemed to be sufficient
for communication and shall be deemed to be effective on you.
BACKGROUND VERIFICATION:
The company reserves the right to have your back ground verified directly or through an outside agency.
If on such verification it is found that you have furnished wrong information or concealed any material
information your services are liable to be terminated.
ABSENTEEISM:
In case of continuous absenteeism for 3 or more days at one stretch or for 5 or more days on 3
occasions without intimation, the management reserves the right to take disciplinary action, including
termination of contract.Upon successful completion of tenure with over 95% attendance, you would be
eligible for 10 days of gross pay as completion bonus at the end of your Contract. However, in case the
Contract period is extended on mutual consent, beyond the stipulated period, this amount will be paid
out only on completion of the revised contract end date.
RULES AND REGULATIONS:
You shall be bound by the Rules & Regulations framed by the company from time to time in relation to
conduct, discipline and other service conditions which will be deemed as Rules, Regulation and order
and shall form part and parcel of this letter of appointment.

You agree that during the period of your employment, you will not, without the management or client?s
prior written approval, directly or indirectly engage in any outside employment activity relating to any
line of business in which client is engaged, or which would otherwise conflict with or adversely affect in
any way the performance of your employment obligations to client.
OTHER TERMS OF CONTRACT:
In addition to the terms of appointment mentioned above, you are also governed by the standard
employment rules of IKYA (as per Associate Manual). The combined rules and procedures as contained
in this letter will constitute the standard employment rules and you are required to read both of them in
conjunction.
JURISDICTION:
Notwithstanding the place of working or placement or the normal or usual residence of the employee
concerned or the place where this instrument is signed or executed this Contract shall only subject to
the jurisdiction of the High Court of Judicature of Karnataka at Bangalore and its subordinate Courts.
DEEMED CANCELLATION OF CONTRACT:
The Contract stands cancelled and revoked if you do not report to duty within 3 days from the date of
joining & your act will be construed as deemed and implied rejection of the offer of employment from
your side; hence no obligation would arise on the part of the company in lieu of such Employment
Contract issued.
You shall report to work on Oct 06 2016 at the clients place.

PAN NOT SUBMITTED
It is observed that you have not submitted your PAN and the copy is not available in our records. We request you to go
through this instruction carefully on the consequence of non-submission of PAN.
A new provision relating to tax deduction at source (TDS) under the Income Tax Act 1961 became applicable with effect
from 1st April 2010. Tax at higher of the prescribed rate or 20% will be deducted on all transactions liable to TDS, where
the Permanent Account Number (PAN) of the deductee is not available.
"206AA. Requirement to furnish Permanent Account Number.--(1) Notwithstanding anything contained in any
other provisions of this Act, any person entitled to receive any sum or income or amount, on which tax is
deductible under Chapter XVIIB (hereafter referred to as deductee) shall furnish his Permanent Account Number
to the person responsible for deducting such tax (hereafter referred to as deductor), failing which tax shall be
deducted at the higher of the following rates, namely:--
i) at the rate specified in the relevant provision of this Act; or
ii) at the rate or rates in force; or
iii) at the rate of twenty percent.
(2) No declaration under sub-section (1) or sub-section (1A) or sub-section (1C) of section 197A shall be valid
unless the person furnishes his Permanent Account Number in such declaration.
(3) In case any declaration becomes invalid under sub-section (2), the deductor shall deduct the tax at source in
accordance with the provisions of sub-section (1).
(4) No certificate under section 197 shall be granted unless the application made under that section contains the
Permanent Account Number of the applicant.
(5) The deductee shall furnish his Permanent Account Number to the deductor and both shall indicate the same in
all the correspondence, bills, vouchers and other documents which are sent to each other.
(6) Where the Permanent Account Number provided to the deductor is invalid or does not belong to the deductee,
it shall be deemed that the deductee has not furnished his Permanent Account Number to the deductor and the
provisions of sub-section (1) shall apply accordingly.".

The procedure for obtaining PAN is simple, inexpensive and quick. Application for PAN can be filed in Form 49A to
National Securities Depository Ltd. (NSDL) or Unit Trust of India Investor Services Ltd. (UTIISL) or their intermediaries.

REMUNERATION: The details of your salary break up with components are as per the enclosure attached herewith. Additionally, upon successful completion of the tenure with over 95% attendance, you would be eligible for 10 days of gross pay at the end of contract. EXTENSION: The contract may be extended further for such a period and on such terms and conditions as may be deemed fit and proper by both the parties. WORKING HOURS: Hours of work will vary from week to week. You will be notified of the same through posting of schedules. You are expected to work according to your best ability and meet the performance targets. Continuous under-performance can lead to termination. HOLIDAYS: You will be entitled to paid holidays in a year as notified by the company from time to time. You are eligible for leaves in accordance to the leave policy of IKYA. Application for availing leaves shall be given at least 7 days in advance. ADDRESS FOR COMMUNICATION: The address of communication for the purpose of service of notice and other official communication to the company shall be the registered address of the company. The address of communication and service of notice and other official communication is the address set out as above and your present residential address namely. In the event there is a change in your address, you shall inform the same in writing to the Management and that shall be the address last furnished by you, shall be deemed to be sufficient for communication and shall be deemed to be effective on you. BACKGROUND VERIFICATION: The company reserves the right to have your back ground verified directly or through an outside agency. If on such verification it is found that you have furnished wrong information or concealed any material information your services are liable to be terminated. ABSENTEEISM: In case of continuous absenteeism for 3 or more days at one stretch or for 5 or more days on 3 occasions without intimation, the management reserves the right to take disciplinary action, including termination of contract.Upon successful completion of tenure with over 95% attendance, you would be eligible for 10 days of gross pay as completion bonus at the end of your Contract. However, in case the Contract period is extended on mutual consent, beyond the stipulated period, this amount will be paid out only on completion of the revised contract end date. RULES AND REGULATIONS: You shall be bound by the Rules & Regulations framed by the company from time to time in relation to conduct, discipline and other service conditions which will be deemed as Rules, Regulation and order and shall form part and parcel of this letter of appointment.

OTHER TERMS OF CONTRACT: In addition to the terms of appointment mentioned above, you are also governed by the standard employment rules of IKYA (as per Associate Manual). The combined rules and procedures as contained in this letter will constitute the standard employment rules and you are required to read both of them in conjunction. JURISDICTION: Notwithstanding the place of working or placement or the normal or usual residence of the employee concerned or the place where this instrument is signed or executed this Contract shall only subject to the jurisdiction of the High Court of Judicature of Karnataka at Bangalore and its subordinate Courts. DEEMED CANCELLATION OF CONTRACT: The Contract stands cancelled and revoked if you do not report to duty within 3 days from the date of joining & your act will be construed as deemed and implied rejection of the offer of employment from your side; hence no obligation would arise on the part of the company in lieu of such Employment Contract issued. We request you to go through this instruction carefully on the consequence of non-submission of PAN. A new provision relating to tax deduction at source (TDS) under the Income Tax Act 1961 became applicable with effect from 1st April 2010. Tax at higher of the prescribed rate or 20% will be deducted on all transactions liable to TDS, where the Permanent Account Number (PAN) of the deductee is not available. "206AA. Requirement to furnish Permanent Account Number.--(1) Notwithstanding anything contained in any other provisions of this Act, any person entitled to receive any sum or income or amount, on which tax is deductible under Chapter XVIIB (hereafter referred to as deductee) shall furnish his Permanent Account Number to the person responsible for deducting such tax (hereafter referred to as deductor), failing which tax shall be deducted at the higher of the following rates, namely:-- i) at the rate specified in the relevant provision of this Act; or ii) at the rate or rates in force; or iii) at the rate of twenty percent. (3) In case any declaration becomes invalid under sub-section (2), the deductor shall deduct the tax at source in accordance with the provisions of sub-section (1). (4) No certificate under section 197 shall be granted unless the application made under that section contains the Permanent Account Number of the applicant. (5) The deductee shall furnish his Permanent Account Number to the deductor and both shall indicate the same in all the correspondence, bills, vouchers and other documents which are sent to each other. (6) Where the Permanent Account Number provided to the deductor is invalid or does not belong to the deductee, it shall be deemed that the deductee has not furnished his Permanent Account Number to the deductor and the provisions of sub-section (1) shall apply accordingly.".
