This refers to your application and interview with us. We are pleased to make you an offer in our company located
at C-Lite Building, BVBCET Campus, Vidyanagar, Hubli. This contract will confirm our understanding of the terms
and conditions applying to your employment from date of your joining Nabros Labs.

Compensation and Benefits:
   1. You will be paid Rs _____ per month which will be divided into

                      c. Special Allowance- Unutilized FBP will be paid as taxable special allowance at the end of

   2. Retention Bonus: You can avail the retention bonus after completing your probation period and becoming
      a permanent employee which will be paid in coming quarters.
   3. Performance Bonus: You will be eligible for Performance Bonus at the discretion of management, based
      on satisfactory performance appraisal. The detailed information will be available for reference with the
      HR Department.
   4. Salary Review: The salary is reviewed after six months.
   5. Retirement Benefits: We currently do not have Provident Fund or PF deductions.

Taxation and Other Deductions
Nabros shall withhold the appropriate amount of Indian income taxes from the salary paid to you. You shall be
responsible for filing your personal returns and for complying with other requirements under the India tax laws.
Nabros shall also be entitled to deduct any other sum as may be recoverable from you.

Probation
You will serve a probationary period of six months. During the period of probation the contract may be terminated
by either party by giving one month’s notice in writing or payment of salary in lieu thereof. On satisfactory
completion of your probation your services will be confirmed by the management in writing. The Company
reserves the right to extend the probationary period in the event that your performance is not up to expectation.

Hours of work
Nabros practices 7:45 hours per day for all staff and management employees. Actual work timings and shifts may
vary from time to time based on business and customer service requirements. You will be advised by your

supervisor or manager of the working hours, break period and weekly rest day(s) for you and your unit. You may
be required to work at any other time deemed necessary to coordinate with the other locations- national and/or
international. The lunch break for employees is 30 minutes which is in addition to the daily 7:45 hour per day work
requirement for that workday. Lunch breaks are unpaid time.

Leave
You will be entitled to leave in accordance with the Company’s rules currently in force and as amended from time
to time. Details of the same will be available for the reference with the HR department.

Transfer
During your employment with the company, the company may at any time, in its sole discretion, transfer or
depute you to any other department of the company or company new or existing subsidiaries, associate
companies, partners, sister companies etc. in India or to any location in the world depending on the exigencies of
business. In such event the terms and conditions governing your service shall those be applicable at the transfer or
those applicable to the employees of the subsidiary or affiliate as the case may be.

Termination
Either the Company or you may at any time terminate this agreement by giving in writing to the other party one
month’s notice during your probationary period or two months’ notice after confirmation or in lieu thereof a sum
equal to the amount or pro-rated amount of salary which would have been accrued to you during the period or
remaining period of notice.

Due to PERFORMANCE and policy non adherence issues, the company may terminate this agreement immediately
any time in the employment without any notice.

Company reserves the right not to relieve you of your services in the event that all Company documents / property
in your custody have not been properly handed over by you to an authorized representative. Absence for a
continuous period of eight days without prior approval of your superior, (including overstay of leave / training),
can lead to your services being terminated without notice or explanation.

Prior to your last working day at Nabros, you will be required to hand over all the company property in your
possession to your immediate supervisor and obtain necessary clearances. On production of such clearance alone
will your dues, if any, be settled by the company.

You shall, at all times, be required to carry out such duties and responsibilities as may be assigned to you by the
Company and shall faithfully and diligently perform these in compliance with established policies and procedures,
endeavoring to the best of your ability to protect and promote the interests of the Company.

You shall not, except with the written permission of the Company, engage directly or indirectly in any other
business, occupation or activity, whether as a principal, agent or otherwise, which will be detrimental, whether
directly or indirectly, to the Company’s interests.

You shall not disclose or divulge any confidential information related to the Company’s business or its customers
which may come to your knowledge or possession during the tenure of your employment, and which should not
be disclosed or made public save in the course of the proper execution of your duties.

You undertake not to make copies or duplicates of confidential or sensitive property or material including but not
limited to keys, access cards, diskettes, photographs or such other proprietary information relating to the
Company’s business.

You will be bound by the Code of Conduct and all other rules, regulations, policies and orders issued by the
Company from time to time in relation to your conduct, discipline and service condition such as leave, medical,
retirement, etc. as if these conduct rules, regulations, policies et al, were part of this contract of appointment.

General Provisions
You will keep us informed of any change in your residential address, your family status or any other personal
particulars relevant to your employment.

The terms of your employment contract detailed above are strictly confidential and should be treated as privileged
information between yourself and Nabros. You are expected to maintain such information appropriately.
Discussion of this contact with other employees and/or any third parties is strictly prohibited and can be grounds
for disciplinary action and/or dismissal. In case of any dispute, the jurisdiction to entertain and try such dispute
shall vest exclusively in a court of Bangalore/Hubli.
