Further to your application and the subsequent interview you had with us, we are pleased to offer you a position as discussed
on the following terms and conditions:
01. PLACE OFPOSTING:
Your initial place of posting will be at Nasik. However, during employment with the Company, the Company reserves the right to
post you / transfer you to any of the offices / projects / divisions / departments / units / Associates’ Offices of the Company
existing or to be set at any other location in India or abroad.
02. COMPENSATION :
Your compensation on a committed cost to company basis will be Rs. 488000 (Rupees Four Lakhs Eighty Eight Thousand )
per annum . The structure of the same will be as follows:

The above remuneration would be subject to appropriate Tax Deduction at Source under the Income Tax Act 1961.
a. Provident Fund Scheme
You will be eligible to become a member of our Provident Fund Scheme immediately on joining, as per the rules enforced from
time to time. The Company contribution under this scheme is fixed at 12% of your Base salary with a matching compulsory
contribution from you. You will be required to submit necessary enrolment/transfer forms to the Personnel Department
immediately. You will be governed by the rules enforced from time to time.

b. Employee State Insurance (ESI)
ESI applicability is as per the ESI act where one would be eligible to become a member of Employee State Insurance
Corporation immediately on joining, as per the rules enforced. The Company contribution under this scheme is fixed at 4.75%
of monthly gross salary including allowances other than reimbursement as per ESI Act with 1.75% compulsory contribution
from the employee. The employee will be required to submit necessary enrolment/transfer forms to the HR immediately upon
joining. You will be governed by the ESI rules enforced from time to time.
c. Gratuity
Further, Gratuity as and when applicable will be paid to you as per Gratuity Rules prevailing at the time of your separation from
the services.
d. Bonus / Ex-gratia : You will be entitled to bonus / ex-gratia @8.33% of your basic & DA.
e. Compensation and Career Progression
Future increase in your compensation and future prospects in the company shall entirely depend on your efficiency, hard work,
regularity in attendance, sincerity, good conduct and such other relevant factors and company’s performance.
03. PROBATION / CONFIRMATION:
You will be on probation for a period of 6 months, which may be extended or reduced at the sole discretion of the Management.
During the period of probation, the appointment is terminable either by the company or by your-self by giving 30 days’ notice or
payment of salary (BASIC & DA) in lieu thereof. On completion of initial probation period of 6 months, you will be deemed to be
confirmed in the services of the Company, unless otherwise intimated.
04. MEDICAL FITNESS & VERIFICATION OFPARTICULARS:
Your appointment is subject to:
a. Your being declared and remaining medically fit by a Medical Officer or by a Doctor specified by the Company. The
Management has the right to get you medically examined by any certified medical practitioner during the period of your service.
In case you are found medically unfit to continue in the services of the company , you will lose your lien on your
service/appointment in the company.
b. In case particulars mentioned in your application are found false or unsatisfactory, your services would be liable for
termination at any time without any notice or any compensation in lieu thereof.
05. DUTIES AND RESPONSIBILITIES:
a. During the probation period, you will be required to adhere to company norms related to work, conduct and performance,
failing which, your probation is liable to be discontinued at any time without any notice and without assigning any reason
thereof.
b. The Company will expect you to work with a high standard of initiative, efficiency and economy. You will perform, observe
and confirm to such duties, directions and instructions assigned or communicated to you by the company and those in authority
over you.

c. You will devote your entire time to the work of the Company and will not undertake any direct/indirect business or work,
honorary or remunerating except with the written permission of the Management in each case. Contravention of this will lead to
the termination of your service without any notice or any compensation in lieu of such notice.
d. You shall not seek membership of any local or public bodies without first obtaining written permission from the
Management.
e. You shall neither divulge nor give out information to any unauthorized person during the period of your service or even
afterwards by word of mouth or otherwise, particulars or details of our manufacturing processes, technical know-how, security
arrangements, administrative and/or organizational matters of a confidential/secret nature, which may be your privilege to know
by virtue of your being our employee.
f. You shall keep confidential all the information and material provided to you by the Company or by its clients concerning their
affairs, in order to enable the Company to perform the service. This also includes such information as is already known to the
public which also you will not release, use or disclose except with the prior written permission of the Company. Your obligation
to keep such information confidential shall remain even on termination or cancellation of this employment.
g. You will disclose to us forthwith any discovery, invention, process or improvement made or discovered by you while in our
service, and such discovery, invention, process or improvement shall belong absolutely to and be the sole and absolute
property of the Company. If and when required to do so by the Company, you shall at the Company's expense, take out or apply
for Latter's Patent, Licenses or other rights, privileges or protection as may be directed by us in respect of any such discovery,
invention, process or improvement so that the benefit thereof shall accrue to us and you will execute and do all instruments,
acts, deeds and things, which may be required by us for assigning, transferring or otherwise vesting the same and all benefits
arising in respect thereof in our favor or in favor of such other person or persons, firms or companies, as we may direct as the
sole beneficiary thereof.
h. You will not enter into any commitments or dealings on behalf of the Company for which you have no express authority nor
alter or be a party to any alteration of any principle or policy of the Company or exceed the authority or discretion vested in you
without the previous sanction of the Company or those in authority over you.
i. You will be responsible for the safe keeping and return in good condition and order of all the properties of the company,
which may be in your use, custody, care or charge. For the loss of any property of the company in your possession, the
company will have a right to assess on its own basis and recover the damages of all such materials from you and to take such
other action as it deems proper in the event of your failure to account for such material or property to its satisfaction.
06. TERMINATION OFPERMANENT SERVICE:
a. You will automatically retire from the service of the company on attaining the superannuation age of 58 years.
b. If you absent yourself without leave or remain absent beyond the period of leave originally granted or subsequently
extended, you shall be considered as having voluntarily terminated your employment without giving any notice unless you:
return to work within 8 days from the commencement of such absence andi.
give an explanation to the satisfaction of the Management regarding such absence.ii.

c. Your services are liable to be terminated without any notice or salary in lieu thereof for misconduct, without being exhaustive
and without prejudice to the general meaning of the term "misconduct" in the case of reasonable suspicion of misconduct,
disloyalty, commission of an act involving moral turpitude, any act of indiscipline or inefficiency.
d. On satisfactory completion of your probation period and after your confirmation in writing except for the reasons mentioned
in this appointment letter, your services can be terminated by giving notice of one month or payment of (Basic+DA) salary in lieu
thereof on either side. However, in event of your resignation, the Company in its sole discretion will have an option to accept the
same and relieve you prior to completion of the stipulated notice period of 1 month, without any pay in lieu of the notice period.
e. The Company, at its sole discretion, may suspend you from your duties, ending Disciplinary enquiry or investigation for any
misconduct alleged to have been Committed by you during the course of tenure under the Contract or applicable law.
f. The Company may give you lay-off as per the provisions of law prevailing at relevant point of time.
07. LEAVE ENTITLEMENT:
You will be entitled for 21 days Privilege Leave , 7 days Sick Leave, 5 days Casual Leave annually from the date of joining on a
calendar year basis. Privilege Leave and sick leave will be credited on a pro-rata basis at the end of the calendar year and can
be availed only after confirmation in the regular service of the company after the probation period. Casual leave will be credited
in advance on a pro-rata basis effective date of joining upon completion of joining formalities.
08. GENERAL:
a. You may be selected and sponsored by the Company for familiarization/ training assignments with our technical
collaborators or any other institutions/ organizations in India and/or abroad. You will diligently and beneficially take part in the
training and such assignments. The cost of such training including the travel fare and related expenses will be borne by the
Company subject to agreements to be drawn up and signed by the Company and you specifying minimum number of years you
will serve the company after such training and providing for payment of liquidated damages by you to the Company
proportionate to the years of service remaining to be rendered, in the event you voluntarily terminate the contract of service or
this appointment, as the case may be, prior to the expiry of the agreed period of service referred to herein above.
b. You will be covered by the service rules and regulations including conduct, discipline and administrative orders and any
such other rules or orders of the company that may come in force from time to time.
Your age mentioned in the Matriculation / Higher Secondary Certificate will be deemed to be the conclusive proof of your date of
birth.
c. You will intimate in writing to the Management any change of address within a week from change of the same, failing which
any communication sent on your last recorded address shall be deemed to have been served on you.
d. You will hand over the charge of letter of Authority or Power of Attorney issued to you or any property / material of the company
in your possession at the time of cessation of your employment with the company.

e. The appointing authority, however, reserves the right of terminating your services without notice or before expiration of the
stipulated period of notice by making payment to the appointee of a sum equivalent to the Basic & DA for the period of notice or
the unexpired portion thereof.
f. In the event of your giving one month’s notice, in writing, of terminating the agreement, you will serve the Company for the
entire one month’s period of notice and if you quit your employment or remain absent from duty during the said one month’s
period of notice or any part thereof, you will not only forfeit your salary of the period of your absence, but shall also be liable to
pay to the Company a sum equivalent to one month’s salary or part thereof, by way of liquidated damages and the Company
will be entitled to appropriate dues payable to you, on any account whatsoever, towards these damages. In case you fail to
report for work during the notice period or do not hand over charge to your superior / the new incumbent as per stipulated
procedures, the Company may initiate disciplinary action and dismiss you from employment, forfeiting all legal dues etc. You
will not leave the employment of the Company unless a specific letter relieving you from employment is issued to you.
g. You are liable to be dismissed from the service of the Company for an act of misconduct, after following due legal
procedures in that behalf. The Management shall also have the right to suspend you without wages or compensation pending
investigation, enquiry etc. for any misconduct that may be alleged against you.
h. In case of separation, you will return the Company’s /client's property, dues, if any, during the notice period itself and only
after having returned all such Company property / dues, your full and final settlement will be made. Any reimbursement entitled
to you will be made if the claim together with all the necessary spouting’s has been submitted to the immediate superior /
respective depts. authorized before your last working day. Such reimbursements will not form part of full and final settlement in
the absence of claims made before the last working day.
i. You shall be responsible for safe keeping and returning in good order all the properties, such as tools, equipment,
instruments etc. which may be in your possession, custody, care or charge. The Management shall have the right to deduct the
money value of such things / properties on your failure to account for the same, whether in the course of service or otherwise.
j. Your services are liable to be terminated at any time as and when the Company comes to know of your any previous
conviction by any court of law or you are convicted by a court of law while in the service of the Company.
k. You shall be deemed to have voluntarily resigned from the services of the company, on your own accord, if you remain
absent without prior written permission of the Management for 8 consecutive days or more.
l. You will join on or before 01/03/2010 failing which this offer shall stand withdrawn.
m. Please submit the following documents, if not submitted the same earlier;
Certificates in support of your educational professional qualifications, project undertaken, experience certificates date of
birth and other testimonials in original together with copies thereof.

You will hand over the charge of letter of Authority or Power of Attorney issued to you or any property / material of the company in your possession at the time of cessation of your employment with the company.     e. The appointingauthority, however, reserves the right of terminating your services without notice or before expiration of the stipulated period of notice by making payment to the appointee of a sum equivalent to the Basic & DA for the period of notice or the unexpired portion thereof. f. In the event of your giving one month’s notice, in writing, of terminating the agreement, you will serve the Company for the entire one month’s period of notice and if you quit your employment or remain absent from duty during the said one month’s period of notice or any part thereof, you will not only forfeit your salary of the period of your absence, but shall also be liable to pay to the Company a sum equivalent to one month’s salary or part thereof, by way of liquidated damages and the Company will be entitled to appropriate dues payable to you, on any account whatsoever, towards these damages. In case you fail to report for work during the notice period or do not hand over charge to your superior / the new incumbent as per stipulated procedures, the Company may initiate disciplinary action and dismiss you from employment, forfeiting all legal dues etc. You will not leave the employment of the Company unless a specific letter relieving you from employment is issued to you. g. You are liable to be dismissed from the service of the Company for an act of misconduct, after following due legal procedures in that behalf. The Management shall also have the right to suspend you without wages or compensation pending investigation, enquiry etc. for any misconduct that may be alleged against you. h. In case of separation, you will return the Company’s /client's property, dues, if any, during the notice period itself and only after having returned all such Company property / dues, your full and final settlement will be made. Any reimbursement entitled to you will be made if the claim together with all the necessary spouting’s has been submitted to the immediate superior / respective depts. authorized before your last working day. Such reimbursements will not form part of full and final settlement in the absence of claims made before the last working day. i. You shall be responsible for safe keeping and returning in good order all the properties, such as tools, equipment, instruments etc. which may be in your possession, custody, care or charge. The Management shall have the right to deduct the money value of such things / properties on your failure to account for the same, whether in the course of service or otherwise. j. Your services are liable to be terminated at any time as and when the Company comes to know of your any previous conviction by any court of law or you are convicted by a court of law while in the service of the Company. k. You shall be deemed to have voluntarily resigned from the services of the company, on your own accord, if you remain absent without prior written permission of the Management for 8 consecutive days or more. l. You will join on or before 01/03/2010 failing which this offer shall stand withdrawn. m. Please submit the following documents, if not submitted the same earlier; Certificates in support of your educational professional qualifications, project undertaken, experience certificates date of birth and other testimonials in original together with copies thereof. i. Please note that you are expected to keep the salary package strictly confidential and not to share information regarding the salary with any one except your very close family members. o.
