This film is about a seven-year-old kid black child named Tyrone, his bike, and his father.
Tyrone wants to learn how to ride his bike, and he’s been trying but he keeps falling off. He
can’t do it by himself and he’s trying to do it alone. Almost every child has that moment where
their father helps them learn how to ride their bike. It’s like a tradition between father and son.
The story of this film is found within that short moment of a father teaching their son how to ride
his bike. More specifically, it’s found in the lives of a black father and his son. The key takeaway
from this film will be that, often in life, you see a child without their father because he is a
terrible father, in jail, or just a deadbeat dad. But that’s not always the case. Most black families
teach their children the importance of family, and that relationship with your father is a crucial
thing in black communities.
The Bike is a story that is crafted to show that sometimes fathers and sons don’t get that choice.
Sometimes that relationship between them is disrupted for reasons beyond their control. But
despite that, children can still carry their fathers with them. In their mind and in their hearts.

The following pages give an in-depth look at the Director's Vision of the film. Using references
and analyses, the film’s aesthetics, tone, production designs, characters, sound, and music will
be shown.
1. Log Line and General Information
Logline:
The story of seven-year-old Tyrone, his Air-Force enlisted father Shaquan, and Tyrone’s
bike reveals a genuine, often unacknowledged truth about the relationship between African
American fathers and sons.
Genre: Action/Comedy
Theme:
Even if they're gone, your loved ones are always with you.
Tone:
This film will have a very lighthearted, happy tone that will be reflected in the character
moments between father and son. It will then be juxtaposed by the somber image of Tyrone
riding his bike alone, and the folded American flag with a customized plaque at the end.
Plot Summary:
Tyrone sits on the ground, sniffling. He’s just fallen off his bike and he’s frustrated because he
can’t figure out how to ride it by himself. He calls for his father, and Shaquan shows up and lifts
Tyrone up off the ground. Tyrone is reminded he has to be strong, and Shaquan picks up the
bike and helps his son learn how to ride it but disappears. Ty runs inside to let his mother know
he learned how to ride the bike, and the folded American flag with a plaque dedicated to
Shaquan is revealed.
Audience Takeaway:
You carry your loved ones with you, everywhere you go. No one is ever really gone.

technical and emotional tone to the film that will pull us into the happy moments of the film and
contrast that to the more solemn moment at the end of the film.

The score I utilize for this film will be an emotional one, that will touch on the heart-warming
moments in the film and add to the depth of those beginning scenes and the relationship between
father and son. The final moments of the film will be somber. Once Shaquan disappears, the
music will change into a more patriotic, emotional theme that will underscore the scenes of Ty’s
triumph of riding the bike and the symbolism of the folded American flag and what it means.
7. Editing
The editing in this film will be utilize tripod, stabilized shots with the addition of handheld shots
as well. Cohesive pacing and coverage of the scenes will be utilized in the different shots
ultimately chosen, and a specific pan in will be utilized in the film’s opening. Additionally, the
film will end that way as well, with the camera following Ty into the house and slowly pan in on
the folded American flag on the mantle.
8. Cinematography
There is only one primary location in the film: The House. That location will be broken down
into the interior and exterior, and that exterior includes the front yard, the driveway, and the
gravel of the road.
The camera work will help to bring this film to life and show that Ty does feel small and alone in
a big neighborhood without his father until his father shows up. The shots in this film will be
composed using natural elements of that neighborhood and the world around it, in addition to
depth of field, to create a more cinematic feel to the film.
The camerawork in the film will be developed using specific movements by the camera operator
to capture that natural feel of the film and make it feel like the audience is right there with Ty
and his father.
9. Audience Takeaway
Our loved ones are never really gone. They’re always with us and we carry them in our minds
and in our hearts. This film will be about a child learning to ride his bike and will touch on that
special moment that fathers and sons share when a father teaches his son how to ride a bike. It
will entertain and make the audience feel good, but also give them that somber takeaway from it,
and showcase a good relationship between a black man and his son in entertainment, as film is
ultimately entertainment but also an expression of art and the world around us.

TYRONE MORRIS, 7, African-American, sits on the ground and
stares at a fallen bike. CU on spinning bike wheels.
TYRONE
I can’t do it, dad. I keep trying
and I can’t do it. I keep falling
down.
CU shot on SHAQUAN MORRIS, 30s, African American in military
uniform, kneeling next to the fallen bike. He picks it up.
Shaquan picks Tyrone up and brushes him off. Tyrone sniffles
Shaquan shields his eyes from the sun, shakes his head.
TYRONE (CONT'D)
I know dad. I shouldn’t cry. I
gotta be strong like you.
Shaquan acknowledges this, stands behind the bike. CU on
Tyrone getting on the bike and readjusts his helmet, closes
his eyes. Shaquan pushes the bike and moves with it.
FS on Tyrone, peddling by himself. He opens his eyes.
TYRONE (CONT'D)
I’m doing it, dad! I’m doing it!
Shaquan smiles. He rides down the sidewalk and back.

1. SERVICES: Crew Member shall render, in conjunction with the motion picture tentatively entitled
“_______________________________” (hereinafter, “Picture”), all services customarily rendered by
_____________________ in the motion picture industry and at all times promptly comply with Producer’s
reasonable instructions. Crew Member shall provide, maintain in good working order, and bring to set, the
equipment, if any, listed on Exhibit A, which is attached hereto and incorporated by reference, for use in
conjunction with the Picture. Crew Member shall be solely responsible for the safety, maintenance, and upkeep of
all equipment listed therein. Crew Member is aware that Producer is not affiliated with any union or guild, and
warrants that his/her services are not being provided pursuant to a collective bargaining agreement.
2. COMPENSATION: Engagement hereunder is at an “at will” nature and is subject to termination without notice by
either party. Provided Crew Member is not in material breach of this Agreement, in consideration of Crew
Member’s services hereunder, Producer shall pay to Crew Member and Crew Member hereby accepts as
complete consideration a payment of ________ Dollars ($_____). Producer will make available to Crew Member
one (1) digital or DVD copy of the Picture, format being within the sole discretion of Producer, within thirty (30)
days of the final assembly of the Picture, provided that Crew Member requests, in writing, said copy from
Producer no sooner than ninety (90) days and no later than one hundred twenty (120) days after the completion
of Crew Member’s services hereunder.
3. EXCLUSIVITY: Crew Member’s services shall be rendered to Producer on a non-exclusive but first priority basis
while Crew Member is performing services for Producer pursuant to this Agreement. Crew Member shall be
subject to the direction and control of Producer. Crew Member shall comply with all rules and regulations of
Producer, including, without limitation, those set forth herein.
4. PURCHASES/RENTALS/EXPENSES: Purchases, rentals and expenses shall not be reimbursed without the prior
written approval of Line Producer and/or UPM. Purchases and rentals must be made by purchase orders, unless
otherwise authorized in writing in advance by the Line Producer and/or the UPM.
5. GUESTS TO THE SET/PHOTO/PUBLICITY: Crew Member shall not be permitted to bring any guest(s) to the
set without the prior written approval of the Line Producer and/or UPM. No personal photography is permitted on
or around the set.
6. DRUGS/ALCOHOL: The consumption of alcoholic beverages by Crew Member during working hours, and the
use of non-prescribed controlled substance(s), is strictly prohibited and cause for immediate dismissal.
7. RECOVERABLE ITEMS: Crew Member shall be responsible for returning in a timely manner to Producer on or
before completion of the Picture, all materials, equipment, and other items owned or rented by, or otherwise in the
possession of Producer, its agents, assigns or licensees or purchased with Producer’s funds (“Recoverables”). All
Recoverables will be collected upon completion of Crew Member’s services in connection with the Picture. Crew

Picture, including, without limitation, correspondence and documents, shall be the exclusive property of Producer
and any disclosure or use thereof by Crew Member shall be deemed a material breach hereof. Recoverables
shall include, without limitation, props, wardrobe, equipment, tools, materials, supplies and film stock.
8. NAME/VOICE/LIKENESS/BIO: Crew Member irrevocably grants Producer, its licensees, successors and assigns
the right to use Crew Member’s name, voice, likeness, image and biography in connection with the exploitation
and promotion of the Picture in any manner and any medium whatsoever (including, but not limited to, “behind-
the-scenes” or “making of” films), in perpetuity and throughout the universe, without further compensation.
9. PRODUCT PLACEMENT: Product tie-ins or product placement are not to be made without prior written
permission from Producer.
10. OWNERSHIP: All of the results and proceeds of Crew Member’s services are being specially ordered by
Producer for use as part of a motion picture or audio-visual work and are a “work-made-for-hire” pursuant to 17
U.S.C 101 et seq., and Producer is the sole author and owner of all rights therein forever and for all purpose
throughout the universe, including the right to make any changes. To the extent that Producer is not deemed the
author and owner of all such results and proceeds, Crew Member hereby irrevocably assigns, in perpetuity and
throughout the universe, the same to Producer. Crew Member hereby waives all moral rights, if any.
11. NO AUTHORITY. Crew Member acknowledges and agrees that Crew Member has no right or authority to and
shall not employ any person to serve in any capacity, nor contract for the purchase or rental of any article or
material, nor make any commitment or agreement whereby Producer shall be required to pay any monies or other
consideration, or which shall otherwise obligate Producer, without Producer’s express prior written consent.
12. DAMAGES; EXCLUSIVE REMEDY: In the event of a breach of this Agreement by Producer, Crew Member’s
sole remedy shall be an action at law for damages. In no event shall Crew Member be entitled to equitable or
injunctive relief, and in no event shall Crew Member be entitled to rescind this Agreement or enjoin or restrain the
development, production, distribution or exploitation of the Picture.
13. CREDIT: Screen credit shall be at the sole discretion of the Producer. If credit is granted and provided Crew
Member is not in breach of this Agreement, it shall be as set forth as listed herein above. Notwithstanding
anything to the contrary contained herein, no casual or inadvertent failure of Producer to comply with the credit
provisions hereof shall constitute a breach of this Agreement. Within a reasonable time after receipt of written
notice from Crew Member specifying a failure to accord proper credit in accordance with this Paragraph, Producer
shall use good faith efforts to cure prospectively any such failure with regard to positive prints and/or advertising
materials created after the date of Producer’s receipt of such notice. Producer will contractually obligate third
party licensees and sub-distributors with whom Producer is in privity of contract to comply with the credit
obligations set forth herein, but shall not be responsible or liable to Crew Member for the failure of any such third
party to comply with the same.
14. CONFIDENTIALITY: Crew Member agrees not to disclose any creative and/or material information whatsoever
about this Agreement or the Picture (including, but not limited to, details of conversations or events that transpire
duration of Crew Member’s engagement in connection with the Picture) without Producer’s prior written approval
in each instance. Crew Member shall not issue nor permit others to issue information or statements (written or
otherwise) concerning the Picture or any person or entity connected therewith. Crew Member agrees that Crew
Member shall not sell any rights or stories to any third party to the extent that they relate to or include any
information concerning the Picture, and further agrees not to participate in any manner in the preparation,
production or drafting of any materials produced by third parties that relate to the Picture including, without
limitation, books, magazine articles, newspaper articles, television shows, Internet websites and any other form of
media, without the express prior written consent of Producer. Crew Member shall not make or authorize any
photography, advertising or publicity in connection with the Picture without Producer’s prior written consent.
15. NO OBLIGATION: Nothing herein shall be deemed to obligate Producer to use Crew Member’s services, or the
results of such services, in the Picture, or to produce, release or distribute the Picture or to continue the release
and distribution of the Picture or to otherwise exploit any rights granted to Producer hereunder. Producer shall
have fully discharged Producer’s obligations hereunder by payment of the compensation required hereunder.

16. ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties hereto relating to the
subject matter herein contained, and all prior agreements between the parties have been, by this reference,
merged herein. No representation or warranties have been made other than those expressly provided for herein.
This Agreement may not be altered, modified, changed, rescinded or terminated in any way except by an
instrument in writing signed by the parties hereto. The determination that any provision of this Agreement is
invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be valid
and enforceable to the fullest extent permitted by law. This Agreement shall be governed by and construed in
accordance with Florida law as if this Agreement were executed and performed fully in Florida, without regard to
its conflict-of-laws principles, regardless of where execution and performance hereunder may actually occur, and
the courts located in Orange County, Florida shall have exclusive jurisdiction of all cases and controversies.
17. ASSIGNMENT: Producer may assign, transfer, license, delegate and/or grant all or any part of its rights,
privileges and property hereunder to any person or entity. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns.
Crew Member may not assign this Agreement or any of Crew Member’s rights or obligations hereunder.
It is specifically agreed that this is not a “Pay or Play” deal or run of the show contract. Producer reserves the right
to terminate Crew Member at any time, for any or no reason, subject only to the obligation to pay the balance of any
compensation earned by Crew Member but unpaid by Producer as of the date of termination.

and any disclosure or use thereof by Crew Member shall be deemed a material breach hereof. Recoverables
shall include, without limitation, props, wardrobe, equipment, tools, materials, supplies and film stock.
8. NAME/VOICE/LIKENESS/BIO: Crew Member irrevocably grants Producer, its licensees, successors and assigns
the right to use Crew Member’s name, voice, likeness, image and biography in connection with the exploitation
and promotion of the Picture in any manner and any medium whatsoever (including, but not limited to, “behind-
the-scenes” or “making of” films), in perpetuity and throughout the universe, without further compensation.
9. PRODUCT PLACEMENT: Product tie-ins or product placement are not to be made without prior written
permission from Producer.
10. OWNERSHIP: All of the results and proceeds of Crew Member’s services are being specially ordered by
Producer for use as part of a motion picture or audio-visual work and are a “work-made-for-hire” pursuant to 17
U.S.C 101 et seq., and Producer is the sole author and owner of all rights therein forever and for all purpose
throughout the universe, including the right to make any changes. To the extent that Producer is not deemed the
author and owner of all such results and proceeds, Crew Member hereby irrevocably assigns, in perpetuity and
throughout the universe, the same to Producer. Crew Member hereby waives all moral rights, if any.
11. NO AUTHORITY. Crew Member acknowledges and agrees that Crew Member has no right or authority to and
shall not employ any person to serve in any capacity, nor contract for the purchase or rental of any article or
material, nor make any commitment or agreement whereby Producer shall be required to pay any monies or other
consideration, or which shall otherwise obligate Producer, without Producer’s express prior written consent.
12. DAMAGES; EXCLUSIVE REMEDY: In the event of a breach of this Agreement by Producer, Crew Member’s
sole remedy shall be an action at law for damages. In no event shall Crew Member be entitled to equitable or
injunctive relief, and in no event shall Crew Member be entitled to rescind this Agreement or enjoin or restrain the
development, production, distribution or exploitation of the Picture.
13. CREDIT: Screen credit shall be at the sole discretion of the Producer. If credit is granted and provided Crew
Member is not in breach of this Agreement, it shall be as set forth as listed herein above. Notwithstanding
anything to the contrary contained herein, no casual or inadvertent failure of Producer to comply with the credit
provisions hereof shall constitute a breach of this Agreement. Within a reasonable time after receipt of written
notice from Crew Member specifying a failure to accord proper credit in accordance with this Paragraph, Producer
shall use good faith efforts to cure prospectively any such failure with regard to positive prints and/or advertising
materials created after the date of Producer’s receipt of such notice. Producer will contractually obligate third
party licensees and sub-distributors with whom Producer is in privity of contract to comply with the credit
obligations set forth herein, but shall not be responsible or liable to Crew Member for the failure of any such third
party to comply with the same.
14. CONFIDENTIALITY: Crew Member agrees not to disclose any creative and/or material information whatsoever
about this Agreement or the Picture (including, but not limited to, details of conversations or events that transpire
duration of Crew Member’s engagement in connection with the Picture) without Producer’s prior written approval
in each instance. Crew Member shall not issue nor permit others to issue information or statements (written or
otherwise) concerning the Picture or any person or entity connected therewith. Crew Member agrees that Crew
Member shall not sell any rights or stories to any third party to the extent that they relate to or include any
information concerning the Picture, and further agrees not to participate in any manner in the preparation,
production or drafting of any materials produced by third parties that relate to the Picture including, without
limitation, books, magazine articles, newspaper articles, television shows, Internet websites and any other form of
media, without the express prior written consent of Producer. Crew Member shall not make or authorize any
photography, advertising or publicity in connection with the Picture without Producer’s prior written consent.
15. NO OBLIGATION: Nothing herein shall be deemed to obligate Producer to use Crew Member’s services, or the
results of such services, in the Picture, or to produce, release or distribute the Picture or to continue the release
and distribution of the Picture or to otherwise exploit any rights granted to Producer hereunder. Producer shall
have fully discharged Producer’s obligations hereunder by payment of the compensation required hereunder.

16. ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties hereto relating to the
subject matter herein contained, and all prior agreements between the parties have been, by this reference,
merged herein. No representation or warranties have been made other than those expressly provided for herein.
This Agreement may not be altered, modified, changed, rescinded or terminated in any way except by an
instrument in writing signed by the parties hereto. The determination that any provision of this Agreement is
invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be valid
and enforceable to the fullest extent permitted by law. This Agreement shall be governed by and construed in
accordance with Florida law as if this Agreement were executed and performed fully in Florida, without regard to
its conflict-of-laws principles, regardless of where execution and performance hereunder may actually occur, and
the courts located in Orange County, Florida shall have exclusive jurisdiction of all cases and controversies.
17. ASSIGNMENT: Producer may assign, transfer, license, delegate and/or grant all or any part of its rights,
privileges and property hereunder to any person or entity. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns.
Crew Member may not assign this Agreement or any of Crew Member’s rights or obligations hereunder.
It is specifically agreed that this is not a “Pay or Play” deal or run of the show contract. Producer reserves the right
to terminate Crew Member at any time, for any or no reason, subject only to the obligation to pay the balance of any
compensation earned by Crew Member but unpaid by Producer as of the date of termination.

THIS AGREEMENT, effective as of the __15th___ day of ______August____________ 2021 is made by
and between ________Josh Bing__________________, a student group enrolled in and working under the supervision of
Full Sail, LLC d/b/a Full Sail University, (“Producer”) and ___________Parker Wing______________________ ("Artist"),
with respect to Artist’s portrayal of the role “__________Tyrone Morris___________________________” in the
production of the motion picture currently entitled “_________The Bike________________________” (the
“Picture”).
1. ARTIST’S SERVICES: Artist shall render all services customarily rendered by actors in first-class theatrical motion
pictures in the motion picture industry, and at all times promptly comply with Producer’s reasonable instructions.
Photography shall be exclusive and rendered consecutively until the completion thereof. After the completion of principal
photography, the dates and call times for which shall be provided to Artist in writing, Artist shall be available for customary
post-production services, subject to his/her then existing prior professional commitments. Producer reserves the right to
terminate Artist’s services at any time, for any or no reason, with or without notice.
2. TERM: The term of Artist’s services shall commence on the date of execution of this Agreement, and shall continue until
the full and satisfactory completion of all services to be rendered by Artist hereunder or the earlier termination of this
Agreement.
3. COMPENSATION: Provided Artist is not in material breach of this Agreement, in consideration of Artist’s services
hereunder, Producer shall pay to Artist and Artist hereby accepts as full and complete consideration a payment of
__One______ Dollars ($__1___). Artist shall not be entitled to, nor will be paid, residuals, royalties, deferred or
contingent compensation, or any other post-term compensation of any kind or nature. Producer will make available to
Artist one (1) digital or DVD copy of the Picture, format being within the sole discretion of Producer, within thirty (30)
days of the final assembly of the Picture, provided that Artist requests, in writing, said copy from Producer no sooner than
ninety (90) days and no later than one hundred twenty (120) days after the completion of Artist’s services hereunder.
4. CREDIT: Provided Artist is not in material breach of this Agreement, Artist shall receive credit in substantially the following
form:

b. Artist’s credit will appear (check one):

Agreement. Within a reasonable time after receipt of written notice from Artist specifying a failure to accord proper credit in

positive prints and/or advertising materials created after the date of Producer’s receipt of such notice. Producer will

5. PUBLICITY AND PROMOTION: Producer has the unlimited right to use the name, voice, image and likeness of Artist
in conjunction with the Picture, to promote and advertise the Picture, and to include the name, voice, image and likeness of
Artist in any media now known or later developed and/or in an extra or bonus materials, such as “behind the scenes” and
“making of.” No product endorsement may be implied without the prior consent of Artist first being obtained.
6. REPRESENTATIONS AND WARRANTIES: Artist represents and warrants that he/she is free to enter into this
Agreement and will not do or permit any act which will interfere with or derogate from the full performance of Artist’s services

or Producer’s exercise of the rights herein granted. Artist warrants that he/she has full capacity to grant the rights described
hereinabove, and is under no encumbrance, legal, contractual, or otherwise, that would impair the rights granted herein.
Artist is aware that that Producer is not affiliated with the Screen Actor’s Guild (SAG) and that the Picture is a non-SAG
project.
7. WORK-MADE-FOR-HIRE:
a. Artist hereby acknowledges that all of the results and proceeds of Artist’s services hereunder shall constitute a "work-
made-for-hire" specially commissioned by Producer, and Producer or Producer’s assignee shall own all such results and
proceeds. Producer shall have the right to use Artist’s name and approved likeness with respect to distribution and
exploitation of the Picture. Producer may make such use, if any, of the Picture and distribution of the Picture as Producer,
in its sole discretion, shall deem appropriate.
b. If Artist’s services are not recognized as a “work-made-for-hire,” Artist hereby irrevocably grants, sells and assigns to
Producer, its successors and assigns, all of Artist’s rights, title and interest of any kind and nature, in and to the Picture,
including, without limitation, all copyrights in connection therewith and all tangible and intangible properties with respect to
the Picture, in perpetuity, whether in existence now or as may come into existence in the future.
c. Artist waives the exercise of any “moral rights” and “droit moral” and any analogous rights however denominated now
or hereafter recognized. All rights granted and agreed to be granted to Producer hereunder are irrevocable and shall vest
and remain perpetually vested in Producer, its successors and assigns, whether this Agreement expires in normal course
or is sooner terminated, and shall not be subject to rescission by Artist for any cause whatsoever.
8. APPROVALS AND CONTROLS: Producer shall solely have all approvals and controls of all kinds and nature, with
respect to the Project, including, but not limited to, all decisions involving artistic taste and judgment. As such, Producer is
under no obligation to include Artist in the final cut of the Picture.
9. MISCELLANEOUS:
a. Indemnification. Artist shall indemnify and defend Producer from and against any and all claims and damages, including
reasonable attorney’s fees and costs, arising out of a breach of Artist’s warranties, covenants, representations or
agreements as provided herein to the extent such claim or damage does not arise out of a breach by Producer.
b. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the
State of Florida, without regard to its conflict-of-laws principles. Venue for any and all disputes arising out of or related to
this Agreement shall properly lie in Orange County, Florida. Artist hereby submits to the personal jurisdiction of the State
and Federal courts of Orange County, Florida.
c. Limitation of Damages. In the event of a breach of this Agreement by Producer, Artist’s damages shall be limited to the
amount of compensation payable to Artist under this Agreement, and under no circumstances shall Artist be eligible to
receive special, punitive, or consequential damages. Artist’s sole remedy, if any, shall be an action at law for damages, and
in no event shall Artist be entitled to injunctive or equitable relief, and in no event shall Artist be entitled to rescind this
Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. Artist waives any
and all right to file suit against the individual persons associated with this Agreement, and further agrees that Artist’s sole
remedy, if any, shall be recoverable only from Full Sail, LLC.
d. Assignment. Artist may not assign his/her rights or obligations hereunder without the prior written consent of Producer.
Producer may freely assign its rights and obligations hereunder. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns.
e. This Agreement may be signed in counterparts. Facsimile and scanned copies shall be deemed originals for all
purposes.
f. The parties hereto agree to sign such other documents, do and perform and cause to be done and performed such
further and other acts consistent herewith as may be necessary or desirable in order to give full effect to this Agreement.
g. This Agreement constitutes the entire agreement between the parties hereto with respect to all of the matters herein

and its execution has not been induced by, nor do any of the parties hereto rely upon or regard as material, any
representations or writing whatsoever not incorporated herein and made a part hereof. No amendment or modification
hereto shall be valid unless set forth in a writing signed by both parties. The determination that any provision of this
Agreement is invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be
valid and enforceable to the fullest extent permitted by law. Failure of either party to require the performance of any term in
this Agreement or the waiver by either party of any breach shall not prevent subsequent enforcement of such term nor be
deemed a waiver of any subsequent breach.
h. Section headings are for convenience only and shall not add to or detract from any of the terms or provisions of this
Agreement. When necessary for appropriate meaning, a plural shall be deemed to be the singular and singular shall be
deemed to be the plural.

under no obligation to include Artist in the final cut of the Picture.
9. MISCELLANEOUS:
a. Indemnification. Artist shall indemnify and defend Producer from and against any and all claims and damages, including
reasonable attorney’s fees and costs, arising out of a breach of Artist’s warranties, covenants, representations or
agreements as provided herein to the extent such claim or damage does not arise out of a breach by Producer.
b. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the
State of Florida, without regard to its conflict-of-laws principles. Venue for any and all disputes arising out of or related to
this Agreement shall properly lie in Orange County, Florida. Artist hereby submits to the personal jurisdiction of the State
and Federal courts of Orange County, Florida.
c. Limitation of Damages. In the event of a breach of this Agreement by Producer, Artist’s damages shall be limited to the
amount of compensation payable to Artist under this Agreement, and under no circumstances shall Artist be eligible to
receive special, punitive, or consequential damages. Artist’s sole remedy, if any, shall be an action at law for damages, and
in no event shall Artist be entitled to injunctive or equitable relief, and in no event shall Artist be entitled to rescind this
Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. Artist waives any
and all right to file suit against the individual persons associated with this Agreement, and further agrees that Artist’s sole
remedy, if any, shall be recoverable only from Full Sail, LLC.
d. Assignment. Artist may not assign his/her rights or obligations hereunder without the prior written consent of Producer.
Producer may freely assign its rights and obligations hereunder. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns.
e. This Agreement may be signed in counterparts. Facsimile and scanned copies shall be deemed originals for all
purposes.
f. The parties hereto agree to sign such other documents, do and perform and cause to be done and performed such
further and other acts consistent herewith as may be necessary or desirable in order to give full effect to this Agreement.
g. This Agreement constitutes the entire agreement between the parties hereto with respect to all of the matters herein

and its execution has not been induced by, nor do any of the parties hereto rely upon or regard as material, any
representations or writing whatsoever not incorporated herein and made a part hereof. No amendment or modification
hereto shall be valid unless set forth in a writing signed by both parties. The determination that any provision of this
Agreement is invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be
valid and enforceable to the fullest extent permitted by law. Failure of either party to require the performance of any term in
this Agreement or the waiver by either party of any breach shall not prevent subsequent enforcement of such term nor be
deemed a waiver of any subsequent breach.
h. Section headings are for convenience only and shall not add to or detract from any of the terms or provisions of this
Agreement. When necessary for appropriate meaning, a plural shall be deemed to be the singular and singular shall be
deemed to be the plural.

______________________, a student group enrolled in and working under the supervision of Full Sail, LLC d/b/a Full Sail University
(“Producer”) and ______________________ (“Grantor”).
1. Grantor hereby irrevocably grants to Producer, and its agents, employees, contractors and suppliers, the right to enter and remain
upon and use the property, both real and personal, located at: ____________________________________________________
(the "Property"), including without limitation, all interior and exterior areas, buildings and other structures of the Property, and the
name, logo, trademark, service mark and/or slogan, and any other identifying features associated therewith or which appear in, on
or about the Property, for the purpose of photographing (including without limitation by means of motion picture, still or videotape
photography) said premises, sets and structures and/or recording sound in connection with the production, exhibition, advertising
and exploitation of the motion picture tentatively entitled ____________________________________ (the "Picture"). Producer shall
not be required to depict the Property in any particular manner.
2. Producer may take possession of said premises for a period of _____ days commencing on or about the ______ day of
________________ 20____ until the ______ day of ________________ 20____, or until the completion of all scenes and work
required, whichever happens first. The dates listed herein are subject to change due to weather conditions or changes in production
schedule.
3. As complete and full consideration for all of the rights granted to Producer hereunder, Producer shall pay to Grantor the total
amount of ____________ Dollars ($______) per day, each day to consist of approximately ___________ hours. Producer is not
obligated to actually use the Property or produce a film or include material photographed or recorded hereunder in the Picture.
Producer may at any time elect not to use the Property by giving Grantor or agent twenty-four (24) hours written notice of such
election, in which case neither party shall have any obligation hereunder.
4. Producer may place all necessary facilities and equipment, including temporary sets, on the Property, and agrees to remove
same after completion of work and leave the Property in as good condition as when received, reasonable wear and tear from uses
permitted herein excepted. Signs on the Property may, but need not, be removed or changed. In connection with the Picture,
Producer may refer to the Property or any part thereof by any fictitious name and may attribute any fictitious events as occurring on
the Property. Grantor irrevocably grants to Producer and Producer's successors and assigns the right, in perpetuity, throughout the
universe, to duplicate and recreate all or a portion of the Property and to use such duplicates and recreations in any media and/or
manner now known or hereafter devised in connection with the Picture, including without limitation sequels and remakes,
merchandising, theme parks and studio tours, and in connection with publicity, promotion and/or advertising for any or all of the
foregoing
5. Producer agrees to use reasonable care to prevent damage to the Property, and will indemnify and hold Grantor harmless from
and against any claims or demands arising out of or based upon personal injuries, death or property damage (ordinary wear and
tear excepted), suffered by such person(s) resulting directly from any act of negligence on Producer's part in connection with the
work hereunder.
6. All rights of every nature whatsoever in and to all still pictures, motion pictures, videotapes, photographs and sound recordings
made hereunder, shall be owned by Producer and its successors, assigns and licensees, and neither Grantor nor any tenant, or
other party now or hereafter having an interest in said property, shall have any right of action against Producer or any other party
arising out of any use of said still pictures, motion pictures, videotapes, photographs and or sound recordings, whether or not such
use is or may claimed to be, defamatory, untrue or censurable in nature. In addition, neither Grantor nor any tenant, nor any other
party now or hereafter having an interest in the Property, shall have any right of action, including, but not limited to, those based
upon invasion of privacy, publicity, defamation, or other civil rights, in connection with the exercise of the permission and/or rights
granted by Grantor to Producer. If there is a breach by Producer hereunder, Grantor shall be limited to an action at law for monetary

damages. In no event shall Grantor have the right to enjoin the development, production, distribution or exploitation of the Picture.
Grantor waives any and all right to file suit against the individual persons associated with this Agreement, and further agrees that
Grantor’s sole remedy, if any, shall be recoverable only from Full Sail, LLC.
7. Force Majeure: If because of illness of actors, director or other essential artists and/or crew, weather conditions, defective film or
equipment, or any other occurrence beyond Producer's control, Producer is unable to start work on the date designated above
and/or work in progress is interrupted during use of the Property by Producer, then Producer shall have the right to use the Property
at a later date to be mutually agreed upon and/or to extend the period set forth in Paragraph 2, and any such use shall be included
in the compensation paid pursuant to Paragraph 3 above.
8. Grantor warrants neither he/she or anyone acting for him/her, gave or agreed to give anything of value, except for use of the
Property, to Producer or anyone associated with the production for using said Property as a shooting location.
9. Grantor represents and warrants that he/she/it is the owner and/or authorized representative of the Property, and that Grantor
has the authority to grant Producer the permission and rights granted in this Agreement, and that the permission of no other person
or entity is required to effectuate the rights granted to Producer hereunder. If any question arises regarding Grantor's authority to
grant the permission and rights granted in this Agreement, Grantor agrees to indemnify Producer and assume responsibility for any
loss and liability incurred as a result of its breach of the representation of authority contained in this paragraph, including, but not
limited to, reasonable attorneys' fees and costs.
10. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of
Florida. Venue for any and all disputes arising out of or related to this Agreement shall properly lie in Orange County, Florida.

Tyrone wants to learn how to ride his bike, and he’s been trying but he keeps falling off. He can’t do it by himself and he’s trying to do it alone. Almost every child has that moment where their father helps them learn how to ride their bike. It’s like a tradition between father and son. The story of this film is found within that short moment of a father teaching their son how to ride his bike. More specifically, it’s found in the lives of a black father and his son. The key takeaway from this film will be that, often in life, you see a child without their father because he is a terrible father, in jail, or just a deadbeat dad. But that’s not always the case. Most black families teach their children the importance of family, and that relationship with your father is a crucial thing in black communities. The Bike is a story that is crafted to show that sometimes fathers and sons don’t get that choice. Sometimes that relationship between them is disrupted for reasons beyond their control. But despite that, children can still carry their fathers with them. In their mind and in their hearts.
  • 9. THE BIKE The following pages give an in-depth look at the Director's Vision of the film. Using references and analyses, the film’s aesthetics, tone, production designs, characters, sound, and music will be shown. 1. Log Line and General Information Logline: The story of seven-year-old Tyrone, his Air-Force enlisted father Shaquan, and Tyrone’s bike reveals a genuine, often unacknowledged truth about the relationship between African American fathers and sons. Genre: Action/Comedy Theme: Even if they're gone, your loved ones are always with you. Tone: This film will have a very lighthearted, happy tone that will be reflected in the character moments between father and son. It will then be juxtaposed by the somber image of Tyrone riding his bike alone, and the folded American flag with a customized plaque at the end. Plot Summary: Tyrone sits on the ground, sniffling. He’s just fallen off his bike and he’s frustrated because he can’t figure out how to ride it by himself. He calls for his father, and Shaquan shows up and lifts Tyrone up off the ground. Tyrone is reminded he has to be strong, and Shaquan picks up the bike and helps his son learn how to ride it but disappears. Ty runs inside to let his mother know he learned how to ride the bike, and the folded American flag with a plaque dedicated to Shaquan is revealed. Audience Takeaway: You carry your loved ones with you, everywhere you go. No one is ever really gone.

Sound The score I utilize for this film will be an emotional one, that will touch on the heart-warming moments in the film and add to the depth of those beginning scenes and the relationship between father and son. The final moments of the film will be somber. Once Shaquan disappears, the music will change into a more patriotic, emotional theme that will underscore the scenes of Ty’s triumph of riding the bike and the symbolism of the folded American flag and what it means. 7. Editing The editing in this film will be utilize tripod, stabilized shots with the addition of handheld shots as well. Cohesive pacing and coverage of the scenes will be utilized in the different shots ultimately chosen, and a specific pan in will be utilized in the film’s opening. Additionally, the film will end that way as well, with the camera following Ty into the house and slowly pan in on the folded American flag on the mantle. 8. Cinematography There is only one primary location in the film: The House. That location will be broken down into the interior and exterior, and that exterior includes the front yard, the driveway, and the gravel of the road. The camera work will help to bring this film to life and show that Ty does feel small and alone in a big neighborhood without his father until his father shows up. The shots in this film will be composed using natural elements of that neighborhood and the world around it, in addition to depth of field, to create a more cinematic feel to the film. The camerawork in the film will be developed using specific movements by the camera operator to capture that natural feel of the film and make it feel like the audience is right there with Ty and his father. 9. Audience Takeaway Our loved ones are never really gone. They’re always with us and we carry them in our minds and in our hearts. This film will be about a child learning to ride his bike and will touch on that special moment that fathers and sons share when a father teaches his son how to ride a bike. It will entertain and make the audience feel good, but also give them that somber takeaway from it, and showcase a good relationship between a black man and his son in entertainment, as film is ultimately entertainment but also an expression of art and the world around us.

Shaquan acknowledges this, stands behind the bike. CU on Tyrone getting on the bike and readjusts his helmet, closes his eyes. Shaquan pushes the bike and moves with it. SERVICES: Crew Member shall render, in conjunction with the motion picture tentatively entitled “_______________________________” (hereinafter, “Picture”), all services customarily rendered by _____________________ in the motion picture industry and at all times promptly comply with Producer’s reasonable instructions. Crew Member shall provide, maintain in good working order, and bring to set, the equipment, if any, listed on Exhibit A, which is attached hereto and incorporated by reference, for use in conjunction with the Picture. Crew Member shall be solely responsible for the safety, maintenance, and upkeep of all equipment listed therein. Crew Member is aware that Producer is not affiliated with any union or guild, and warrants that his/her services are not being provided pursuant to a collective bargaining agreement. 2. COMPENSATION: Engagement hereunder is at an “at will” nature and is subject to termination without notice by either party. Provided Crew Member is not in material breach of this Agreement, in consideration of Crew Member’s services hereunder, Producer shall pay to Crew Member and Crew Member hereby accepts as complete consideration a payment of ________ Dollars ($_____). Producer will make available to Crew Member one (1) digital or DVD copy of the Picture, format being within the sole discretion of Producer, within thirty (30) days of the final assembly of the Picture, provided that Crew Member requests, in writing, said copy from Producer no sooner than ninety (90) days and no later than one hundred twenty (120) days after the completion of Crew Member’s services hereunder. 3. EXCLUSIVITY: Crew Member’s services shall be rendered to Producer on a non-exclusive but first priority basis while Crew Member is performing services for Producer pursuant to this Agreement. Crew Member shall be subject to the direction and control of Producer. Crew Member shall comply with all rules and regulations of Producer, including, without limitation, those set forth herein. 4. PURCHASES/RENTALS/EXPENSES: Purchases, rentals and expenses shall not be reimbursed without the prior written approval of Line Producer and/or UPM. Purchases and rentals must be made by purchase orders, unless otherwise authorized in writing in advance by the Line Producer and/or the UPM. 5. GUESTS TO THE SET/PHOTO/PUBLICITY: Crew Member shall not be permitted to bring any guest(s) to the set without the prior written approval of the Line Producer and/or UPM. No personal photography is permitted on or around the set. 6. DRUGS/ALCOHOL: The consumption of alcoholic beverages by Crew Member during working hours, and the use of non-prescribed controlled substance(s), is strictly prohibited and cause for immediate dismissal. 7. RECOVERABLE ITEMS: Crew Member shall be responsible for returning in a timely manner to Producer on or before completion of the Picture, all materials, equipment, and other items owned or rented by, or otherwise in the possession of Producer, its agents, assigns or licensees or purchased with Producer’s funds (“Recoverables”).   • 98. 2 Picture, including, without limitation, correspondence and documents, shall be the exclusive property of Producer and any disclosure or use thereof by Crew Member shall be deemed a material breach hereof. Recoverables shall include, without limitation, props, wardrobe, equipment, tools, materials, supplies and film stock. 8. NAME/VOICE/LIKENESS/BIO: Crew Member irrevocably grants Producer, its licensees, successors and assigns the right to use Crew Member’s name, voice, likeness, image and biography in connection with the exploitation and promotion of the Picture in any manner and any medium whatsoever (including, but not limited to, “behind- the-scenes” or “making of” films), in perpetuity and throughout the universe, without further compensation. 9. PRODUCT PLACEMENT: Product tie-ins or product placement are not to be made without prior written permission from Producer. 10. OWNERSHIP: All of the results and proceeds of Crew Member’s services are being specially ordered by Producer for use as part of a motion picture or audio-visual work and are a “work-made-for-hire” pursuant to 17 U.S.C 101 et seq., and Producer is the sole author and owner of all rights therein forever and for all purpose throughout the universe, including the right to make any changes. To the extent that Producer is not deemed the author and owner of all such results and proceeds, Crew Member hereby irrevocably assigns, in perpetuity and throughout the universe, the same to Producer. Crew Member hereby waives all moral rights, if any. 11. NO AUTHORITY. Crew Member acknowledges and agrees that Crew Member has no right or authority to and shall not employ any person to serve in any capacity, nor contract for the purchase or rental of any article or material, nor make any commitment or agreement whereby Producer shall be required to pay any monies or other consideration, or which shall otherwise obligate Producer, without Producer’s express prior written consent. 12. DAMAGES; EXCLUSIVE REMEDY: In the event of a breach of this Agreement by Producer, Crew Member’s sole remedy shall be an action at law for damages. In no event shall Crew Member be entitled to equitable or injunctive relief, and in no event shall Crew Member be entitled to rescind this Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. 13. CREDIT: Screen credit shall be at the sole discretion of the Producer. If credit is granted and provided Crew Member is not in breach of this Agreement, it shall be as set forth as listed herein above. Notwithstanding anything to the contrary contained herein, no casual or inadvertent failure of Producer to comply with the credit provisions hereof shall constitute a breach of this Agreement. Within a reasonable time after receipt of written notice from Crew Member specifying a failure to accord proper credit in accordance with this Paragraph, Producer shall use good faith efforts to cure prospectively any such failure with regard to positive prints and/or advertising materials created after the date of Producer’s receipt of such notice. Producer will contractually obligate third party licensees and sub-distributors with whom Producer is in privity of contract to comply with the credit obligations set forth herein, but shall not be responsible or liable to Crew Member for the failure of any such third party to comply with the same. 14. CONFIDENTIALITY: Crew Member agrees not to disclose any creative and/or material information whatsoever about this Agreement or the Picture (including, but not limited to, details of conversations or events that transpire duration of Crew Member’s engagement in connection with the Picture) without Producer’s prior written approval in each instance. Crew Member shall not issue nor permit others to issue information or statements (written or otherwise) concerning the Picture or any person or entity connected therewith. Crew Member agrees that Crew Member shall not sell any rights or stories to any third party to the extent that they relate to or include any information concerning the Picture, and further agrees not to participate in any manner in the preparation, production or drafting of any materials produced by third parties that relate to the Picture including, without limitation, books, magazine articles, newspaper articles, television shows, Internet websites and any other form of media, without the express prior written consent of Producer. Crew Member shall not make or authorize any photography, advertising or publicity in connection with the Picture without Producer’s prior written consent. 15. NO OBLIGATION: Nothing herein shall be deemed to obligate Producer to use Crew Member’s services, or the results of such services, in the Picture, or to produce, release or distribute the Picture or to continue the release and distribution of the Picture or to otherwise exploit any rights granted to Producer hereunder. Producer shall have fully discharged Producer’s obligations hereunder by payment of the compensation required hereunder.

ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties hereto relating to the subject matter herein contained, and all prior agreements between the parties have been, by this reference, merged herein. No representation or warranties have been made other than those expressly provided for herein. This Agreement may not be altered, modified, changed, rescinded or terminated in any way except by an instrument in writing signed by the parties hereto.   • 102. 2 Picture, including, without limitation, correspondence and documents, shall be the exclusive property of Producer and any disclosure or use thereof by Crew Member shall be deemed a material breach hereof. Recoverables shall include, without limitation, props, wardrobe, equipment, tools, materials, supplies and film stock. 8. NAME/VOICE/LIKENESS/BIO: Crew Member irrevocably grants Producer, its licensees, successors and assigns the right to use Crew Member’s name, voice, likeness, image and biography in connection with the exploitation and promotion of the Picture in any manner and any medium whatsoever (including, but not limited to, “behind- the-scenes” or “making of” films), in perpetuity and throughout the universe, without further compensation. 9. PRODUCT PLACEMENT: Product tie-ins or product placement are not to be made without prior written permission from Producer. 10. OWNERSHIP: All of the results and proceeds of Crew Member’s services are being specially ordered by Producer for use as part of a motion picture or audio-visual work and are a “work-made-for-hire” pursuant to 17 U.S.C 101 et seq., and Producer is the sole author and owner of all rights therein forever and for all purpose throughout the universe, including the right to make any changes. To the extent that Producer is not deemed the author and owner of all such results and proceeds, Crew Member hereby irrevocably assigns, in perpetuity and throughout the universe, the same to Producer. Crew Member hereby waives all moral rights, if any. 11. NO AUTHORITY. Crew Member acknowledges and agrees that Crew Member has no right or authority to and shall not employ any person to serve in any capacity, nor contract for the purchase or rental of any article or material, nor make any commitment or agreement whereby Producer shall be required to pay any monies or other consideration, or which shall otherwise obligate Producer, without Producer’s express prior written consent. 12. DAMAGES; EXCLUSIVE REMEDY: In the event of a breach of this Agreement by Producer, Crew Member’s sole remedy shall be an action at law for damages. In no event shall Crew Member be entitled to equitable or injunctive relief, and in no event shall Crew Member be entitled to rescind this Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. 13. CREDIT: Screen credit shall be at the sole discretion of the Producer. If credit is granted and provided Crew Member is not in breach of this Agreement, it shall be as set forth as listed herein above. Notwithstanding anything to the contrary contained herein, no casual or inadvertent failure of Producer to comply with the credit provisions hereof shall constitute a breach of this Agreement. Within a reasonable time after receipt of written notice from Crew Member specifying a failure to accord proper credit in accordance with this Paragraph, Producer shall use good faith efforts to cure prospectively any such failure with regard to positive prints and/or advertising materials created after the date of Producer’s receipt of such notice. Producer will contractually obligate third party licensees and sub-distributors with whom Producer is in privity of contract to comply with the credit obligations set forth herein, but shall not be responsible or liable to Crew Member for the failure of any such third party to comply with the same. 14. CONFIDENTIALITY: Crew Member agrees not to disclose any creative and/or material information whatsoever about this Agreement or the Picture (including, but not limited to, details of conversations or events that transpire duration of Crew Member’s engagement in connection with the Picture) without Producer’s prior written approval in each instance. Crew Member shall not issue nor permit others to issue information or statements (written or otherwise) concerning the Picture or any person or entity connected therewith. Crew Member agrees that Crew Member shall not sell any rights or stories to any third party to the extent that they relate to or include any information concerning the Picture, and further agrees not to participate in any manner in the preparation, production or drafting of any materials produced by third parties that relate to the Picture including, without limitation, books, magazine articles, newspaper articles, television shows, Internet websites and any other form of media, without the express prior written consent of Producer. Crew Member shall not make or authorize any photography, advertising or publicity in connection with the Picture without Producer’s prior written consent. 15. NO OBLIGATION: Nothing herein shall be deemed to obligate Producer to use Crew Member’s services, or the results of such services, in the Picture, or to produce, release or distribute the Picture or to continue the release and distribution of the Picture or to otherwise exploit any rights granted to Producer hereunder. Producer shall have fully discharged Producer’s obligations hereunder by payment of the compensation required hereunder.

Artist hereby acknowledges that all of the results and proceeds of Artist’s services hereunder shall constitute a "work- made-for-hire" specially commissioned by Producer, and Producer or Producer’s assignee shall own all such results and proceeds. Producer shall have the right to use Artist’s name and approved likeness with respect to distribution and exploitation of the Picture. Producer may make such use, if any, of the Picture and distribution of the Picture as Producer, in its sole discretion, shall deem appropriate. b. If Artist’s services are not recognized as a “work-made-for-hire,” Artist hereby irrevocably grants, sells and assigns to Producer, its successors and assigns, all of Artist’s rights, title and interest of any kind and nature, in and to the Picture, including, without limitation, all copyrights in connection therewith and all tangible and intangible properties with respect to the Picture, in perpetuity, whether in existence now or as may come into existence in the future. c. Artist waives the exercise of any “moral rights” and “droit moral” and any analogous rights however denominated now or hereafter recognized. All rights granted and agreed to be granted to Producer hereunder are irrevocable and shall vest and remain perpetually vested in Producer, its successors and assigns, whether this Agreement expires in normal course or is sooner terminated, and shall not be subject to rescission by Artist for any cause whatsoever. 8. APPROVALS AND CONTROLS: Producer shall solely have all approvals and controls of all kinds and nature, with respect to the Project, including, but not limited to, all decisions involving artistic taste and judgment. As such, Producer is under no obligation to include Artist in the final cut of the Picture. 9. MISCELLANEOUS: a. Indemnification. Artist shall indemnify and defend Producer from and against any and all claims and damages, including reasonable attorney’s fees and costs, arising out of a breach of Artist’s warranties, covenants, representations or agreements as provided herein to the extent such claim or damage does not arise out of a breach by Producer. b. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Venue for any and all disputes arising out of or related to this Agreement shall properly lie in Orange County, Florida. Artist hereby submits to the personal jurisdiction of the State and Federal courts of Orange County, Florida. c. Limitation of Damages. In the event of a breach of this Agreement by Producer, Artist’s damages shall be limited to the amount of compensation payable to Artist under this Agreement, and under no circumstances shall Artist be eligible to receive special, punitive, or consequential damages. Artist’s sole remedy, if any, shall be an action at law for damages, and in no event shall Artist be entitled to injunctive or equitable relief, and in no event shall Artist be entitled to rescind this Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. Artist waives any and all right to file suit against the individual persons associated with this Agreement, and further agrees that Artist’s sole remedy, if any, shall be recoverable only from Full Sail, LLC. d. Assignment. Artist may not assign his/her rights or obligations hereunder without the prior written consent of Producer. Producer may freely assign its rights and obligations hereunder. TERM: The term of Artist’s services shall commence on the date of execution of this Agreement, and shall continue until the full and satisfactory completion of all services to be rendered by Artist hereunder or the earlier termination of this Agreement. 3. COMPENSATION: Provided Artist is not in material breach of this Agreement, in consideration of Artist’s services hereunder, Producer shall pay to Artist and Artist hereby accepts as full and complete consideration a payment of ____One____ Dollars ($___1.00__). Artist shall not be entitled to, nor will be paid, residuals, royalties, deferred or contingent compensation, or any other post-term compensation of any kind or nature. Producer will make available to Artist one (1) digital or DVD copy of the Picture, format being within the sole discretion of Producer, within thirty (30) days of the final assembly of the Picture, provided that Artist requests, in writing, said copy from Producer no sooner than ninety (90) days and no later than one hundred twenty (120) days after the completion of Artist’s services hereunder. 4. Within a reasonable time after receipt of written notice from Artist specifying a failure to accord proper credit in accordance with this Paragraph, Producer shall use good faith efforts to cure prospectively any such failure with regard to positive prints and/or advertising materials created after the date of Producer’s receipt of such notice. Producer will contractually obligate third party licensees and sub-distributors with whom Producer is in privity of contract to comply with the credit obligations set forth herein, but shall not be responsible or liable to Artist for the failure of any such third party to comply with the same. 5. PUBLICITY AND PROMOTION: Producer has the unlimited right to use the name, voice, image and likeness of Artist in conjunction with the Picture, to promote and advertise the Picture, and to include the name, voice, image and likeness of Artist in any media now known or later developed and/or in an extra or bonus materials, such as “behind the scenes” and “making of.” No product endorsement may be implied without the prior consent of Artist first being obtained. 6. REPRESENTATIONS AND WARRANTIES: Artist represents and warrants that he/she is free to enter into this Agreement and will not do or permit any act which will interfere with or derogate from the full performance of Artist’s services NON-SAG Talent Agreement

Artist warrants that he/she has full capacity to grant the rights described hereinabove, and is under no encumbrance, legal, contractual, or otherwise, that would impair the rights granted herein. Artist is aware that that Producer is not affiliated with the Screen Actor’s Guild (SAG) and that the Picture is a non-SAG project. 7. WORK-MADE-FOR-HIRE: a. Artist hereby acknowledges that all of the results and proceeds of Artist’s services hereunder shall constitute a "work- made-for-hire" specially commissioned by Producer, and Producer or Producer’s assignee shall own all such results and proceeds. Producer shall have the right to use Artist’s name and approved likeness with respect to distribution and exploitation of the Picture. Producer may make such use, if any, of the Picture and distribution of the Picture as Producer, in its sole discretion, shall deem appropriate. b. If Artist’s services are not recognized as a “work-made-for-hire,” Artist hereby irrevocably grants, sells and assigns to Producer, its successors and assigns, all of Artist’s rights, title and interest of any kind and nature, in and to the Picture, including, without limitation, all copyrights in connection therewith and all tangible and intangible properties with respect to the Picture, in perpetuity, whether in existence now or as may come into existence in the future. c. Artist waives the exercise of any “moral rights” and “droit moral” and any analogous rights however denominated now or hereafter recognized. All rights granted and agreed to be granted to Producer hereunder are irrevocable and shall vest and remain perpetually vested in Producer, its successors and assigns, whether this Agreement expires in normal course or is sooner terminated, and shall not be subject to rescission by Artist for any cause whatsoever. 8. APPROVALS AND CONTROLS: Producer shall solely have all approvals and controls of all kinds and nature, with respect to the Project, including, but not limited to, all decisions involving artistic taste and judgment. As such, Producer is under no obligation to include Artist in the final cut of the Picture. 9. MISCELLANEOUS: a. Indemnification. Artist shall indemnify and defend Producer from and against any and all claims and damages, including reasonable attorney’s fees and costs, arising out of a breach of Artist’s warranties, covenants, representations or agreements as provided herein to the extent such claim or damage does not arise out of a breach by Producer. b. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Venue for any and all disputes arising out of or related to this Agreement shall properly lie in Orange County, Florida. Artist hereby submits to the personal jurisdiction of the State and Federal courts of Orange County, Florida. c. Limitation of Damages. In the event of a breach of this Agreement by Producer, Artist’s damages shall be limited to the amount of compensation payable to Artist under this Agreement, and under no circumstances shall Artist be eligible to receive special, punitive, or consequential damages. Artist’s sole remedy, if any, shall be an action at law for damages, and in no event shall Artist be entitled to injunctive or equitable relief, and in no event shall Artist be entitled to rescind this Agreement or enjoin or restrain the development, production, distribution or exploitation of the Picture. Artist waives any and all right to file suit against the individual persons associated with this Agreement, and further agrees that Artist’s sole remedy, if any, shall be recoverable only from Full Sail, LLC. d. Assignment. Artist may not assign his/her rights or obligations hereunder without the prior written consent of Producer. Producer may freely assign its rights and obligations hereunder. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns. e. This Agreement may be signed in counterparts. Facsimile and scanned copies shall be deemed originals for all purposes. f. The parties hereto agree to sign such other documents, do and perform and cause to be done and performed such further and other acts consistent herewith as may be necessary or desirable in order to give full effect to this Agreement. g. This Agreement constitutes the entire agreement between the parties hereto with respect to all of the matters herein

The determination that any provision of this Agreement is invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be valid and enforceable to the fullest extent permitted by law. Failure of either party to require the performance of any term in this Agreement or the waiver by either party of any breach shall not prevent subsequent enforcement of such term nor be deemed a waiver of any subsequent breach. h.
