US based Software firm carries out efficient
Prospecting, Due-Diligence and Deal Management
with MergerWare
Business Challenges
The client was an acquirer and needed a solution to help with their deal purchase decision-making and
task management. Their decisions were dependent on many factors, based on their acquisition strategy
and strategic intent. The firm used a pre-defined template in an excel sheet with complex formulae to
help in their decision-making on buy, integration and restructuring and they needed a tool that could
help them streamline the process, give them greater control on the activities and potential risks, along
with predictive tools that could help reporting to senior management easier – facilitating faster decision
making.
Proposed Solution
MergerWare proposed to add new capabilities to accommodate the needs of the customer. The new
capability helped the client initiate a new project in either Buy, Integrate or Restructure stages. The
embedded playbook templates for the various stages of M&A, helped them immensely, as the client did
not have a pre-defined playbook.
They auto-import feature saved the client valuable time and effort facilitating them to go into action
mode almost right out of the box. Prior to import of the playbook, the users needed to enter critical
information on the deal. The platforms unique features convert excel sheet calculation from several
pages to few lines of actions that saved the client time and helped minimize the risk of human error.
The platform divides the tasks based on departments. The embedded templates that are department
specific are tailor made to suit all roles and tasks from operations, HR to marketing and finance. This
helped the client company manage all their work on one collaborative platform helping faster decision
making, risk aversion and complete control on the deal.
Business Benefits
• The client was able to download the playbook template from the platform directly thus saving them
time and effort.
• Before importing the playbook, the user was asked to provide information regarding tier, nature of
deal and closing date of deal that helped them to automate most of decisions through MergerWare
and does not required other intervention at all.
• M&A life cycle end-dates were calculated based on the formulae integrated within MergerWare
which was one of critical decision points for the deal.
• The platform with its unique functionality of being able to on-board external stakeholders facilitated
easier control on document sharing, along with regular updates on work status.
• Using MergerWare, the client was able to take time-bound tactical and strategic decision which led
to increased margins and profitability.
• The solution provided to the client access to a centralized repository for documents to store and
exchange information and complete visibility of progress on the project
The client was thus able to avoid time consuming efforts, they saw almost immediate positives in
efficiency of the team. The team worked collaboratively and re-focused on critical functions. The client
conducted the most effective and efficient integration leading to greater collaboration and realized
synergies.

US Firm Streamlines M&A Process with MergerWare

US based Software firm carries out efficient Prospecting, Due-Diligence and Deal Management with MergerWare Business Challenges The client was an acquirer and needed a solution to help with their deal purchase decision-making and task management. Their decisions were dependent on many factors, based on their acquisition strategy and strategic intent. The firm used a pre-defined template in an excel sheet with complex formulae to help in their decision-making on buy, integration and restructuring and they needed a tool that could help them streamline the process, give them greater control on the activities and potential risks, along with predictive tools that could help reporting to senior management easier – facilitating faster decision making. Proposed Solution MergerWare proposed to add new capabilities to accommodate the needs of the customer. The new capability helped the client initiate a new project in either Buy, Integrate or Restructure stages. The embedded playbook templates for the various stages of M&A, helped them immensely, as the client did not have a pre-defined playbook. They auto-import feature saved the client valuable time and effort facilitating them to go into action mode almost right out of the box. Prior to import of the playbook, the users needed to enter critical information on the deal. The platforms unique features convert excel sheet calculation from several pages to few lines of actions that saved the client time and helped minimize the risk of human error. The platform divides the tasks based on departments. The embedded templates that are department specific are tailor made to suit all roles and tasks from operations, HR to marketing and finance. This helped the client company manage all their work on one collaborative platform helping faster decision making, risk aversion and complete control on the deal. Business Benefits • The client was able to download the playbook template from the platform directly thus saving them time and effort. • Before importing the playbook, the user was asked to provide information regarding tier, nature of deal and closing date of deal that helped them to automate most of decisions through MergerWare and does not required other intervention at all. • M&A life cycle end-dates were calculated based on the formulae integrated within MergerWare which was one of critical decision points for the deal. • The platform with its unique functionality of being able to on-board external stakeholders facilitated easier control on document sharing, along with regular updates on work status. • Using MergerWare, the client was able to take time-bound tactical and strategic decision which led to increased margins and profitability. • The solution provided to the client access to a centralized repository for documents to store and exchange information and complete visibility of progress on the project The client was thus able to avoid time consuming efforts, they saw almost immediate positives in efficiency of the team.
