www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.

Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.

Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder
Putting the SPARK into Virtual Training.pptxCynthia Clay
This 60-minute webinar, sponsored by Adobe, was delivered for the Training Mag Network. It explored the five elements of SPARK: Storytelling, Purpose, Action, Relationships, and Kudos. Knowing how to tell a well-structured story is key to building long-term memory. Stating a clear purpose that doesn't take away from the discovery learning process is critical. Ensuring that people move from theory to practical application is imperative. Creating strong social learning is the key to commitment and engagement. Validating and affirming participants' comments is the way to create a positive learning environment.

Question Four
1. How did you use media
technologies in the
construction and
research planning and
evaluation stages?
2. WHAT DID I USE?
• Wix
• Final Cut Pro
• Motion
• Garage Band
• Photoshop
• Illustrator
• You tube
• Prezi
• Canon 700d
• Tripod
3. WI
X
I used Wix through my A2 year to present my work that I have done. Having access to Wix
has made my coursework more interesting and exciting for both me and other people to
view.
FINAL CUT
PROWe used Final Cut Pro to do the editing for our film SMS. Using this type of software
was difficult at times with certain areas of editing, for example the timing with the text
messages on screen. However, after a couple of hours of getting used to the software,
we got the hang of it and it started to become more easier to edit. Seeing as none of us
had much experience with it before, we didn’t think it was that bad.
MOTIO
NTo create our ident, we used Motion. The first step of making our ident was on
paper where we put down as many ideas as we could think of that would fit with
our production name Left Click Productions. After we had done this, we then
went onto Motion and started playing around with different effects that would
make a final ident for our production company.
4. GARAGE BAND
Garage Band was used to edit the music for our film. Before using Garage Band we had
some trouble with the music and making it flow within certain parts of our film. Both me
and the rest of my group had decided that we only wanted the chorus of the song
repeated throughout the short film because it had the most meaning and linked in well
with what was happening. After we had decided to do this, we transferred the whole
song into this software and started to cut the music to exactly where we wanted it to be.
Once again, it was a challenge to try use Garage Band as none of us had experience with
it but having the help from our teacher, we understood it quickly.
PHOTOSHOP & ILLUSTRATOR
Using both Photoshop and Illustrator wasn’t as hard as the other software's that we
used. Having more then 3 of us have experience with these, we flew through the
process and didn’t struggle as much. For both our ancillary tasks, we used Photoshop.
When making our film poster and film review we made sure that it was simple yet
inviting for the audience to view and be interested in.
When in the process of making our ident, we used Illustrator. We did this by playing
around with different tools and using different designs to see which one would best
suit us.
5. YOUT
UBEUsing YouTube was a big part within the creation of our short film. At first, we used it to
research into the Social Realism genre to find out certain things, for example the way the
film is being shot and how it comes across to the audience. After some time, we began to
use YouTube to upload different drafts for our film so we could transfer them onto our
wix. Without having Youtube, it would have been hard for us to present all our work.
CAMERA - TRIPOD -
MICROPHONE
Using the camera was a very simple task for us, all the members in my group have had
experience with filming and know how to handle the process of doing it. The camera
we had got given to shoot this film was different to what we had previously had. The
quality was more higher which meant that we had to be even more careful and make
sure that the camera is in focus at all times. The tripod was also another simple process
for us as we have used it many times before. Also, We all knew how to set the tripod
up and make sure that it was secure enough for the camera to be placed on top of it.
The only problem we had when filming was the microphone. At first we didn’t realise
that we didn’t have it turned on so we had to go back and re shoot certain shots that
was important. On the other hand, when we did have the microphone on, it picked up
loads of sounds that we didn’t want.
6. EVALUATI
ONIn Question One, I used Wix to layout my answer. I did this because I like the fact
that it gets presented simply for people to use and it’s not to complicated. Also, even
though its only text on a page, it still looks professional.
In Question Two, I used Prezi to present my work. I think that Prezi is a good way to
lay out your work if you want it to look simple yet intriguing.. Having used Prezi
many times now, I think that I am more then confident in using the software. Its very
easy to use as you can pick from many templates and all you have to do is write
within the slides.
For Question Three, I again used the layout of Wix to present my work. For this
question I thought that it was best seeing as there was many things that I needed to
lay out and it looks more simple if it was all on one page rather then scattered across
loads of different slides and make it hard to see.
In Question Four, I used PowerPoint. PowerPoint is good for having loads of points to
make and wanting to write loads about certain things. To upload this onto my Wix, I
used Slide Share.
