252.203-7002 Requirement to Inform Employees of Whistleblower Rights
(a) The Contractor shall inform its employees in writing, in the predominant native language of the workforce, of
contractor employee whistleblower rights and protections under 10 U.S.C. 2409, as described in subpart 203.9 of
the Defense Federal Acquisition Regulation Supplement.
(b) The Contractor shall include the substance of this clause, including this paragraph (b), in all subcontracts.

252.204-7015 Notice of Authorized Disclosure of Information for Litigation Support
(b) Notice of authorized disclosures. Notwithstanding any other provision of this solicitation or contract, the
Government may disclose to a litigation support contractor, for the sole purpose of litigation support activities,
any information, including sensitive information, received—
(1) Within or in connection with a quotation or offer; or
(2) In the performance of or in connection with a contract.
(c) Flowdown. Include the substance of this clause, including this paragraph (c), in all subcontracts, including
subcontracts for commercial items.

(b) The Contractor shall comply with all applicable laws and regulations regarding export-controlled items,
including, but not limited to, the requirement for contractors to register with the Department of State in
accordance with the ITAR. The Contractor shall consult with the Department of State regarding any questions
relating to compliance with the ITAR and shall consult with the Department of Commerce regarding any questions
relating to compliance with the EAR.
(c) The Contractor's responsibility to comply with all applicable laws and regulations regarding export-controlled
items exists independent of, and is not established or limited by, the information provided by this clause.

252.227-7015 Technical Data – Commercial Items
(b) License. (1) The Government shall have the unrestricted right to use, modify, reproduce, release, perform,
display, or disclose technical data, and to permit others to do so, that—
(i) Have been provided to the Government or others without restrictions on use, modification, reproduction,
release, or further disclosure other than a release or disclosure resulting from the sale, transfer, or other
assignment of interest in the technical data to another party or the sale or transfer of some or all of a
business entity or its assets to another party;
(ii) Are form, fit, and function data;
(iii) Are a correction or change to technical data furnished to the Contractor by the Government;
(iv) Are necessary for operation, maintenance, installation, or training (other than detailed manufacturing or
process data); or
(v) Have been provided to the Government under a prior contract or licensing agreement through which the
Government has acquired the rights to use, modify, reproduce, release, perform, display, or disclose the data
without restrictions.

227.227-7037 Validation of Restrictive Markings on Technical Data
(b) Presumption regarding development exclusively at private expense—
(1) Commercial items. (i) Except as provided in paragraph (b)(2) of this clause, the Contracting Officer will
presume that the Contractor's or a subcontractor's asserted use or release restrictions with respect to a
commercial item is justified on the basis that the item was developed exclusively at private expense.

(c) Justification. The Contractor or subcontractor at any tier is responsible for maintaining records sufficient to
justify the validity of its markings that impose restrictions on the Government and others to use, duplicate, or
disclose technical data delivered or required to be delivered under the contract or subcontract. Except as provided
in paragraph (b)(1) of this clause, the Contractor or subcontractor shall be prepared to furnish to the Contracting
Officer a written justification for such restrictive markings in response to a challenge under paragraph (e) of this
clause.

227.244-7000 Subcontracts for Commercial Items
(a) The Contractor is not required to flow down the terms of any Defense Federal Acquisition Regulation
Supplement (DFARS) clause in subcontracts for commercial items at any tier under this contract, unless so
specified in the particular clause.
(b) While not required, the Contractor may flow down to subcontracts for commercial items a minimal number of
additional clauses necessary to satisfy its contractual obligation.

252.204-7008 Compliance with safeguarding covered defense information controls
By submission of this offer, the Offeror represents that it will implement the security requirements specified
by National Institute of Standards and Technology (NIST) Special Publication (SP) 800–171, “Protecting
Controlled Unclassified Information in Nonfederal Information Systems and Organizations” (see
http://dx.doi.org/10.6028/NIST.SP.800–171) that are in effect at the time the solicitation is issued or as
authorized by the contracting officer, not later than December 31, 2017.
If the Offeror proposes to vary from any of the security requirements specified by NIST SP 800–171 . . . the
Offeror shall submit to the Contracting Officer, for consideration by the DoD Chief Information Officer (CIO), a
written explanation of—
• (A) Why a particular security requirement is not applicable; or
• (B) How an alternative but equally effective, security measure is used to compensate for the inability
to satisfy a particular requirement and achieve equivalent protection.

252.204-7012 Safeguarding covered defense information and cyber incident reporting
(b) Adequate security. The Contractor shall provide adequate security on all covered contractor information
systems. To provide adequate security, the Contractor shall implement, at a minimum, the following information
security protections:

(2) For covered contractor information systems that are not part of an IT service or system operated on behalf of
the Government and therefore are not subject to the security requirement specified at paragraph (b)(1) of this
clause, the following security requirements apply:
(i) Except as provided in paragraph (b)(2)(ii) of this clause, the covered contractor information system shall be
subject to the security requirements in National Institute of Standards and Technology (NIST) Special Publication
(SP) 800–171, “Protecting Controlled Unclassified Information in Nonfederal Information Systems and
Organizations” (available via the internet at http://dx.doi.org/10.6028/NIST.SP.800–171) in effect at the time the
solicitation is issued or as authorized by the Contracting Officer.

(m) Subcontracts. The Contractor shall—
(1) Include this clause, including this paragraph (m), in subcontracts, or similar contractual instruments, for
operationally critical support, or for which subcontract performance will involve covered defense information,
including subcontracts for commercial items, without alteration, except to identify the parties. The Contractor
shall determine if the information required for subcontractor performance retains its identity as covered
defense information and will require protection under this clause, and, if necessary, consult with the
Contracting Officer. . .

252.204–7020 NIST SP 800–171 DoD Assessment Requirements
(b) Applicability. This clause applies to covered contractor information systems that are required to comply with
the National Institute of Standards and Technology (NIST) Special Publication (SP) 800–171, in accordance with
Defense Federal Acquisition Regulation System (DFARS) clause at 252.204–7012, Safeguarding Covered Defense
Information and Cyber Incident Reporting, of this contract.
(c) Requirements. The Contractor shall provide access to its facilities, systems, and personnel necessary for the
Government to conduct a Medium or High NIST SP 800–171 DoD Assessment, as described in NIST SP 800–171
DoD Assessment Methodology at

252.204–7020 NIST SP 800–171 DoD Assessment Requirements – cont’d
(g) Subcontracts.
(1) The Contractor shall insert the substance of this clause, including this paragraph (g), in all subcontracts and
other contractual instruments, including subcontracts for the acquisition of commercial items (excluding COTS
items).
(2) The Contractor shall not award a subcontract or other contractual instrument, that is subject to the
implementation of NIST SP 800–171 security requirements, in accordance with DFARS clause 252.204–7012 of
this contract, unless the subcontractor has completed, within the last 3 years, at least a Basic NIST SP 800–171
DoD Assessment, as described in

252.204–7021 Contractor Compliance with the Cybersecurity Maturity Model Certification Level Requirement
(b) Requirements. The Contractor shall have a current (i.e. not older than 3 years) CMMC certificate at the CMMC
level required by this contract and maintain the CMMC certificate at the required level for the duration of the
contract.
(c) Subcontracts. The Contractor shall—
(1) Insert the substance of this clause, including this paragraph (c), in all subcontracts and other contractual
instruments, including subcontracts for the acquisition of commercial items, excluding commercially
available off-the-shelf items; and
(2) Prior to awarding to a subcontractor, ensure that the subcontractor has a current (i.e., not older than 3
years) CMMC certificate at the CMMC level that is appropriate for the information that is being flowed down
to the subcontractor.

252.204–7018 Prohibition on the Acquisition of Covered Defense Telecommunications Equipment or Services
(b) Prohibition. In accordance with section 1656 of the National Defense Authorization Act for Fiscal Year 2018
(Pub.L. 115–91), the contractor shall not provide to the Government any equipment, system, or service to carry
out covered missions that uses covered defense telecommunications equipment or services as a substantial or
essential component of any system, or as critical technology as part of any system, unless the covered defense
telecommunication equipment or services are covered by a waiver described in Defense Federal Acquisition
Regulation Supplement 204.2104.

252.225–7001 Buy American and Balance of Payments Program
(b) This clause implements Buy American. In accordance with 41 U.S.C. 1907, the component test of the Buy
American statute is waived for an end product that is a COTS item (see section 12.505(a)(1) of the Federal
Acquisition Regulation). Unless otherwise specified, this clause applies to all line items in the contract.
(c) The Contractor shall deliver only domestic end products unless, in its offer, it specified delivery of other end
products in the Buy American—Balance of Payments Program Certificate provision of the solicitation. If the
Contractor certified in its offer that it will deliver a qualifying country end product, the Contractor shall deliver a
qualifying country end product or, at the Contractor's option, a domestic end product.

(2)(i) Offers of U.S.–made, qualifying country, or designated country end products from responsive,
responsible offerors are either not received or are insufficient to fill the Government's requirements; or (ii) A

252.209–7004 Subcontracting with Firms that Are Owned or Controlled by the Government of a Country that is
a State Sponsor of Terrorism
(a) Unless the Government determines that there is a compelling reason to do so, the Contractor shall not enter
into any subcontract in excess of the threshold specified in Federal Acquisition Regulation 9.405–2(b) on the date
of subcontract award with a firm, or a subsidiary of a firm, that is identified in the Exclusions section of the
System for Award Management System (SAM Exclusions) as being ineligible for the award of Defense contracts or
subcontracts because it is owned or controlled by the government of a country that is a state sponsor of
terrorism.
(b) A corporate officer or a designee of the Contractor shall notify the Contracting Officer, in writing, before
entering into a subcontract with a party that is identified, in SAM Exclusions, as being ineligible for the award of
Defense contracts or subcontracts because it is owned or controlled by the government of a country that is a state
sponsor of terrorism. The notice must include the name of the proposed subcontractor and the compelling
reason(s) for doing business with the subcontractor notwithstanding its inclusion in SAM Exclusions.

252.219–7004 Small Business Subcontracting Plan (Test Program)
(b) Test Program. The Contractor's comprehensive small business subcontracting plan and its successors, which
are authorized by and approved under the Test Program of 15 U.S.C. 637 note, as amended, shall be included in
and made a part of this contract. Upon expulsion from the Test Program or expiration of the Test Program, the
Contractor shall negotiate an individual subcontracting plan for all future contracts that meet the requirements
of 15 U.S.C. 637(d).

(e) Failure to comply. The failure of the Contractor or subcontractor to comply in good faith with the clause of this
contract entitled “Utilization of Small Business Concerns,” or an approved plan required by this clause, shall be a
material breach of the contract.

252.203–7000 Requirements Relating to Compensation of Former DoD Officials
(b) The Contractor shall not knowingly provide compensation to a covered DoD official within 2 years after the
official leaves DoD service, without first determining that the official has sought and received, or has not received

(b) Any individual who is convicted after September 29, 1988, of fraud or any other felony arising out of a
contract with the DoD is prohibited from serving—

(2) On the board of directors of the Contractor;
(3) As a consultant, agent, or representative for the Contractor; or
(4) In any other capacity with the authority to influence, advise, or control the decisions of the Contractor
with regard to this contract.

(1)(i) The Contractor shall display prominently the DoD fraud, waste, and abuse hotline poster prepared by the
DoD Office of the Inspector General, in effect at time of contract award, in common work areas within business
segments performing work under Department of Defense (DoD) contracts.
(2) If the contract is funded, in whole or in part, by Department of Homeland Security (DHS) disaster relief funds
and the work is to be performed in the United States, the DHS fraud hotline poster shall be displayed in addition
to the DoD hotline poster. . .

(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in all

(b) Training. Contractor personnel who require routine physical access to a Federally-controlled facility or military
installation shall complete Level I antiterrorism awareness training within 30 days of requiring access and
annually thereafter. In accordance with Department of Defense Instruction O–2000.16 Volume 1, DoD
Antiterrorism (AT) Program Implementation: DoD AT Standards, Level I antiterrorism awareness training shall be
completed—
(1) Through a DoD–sponsored and certified computer or web-based distance learning instruction for Level I
antiterrorism awareness; or
(2) Under the instruction of a Level I antiterrorism awareness instructor.

252.223–7004 Drug–free work force
(b) The Contractor agrees to institute and maintain a program for achieving the objective of a drug-free work
force. While this clause defines criteria for such a program, contractors are encouraged to implement alternative
approaches comparable to the criteria in paragraph (c) that are designed to achieve the objectives of this clause
.
(c) Contractor programs shall include the following, or appropriate alternatives:
(1) Employee assistance programs emphasizing high level direction, education, counseling, rehabilitation,
and coordination with available community resources;
(2) Supervisory training to assist in identifying and addressing illegal drug use by Contractor employees;
(3) Provision for self-referrals as well as supervisory referrals to treatment with maximum respect for
individual confidentiality consistent with safety and security issues;
(4) Provision for identifying illegal drug users, including testing on a controlled and carefully monitored basis.

(b) Government rights to contract award. By submission of its offer, the Offeror agrees that the Government—
(1) May reproduce the bid or proposal, or any portions thereof, to the extent necessary to evaluate the offer.
(2) Except as provided in paragraph (d) of this clause, shall use information contained in the bid or proposal
only for evaluational purposes and shall not disclose, directly or indirectly, such information to any person
including potential evaluators, unless that person has been authorized by the head of the agency, his or her
designee, or the Contracting Officer to receive such information.
(c) Government rights subsequent to contract award. The Contractor agrees—
(1) Except as provided in paragraphs (c)(2), (d), and (e) of this clause, the Government shall have the rights to
use, modify, reproduce, release, perform, display, or disclose information contained in the Contractor's bid or
proposal within the Government. The Government shall not release, perform, display, or disclose such
information outside the Government without the Contractor's written permission.

The Government shall have unlimited rights, in all drawings, designs, specifications, notes and other works
developed in the performance of this contract, including the right to use same on any other Government design or
construction without additional compensation to the Contractor. The Contractor hereby grants to the
Government a paid-up license throughout the world to all such works to which he may assert or establish any
claim under design patent or copyright laws. The Contractor for a period of three (3) years after completion of the
project agrees to furnish the original or copies of all such works on the request of the Contracting Officer.

(b) The Contractor shall include the substance of this clause, including this paragraph (b), in all subcontracts.

The Contractor shall consult with the Department of State regarding any questions relating to compliance with the ITAR and shall consult with the Department of Commerce regarding any questions relating to compliance with the EAR. (c) The Contractor's responsibility to comply with all applicable laws and regulations regarding export-controlled items exists independent of, and is not established or limited by, the information provided by this clause. * * * (e) The Contractor shall include the substance of this clause, including this paragraph (e), in all subcontracts.

(1) The Government shall have the unrestricted right to use, modify, reproduce, release, perform, display, or disclose technical data, and to permit others to do so, that— (i) Have been provided to the Government or others without restrictions on use, modification, reproduction, release, or further disclosure other than a release or disclosure resulting from the sale, transfer, or other assignment of interest in the technical data to another party or the sale or transfer of some or all of a business entity or its assets to another party; (ii) Are form, fit, and function data; (iii) Are a correction or change to technical data furnished to the Contractor by the Government; (iv) Are necessary for operation, maintenance, installation, or training (other than detailed manufacturing or process data); or (v) Have been provided to the Government under a prior contract or licensing agreement through which the Government has acquired the rights to use, modify, reproduce, release, perform, display, or disclose the data without restrictions.

DFARS – 2021 - Defense Federal Acquisition Regulation Supplement JSchaus & Associates – Washington DC – hello@JenniferSchaus.com DFARS Part #252 227.227-7037 Validation of Restrictive Markings on Technical Data (b) Presumption regarding development exclusively at private expense— (1) Commercial items. (i) Except as provided in paragraph (b)(2) of this clause, the Contracting Officer will presume that the Contractor's or a subcontractor's asserted use or release restrictions with respect to a commercial item is justified on the basis that the item was developed exclusively at private expense. * * * (c) Justification. The Contractor or subcontractor at any tier is responsible for maintaining records sufficient to justify the validity of its markings that impose restrictions on the Government and others to use, duplicate, or disclose technical data delivered or required to be delivered under the contract or subcontract. Except as provided in paragraph (b)(1) of this clause, the Contractor or subcontractor shall be prepared to furnish to the Contracting Officer a written justification for such restrictive markings in response to a challenge under paragraph (e) of this clause.

DFARS – 2021 - Defense Federal Acquisition Regulation Supplement JSchaus & Associates – Washington DC – hello@JenniferSchaus.com DFARS Part #252 252.204-7008 Compliance with safeguarding covered defense information controls By submission of this offer, the Offeror represents that it will implement the security requirements specified by National Institute of Standards and Technology (NIST) Special Publication (SP) 800–171, “Protecting Controlled Unclassified Information in Nonfederal Information Systems and Organizations” (see http://dx.doi.org/10.6028/NIST.SP.800–171) that are in effect at the time the solicitation is issued or as authorized by the contracting officer, not later than December 31, 2017. If the Offeror proposes to vary from any of the security requirements specified by NIST SP 800–171 . . . the Offeror shall submit to the Contracting Officer, for consideration by the DoD Chief Information Officer (CIO), a written explanation of— • (A) Why a particular security requirement is not applicable; or • (B) How an alternative but equally effective, security measure is used to compensate for the inability to satisfy a particular requirement and achieve equivalent protection.

The Contractor shall provide adequate security on all covered contractor information systems. To provide adequate security, the Contractor shall implement, at a minimum, the following information security protections: * * * (2) For covered contractor information systems that are not part of an IT service or system operated on behalf of the Government and therefore are not subject to the security requirement specified at paragraph (b)(1) of this clause, the following security requirements apply: (i) Except as provided in paragraph (b)(2)(ii) of this clause, the covered contractor information system shall be subject to the security requirements in National Institute of Standards and Technology (NIST) Special Publication (SP) 800–171, “Protecting Controlled Unclassified Information in Nonfederal Information Systems and Organizations” (available via the internet at http://dx.doi.org/10.6028/NIST.SP.800–171) in effect at the time the solicitation is issued or as authorized by the Contracting Officer.

The Contractor shall— (1) Include this clause, including this paragraph (m), in subcontracts, or similar contractual instruments, for operationally critical support, or for which subcontract performance will involve covered defense information, including subcontracts for commercial items, without alteration, except to identify the parties. The Contractor shall determine if the information required for subcontractor performance retains its identity as covered defense information and will require protection under this clause, and, if necessary, consult with the Contracting Officer. . .

This clause applies to covered contractor information systems that are required to comply with the National Institute of Standards and Technology (NIST) Special Publication (SP) 800–171, in accordance with Defense Federal Acquisition Regulation System (DFARS) clause at 252.204–7012, Safeguarding Covered Defense Information and Cyber Incident Reporting, of this contract. (c) Requirements. The Contractor shall provide access to its facilities, systems, and personnel necessary for the Government to conduct a Medium or High NIST SP 800–171 DoD Assessment, as described in NIST SP 800–171 DoD Assessment Methodology at https://www.acq.osd.mil/dpap/pdi/cyber/strategically_assessing_contractor_implementation_of_NIST_SP_800– 171.html, if necessary.

(1) The Contractor shall insert the substance of this clause, including this paragraph (g), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items (excluding COTS items). (2) The Contractor shall not award a subcontract or other contractual instrument, that is subject to the implementation of NIST SP 800–171 security requirements, in accordance with DFARS clause 252.204–7012 of this contract, unless the subcontractor has completed, within the last 3 years, at least a Basic NIST SP 800–171 DoD Assessment, as described in https://www.acq.osd.mil/dpap/pdi/cyber/strategically_assessing_contractor_implementation_of_NIST_SP_800– 171.html, for all covered contractor information systems relevant to its offer that are not part of an information technology service or system operated on behalf of the Government. . .

DFARS – 2021 - Defense Federal Acquisition Regulation Supplement JSchaus & Associates – Washington DC – hello@JenniferSchaus.com DFARS Part #252 252.204–7021 Contractor Compliance with the Cybersecurity Maturity Model Certification Level Requirement (b) Requirements. The Contractor shall have a current (i.e. not older than 3 years) CMMC certificate at the CMMC level required by this contract and maintain the CMMC certificate at the required level for the duration of the contract. (c) Subcontracts. The Contractor shall— (1) Insert the substance of this clause, including this paragraph (c), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items, excluding commercially available off-the-shelf items; and (2) Prior to awarding to a subcontractor, ensure that the subcontractor has a current (i.e., not older than 3 years) CMMC certificate at the CMMC level that is appropriate for the information that is being flowed down to the subcontractor.

However, if the Government desires to obtain additional rights in technical data, the Contractor agrees to promptly enter into negotiations with the Contracting Officer to determine whether there are acceptable terms for transferring such rights. All technical data in which the Contractor has granted the Government additional rights shall be listed or described in a special license agreement made part of this contract. The license shall enumerate the additional rights granted the Government in such data. (d) Release from liability.
