DuPont will divest certain crop protection assets and acquire FMC's Health & Nutrition business in transactions contingent on the DowDuPont merger. DuPont will sell cereal herbicides and insecticides as well as crop protection R&D to FMC for $1.4 billion in sales. In exchange, DuPont will acquire FMC's Health & Nutrition business including food ingredients and pharmaceutical excipients for $707 million in sales. DuPont will receive $1.625 billion from FMC reflecting the difference in asset values. The transactions are targeted to close in Q4 2017 pending regulatory approval.
