Consolidation involves determining control of a company through ownership of voting shares, either directly or indirectly through subsidiary relationships. Control can be established through ownership of over 50% of voting shares, power over financial and operating policies, or de facto control even without a majority of votes. Potential voting rights from options, warrants, convertible instruments or other arrangements must also be considered in determining control.
