Memorandum Of Association Constitution of Company.pptseri bangash
www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.
https://seribangash.com/promotors-is-person-conceived-formation-company/
Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.
https://seribangash.com/difference-public-and-private-company-law/
Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Unveiling the Secrets How Does Generative AI Work.pdfSam H
At its core, generative artificial intelligence relies on the concept of generative models, which serve as engines that churn out entirely new data resembling their training data. It is like a sculptor who has studied so many forms found in nature and then uses this knowledge to create sculptures from his imagination that have never been seen before anywhere else. If taken to cyberspace, gans work almost the same way.

Editor's Notes
Share a vision – International Network Coordiantor’s vision or view Frame that vision- r ole of TBN in terms of Social Enterprise Investment Ecosystem - But before look forward brief glance back
TBN is now entering its second decade. TBN conceived out of a singular conviction Business is the engine that drives opportunity and in turn development TBN pioneers and early adopters of a view gained increasing traction Over 10 year period TBN’s activities summarized with 3 E’s Progress from Uncoordinated innovation to coordinated innovation
Explore what that coordinated innovation looks like using a metaphor of the Ecosystem Definition: A group of diverse organisms, and natural elements bound to a common environment existing in a balanced and dynamic interaction to sustain life
Distinct about an Ecosystem – is that it is a system – a contained and connected entity with dynamic flow and exchange of - basically – energy Simple diagram of an ecosystem – most basic components – coordinated and balanced to sustain life Rather than broad generic categories have a more specific ecosystem
Much more complex ecosystem – woodland of North American continent-- ore organisms, more complex interactions. Some of the most significant players in an ecosystem are not necessarily those that roar the loudest or make the ground shake as they lumber by. The propagation and yields of most our fruit crops (and flowers) is dependent on the humble bee. Want to consider the diversity of organisms make up social enterprise ecosystem.
Range of careers and competencies that are probably represented in this room – indeed represented in the diversity of the Network that is TBN. If this is be the diversity that is represented “here” but what of the diversity represented “over there”. Some different , some the same – great shame that Luvuyo Rani could not be here, as it were as a voice from an emerging economy to talk about his telecommunications and internet business in South Africa, he is a dynamic entrepreneur hallmarked by resilience, focus. Role of TBN as network and my role international network co-ordinator is to seek to engage, mobilise and inter connect these and intentionality to actually create innovation, economic advantage and growth into increasing employment, improved living standards, increasing life expectancy , increasing the tax base, consolidating the social contract between State and citizen – the list goes on. You don't get there unless you start here. Carried away to bring it closer to home – an example 2 years ago Billy Hyatt, American from Tennessee overseeing a investment fund committed to social impact attended the TBN conference. There he connected with Tough Stuff- result was $150K investment to develop exclusive rights to take product into Malawi. 3 weeks ago contacted by Billy interested in coming across the pond but wants to maximise the effectiveness of his time and get bang for his buck or his investors buck. I met up with him two weeks ago with Kim Tan one of our Trustees, get better understanding of his intentions. Outcome was that I’ve hooked him up to meet with Andrew Richardson who will be presenting a case study later on a stove project. Also hooked him up with two of our key American partners who are looking to established TBN USA – also another couple of projects or professional specialists whose skill set on is own doesn’t necessarily mean they can take the lead on a social enterprise project but they can lend some much need expertise to develop and refine ideas I want to illustrate this
Just an example of mobilising the network and developing and strengthening the ecosystem. As an Network TBN is as innovative, resilient and effective as its member-base // and the synaptic connections that transmit the spark of enterprise// into low-income economies and poverty-gripped communities
My question to you is where is your place in the Ecosystem and how do you engage to be a part of it 3 Routes to Engagement: Corporate Partnership range (sheet in your delegate pack outlining this) TBN works to leverage your investment to bring impact and value – Individual partnership like wise an proactive partnering maximise the outcomes and value. Today I want to encourage you to join up, to enlist and become part o the movement that is TBN. We are set up to sign up today.
Another route to engagement- perhaps the most immediate and direct is to get on a plane, go and join in. We run accompanied exposure trips to prospect emerging or growing enterprises in diverse locations to identify what is the most effective strategic input that will bring the most significant transformation to those caught in the grip of poverty. In your pack there’s a sheet listing some of the trips scheduled this year. Sign up on that as an expression of interest or inform us of a trip you’ve got scheduled so we can promote it and draw in others whose skills and experience can make a significant contribution.
This morning if you have gained insight into the challenge and opportunity that beckons for our attention and best endeavour. You will hear case studies that demonstrate the diversity of opportunity and input –At the end of the day, At the end of this day I hope you are convinced of your relevance to this agenda. TBN is. A network ... Find your place and you t make your connection .
