Just to Clarify – Mutual Definition

 The 'construction' (e.g. categories) would be mutually agreed and we
 would undertake to ensure that entries on the site meet certain
 criteria as agreed with yourselves. 'Integrity' is obviously an important
 driver for your Airlines. At Spirit Marketing, we build into client
 contracts specific clauses which allow us to remove adverts if a service
 provider fails to consistently meet a defined, standards of integrity. In
 addition, there would be no conflict with your current advertising as
 the client base is significantly different.

 Taking The Next Step – Permissions

 As well as the Destinations Guide site design, we require your written
 approval of all promotional materials used by Spirit Marketing when
 selling to prospective providers interesting in advertising in the Guide.
 We would also ask for a letter of introduction from you to be used by
 our sales representatives in their approach to prospective clients in
 new markets.

 Spirit Marketing would look to sign an initial 3 year contract We
 propose to pay your Airlines, on a quarterly basis, 15% of monies
 received from clients in their first year of advertising. This will likely
 rise to 20% then 30% in subsequent years, as our costs reduce over
 time, and international media coverage and audience awareness
 exponentially increase.

 Ultimately, we expect to significantly increase traffic across your
 Airlines’ existing websites via links on the Destination Guide pages and
 through links placed on advertisers own sites.

 As advertisers come on board, a discount would be offered if they
 place a 'reflection' button on their website. This offers us a pool of
 thousands of relevant, high-traffic websites all funneling business back
 to your Airlines’ websites, and help deliver distinctive and integrated
 global services.
