2. Business Background Overview
InterVisual Technology, Inc. (“INTERVISUAL”) is a provider of comprehensive outsourced e-
Learning educational services. We offer proprietary curriculum and educational services created
for online delivery to students in sixth through 12th grade. As well as manage and host Internet-
based learning environments that offer students an opportunity to complete their high school
diploma requirements online.
We are a technology-based education company. Our mission is to maximize a child’s potential by
providing access to an engaging and effective education, regardless of geographic location or
socio-economic background. Since our inception, we have invested substantially in the
development of curriculum and an online learning platform that promotes mastery of core
concepts and skills for students of all abilities. This learning system combines a cognitive
research-based curriculum with an individualized learning approach well-suited for virtual schools
and other educational applications.
We deliver our learning system to students primarily through our own school, Crescent
Preparatory High School, as well as to homeschoolers, public and private schools. We offer
schools our proprietary curriculum, online learning platform and academic and management
services. Academic and management services can range from individual courses to complete
turnkey solutions. Currently, substantially all of our enrollments were served through our online
high school, Crescent Preparatory High School.
Parents can also purchase our curriculum and online learning platform directly to facilitate or
supplement their children’s education. Additionally, we have piloted portions of our curriculum in
brick and mortar classrooms with promising academic results.

3. Also in development are courses for Honors and AP, Vocational, Career, and Online Tutoring
services. We license the curriculum to schools, associations, and organizations which gives them
an ability to offer online education options for those students who they serve within their region.
Additionally, our services cover a broad range of e-Learning programs, from registration,
enrollment and course delivery to custom course development, e-commerce and publishing, as
well as tracking of students’ progress, reporting of results and production of certificates of
completion and high school diplomas.
We believe that we hold the following key advantages in e-Learning:
 Rapid Course Development. Our technology affords customers a number of advantages
in terms of its ability to rapidly and cost-effectively implement a comprehensive and
secure e-Learning and training environment. Our content, open architecture platform
allows for access to a wide range of aggregated content and the ability to quickly add
new functionality, leverage new technology and to support a vast number of users.
 Extensive experience. We have operated in the e-Learning space for over six years and
have delivered more than 20,000 thousand courses to more than 4,000 thousand
students across the United States and Internationally. We maintain solid, long-term
relationships with established customers and benefit from a highly experienced and
knowledgeable management team. Our management team has a combined 35 years of
experience in the e-Learning and related technology market.
 Expansive library of content. Our wholly-owned online library of secondary courses is
marketed under the Crescent Preparatory High School brand name.
 Courseware Development Experience. We have significant courseware development
experience, built over the past six years. We have experienced instructional designers on
staff supplemented by offshore courseware development firms. We develop high quality
courseware, implementing the latest designs for optimization of secondary and adult
learning, quickly and cost effectively.

4.  Flexibility. The flexibility of our technology and implementation process enables us to
respond to diverse customer needs. We offer rapid course implementation and
deployment. Our technology and services are designed to be scaleable on demand to
meet customer needs.
 Comprehensive Services. We offer completely hosted as well as private label systems,
accessible by virtually any web browser. Our offerings include a leading edge Learning
Management System, Course Management System and Courseware Delivery Engine.
Our technology and service have been proven and tested through successful
implementations for customers utilizing our solutions, through which thousands of
students have experienced InterVisual Technology, Inc. web-based e-Learning for over
six years. Additionally, we continue to introduce new technology to provide additional
features for our customers.
Company Strategy
Our goal is to be the leading service provider of integrated e-Learning services by helping
customers improve their performance and achieve their goals. Our strategies to achieve this
objective include continuing to: create partnerships with leading credentialing and certification
organizations; develop high quality courseware quickly for our customers; provide superior

essential to a successful strategy. With significant experience in the budding e-Learning
industry, we have developed the capabilities and expertise to fulfill the course
development needs of our current and new customers quickly, while delivering superior
quality. As such, we are able to work with our customers to transform their traditional,
instructor-led content into high-quality online courses while the market opportunity is still
ripe.

5.  Provide Superior Customer Service. Our core customer service principle is to deliver
uniquely superior service through creative, committed and well-trained employees who
work as a team. Each InterVisual Technology, Inc. employee has defined roles and
responsibilities for monitoring and supporting the health and growth of our customer
relationships.
 Develop and Upgrade Proprietary Technology. We intend to maintain our position in
online courseware delivery technology by continuing to develop and enhance the
features and functionality of our proprietary technology. Our system is designed to
accommodate users on both low and high bandwidth connections.
The Course Management System (CMS) supports both self-paced and instructor-managed
online learning. The InterVisual Technology, Inc. Course Management System (CMS) delivers
important features including a newly designed Gradebook that tracks multiple student activities,
integrated course discussion boards, a built-in testing and assessment engine, as well as
powerful communications tools. This CMS release marks the implementation of a new Java-
based enterprise architecture designed for highly reliable, hosted e-Learning. Our CMS also
includes a newly-designed course authoring tool.
The Learning Management System (LMS) provides our customers with the ability to
support and manage online, live and blended learning. Capabilities include advanced LMS
features, live chat, skills assessment and multimedia components. The LMS provides learners
with convenient access to course-specific data, supporting information and communications
functions, all in one convenient location on the desktop. The system also includes a personal
calendar, reminder notes and other tools that make learning more efficient. The system is
customizable and allows our clients to obtain their own look, feel and features on a private label
basis.

6. Existing Courseware Library offers more than 150 full and half credit courses real-time on
our e-Learning system, with over 50 courses currently in development now. Our courseware
strategy involves the provision of the following components: (1) strategically-developed courses
from InterVisual Technology, Inc. based upon the needs of the Secondary market; and (2) custom
courseware development for the proprietary training needs of our customers.
Curriculum
A significant portion of our efforts from 2003 through 2006 was spent in developing
content for our curriculum. Based upon the National and Florida standards the
curriculum was designed by certified teachers who were contracted to develop the core
curriculum in the areas of Math, Science, English, and Social Studies, Fine Arts, Foreign
Language, and Electives. The content was created and converted into an Internet-
deliverable format. We believe students’ academic progress through our on-line program
is superior to that of other Online High School programs. Given the breadth of the
offerings available from InterVisual and the expansion of these offerings that we have
done to date, we are not completely dependent upon other third parties for educational
content. We are constantly developing new content based upon the necessity to
challenge and engage the students on all levels. We select highly qualified certified
teachers in designing and writing the curriculum based upon the National standards.
Crescent Prep High School delivers individualized secondary and supplemental education to
families and children via applications on the Internet. Through our fee-based tuition services, we
deliver College Preparatory and supplemental instruction in real time online. Our services are
comparable to services that are provided in traditional bricks and mortar schools except offered in
an online environment.

7. Crescent Preparatory High School offers a fully accredited online High School diploma for
grades 9 – 12 over the Internet for students seeking an individualized and convenient
alternative program for academic achievement. By providing instructional services at
home, Crescent Prep makes the learning process more convenient for both the student
and the parent. The Internet-based program requires from six to eight months to
complete one grade level and generally comprises 140 to 180 hours of instruction. We
provide instruction 24 hours a day 7 days a week, 365 days a year. Our teachers are
available throughout the day to grade assessments, update curriculum, chat with
students, respond to email, and if necessary initiate conference calls with
parents/students. Throughout a student’s course of study, we test students using
specially designed mastery tests, and we share the results with parents on an ongoing
basis. We offer our online education programs at prices that are comparable to the prices
of similar programs offered by online private schools and learning centers.
All teachers are all fully certified in their discipline and have completed a formalized
training program prior to his or her initial student session. This ensures that the quality of
our services is consistent from teacher to teacher and allows us to offer our parents a
certain level of satisfaction that their child’s academics are our utmost priority.
We believe that it is becoming increasingly apparent that e-Learning providers must not only
remain technologically advanced, but also, more importantly, offer “complete” service offerings.
This “complete service offering” approach includes offering customers: access to a large library of
high quality courses; the ability to produce customized courses quickly and effectively; and value-
added features that allow flexibility and scalability. Additionally, successful e-Learning services
must be convenient, easy to use and administer.
