AGL (Australia) finalises acquisition of Click Energy
AGL announced it had completed the acquisition of electricity and gas
retailer, Click Energy Group Holdings Pty Ltd, a wholly owned
subsidiary of ASX-listed amaysim Australia Limited, for $115
million. AGL CEO said through this acquisition and building on our
strong customer growth in FY20, AGL now has almost 4.2 million
customer services across energy and telecommunications.
Executive Commentary
“We have continued to grow and transform our business by
digitising our customer experience and offering more choice and
flexibility on our products,” AGL CEO said. This acquisition aligns
with our growth strategy and builds on our recent acquisitions of
Perth Energy and Southern Phone Company. Click Energy has built
a successful retail energy business with more than 215,000
customer services across NSW, Victoria, QLD and South Australia.
We’re excited to welcome Click Energy customers to AGL and
we’re working closely with the team to ensure a smooth transition
for their people and customers. Despite a challenging year, we are
continuing to grow and are well on track to achieve our target of 4.5
million customer services by FY24.”

Dominion Energy (USA) Provides Update on Closing of Gas Transmission, Storage Assets
Sale and Status of Share Repurchases
Dominion Energy provided several updates related to the pending sale of its gas transmission and storage assets to an affiliate of Berkshire Hathaway Inc. Dominion
Energy expects its transaction with Berkshire Hathaway Energy, exclusive of Questar Pipelines, to close around November 1, 2020. As consideration for that
transaction, Dominion Energy will receive approximately $2.7 billion in cash and transfer $5.3 billion of existing Dominion Energy Gas Holdings ("DEGH") related
indebtedness to the buyer at closing. Dominion Energy expects to complete the sale of Questar Pipelines to Berkshire Hathaway Energy upon receipt of
Hart-Scott-Rodino ("HSR") clearance in early 2021. As consideration for that transaction, Dominion Energy would receive approximately $1.3 billion in cash and
transfer around $430 million of existing Questar Pipelines indebtedness to the buyer. Aggregate cash consideration and assumption of debt across the two anticipated
closings is exactly equivalent to the original transaction terms announced on July 5, 2020. This mutually agreed dual-phase closing is the result of updated timing
expectations for receipt of the HSR clearance from the Federal Trade Commission ("FTC") related exclusively to the sale of Questar Pipeline and Overthrust Pipeline
(together with related entities, "Questar Pipelines"). Given all closing conditions have been met with respect to non-Questar Pipelines assets included in the transaction,
Dominion Energy and Berkshire Hathaway Energy have opted to move forward with an expeditious initial closing to be followed with a subsequent Questar Pipelines
closing in early 2021. As a result of the phased closing, Questar Pipelines and its associated debt will be removed from Dominion Energy Gas Holdings prior to the
transfer of DEGH to Berkshire. Berkshire Hathaway Energy, which is A-rated, has indicated it plans to support the existing credit profile of DEGH by foregoing the
refinancing of some $1.2 billion of scheduled maturities over the next 12 months as well as consideration of other credit-enhancing measures including additional
deleveraging past 2021, as needed.

EDF (France) Renewables confirms its commitment to Ireland by acquiring Wexford Solar
Limited and opening a new office in Dublin
EDF Renewables (EDFR) continues to invest in Ireland by acquiring Wexford
SolarLimited which includes eight solar projects with around 100 MW of capacity
across the country. The company has big ambitions to develop its already growing
portfolio in Ireland, having recently bought 50% of the Codling offshore wind farm,
partnering with Fred Olsen, to develop and build the project, and is opening a new
bigger office in Dublin to accommodate this. Four of the Wexford Solar projects are
consented and have been successful in the recent RESS 1 auction. These include
Blusheens (11.5MW), Coolroe and Curraghmartin (5.7 MW) which are all in County
Wexford plus Stamullen (5.8MW) in County Meath. EDF Renewables plans to build
these projects in 2021. Four other projects are in the development phase and these are
Ballycarren (6MW) in County Wexford, Willville (5.7 MW) in County Louth,
Johnstown (15 MW) in County Carlow and Athlone (45MW) in County
Roscommon. The new Dublin office will be home to our Irish Head of Development
Kevin Daly and a team of six others but it is expected this will quickly grow as well.
Currently all employees are working from home due to COVID-19.
Executive Commentary
EDF Renewables Ireland CEO said, “The Wexford solar projects are an
important addition to our portfolio of onshore and offshore wind developments
which we pursue at pace. Also the recent appointment of Arno Verbeek as Project
Director is great news for the Codling project which looks set to be the biggest
offshore wind farm in Ireland with a capacity of up to 1.5GW. We are delighted
by the progress we are making in Ireland, and will continue to grow and work
with the Irish Government and communities to further demonstrate EDF
Renewables commitment to support the country’s Climate Action Plan, which
calls for 70% of renewable energy by 2030."

NextEra Energy (USA) to sell equity units
NextEra Energy, Inc. announced that it intends to sell $2.0 billion of equity units. Each equity unit will be issued in a stated amount of $50. Each
equity unit will consist of a contract to purchase NextEra Energy common stock in the future and a 5% undivided beneficial ownership interest
in a NextEra Energy Capital Holdings, Inc. debenture due Sept. 1, 2025, to be issued in the principal amount of $1,000. The debentures will be
guaranteed by NextEra Energy Capital Holdings' parent company, NextEra Energy, Inc. The holders would be required to complete the stock
purchase by no later than Sept. 1, 2023, and their purchase obligations may be satisfied with proceeds raised from remarketing the debentures that
comprise part of their equity units. The net proceeds from the sale of the equity units, which are expected to be approximately $1.94 billion (after
deducting the underwriting discount and other offering expenses), will be added to the general funds of NextEra Energy Capital Holdings.
NextEra Energy Capital Holdings expects to use its general funds to fund investments in energy and power projects and for other general
corporate purposes, including potentially to redeem a portion of its outstanding junior subordinated debentures.

NextEra Energy (USA) Transmission to acquire independent transmission company
NextEra Energy Transmission, LLC, a subsidiary of NextEra Energy, Inc. announced
it has entered into definitive agreements with affiliates of Blackstone to acquire
GridLiance Holdco, LP and GridLiance GP, LLC (GridLiance) for approximately
$660 million, including the assumption of debt. A portion of the net proceeds from
NextEra Energy's recent equity units issuance will be used to finance the transaction.
GridLiance owns approximately 700 miles of high-voltage transmission lines and
related equipment with utility rates set by the Federal Energy Regulatory
Commission (FERC). The company's assets span three regional transmission
organizations and six states. The transaction requires approval from the FERC, utility
commissions in Kansas, Missouri, and Oklahoma, as well as expiration or
termination of the waiting period under the Hart-Scott-Rodino Act. Assuming timely
regulatory approvals, the transaction is expected to close in 2021. Wells Fargo
Securities, LLC served as financial advisor, and Pillsbury Winthrop Shaw Pittman
LLP served as counsel to NextEra Energy Transmission.
Executive Commentary
"GridLiance partners with electric cooperatives and public power utilities to
enhance transmission system reliability and is well positioned to benefit from the
substantial expected renewables growth over the coming years," said chairman
and CEO of NextEra Energy. "This acquisition furthers our goal of creating
America's leading competitive transmission company and is consistent with our
strategy of adding high-quality regulated assets to our portfolio."

SSE (UK) Agrees Sale of Its 50% Share In Ferrybridge And Skelton Grange Multifuel Assets
SSE plc has entered into an agreement to sell its 50% share in energy-from-waste ventures
Multifuel Energy Limited (MEL1) and Multifuel Energy 2 Limited (MEL2) to European
Diversified Infrastructure Fund III, an infrastructure fund managed by First Sentier
Investors, for a total cash consideration of £995m. The transaction is expected to complete
by late 2020 subject to antitrust approval by the European Commission. MEL1 and MEL2
are 50-50 joint ventures between SSE and Wheelabrator Technologies Inc., consisting of the
operational Ferrybridge Multifuel 1 and Ferrybridge Multifuel 2 facilities (MEL1), as well as
the Skelton Grange Multifuel development project (MEL2), all in West Yorkshire.
Ferrybridge Multifuel 1 (which entered commercial operation in 2015, SSE share 50%) and
Ferrybridge Multifuel 2 (which entered commercial operation in 2019, SSE share 50%) each
have an installed capacity of 75MW and are capable of processing around 725,000 tonnes
and 675,000 tonnes of waste every year respectively. The proposed Skelton Grange Multifuel
facility (SSE share: 50%), which is due to reach financial close around April 2021 and
commence commercial operations in 2025, will have an installed capacity of 45MW and will
be capable of processing around 400,000 tonnes of waste annually.

Finance Director said: “This sale marks a major step in our plans to secure at least £2bn
from disposals by autumn 2021, with just over £1.4bn now delivered. While these
multifuel assets have been successful ventures for SSE, they are non-core investments
and we are pleased to have agreed a sale that delivers significant value for shareholders
while sharpening our strategic focus on our core low-carbon businesses. Our disposal
programme demonstrates how the company can create value from our assets and
supports our plans to invest £7.5bn over the next five years in the low-carbon
infrastructure needed to stimulate a green economic recovery and help the UK transition
to a net-zero future.”

UGI (USA) Subsidiary Sells Conemaugh Facility Ownership Stake to Montour, LLC
UGI Corporation announced that a subsidiary, UGI Energy Services, LLC, sold its
ownership stake in the Conemaugh coal-fired power generation station to Montour,
LLC. UGI held an ownership share of approximately 6%, or 102 MW of the
Conemaugh facility, located near Johnstown in Western Pennsylvania. The sale of
this non-core asset will reduce UGI's direct CO2 equivalent emissions by more than
30% and is consistent with our focus on growing our Midstream and Utilities
businesses, as we intensify our Environmental, Social, and Governance (“ESG”)
efforts. UGI Corporation is a distributor and marketer of energy products and
services. Through subsidiaries, UGI operates natural gas and electric utilities in
Pennsylvania, distributes LPG both domestically (through AmeriGas) and
internationally (through UGI International), manages midstream energy assets in
Pennsylvania, Ohio, and West Virginia and electric generation assets in
Pennsylvania, and engages in energy marketing in eleven states, the District of
Columbia and internationally in France, Belgium, the Netherlands and the UK.

Veolia acquires 29.9% of Suez’s capital from Engie and confirms its intention
to acquire control
Veolia acknowledges Engie’s decision to respond favorably to its offer to acquire a
29.9% stake in Suez. As a reminder, this proposal, submitted on August 30 and
continuously improved since, presents in particular the following elements:
• a price of 18 euros per share (dividend included), i.e. a premium of 75% over the
unaffected price of July 30, 2020, paid immediately in cash and paving the way for a
public tender offer on the remaining share capital of Suez for all of its shareholders;
• the guarantee of 100% of jobs and social benefits for all Suez employees in France;
• the certainty of a French operation;
• the preservation of competition thanks to the takeover by French company Meridiam
of the Water activity in France from Suez, Meridiam having committed to preserving all
jobs and social benefits, to take over the R&D center of Suez and to double the
investments planned and to inject 800 million euros into this new scope within 5 to 7
years.
This decision marks a first decisive step in the construction in France of a world super
champion of the ecological transformation making the trail in this strategic sector for at
least 20 years.

Chief Executive Officer of Veolia said: "I am very happy to lay the foundation stone
in France for a world super champion of the ecological transformation. This is a
wonderful opportunity for the employees, customers and shareholders of both

New Jersey American Water will replace approximately 2,000 feet of aging water main in Piscataway beginning this week. The company will upgrade the
aging 6-inch water lines with new, 8-inch ductile iron main along Riverview Avenue from River Road to the dead end. The project also includes replacing
four fire hydrants and 26 utility-owned service lines along the pipeline route. This $540,000 investment will continue to advance water service reliability
and increase water flows for household consumption and fire protection in this community. This improvement is part of New Jersey American Water’s
multimillion-dollar initiative to accelerate the renewal of water infrastructure that has reached the end of its useful life in more than 100 communities across
the state. New Jersey American Water’s local, qualified contractor, Montana Construction, Inc. will begin work on or about September 18 and expects to
finish by the end of November, weather permitting. Work hours will be from 7 a.m. to 4 p.m., Monday through Friday. Work outside of these hours is not
expected unless required to maintain project schedule. Final street restorations will be completed by the end of this year. For the public’s and workers’

Virginia American Water will replace approximately 6,010 feet of aging water main in Alexandria beginning the week of September 21. This $2,644,400 investment will continue to improve
water service reliability and increase water flows for household consumption and fire protection in this community. This project is part of Virginia American Water’s multimillion-dollar
initiative to accelerate the renewal of water infrastructure that has reached the end of its useful life to our communities across the state. The company will upgrade the aging 2-inch and 6-inch
water lines with new, 6-inch and 8-inch ductile iron main along the following streets to cul-de-sac end:
• Key Drive from North Quaker Lane
• Francis Hammond Parkway from Key Drive

New Jersey American Water will replace approximately 2,780 feet of aging water main in Fair Haven beginning next week. The company will upgrade the aging
water lines, installed in the 1920s, with new, larger ductile iron main along Fair Haven Road from Third Street and Laurel Drive to the dead end. The project also
includes replacing four fire hydrants and 48 utility-owned service lines along the pipeline route. This $765,000 investment will continue to advance water service
reliability and increase water flows for household consumption and fire protection in this community. This improvement is part of New Jersey American Water’s
multimillion-dollar initiative to accelerate the renewal of water infrastructure that has reached the end of its useful life in more than 100 communities across the
state. New Jersey American Water’s local, qualified contractor, J. F. Kiely Construction Co., will begin work on or about September 28 and expects to finish by

Illinois American Water Acquires Granite City Wastewater Collection System
Illinois American Water President Justin Ladner announced the Company’s
acquisition of the Granite City Wastewater Collection System. This purchase adds
approximately 12,150 customer connections to the company’s customer base in
southern Illinois. Granite City leaders voted in favor of the sale in December 2019.
The Illinois Commerce Commission (ICC) recently approved the sale for $18
million. This is Illinois American Water’s sixth acquisition this year. Illinois
American Water plans to invest $27 million in the first five years of ownership to
upgrade Granite City’s wastewater collection system. Upgrades will include:
• GPS data collection
• System modelling to assist with facility planning and optimization
• Lift station improvements
• Sewer main and manhole replacements
• In addition to system upgrades, Mayor Hagnauer explained sale proceeds will
support the community’s financial stability.

Director of Operations said, “We enjoy being part of the Granite City community
and are excited to own and manage the wastewater collection system. We will
continue our commitment to provide safe, reliable service to our valued
customers.”

New Jersey American Water Invests $1.1 Million In Middletown
New Jersey American Water will replace approximately 670 feet of aging water main in Middletown beginning next week. The company will upgrade the aging water
lines with new ductile iron main along the Navesink River Road bridge. The project represents a critical investment for the company in support of its commitment to
provide customers with safe, reliable water service and will be done in coordination with the Township’s bridge reconstruction. This $1.1 million investment will
continue to advance water service reliability and increase water flows for household consumption and fire protection in this community. This improvement is part of

Illinois American Water Acquires City of Jerseyville Water And Wastewater Systems
Illinois American Water President Justin Ladner announced the Company’s
acquisition of the City of Jerseyville water and wastewater systems. The purchase
adds approximately 4,100 water and 3,950 wastewater customers to the company’s
southern Illinois service area. The City of Jerseyville voted in favor of the sale in
December 2019. In August 2020, Illinois American Water began operating the
Jerseyville water and wastewater systems on a contract basis until the close of the
sale. The Illinois Commerce Commission (ICC) recently approved the sale for
$43.25 million. Illinois American Water plans to invest $15 million in the first five
years of ownership to upgrade the City of Jerseyville water and wastewater systems.
Work will include a new operations center and elevated water tank as well as
upgrades to the water treatment plant, wastewater treatment plant and lift stations.
Water and sewer mains will also be replaced, and automation will be implemented to
improve operational efficiency.

Con Edison is installing 376,000 smart-technology natural gas detectors for customers in New York City and Westchester County, providing an unprecedented
level of protection against potentially dangerous leaks. The distribution of the detectors follows a successful pilot in which Con Edison provided 9,000 detectors.
Those detectors sounded 250 alarms since the first installations in October 2018. The company places the detectors at the spot inside the building where the gas
service line enters. When the detector senses natural gas, it sounds an alarm and voice warning. It also alerts operators at Con Edison's Gas Emergency Response
Center, who notify the local fire department. The alarm will sound until Con Edison silences the unit. The voice recording advises occupants to evacuate and call
911 from outside the building. Using a phone, turning lights, appliances or a flashlight on or off, lighting a match or starting a car can create a spark and cause the
gas to ignite. New Rochelle resident Clarence Stanley was part of the pilot program and he's thankful that he was. One night this summer, he got out of bed to watch
TV and catch up on sports scores and the political shows he enjoys when he heard the alarm. He woke his wife and called Con Edison from a phone not located
near the basement. A Con Edison representative who answered advised him to leave the house. By the time of his call, Con Edison and New Rochelle fire personnel
were already on their way. As the Stanleys waited outside, the crews arrived. It turned out that there was a small gas leak, which Con Edison repaired.

end of 2020. Moreover, EGAT has developed 2 electric boats which run by electric power from 214 kW-hour lithium-ion batteries, with the speed not less than 10
knots and distance of 60 km in a single charge. The air conditioner system in the passenger rooms has been designed to use electric power from solar cells installed
on the roofs. Each boat can carry 80 passengers in total. For the first phase, their cruising is tested to assess their performance by using them for EGAT mission
before expanded for public use in the future to connect the transportation points of “wheels, rails, and boats.” Meanwhile, installation of charging stations for
electric boats is in the process.

As fire season is upon us and the uncertainty of the pandemic continues to unfold, Pacific Gas and Electric Company (PG&E) is launching a program to further
enhance safety when the power goes out for customers that depend on life saving medical equipment. The program is available before, during, and after Public
Safety Power Shutoff (PSPS) events when PG&E needs to turn off power during severe weather for public safety to prevent wildfires. PG&E's Portable Battery
Program (PBP) provides no-cost backup portable batteries for eligible income-qualified customers who live in high fire-threat districts[2] (HFTD) and are enrolled
in the Medical Baseline program. Additional eligibility requirements include a reliance on medical equipment that operates on electricity to sustain life. Working
in coordination with Community Based Organizations (CBOs), PG&E has identified approximately 10,500 customers who could qualify for this program. The
PBP is administered by the following five Low-Income Home Energy Assistance Program (LIHEAP) providers: Butte Community Action Agency, Central Coast
Energy Services, Community Resource Project, North Coast Energy Services, and Redwood Community Action Agency. Richard Heath & Associates (RHA), a
third-party energy program implementer focused on underserved communities, is also administering the program. The PBP was initially scoped to provide
approximately 4,000 batteries for income-qualified Medical Baseline customers in 2020 but has recently expanded to 8,000 batteries. PG&E provided $19 million
to fund the 2020 effort.

Consumers Energy has been named the best employer for women in the utility sector and tied for third best employer in Michigan according to a new ranking
from Forbes magazine of the best places in America for women to work. As a company committed to leading the way in Diversity, Equity and Inclusion in
Michigan and the utility sector, Consumers Energy also announced a change to their parental leave policy, allowing birthing mothers six months (24 weeks)
paid leave, and a four month (16 weeks) paid leave to a nonbirthing parent. The new leave time can be used for adoption and foster care placements and be
taken over a 12-month period. The company is also extending 40 hours of paid medical leave to non-represented, exempt employees, an expansion of a state
requirement. The new parental leave policy is included in the 2020 contract negotiated with the company's largest union, the Michigan State Utility Workers
Council, which is subject to ratification by covered members over the coming weeks. Consumers Energy ranked No. 1 in the utility sector, tied for third in
the state and was 144th overall in Forbes's third annual ranking of the best employers for women. Forbes collaborated with market research firm Statista,
surveying 75,000 Americans, including 45,000 women, working for businesses that employ more than 1,000 workers. The respondents spanned 31 industries
and were asked to share their opinion on a series of statements about their respective employer's culture, opportunities for career development, image,
working conditions, salary and wages and diversity.

Republic Services, Inc. has been named 2020 Organics Recycler of the Year by the National Waste & Recycling Association (NWRA), which honors innovators and leaders in
the industry who have made substantial contributions to recycling. The industry award recognizes Republic's leadership in diverting food and yard waste from landfills through
food recovery, organics pre-processing and composting – contributing to the circular economy. Food and yard waste currently represent about 30 percent of the municipal solid
waste that's sent to landfills, according to the Environmental Protection Agency. By diverting this material to organics programs, safe and edible food can be recovered for
people or animals to consume, and green waste can be recycled into a nutrient-rich compost for soil or into biogas that can be used as fuel. Republic Services currently operates
11 compost facilities in five states, including California, where there is greater demand due to legislation mandating the diversion of organic waste from landfills. Many of
Republic's composting facilities are technologically advanced, using mechanical aeration to speed up the biological process and reduce odors. The facility at the Otay Landfill
in Chula Vista, Calif., is an innovative example – it's completely off the grid, using solar-powered fans and a cover technology that requires little energy consumption and traps
odors, dust and emissions. In Southern California, Republic also runs an organics pre-processing operation that removes contamination from food waste derived from
restaurants and grocers, and maintains a robust food recovery program that diverts safe and edible food from the waste stream. Organics recycling directly supports Republic's
commitment to the circular economy to increase recovery of key materials by 40% by 2030.

The Edison Electric Institute (EEI) awarded Southern Company the electric utility industry's most prestigious honor, the EEI Edison Award. Southern Company
received the award for its portfolio of energy storage research and development (R&D) initiatives. Southern Company was selected for its leadership of key energy
storage system initiatives, including the development, commissioning, and operation of the Energy Storage Research Center (ESRC) in Birmingham, Alabama.
The facility serves as an industrywide destination for battery energy storage technology testing, evaluation and large-scale demonstration. The project was
developed in collaboration with Southern Research, the Electric Power Research Institute, U.S. Department of Energy and others. Additionally, the ESRC is among
several Southern Company system energy storage R&D initiatives that achieved key milestones in 2019, such as the Alabama Power and Georgia Power Smart
Neighborhoods. Southern Company was selected by a panel of former energy industry executives to receive the 92nd Annual EEI Edison Award for distinguished
leadership, innovation and contribution to the advancement of the electric industry for the benefit of all. This represents the fifth time Southern Company has won
the Edison Award and the second time in eight years. The company was last recognized in 2012 for leading the nuclear renaissance in the United States. Other wins

solution then contracted with SCS Engineers’ RMC Practice, and Vertech Industrial Solutions to deploy WM’s new innovative ‘Connected Landfills’ pilot. WM’s
Connected Landfills system was first piloted at the West Edmonton Landfill in Edmonton, Alberta, Canada. The pilot proved to simplify workflows, equipping landfill
assets with internet-connected devices and sensors. Technicians are able to review data remotely via dashboards on mobile devices, allowing them to monitor changes,
make decisions and even directly interact with equipment with the push of a button. With less time spent in transit, landfill employees will be able to spend more time
managing landfills’ productivity and health. This design and integration advances WM’s existing environmental management platform by increasing worker safety, the
user experience, and running the landfill systems efficiently. It also supports Waste Management’s commitment to ensuring public safety and environmental protection
for landfill staff and the surrounding community. Landfills, and the municipalities and companies that operate landfills use sophisticated technology to manage the
complex environmental systems that keep citizens and the air, water, and soil surrounding landfills healthy. Ongoing collection of data from these assets, often collected
by checking meters positioned throughout landfill sites, is essential for landfills’ safe operation. Waste Management operates the largest network of landfills in the
industry, managing the disposal of almost 100 million tons of waste every year at over 250 sites across Canada and the US. Based on the pilot’s success, WM plans to

Alliant Energy announces completion of its plan to add 1,000 megawatts (MW) of wind production in Iowa, several months ahead of schedule and within
budget. This achievement comes as the company completes its 130-MW Richland Wind Farm in Sac County, located in west-central Iowa. The now
operational wind farm is among five wind projects across seven counties in the state. Collectively, the projects provide Iowa customers and communities with
new renewable energy and are expected to provide power to approximately 430,000 Iowa homes. Completing the Richland Wind project expands the
company’s total of owned and operated wind generation in the state to nearly 1,300 total MW. This investment in wind energy for Iowa customers generates
significant financial benefits through tax revenue for communities and lease payments to landowners. Alliant Energy began construction on the Richland
Wind Farm in July 2019 and is now the third largest utility owner-operator of regulated wind in the United States. The company reached a significant
milestone over a two-day period in March 2020 when it generated enough renewable wind energy to meet all its Iowa customers’ energy needs from its

Ameren Missouri, in partnership with Ameren Transmission Company, is investing in rebuilding approximately 10 miles of transmission line in the City of
St. Louis and St. Louis County. The work will improve energy grid reliability, support growing energy needs in local communities and improve access to
cleaner energy sources. The 138,000-volt transmission line will be rebuilt on existing right-of-way in South St. Louis City and County and cross the
Mississippi River to Dupo, Illinois. Due to COVID-19, Ameren is taking action to keep the public and its employees safe and healthy. Rather than an
in-person project forum, the Metro South Reliability Project team is providing community members and interested stakeholders with an online opportunity
to learn more about the project. Construction on the 10-mile project is expected to be completed in winter 2022. Because the project area runs through an
area with a high population of the Bosnian community, project information will be available in the Bosnian language as well as English. The project is part
of Ameren Missouri's Smart Energy Plan, the largest energy infrastructure plan in the company’s 100-plus-year history. The forward thinking plan is building
a brighter future for Missouri with a smarter, more reliable energy grid, giving Ameren Missouri customers greater control over their energy usage, more
affordable rates and a faster transition to cleaner energy.

Centrica (UK) signs long-term LNG supply deal with Shenergy

Centrica plc has agreed a binding 15-year Sales and Purchase Agreement (SPA) to supply 0.5 million tonnes per annum of Liquefied Natural Gas
(LNG) to the Shenergy Group Company Limited. Deliveries are expected to commence in 2024. The SPA follows a Heads of Agreement that was
concluded in January 2020 and represents the first long term supply contract for Centrica in China, one of the fastest growing LNG markets in the
world. Commenting on the agreement, Centrica’s Group Chief Executive Officer said: “We are delighted to conclude this agreement with
Shenergy. The roots of our shared history date back over 150 years, to when British Gas helped install gas lighting in the streets of Shanghai. The
deal is a new milestone for our companies and complements Centrica’s existing portfolio of LNG positions and contracts.”

RWE (Germany) secures lease agreements to develop four offshore wind farm extensions
projects in the United Kingdom

RWE Renewables and its project partners have signed with The Crown Estate Agreements for Lease for developing four projects in the United Kingdom to extend
the existing offshore wind farms Gwynt y Môr, Galloper, Greater Gabbard and Rampion. The granted seabed leases comprise extension projects with a combined
potential installed capacity of around 1.8 Gigawatts (GW), with RWE’s pro rata share amounting to almost 900 megawatts (MW). Furthermore, it was decided to
seek to develop the remaining seabed option at the original Zone 6 of the existing Rampion project and combine this with the extension project at this windfarm.
All projects are in very early stages. The necessary development and consenting activities will now progress in accordance with current UK Government guidelines
which will include comprehensive stakeholder consultation and determining each project’s exact installed capacity. The consenting processes are expected to take
three to five years with participation in auctions for a Contract for Difference (CfD) and construction following thereafter. The wind farms could become fully
operational towards the end of the decade. RWE will take the lead on behalf of partners for the development of the Awel y Môr and Five Estuaries offshore wind
farms. RWE and SSE Renewables have formed a 50:50 joint venture company to develop the North Falls offshore wind farm together. Rampion 2 is a joint venture
between RWE, a Macquarie-led consortium and Enbridge. RWE will manage the project.

SSE and joint venture partner Equinor’s Dogger Bank Wind Farm will bring 120 skilled jobs to the North East of England after confirming a deal with
GE Renewable Energy will to supply the ground-breaking 13MW Haliade-X turbines for the development. GE Renewable Energy has agreed a
contract, subject to Dogger Bank A and B reaching Financial Close, to supply 190 of the turbines for the development 130km off the coast of England.
As part of the deal, GE Renewable Energy will establish marshalling harbour activities at Able Seaton Port in Hartlepool, creating 120 skilled jobs at
the site during construction. The port will serve as the base for turbine service equipment, installation and commissioning activities. Component parts
for each of the turbines will be delivered to the specialist site, where they’ll be pre-assembled before being taken out to the North Sea for installation.
Turbine installation is expected to commence in 2023 at Dogger Bank A. This brings the total number of jobs in the North East associated with the
development and operation of Dogger Bank Wind Farm to 320 so far. Recruitment activity is expected to begin in early 2021.

Lore Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable Dominion Energy (USA) Provides Update on Closing of Gas Transmission, Storage Assets Sale and Status of Share Repurchases Dominion Energy provided several updates related to the pending sale of its gas transmission and storage assets to an affiliate of Berkshire Hathaway Inc. Dominion Energy expects its transaction with Berkshire Hathaway Energy, exclusive of Questar Pipelines, to close around November 1, 2020. As consideration for that transaction, Dominion Energy will receive approximately $2.7 billion in cash and transfer $5.3 billion of existing Dominion Energy Gas Holdings ("DEGH") related indebtedness to the buyer at closing. Dominion Energy expects to complete the sale of Questar Pipelines to Berkshire Hathaway Energy upon receipt of Hart-Scott-Rodino ("HSR") clearance in early 2021. As consideration for that transaction, Dominion Energy would receive approximately $1.3 billion in cash and transfer around $430 million of existing Questar Pipelines indebtedness to the buyer. Aggregate cash consideration and assumption of debt across the two anticipated closings is exactly equivalent to the original transaction terms announced on July 5, 2020. This mutually agreed dual-phase closing is the result of updated timing expectations for receipt of the HSR clearance from the Federal Trade Commission ("FTC") related exclusively to the sale of Questar Pipeline and Overthrust Pipeline (together with related entities, "Questar Pipelines"). Given all closing conditions have been met with respect to non-Questar Pipelines assets included in the transaction, Dominion Energy and Berkshire Hathaway Energy have opted to move forward with an expeditious initial closing to be followed with a subsequent Questar Pipelines closing in early 2021. As a result of the phased closing, Questar Pipelines and its associated debt will be removed from Dominion Energy Gas Holdings prior to the transfer of DEGH to Berkshire. Berkshire Hathaway Energy, which is A-rated, has indicated it plans to support the existing credit profile of DEGH by foregoing the refinancing of some $1.2 billion of scheduled maturities over the next 12 months as well as consideration of other credit-enhancing measures including additional deleveraging past 2021, as needed. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable EDF (France) Renewables confirms its commitment to Ireland by acquiring Wexford Solar Limited and opening a new office in Dublin EDF Renewables (EDFR) continues to invest in Ireland by acquiring Wexford SolarLimited which includes eight solar projects with around 100 MW of capacity across the country. The company has big ambitions to develop its already growing portfolio in Ireland, having recently bought 50% of the Codling offshore wind farm, partnering with Fred Olsen, to develop and build the project, and is opening a new bigger office in Dublin to accommodate this. Four of the Wexford Solar projects are consented and have been successful in the recent RESS 1 auction. These include Blusheens (11.5MW), Coolroe and Curraghmartin (5.7 MW) which are all in County Wexford plus Stamullen (5.8MW) in County Meath. EDF Renewables plans to build these projects in 2021. Four other projects are in the development phase and these are Ballycarren (6MW) in County Wexford, Willville (5.7 MW) in County Louth, Johnstown (15 MW) in County Carlow and Athlone (45MW) in County Roscommon. The new Dublin office will be home to our Irish Head of Development Kevin Daly and a team of six others but it is expected this will quickly grow as well. Currently all employees are working from home due to COVID-19. Executive Commentary EDF Renewables Ireland CEO said, “The Wexford solar projects are an important addition to our portfolio of onshore and offshore wind developments which we pursue at pace. Also the recent appointment of Arno Verbeek as Project Director is great news for the Codling project which looks set to be the biggest offshore wind farm in Ireland with a capacity of up to 1.5GW. We are delighted by the progress we are making in Ireland, and will continue to grow and work with the Irish Government and communities to further demonstrate EDF Renewables commitment to support the country’s Climate Action Plan, which calls for 70% of renewable energy by 2030." Each equity unit will be issued in a stated amount of $50. Each equity unit will consist of a contract to purchase NextEra Energy common stock in the future and a 5% undivided beneficial ownership interest in a NextEra Energy Capital Holdings, Inc. debenture due Sept. 1, 2025, to be issued in the principal amount of $1,000. The debentures will be guaranteed by NextEra Energy Capital Holdings' parent company, NextEra Energy, Inc. The holders would be required to complete the stock purchase by no later than Sept. 1, 2023, and their purchase obligations may be satisfied with proceeds raised from remarketing the debentures that comprise part of their equity units. The net proceeds from the sale of the equity units, which are expected to be approximately $1.94 billion (after deducting the underwriting discount and other offering expenses), will be added to the general funds of NextEra Energy Capital Holdings. A portion of the net proceeds from NextEra Energy's recent equity units issuance will be used to finance the transaction. GridLiance owns approximately 700 miles of high-voltage transmission lines and related equipment with utility rates set by the Federal Energy Regulatory Commission (FERC). The company's assets span three regional transmission organizations and six states. The transaction requires approval from the FERC, utility commissions in Kansas, Missouri, and Oklahoma, as well as expiration or termination of the waiting period under the Hart-Scott-Rodino Act. Assuming timely regulatory approvals, the transaction is expected to close in 2021. Wells Fargo Securities, LLC served as financial advisor, and Pillsbury Winthrop Shaw Pittman LLP served as counsel to NextEra Energy Transmission. Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable SSE (UK) Agrees Sale of Its 50% Share In Ferrybridge And Skelton Grange Multifuel Assets SSE plc has entered into an agreement to sell its 50% share in energy-from-waste ventures Multifuel Energy Limited (MEL1) and Multifuel Energy 2 Limited (MEL2) to European Diversified Infrastructure Fund III, an infrastructure fund managed by First Sentier Investors, for a total cash consideration of £995m. The transaction is expected to complete by late 2020 subject to antitrust approval by the European Commission. MEL1 and MEL2 are 50-50 joint ventures between SSE and Wheelabrator Technologies Inc., consisting of the operational Ferrybridge Multifuel 1 and Ferrybridge Multifuel 2 facilities (MEL1), as well as the Skelton Grange Multifuel development project (MEL2), all in West Yorkshire. Ferrybridge Multifuel 1 (which entered commercial operation in 2015, SSE share 50%) and Ferrybridge Multifuel 2 (which entered commercial operation in 2019, SSE share 50%) each have an installed capacity of 75MW and are capable of processing around 725,000 tonnes and 675,000 tonnes of waste every year respectively. The proposed Skelton Grange Multifuel facility (SSE share: 50%), which is due to reach financial close around April 2021 and commence commercial operations in 2025, will have an installed capacity of 45MW and will be capable of processing around 400,000 tonnes of waste annually. Executive Commentary Finance Director said: “This sale marks a major step in our plans to secure at least £2bn from disposals by autumn 2021, with just over £1.4bn now delivered. While these multifuel assets have been successful ventures for SSE, they are non-core investments and we are pleased to have agreed a sale that delivers significant value for shareholders while sharpening our strategic focus on our core low-carbon businesses. UGI held an ownership share of approximately 6%, or 102 MW of the Conemaugh facility, located near Johnstown in Western Pennsylvania. The sale of this non-core asset will reduce UGI's direct CO2 equivalent emissions by more than 30% and is consistent with our focus on growing our Midstream and Utilities businesses, as we intensify our Environmental, Social, and Governance (“ESG”) efforts. UGI Corporation is a distributor and marketer of energy products and services. Through subsidiaries, UGI operates natural gas and electric utilities in Pennsylvania, distributes LPG both domestically (through AmeriGas) and internationally (through UGI International), manages midstream energy assets in Pennsylvania, Ohio, and West Virginia and electric generation assets in Pennsylvania, and engages in energy marketing in eleven states, the District of Columbia and internationally in France, Belgium, the Netherlands and the UK. Financial, M&A Updates IT Shades Engage & Enable Veolia acquires 29.9% of Suez’s capital from Engie and confirms its intention to acquire control Veolia acknowledges Engie’s decision to respond favorably to its offer to acquire a 29.9% stake in Suez. As a reminder, this proposal, submitted on August 30 and continuously improved since, presents in particular the following elements: • a price of 18 euros per share (dividend included), i.e. a premium of 75% over the unaffected price of July 30, 2020, paid immediately in cash and paving the way for a public tender offer on the remaining share capital of Suez for all of its shareholders; • the guarantee of 100% of jobs and social benefits for all Suez employees in France; • the certainty of a French operation; • the preservation of competition thanks to the takeover by French company Meridiam of the Water activity in France from Suez, Meridiam having committed to preserving all jobs and social benefits, to take over the R&D center of Suez and to double the investments planned and to inject 800 million euros into this new scope within 5 to 7 years. This decision marks a first decisive step in the construction in France of a world super champion of the ecological transformation making the trail in this strategic sector for at least 20 years. The company will upgrade the aging 6-inch water lines with new, 8-inch ductile iron main along Riverview Avenue from River Road to the dead end. The project also includes replacing four fire hydrants and 26 utility-owned service lines along the pipeline route. This $540,000 investment will continue to advance water service reliability and increase water flows for household consumption and fire protection in this community. This improvement is part of New Jersey American Water’s multimillion-dollar initiative to accelerate the renewal of water infrastructure that has reached the end of its useful life in more than 100 communities across the state. New Jersey American Water’s local, qualified contractor, Montana Construction, Inc. will begin work on or about September 18 and expects to finish by the end of November, weather permitting. Work hours will be from 7 a.m. to 4 p.m., Monday through Friday. Work outside of these hours is not expected unless required to maintain project schedule. Final street restorations will be completed by the end of this year. For the public’s and workers’ safety, traffic restrictions and/or alternating traffic patterns are likely to occur during work hours. All emergency vehicles and local traffic will be allowed access during construction. New Jersey American Water values the safety of its workers and advises drivers and pedestrians to take caution in the vicinity of work sites. This project is part of Virginia American Water’s multimillion-dollar initiative to accelerate the renewal of water infrastructure that has reached the end of its useful life to our communities across the state. This achievement comes as the company completes its 130-MW Richland Wind Farm in Sac County, located in west-central Iowa. The now operational wind farm is among five wind projects across seven counties in the state. Collectively, the projects provide Iowa customers and communities with new renewable energy and are expected to provide power to approximately 430,000 Iowa homes. Completing the Richland Wind project expands the company’s total of owned and operated wind generation in the state to nearly 1,300 total MW. This investment in wind energy for Iowa customers generates significant financial benefits through tax revenue for communities and lease payments to landowners. Alliant Energy began construction on the Richland Wind Farm in July 2019 and is now the third largest utility owner-operator of regulated wind in the United States. The 138,000-volt transmission line will be rebuilt on existing right-of-way in South St. Louis City and County and cross the Mississippi River to Dupo, Illinois. Due to COVID-19, Ameren is taking action to keep the public and its employees safe and healthy. Rather than an in-person project forum, the Metro South Reliability Project team is providing community members and interested stakeholders with an online opportunity to learn more about the project. Construction on the 10-mile project is expected to be completed in winter 2022. Because the project area runs through an area with a high population of the Bosnian community, project information will be available in the Bosnian language as well as English. The SPA follows a Heads of Agreement that was concluded in January 2020 and represents the first long term supply contract for Centrica in China, one of the fastest growing LNG markets in the world. The granted seabed leases comprise extension projects with a combined potential installed capacity of around 1.8 Gigawatts (GW), with RWE’s pro rata share amounting to almost 900 megawatts (MW). Furthermore, it was decided to seek to develop the remaining seabed option at the original Zone 6 of the existing Rampion project and combine this with the extension project at this windfarm. All projects are in very early stages. The necessary development and consenting activities will now progress in accordance with current UK Government guidelines which will include comprehensive stakeholder consultation and determining each project’s exact installed capacity. The consenting processes are expected to take three to five years with participation in auctions for a Contract for Difference (CfD) and construction following thereafter. The wind farms could become fully operational towards the end of the decade. RWE will take the lead on behalf of partners for the development of the Awel y Môr and Five Estuaries offshore wind farms. RWE and SSE Renewables have formed a 50:50 joint venture company to develop the North Falls offshore wind farm together. GE Renewable Energy has agreed a contract, subject to Dogger Bank A and B reaching Financial Close, to supply 190 of the turbines for the development 130km off the coast of England. As part of the deal, GE Renewable Energy will establish marshalling harbour activities at Able Seaton Port in Hartlepool, creating 120 skilled jobs at the site during construction. The port will serve as the base for turbine service equipment, installation and commissioning activities. Component parts for each of the turbines will be delivered to the specialist site, where they’ll be pre-assembled before being taken out to the North Sea for installation. Turbine installation is expected to commence in 2023 at Dogger Bank A. This brings the total number of jobs in the North East associated with the development and operation of Dogger Bank Wind Farm to 320 so far. Recruitment activity is expected to begin in early 2021.
