on la presente portiamo alla Vostra attenzione le recenti no-
vità in materia di Transfer Pricing introdotte dall’art. 26 del
Decreto Legge n. 78 del 31 maggio 2010, convertito nella
Legge n. 122 del 30 luglio 2010.
• Come già evidenziato nel nostro Tax Alert del giugno scorso, secon-
do l’art. 26 del citato provvedimento, in caso di rettifica del valore
normale dei prezzi di trasferimento praticati nell’ambito delle ope-
razioni con società del gruppo non residenti nel territorio dello Stato
da cui derivi una maggiore imposta o un minor credito, le sanzioni
previste in caso di dichiarazione infedele (dal 100% al 200% della
maggiore imposta o del minor credito) non si applicano qualora, nel
corso dell’accesso, ispezione o verifica o di altra attività istruttoria,
il contribuente consegni all’Amministrazione finanziaria tutta la do-
cumentazione indicata in un apposito Provvedimento del Direttore
dell’Agenzia delle Entrate (di seguito, “Provvedimento”).
• E’ tuttavia previsto che, al fine di potersi avvantaggiare dell’esonero
dalle sanzioni, il contribuente debba preventivamente comunicare
all’Agenzia delle Entrate il possesso di tale documentazione secondo
modalità previste dal medesimo Provvedimento.
• Si evidenzia che, secondo l’Agenzia delle Entrate, l’obbligo della co-
municazione preventiva risponde all’esigenza di “consentire all’am-
ministrazione fiscale di procedere ad una più efficace analisi preli-
minare dello specifico rischio fiscale, soprattutto con riferimento a
quei soggetti privi della stessa”, lasciando così intendere che saranno
oggetto di particolari controlli i contribuenti che non avranno effet-
tuato alcuna comunicazione.
• Il menzionato Provvedimento è stato emanato dal Direttore
dell’Agenzia delle Entrate in data 29 settembre 2010.
• Tale Provvedimento risulta essere conforme alle direttive emanate
dall’OCSE e dal Codice di condotta dell’Unione Europea in materia
di Transfer Pricing.
• Conforme alle impostazioni OCSE e del Codice di condotta è, in par-
ticolare, l’articolazione della documentazione nel cosiddetto Master-
file, riguardante il gruppo, e nella Documentazione Nazionale, che
attiene in modo più specifico all’impresa residente.
• Il Provvedimento contiene, inoltre, un’opportuna articolazione delle
informazioni a seconda della tipologia di impresa interessata, distin-
guendo a seconda che questa sia una società Holding, una Subhol-
ding, una Società partecipata ovvero una Stabile organizzazione di
un’impresa non residente.
• Le informazioni richieste dal Provvedimento sono molto dettagliate e
si sostanziano in una effettiva analisi di Transfer Pricing. Il Provvedi-
mento prevede infatti i seguenti obblighi documentali:
a) Nel Masterfile, devono essere fornite informazioni sul gruppo,
la sua struttura, le strategie generali perseguite, le operazioni infra-
gruppo e i relativi flussi, le funzioni svolte, i beni strumentali im-
piegati e i rischi assunti, i beni immateriali, la politica di determi-
nazione dei prezzi di trasferimento del gruppo, eventuali rapporti
con le amministrazioni fiscali dei paesi membri nell’Unione Europea
concernenti “Advance Price Arrangements” (APA) e ruling in materia
di prezzi di trasferimento;
b) Nella Documentazione Nazionale, devono essere invece fornite
informazioni sulla impresa residente, la sua struttura operativa, le
strategie generali perseguite ed eventuali mutamenti di strategia ri-
spetto al periodo d’imposta precedente, le operazioni infragruppo,
un’analisi di comparabilità, informazioni relative al metodo adottato
per la determinazione dei prezzi di trasferimento ed informazioni su
accordi per la ripartizione dei costi a cui l’impresa partecipa.
• La documentazione deve essere predisposta ed aggiornata annual-
mente. Unica eccezione a questa regola è stata prevista per le piccole

lations on Transfer Pricing documentation related to
cross-border intercompany transactions introduced
by the Italian Government on May 31, 2010, under
article 26 of Law Decree no. 78, converted into Law no. 122 on July
30 2010.
• As we have already remarked in our Tax Alert of June last, pur-
suant to article 26 of the aforesaid Decree, Italian taxpayers can
avoid the application of administrative penalties for tax asses-
sments relating to transfer pricing issues (which typically range
between 100% - 200% of income tax involved) if during a tax au-
dit, or any other verification procedure, they provide the inspec-
tors with adequate documentation supporting the arm’s length
nature of cross-border transactions to be prepared in accordance
with the regulations recently issued by the Tax Authorities (“In-
structions”).
• However, if taxpayers wish to avail of the penalties relief, they
should notify in advance the Tax Authorities of the existence of
transfer pricing documentation as per the terms set forth in the
Instructions.
• We highlight how, according to the Tax Authorities, the advance
notification obligation was introduced to enable the tax admini-
stration to carry out a more effective preliminary tax risk analy-
sis, in particular of those companies which do not file any such
notification; which, therefore, entails an increase in assessment
risk for those companies who will decide not to file the notifica-
tion, regardless of the documentation availability.
• The aforesaid Instructions were issued by the Italian Tax Authori-
ties on September 29, 2010.
• The Instructions are in line with the Transfer Pricing standards
issued by OECD and the EU’s Code of Conduct.
• In keeping with the OECD Transfer Pricing guidelines and EU’s
code of conduct, the documentation required comprises a Ma-
sterfile (related to Group documentation) and a Country File (re-
lated to local entities documentation).
• The level of information required depends on the legal status
of the resident entity involved, in particular on whether this is a
Holding, Sub-holding, Controlled Company or branch.
• The information required by the Instructions is very detailed; ba-
sically, it implies providing a full transfer pricing analysis. Speci-
fically, according to the Instructions:
a) the Masterfile must include information on the Group, its
structure and strategies, intercompany transactions, functions,
tangible and intangible assets, risks, Transfer Pricing policies,
possible advance price arrangements and Transfer Pricing ru-
lings;
b) the Country File must include information about the local
entity, its structure and strategies, intercompany transactions,
benchmark analysis, Transfer Pricing methodology and cost sha-
ring agreements.
• Companies have to update the documentation each year, with
the exception of small and medium size companies (i.e. with a

3. e medie imprese (intendendosi per tali le imprese industriali, com-
merciali o di servizi con volume d’affari o ricavi non superiori a 50
milioni di euro), che possono esimersi dall’aggiornare i dati relativi
all’analisi di comparabilità per i due anni successivi a quello di predi-
sposizione della documentazione.
• La documentazione deve essere redatta in lingua italiana. E’, tuttavia,
consentito – in linea con il Codice di condotta comunitario – adottare
per il Masterfile una lingua straniera, che però il provvedimento limi-
ta all’inglese, anche se, ad esempio, la capogruppo non ha sede in
Stati di madrelingua anglossassone.
• Sia il Masterfile che la Documentazione Nazionale devono essere
siglati in ogni pagina dal legale rappresentante o da un suo delega-
to, nonché firmati nell’ultima pagina, anche con sottoscrizione elet-
tronica. Nel caso di Masterfile relativi a gruppi comunitari, la firma
del rappresentante fa fede della conformità di quanto presentato
all’Agenzia delle Entrate a quanto esibito all’Amministrazione fiscale
dello Stato di residenza della capogruppo.
• Il Provvedimento precisa che la documentazione deve essere fornita
in formato elettronico e non cartaceo; qualora, però, esistano solo
copie cartacee, è consentito al contribuente – in un “tempo congruo
assegnato dagli incaricati dell’attività di controllo” – predisporre la
documentazione in formato elettronico senza che ciò pregiudichi la
disapplicazione delle sanzioni.
• Con riferimento ai termini per la comunicazione preventiva all’Agen-
zia delle Entrate relativa al possesso della documentazione - come
detto necessaria al fine di potersi avvantaggiare dell’esonero dalle
sanzioni - il Provvedimento precisa che, a regime, tale comunicazio-
ne avviene in sede di dichiarazione dei redditi.
• Per i periodi d’imposta anteriori a quelli in corso al 31 maggio 2010
(si tratta dei periodi di imposta ancora verificabili, tipicamente dal
2006 al 2009, considerando che il periodo di imposta 2005 è accer-
tabile fino al 31 dicembre 2010), tale comunicazione deve essere ef-
fettuata in via telematica tramite Entratel entro il 28 dicembre 2010,
anche se saranno considerati validi invii tardivi, purché anteriori ad
accessi, ispezioni, verifiche o altre attività amministrative di accerta-
mento delle quali il soggetto abbia avuto formale conoscenza.
• I documenti devono essere consegnati ai verificatori entro 10 giorni
dalla richiesta; sul punto, la locuzione “entro e non oltre” fa presu-
mere una natura imperativa di tale scadenza (nel senso che, spirati
gli stessi, l’Amministrazione è libera di applicare le sanzioni), fermo
però restando che è possibile integrare i documenti dietro richiesta
degli Uffici.
• La disapplicazione delle sanzioni è condizionata alla completezza
e veridicità delle informazioni contenute nella documentazione. Il
Provvedimento dispone, infatti, che le sanzioni possono essere ir-
rogate se i documenti sono incompleti, non conformi al contenuto
minimo previsto, o non corrispondano al vero.
• È tuttavia prevista una clausola di garanzia per il contribuente, che
non può vedersi irrogata la sanzione per omissioni o inesattezze
parziali o che, in ogni caso, non pregiudicano l’attività di controllo.
• Ulteriore garanzia, poi, è rappresentata dal fatto che le informazioni
contenute nella documentazione non possono essere utilizzate per
“scopi diversi da quelli istituzionalmente riconducibili all’attività di
controllo nel corso della quale essa è esibita”.

• The documentation has to be drawn up in Italian, except for the
Masterfile which, in keeping with the EU’s Code of Conduct, can
be in English.
• Both the Masterfile and the Country File have to be signed on eve-
ry page by the legal representative (certified electronic signature
is also allowed) or a person delegated by such legal represen-
tative. In the event the Masterfile refers to EU groups, the legal
representative’s signature certify that what filed with the Italian
Revenue Agency complies with what filed with the tax authorities
of the state of residence of the Group Holding.
• The Instructions specify that the documentation must be provi-
ded to the Tax Authorities in an electronic file format and not
in hard copy; however, in case only hard copies exist, taxpayers
are allowed to prepare an electronic version of same within an
adequate time span determined by the inspectors without this
undermining the application of penalty protection.
• With regard to terms and deadlines for the advance notification
of the existence of transfer pricing documentation to the Reve-
nue Agency - which is, as previously stated, mandatory to benefit
from penalty protection under the law - the Instructions specify
how this should be included in the annual Income Tax Return.
• For fiscal years prior to FY2010 (typically from FY2006 to
FY2009, noting though how FY2005 is actually still assessable
till December 31, 2010), a separate notice form needs to be fi-
led online via Entratel by December 28, 2010; however, also late
filings will be accepted, as long as the form is filed before any
tax investigation, audit or administrative verification by the Tax
Authorities may be formally started, i.e. which the taxpayers has
been informed about.
• In the event of a tax audit, the transfer pricing documentation
must be delivered within 10 days not to incur penalties; supple-
mentary documentation can be provided within 7 days from the
inspectors’ request or within any other term agreed with them.
• In order to benefit from the penalty protection, the documenta-
tion must be true, complete and compliant with the Instructions’
requirements. In fact, in case the documents do not meet the
said basic requirements, penalties may be applicable.
• However, partial omissions or inaccuracies, which do not alter
or affect the investigation activity by the Tax Authorities, should
not jeopardize the application of penalty protection. A further
guarantee is given by the fact that the information contained in
the documentation cannot be used for purposes other than those
referable to the inspection activity during which same had to be
disclosed.
