Terms, conditions and regulations outlined herein have been established for the mutual benefit
and protection of all Exhibitors, Visitors, and Event Management and may not be modified unless
in writing signed by Event Management. The Exhibitor agrees to these terms and conditions as
an integral part of this binding contract. Please read carefully to avoid any misunderstandings.
1. EXHIBITOR BOOKING: To reserve a booth at the IRIE MEGA BEAUTY EXPO (IMBE) a signed
application and a minimum of 50% of the booth rental is required as a deposit. Upon receipt
of the application and deposit, your application will be reviewed. The signed application will
be the binding agreement between IMBE Event Management and the Primary Exhibitor. Once
approved your non-refundable deposit will reserve your space until
2. Monies paid in to IMBE is non-refundable. Funds for booth deposit and rental may be
transferred to a future IMBE event based on the discretion of Event Management.
3. EXHIBITOR SPACE: Assignment of space will be priority given upon receipt of application
and paid in full. All booth space assignments are at the sole discretion of Event Management.
However, all request of paid in full exhibitors will be considered. Exhibit space is the responsibility
of the Primary Exhibitor. Signs and banners will be that of the Primary Exhibitor only. Sharing of
space is permitted. Table top promotional and marketing material may be that of the Primary
Exhibitor and the Sub-Primary Exhibitor. Primary Exhibitor must submit in writing a space shared
agreement with signature of Primary and Sub-Primary Exhibitors stating the responsibility of the
space is the responsibility of the Primary Exhibitor.
4. PAYMENTS: Payments can be made by check, money order, cashier’s check, credit or debit
card. Any unpaid balances are due 30 days prior to the expo start date. At IMBE discretion,
any deposits or space may be forfeited if the balance is not paid by the due date. All costs for
collections, including reasonable attorney’s fees, accrued interest, returned check and/or credit
card charge back fees, and any other fees due IMBE shall be the responsibility of the exhibitor.
Exhibitor is totally responsible for the exhibitor space. Payments are non-refundable and only
transferrable, at the discretion of IMBE MGMT, to a future IMBE event.
5. LICENSE, INSURANCE, PERMITS: All Exhibitors are fully responsible for obtaining and
adhering to any applicable licenses, insurance and/or permits that are required by the event
location local and state laws. Permits include, but are not limited to sales tax permit, health
permit, selling and sampling any product of food.
6. LIMITATION ON LIAIBILITY: Without prejudice, the all Exhibitors releases IMBE Event
Management and Venue Management to include staff and visitors from any liability and waives
(a) any and all demands, claims, and causes of action in law or in equity, related to any defect,
deficiency, failure or impairment of utilities or other facilities, including water, heating, electricity,
ventilation, refrigeration, or other mechanical systems failure(s) (b) the conduct unbecoming,
negligence or claims of any exhibitor or attendee, and (c) any fire, flood, strike, terrorist attack,
weather or other, force majeure beyond control of IMBE.

7. PRODUCT/SERVICE EXCLUSIVITY: There is no guarantee of exclusivity
8. INDEMNIFICATION: Exhibitors display and exhibit property at their own risk. IMBE does
not assume any responsibility for loss or damage to Exhibitors property. IMBE will not be held
accountable for the death or injury of any person attending the event or for any damages suffered
by Exhibitor or its officers, agents, employees, or invitees as a result of any cause whatsoever.
Exhibitors shall indemnify and hold IMBE, its parent, subsidiaries, affiliates, sponsors, and their
respective officers, directors, agents and employees harmless from any suit or claim arising out
of any action or failure to act by the Exhibitor. Exhibitor shall be liable for any and all damages
caused by Exhibitor to the venue including building, building grounds, landscaping, floors, walls,
columns, or any other part of the building structure, or to the chattels and fixtures of the building
or any other Exhibitor or person or entity having property at the venue building’s premises.
Exhibitors are advised to obtain insurance coverage for these risks.
9. CANCELLATION: IMBE reserves the right to cancel this event at any time prior to the date
of the event with refund of all amounts paid by participants to IMBE in connection with this
agreement. Otherwise all payments are non-refundable
10. NO GUARANTEE OF RESULTS: IMBE does not warrant or guarantee any particular results
of the event. Nor, does it guarantee a particular number of attendees or exhibitors.
11. IMBE AUTHORITY: IMBE reserves the right, upon reasonable notice to the Exhibitor, to
substitute alternate dates and/or facilities other than those originally planned for a particular
event. Also, Exhibitors hereby grant IMBE permission to use Exhibitor’s name and/or logos for
promotional purposes in connection with the event and/or other events produced by IMBE. This
permission shall extend to photographs of the Exhibitor’s booth.
12. MISCELLANEOUS: Exhibitors may not pin, staple or tape anything to the back drape.
Subject to IMBE discretion, loud or offensive exhibits are not permitted. Blocking isles, soliciting
customers in the aisles or handling materials out in the aisles is prohibited. Absolutely no helium
balloons will be allowed in the facility. Exhibitors must also comply with all requirements, rules
and policies of the venue provider.
13. COMPLETE AGRREEMENT: This agreement represents the entire agreement between the
parties and supersedes all communications, understandings, or agreements, if any are expressed
or implied written or verbal. In the event of any dispute to the terms of this Contract, the parties
agree to consult with a professional mediator agreed upon by all parties prior to seeking legal
action. The prevailing party shall be entitled to recover costs and attorney fees. This contract
shall be interpreted and construed pursuant to the laws of the state in which the event is held.
Amendments to this agreement must be in writing and signed by both parties.
