Dear Dr. Blum:
Your letter of October 18, 1982 indicating your possible
desire to present a stockholder proposal at the 1983
Annual Meeting has once again been referred to me for
response. As stated in the 1982 Proxy Statement, the
deadline for submission of stockholder proposals for
inclusion in the 1983 Proxy Statement will be
December 29, 1982. As referenced in my earlier letter
to you, all stockholder proposals are subject to the
rules and requirements set forth in Rule 14a-8. This
rule covers content and length of stockholder proposals
as well as format and deadlines.
One matter I feel obligated to point out to you is that
the proxy rules require the proponent or his delegate
to be personally present at the annual meeting to present
the matter. I point this out since it now appears that
you are residing in Australia and this might be a matter
of inconvenience for you. As an alternative to the sub-
mission of your proposal, we would welcome the opportunity
to conduct a dialogue with you outside the formalities of
the proxy rules and the stockholders meeting. We may well
be able to resolve your concerns or provide whatever
information you may request.
