2. Flashpoint Scouting Program
● We are expanding our network in Europe and the US by partnering with angel investors,
startup advisors, lawyers, tech executives and entrepreneurs who are close to local tech
communities and have access to unique deal flow and knowledge
● The main role of the program:
○ Flag or make introductions to new companies (expanding top of the deal funnel)
○ Facilitate an investment transactions (improving our win rate)
● We work with scouts on a finders fee basis paying a commission for a) every deal (Venture
Debt and Secondary transactions) and b) every qualified lead generated (Early Stage VC
transactions)

6. Early-Stage: Terms and conditions
The scout can choose between two compensation models
Model 1: Pay per preliminary investigation
➔ Lead fee of $1,000 per preliminary investigation, plus
➔ $5,000 success fee if Flashpoint does a deal with a company that VS introduced, or $3,000
success fee if Flashpoint does a deal with a company that VS brought to FP’s attention but
no introduction made
Model 2: Pay per transaction completion
➔ 2% on FP cash investment per transaction, capped at $30,000, if VS makes an introduction
to the founder, and capped at $15,000 if no introduction to the founder is made

8. Late-Stage: Terms and conditions
The scout can choose between two compensation models
➔ VD: 3% on FP cash investment per transaction, capped at $50k if new investment
opportunity and capped at $25k if an investment opportunity within existing FP pipeline
➔ SF: 1% below $10m on FP cash investment per transaction, plus 0.5% above, capped at $50k
if new investment opportunity and capped at $25k if an opportunity within existing FP
pipeline
