proactive in attending Beauty Shows.
4. NYX Cosmetics-http://www.nyxcosmetics.com/ I started representing this company upon a request by
my biggest Distributor in Puerto Rico. Started with them January 2011 and still managing their account
to present. So far we have managed to have sold them in 10 accounts and we did $250,000.00 in our first
year! I since added 2 other accounts this year for them resulting in expected Sales of $1,000,000.00 in
for 2013. This year I was in the table when we negotiated a great sale to L’Oréal Paris for over 24
million dollars.
5. Del Rio Trading LLC- I have help this Distributor from Puerto Rico to gain more accounts in the Retail
and Beauty Field since I was in Palladio in 1995. Responsible for placing the first 4 foot planogram for
Walmart for them. They now own 14 feet of products they distribute in the Caribbean. Since then, we
were able to get more retail outlets like CVS, Walgreens and Kmart.

6. Toni Mineral Cosmetics- From 2013-2015. I developed a line of Cosmetics to be sold exclusively
for Walmart Puerto Rico. It is going to be a 4 foot planogram for 15 stores. They formerly carried
NYX Cosmetics and Palladio before that in the same space. Palladio made 1miilion each year and
NYX Cosmetics made 2.5 million. These New Cosmetics is expected to do the same as NYX or
better!

INDEPENDENT NATIONAL SALES BROKER AGREEMENT
 AGREEMENT made this 1st day of January 2015 by and between __________________________.
owned and operated by _________________ (hereinafter “Manufacturer”) and Jose B. Narciso DBA
Beauty by Design Management & Consultation Services, located at 954 Palm Avenue Suite #105,
West Hollywood, CA 90069 (hereinafter “Independent National Sales Broker”) with respect to the
following.
RECITALS
 Manufacturer is engaged in the business of export, import, manufacturing and the distribution of
consumer beauty products. Manufacturer desires to engage the services of Independent National
Sales Broker annually.
 A Monthly “Broker Fee “of “$500.00 per month” is due every 1st day of each month thereafter. First
Payment of $500.00 will be mailed to Independent National Sales Broker within 5 days upon signing
then faxing, mailing or e-mailing of this Agreement. . (10% late fees will be charged for any late checks, an offer of a
bank transfer is available upon request).
 Travel Expenses and all other expenses incurred for Manufacturer or on behalf of the Manufacturer
are not included in this Agreement. All expenses must be submitted by the Independent National Sales
Broker to the Manufacturer.
 They should be pre-approved in writing via email or fax “one month” before travel dates to the
Manufacturer. The 100% of the entire Travel Expense is due and must be paid one week after
submission of all pre-approved expenses by the Manufacturer. . (10% late fees will be charged for any late
checks, an offer of a bank transfer is available upon request).
 Independent National Broker is assigned to manage and oversee Sales of Manufacturer’s products
throughout the 50 States and Puerto Rico.
 Independent National Sales Broker is also given the authority to hire, manage and train on behalf of
the Manufacturer other Independent Sales Brokers to sell products for or in behalf of the
Manufacturer. Manufacturer and Independent National Sales Broker will both decide on all
potential hires and must all be pre-approved by both parties in writing.
 Manufacturer will also be responsible for payments of all commissions due to all other Independent
Sales Brokers hired by Independent National Sales Broker on behalf of the Manufacturer and
according to the agreed upon terms between Independent National Sales Broker, Independent Sales
Broker and the Manufacturer.
IT IS AGREED AS FOLLOWS
 PURPOSE. Manufacturer engages Independent National Sales Broker as a “National Sales
Manager” for its products in the 50 United States and Puerto Rico/The Caribbean Islands.
 Los Angeles County is the Independent National Sales Broker’s “Territory”.
 He is also assigned to oversee and will be paid a percentage as stated below for all sales that are
transacted by other Independent Sales Brokers throughout the 50 United States and Puerto Rico/The
Caribbean Islands.

 The Manufacturer is aware that Independent National Sales Broker will handle all sales for the
Beauty Supplies; Retail/OTC and Full Service plus “Other Special Accounts” (TBD).
 TERRITORIES. Manufacturer is aware that Independent National Sales Broker “Territory”
covers the entire 50 US States territory including Puerto Rico (including all the Caribbean Islands).
 All these Territories will be divided and assigned to other Independent Sales Brokers (all will be pre-
approved by Independent National Sales Broker and by the Manufacturer) in writing via Contracts
and/or Agreements set by both the Manufacturer and the other Independent Sales Brokers with the
help of the Independent National Sales Brokers.
DUTIES OF THE INDEPENDENT NATIONAL SALES BROKER
 SALES. Independent National Sales Broker agrees to sell and submit a purchase order directly or
through the Retailer to the Manufacturer within a timely manner via a facsimile or email. Independent
National Sales Broker will devote his efforts in the selling of Manufacturer’s products as required in
his Territories.
 Manufacturer is aware that Independent National Sales Broker also represents other
Manufacturers, Independent Sales Brokers, Filling and Packaging Companies and will not devote
its exclusive efforts to the selling, managing, consulting and product development of the
Manufacturer’s products.
 MANAGEMENT. Independent National Sales Broker agrees to Hire, Manage, Train and
Oversee Monthly Sales Goals of all the other Independent Sales Brokers. All sales goals will be set
and agreed in writing by both the Manufacturer and Independent National Sales Broker and other
Independent Sales Brokers according to their Territories.
 Independent National Sales Broker will also communicate with Manufacturer as often as four times
per month or 20 hours whichever is best to update Manufacturer on all or any news, comments, and
suggestions from the sales field and from other Independent Sales Broker.
MARKETING; PRODUCT DEVELOPMENT & TRAINING
 Independent National Sales Broker agrees to help create the following for the Manufacturer (“only
if they choose”): Displays, Brochures, Packaging, Website, Copywriting, Training Materials,
Policies, Prices and Policies; plus all other necessary tools for the growth and support in selling all of
the Manufacturer’s products.
 Manufacturer is allowed as stated above a maximum of 20 hours per Month of Communications
regarding all the above duties and responsibilities.
 It is the Manufacturer’s responsibility to set all policies of its company regarding all aspects of its
business. (Examples: Shipping, Minimums Requirements, Credits etc.).
 Manufacturer also agrees all expenses incurred in all Marketing materials and all other expenses
regarding the above projects will be the Manufacturers sole responsibility.
TRADE BEAUTY/RETAIL SHOWS; COMMISSIONS & FEES
 TERMS. This Agreement shall continue in full force and effective for the term of two contract years
(1st day of January 2015 to December 31, 2017). This Agreement shall be for an initial term of two
(2) years from the date hereof or stated above and below.

 Either Independent National Sales Broker or Manufacturer may end this agreement at the end of the
initial term by giving the other party a written notice no later than (60) days prior to the end of the
initial two (2) year term of this Agreement. Said notice shall be by way of Certified Mail with a
Return Receipt Requested directed to the respective offices of the parties.
 If neither Independent National Sales Broker nor Manufacturer gives notice to end this Agreement,
then this Agreement shall automatically extend for an additional one (1) year term and thereafter from
year to year. The extended periods of this Agreement shall be subject to all of the terms and conditions
herein.
 In the extended terms of this Agreement, either Independent National Sales Broker or Manufacturer
may end this Agreement by providing sixty (60) days written notice in the form herein stated, prior to
the end of any one (1) year extension of Agreement.
 In the event during its initial term or any extension thereof, this Agreement is terminated by any of the
parties for any reason, the Manufacturer shall, for a period of 12 months, or for a period of time in
excess of twelve (12) months remaining on the Agreement’s initial term, or whichever is greater (but
not less than 12 months), must continue to pay Independent National Sales Broker commissions as
provided above, on all products sold in all his territory and all other territories he managed during his
time and said period of time.
 During such 12 month period, Independent National Sales Broker shall be entitled, through its
appointed representatives, to examine the books and records of the Manufacturer’s Company for the
purpose of ascertaining all the company’s sales and corresponding commissions due to the Independent
National Sales Broker to which it is entitled hereunder.
 Notices to be given hereunder by either party shall be given to Independent National Sales Broker
located at 954 Palm Avenue Suite #105, West Hollywood, CA 90069 and to the Manufacturer at the address
indicated above and below. Either party may change the place to which notice may be sent by written
notice to the other.
 This Agreement shall be binding and is for the benefit of the successors and other assigned by either of
the parties. All commissions and agreed fees are due to the Independent National Sales Broker by the
Manufacturer as so stated above and below.
 This Agreement shall take effect and can only be terminated by either party with a written notice sent
by Certified Mail with a Return Receipt Requested no less than sixty days prior to the end of this
two-year agreement.
 Any and all commissions, monthly fees and sales agreed by the Retailer with the Manufacturer and
the Independent National Sales Broker written prior to the end of this Agreement will be paid and
due in full upon termination of this Agreement by either party. This also includes all sales that were
established in writing by Independent National Sales Broker, Retailers and other Independent Sales
Brokers.
 If the Manufacturer terminates this contract before the end of the “contract year” (1st day of January
2015 to December 31, 2017), Manufacturer is still obligated to pay the Independent Sales Broker all
his commissions for all the sales made and that will be made during the above stated two (2) contract
years or 12 months after or whichever is greater (but never less than 12 months).
 Manufacturer agrees to pay Independent National Sales Broker commissions monthly and is due in
full on the 20th of the month following shipments to the Retailer. (Commissions paid after the 20th
of the months is
considered late and will incur a 10% additional to the amount as a penalty.) Exceptions will be made for Retail Chain Drug
Stores for example: Duane Reade Drug Stores in New York City, etc. Proof of all Manufacturer
Invoices of Sales must accompany commission.

 Manufacturer also agrees to attend and pay the (4) Show Booth Fees of two (2) Beauty Shows per the
2 contract year of January 2015 to December 2017. The Show Booth Fees will depend on whether
Manufacturer decides to have their own booth or share with another Manufacturer.
 The agreed Shows will be the WBC (Western Beauty Conference) Show (January 2016 and
January 2017), the NEBC (North East Beauty Conference) Show (March 2016 and March 2017).
 These shows are part of the ways the Independent National Sales Broker promotes and introduces the
Manufacturers to all the Retailers across the country.
 If the Manufacturer misses one show, then a commensurate compensation shall be paid to the
Independent National Sales Broker. Each show may average from Zero to $100,000.00 thousand
sales. There’s neither telling nor a guarantee what each company would make.
 However, also if a Manufacturer doesn’t show up, then the Retailers/Customers will feel that they are
not a serious Company or Business for them to support as a future long term product or business
partner.
 Cost for the Manufacturer for not attending any one of the shows. The following just makes it more
difficult for the Manufacturer to not invest on doing Beauty Shows. If they are not ready to Invest for
the show fees and cost, then they are strongly advised to not even sign this contract.
 A Penalty of $2,000.00 to $5,000.00 will be due the Independent National Sales Broker depending on
the agreed upon Booth Product Cost. This will also be the basis if no sale will be done due to any other
reason of non-attendance of any of the agreed upon shows above.
 Commissions; Normally sales will be made in the show. Therefore commissions are expected. If the
Manufacturer decided not to attend any one show. The commissions that were paid from the prior
show would be the basis of the lost commissions paid to the Independent National Sales Broker by the
Manufacturer. (If this is the first show, then a basic average of $1,000.00 is just a fair amount).
 The Independent National Sales Broker agrees to help the Manufacturer and work all the above
Four Beauty shows for an agreed fee of $1,000.00 per show. This fee is due one week prior to the day
of the show. (10% late fees will be charged for any late checks, an offer of a bank transfer is available upon request).
 This fees includes helping Manufacturer to do a Professional Set Up; Merchandising & of Products;
Preparation for Products in Booth; Packing & Unpacking the Booth; Selling & Promoting the
Line for 8 hours per day for 4 to 5 Full Days of the Show Booth!
 The Booth Sales is also a common tradition for all the Manufacturers who want to avoid the return
shipping cost. Independent National Sales Broker is accustomed to selling the entire booth at an
“Agreed Cost Prior the Show” (Cost is what Manufacturer’s Product Cost). The Sale will be
considered a “Bonus” and “Half of the Sale of the Booth” will be paid to the Independent National
Sales Broker at the end of the Show in cash or whatever means the Customer/Retailer paid for it. (10%
late fees will be charged for any late checks, an offer of bank transfer is available upon request)!
 All these above are also a part of the Independent National Sales Brokers income. Any deviation or
changes made has to be agreed upon prior to the show, but must pay a penalty as stated above.
 Manufacturer Agrees to Pay Independent National Sales Broker the Following Commission
Structure: from the agreed “Final Cost” to the Retailer. (“Final Cost” must be written, agreed upon, and
established by the Manufacturer and the Independent National Sales Broker prior to the Show and Sales to the Retailer
and the signing of this Contract/Agreement establishes the acceptance of all of the above and below).
 All prices, procedures and policy will be established in writing by the Manufacturer and Independent
National Sales Broker to all other Independent Sales Brokers and the Retailers and should be
published and printed as “Price List” and or called as “Cost/MSRP”. Commissions Structure Below
are based on this.

 15 % commission due for all personal sales made by the Independent National Sales Broker with a 1
to 15% discount off Price List given to the Retailer by the Manufacturer or Independent National
Sales Broker.
 10 % commission due for all personal sales made by the Independent National Sales Broker sales
with a 16% to 20% discounts off Price List given to the Retailer by the Manufacturer or
Independent National Sales Broker,
 7% commission due for all personal sales made by the Independent National Sales Broker with a
21% to 25% discounts off Price List given to the Retailer by the Manufacturer or Independent
National Sales Broker.
 5% commission due for all personal sales made by the Independent National Sales Broker with a
26% to 50% discounts off the Price List given to the Retailer by the Manufacturer or the
Independent National Sales Broker.
 5% for all sales taken over the Telephone only when Manufacturer agrees to forward it’s 800 Toll
Free number to the Independent National Sales Broker for all sales outside his Territory and for all
other Independent Sales Brokers in their assigned Territories.
 5% Override Commission for all sales made by any and all other Independent Sales Brokers and
other Sales People for the 50 states including Puerto Rico. Once Manufacturer ships to the Retailer
“All Sales are Final and were so agreed”.
DUTIES OF THE MANUFACTURER
 Manufacturer shall promptly notify Independent National Sales Broker of any changes in pricing
and inventory-on-hand 3 months prior to the product going out of stock. This will help eliminate selling
items that are out of stock!
 Manufacturer is also aware that Independent National Sales Broker is not responsible for the
Retailers terms and agreements of payment, and is only acting on behalf of the Manufacturer.
Therefore, is not responsible for any actions taken by any Retailer, Filler, Designer and all other
Manufacturers to the Manufacturer.
 All account collections, credit references returns and product liabilities are Manufacturers sole
responsibility. Independent National Sales Broker assumes that the delivery of goods by the
Manufacturer to the Retailers is an acceptance of all terms and conditions by the Retailers to the
Manufacturer and vice-versa.
 Independent National Sales Broker will only be charged back commissions on accounts that do not
pay Manufacturer after 120 days after due date is established by Manufacturer to the Retailer.
Independent National Sales Broker agrees that all Retailers who are established by both parties as a
“Bad Payer” will not be sold and shipped by Manufacturer until account is paid in full or Credits are
re-established.
 If the Manufacturer continues to ship any Retailer considered a “Bad Payer”, then Manufacturer
assumes that responsibility and will forfeit charged back commissions from the Independent National
Sales Broker.
 If account becomes 60 days past due, Manufacturer’s duty to inform Independent National Sales
Broker and other Independent Sales Brokers in their respective Territories in writing, via email or
facsimile. They will then try to assist the Manufacturer in collecting outstanding debts. Manufacturer
should then turn Retailer into Collections after 90 days has past and has exhausted all avenues of
collecting amount due.

 ATTORNEY’S FEES. In the event any action is commenced to enforce the terms of this Agreement,
the prevailing party therein shall be entitled to recover its reasonable costs, including attorney’s fees.
This Agreement shall be construed in accordance with the laws of California and Los Angeles
County, California; are deemed to be the proper venues for any action to enforce the terms hereof.
 ENTIRE AGREEMENT. This is the entire Agreement of the parties and supersedes any prior oral
and or written agreement or understanding between them effective as of the date the date this
Agreement is so executed. This Agreement terminates on December 31, 2017 unless renewed in
writing by both parties. This entire Agreement may not be modified, except in writing, upon the mutual
consent of the parties here to.
The parties below have executed this Agreement on the date first above written.

  • 10. 10 COVER LETTER, RESUME, BEAUTY & RETAIL CUSTOMER LIST & SAMPLE CONTRACT __________INITIALS SAMPLE CONTRACT ONLY INDEPENDENT NATIONAL SALES BROKER AGREEMENT  AGREEMENT made this 1st day of January 2015 by and between __________________________. owned and operated by _________________ (hereinafter “Manufacturer”) and Jose B. Narciso DBA Beauty by Design Management & Consultation Services, located at 954 Palm Avenue Suite #105, West Hollywood, CA 90069 (hereinafter “Independent National Sales Broker”) with respect to the following. RECITALS  Manufacturer is engaged in the business of export, import, manufacturing and the distribution of consumer beauty products. Manufacturer desires to engage the services of Independent National Sales Broker annually.  A Monthly “Broker Fee “of “$500.00 per month” is due every 1st day of each month thereafter. First Payment of $500.00 will be mailed to Independent National Sales Broker within 5 days upon signing then faxing, mailing or e-mailing of this Agreement. . (10% late fees will be charged for any late checks, an offer of a bank transfer is available upon request).  Travel Expenses and all other expenses incurred for Manufacturer or on behalf of the Manufacturer are not included in this Agreement. All expenses must be submitted by the Independent National Sales Broker to the Manufacturer.  They should be pre-approved in writing via email or fax “one month” before travel dates to the Manufacturer. The 100% of the entire Travel Expense is due and must be paid one week after submission of all pre-approved expenses by the Manufacturer. . (10% late fees will be charged for any late checks, an offer of a bank transfer is available upon request).  Independent National Broker is assigned to manage and oversee Sales of Manufacturer’s products throughout the 50 States and Puerto Rico.  Independent National Sales Broker is also given the authority to hire, manage and train on behalf of the Manufacturer other Independent Sales Brokers to sell products for or in behalf of the Manufacturer. Manufacturer and Independent National Sales Broker will both decide on all potential hires and must all be pre-approved by both parties in writing.  Manufacturer will also be responsible for payments of all commissions due to all other Independent Sales Brokers hired by Independent National Sales Broker on behalf of the Manufacturer and according to the agreed upon terms between Independent National Sales Broker, Independent Sales Broker and the Manufacturer. IT IS AGREED AS FOLLOWS  PURPOSE. Manufacturer engages Independent National Sales Broker as a “National Sales Manager” for its products in the 50 United States and Puerto Rico/The Caribbean Islands.  Los Angeles County is the Independent National Sales Broker’s “Territory”.  He is also assigned to oversee and will be paid a percentage as stated below for all sales that are transacted by other Independent Sales Brokers throughout the 50 United States and Puerto Rico/The Caribbean Islands.
  • 11. 11 COVER LETTER, RESUME, BEAUTY & RETAIL CUSTOMER LIST & SAMPLE CONTRACT __________INITIALS  The Manufacturer is aware that Independent National Sales Broker will handle all sales for the Beauty Supplies; Retail/OTC and Full Service plus “Other Special Accounts” (TBD).  TERRITORIES. Manufacturer is aware that Independent National Sales Broker “Territory” covers the entire 50 US States territory including Puerto Rico (including all the Caribbean Islands).  All these Territories will be divided and assigned to other Independent Sales Brokers (all will be pre- approved by Independent National Sales Broker and by the Manufacturer) in writing via Contracts and/or Agreements set by both the Manufacturer and the other Independent Sales Brokers with the help of the Independent National Sales Brokers. DUTIES OF THE INDEPENDENT NATIONAL SALES BROKER  SALES. Independent National Sales Broker agrees to sell and submit a purchase order directly or through the Retailer to the Manufacturer within a timely manner via a facsimile or email. Independent National Sales Broker will devote his efforts in the selling of Manufacturer’s products as required in his Territories.  Manufacturer is aware that Independent National Sales Broker also represents other Manufacturers, Independent Sales Brokers, Filling and Packaging Companies and will not devote its exclusive efforts to the selling, managing, consulting and product development of the Manufacturer’s products.  MANAGEMENT. Independent National Sales Broker agrees to Hire, Manage, Train and Oversee Monthly Sales Goals of all the other Independent Sales Brokers. All sales goals will be set and agreed in writing by both the Manufacturer and Independent National Sales Broker and other Independent Sales Brokers according to their Territories.  Independent National Sales Broker will also communicate with Manufacturer as often as four times per month or 20 hours whichever is best to update Manufacturer on all or any news, comments, and suggestions from the sales field and from other Independent Sales Broker. MARKETING; PRODUCT DEVELOPMENT & TRAINING  Independent National Sales Broker agrees to help create the following for the Manufacturer (“only if they choose”): Displays, Brochures, Packaging, Website, Copywriting, Training Materials, Policies, Prices and Policies; plus all other necessary tools for the growth and support in selling all of the Manufacturer’s products.  Manufacturer is allowed as stated above a maximum of 20 hours per Month of Communications regarding all the above duties and responsibilities.  It is the Manufacturer’s responsibility to set all policies of its company regarding all aspects of its business. (Examples: Shipping, Minimums Requirements, Credits etc.).  Manufacturer also agrees all expenses incurred in all Marketing materials and all other expenses regarding the above projects will be the Manufacturers sole responsibility. TRADE BEAUTY/RETAIL SHOWS; COMMISSIONS & FEES  TERMS. This Agreement shall continue in full force and effective for the term of two contract years (1st day of January 2015 to December 31, 2017). This Agreement shall be for an initial term of two (2) years from the date hereof or stated above and below.
  • 12. 12 COVER LETTER, RESUME, BEAUTY & RETAIL CUSTOMER LIST & SAMPLE CONTRACT __________INITIALS  Either Independent National Sales Broker or Manufacturer may end this agreement at the end of the initial term by giving the other party a written notice no later than (60) days prior to the end of the initial two (2) year term of this Agreement. Said notice shall be by way of Certified Mail with a Return Receipt Requested directed to the respective offices of the parties.  If neither Independent National Sales Broker nor Manufacturer gives notice to end this Agreement, then this Agreement shall automatically extend for an additional one (1) year term and thereafter from year to year. The extended periods of this Agreement shall be subject to all of the terms and conditions herein.  In the extended terms of this Agreement, either Independent National Sales Broker or Manufacturer may end this Agreement by providing sixty (60) days written notice in the form herein stated, prior to the end of any one (1) year extension of Agreement.  In the event during its initial term or any extension thereof, this Agreement is terminated by any of the parties for any reason, the Manufacturer shall, for a period of 12 months, or for a period of time in excess of twelve (12) months remaining on the Agreement’s initial term, or whichever is greater (but not less than 12 months), must continue to pay Independent National Sales Broker commissions as provided above, on all products sold in all his territory and all other territories he managed during his time and said period of time.  During such 12 month period, Independent National Sales Broker shall be entitled, through its appointed representatives, to examine the books and records of the Manufacturer’s Company for the purpose of ascertaining all the company’s sales and corresponding commissions due to the Independent National Sales Broker to which it is entitled hereunder.  Notices to be given hereunder by either party shall be given to Independent National Sales Broker located at 954 Palm Avenue Suite #105, West Hollywood, CA 90069 and to the Manufacturer at the address indicated above and below. Either party may change the place to which notice may be sent by written notice to the other.  This Agreement shall be binding and is for the benefit of the successors and other assigned by either of the parties. All commissions and agreed fees are due to the Independent National Sales Broker by the Manufacturer as so stated above and below.  This Agreement shall take effect and can only be terminated by either party with a written notice sent by Certified Mail with a Return Receipt Requested no less than sixty days prior to the end of this two-year agreement.  Any and all commissions, monthly fees and sales agreed by the Retailer with the Manufacturer and the Independent National Sales Broker written prior to the end of this Agreement will be paid and due in full upon termination of this Agreement by either party. This also includes all sales that were established in writing by Independent National Sales Broker, Retailers and other Independent Sales Brokers.  If the Manufacturer terminates this contract before the end of the “contract year” (1st day of January 2015 to December 31, 2017), Manufacturer is still obligated to pay the Independent Sales Broker all his commissions for all the sales made and that will be made during the above stated two (2) contract years or 12 months after or whichever is greater (but never less than 12 months).  Manufacturer agrees to pay Independent National Sales Broker commissions monthly and is due in full on the 20th of the month following shipments to the Retailer. (Commissions paid after the 20th of the months is considered late and will incur a 10% additional to the amount as a penalty.) Exceptions will be made for Retail Chain Drug Stores for example: Duane Reade Drug Stores in New York City, etc. Proof of all Manufacturer Invoices of Sales must accompany commission.
  • 13. 13 COVER LETTER, RESUME, BEAUTY & RETAIL CUSTOMER LIST & SAMPLE CONTRACT __________INITIALS  Manufacturer also agrees to attend and pay the (4) Show Booth Fees of two (2) Beauty Shows per the 2 contract year of January 2015 to December 2017. The Show Booth Fees will depend on whether Manufacturer decides to have their own booth or share with another Manufacturer.  The agreed Shows will be the WBC (Western Beauty Conference) Show (January 2016 and January 2017), the NEBC (North East Beauty Conference) Show (March 2016 and March 2017).  These shows are part of the ways the Independent National Sales Broker promotes and introduces the Manufacturers to all the Retailers across the country.  If the Manufacturer misses one show, then a commensurate compensation shall be paid to the Independent National Sales Broker. Each show may average from Zero to $100,000.00 thousand sales. There’s neither telling nor a guarantee what each company would make.  However, also if a Manufacturer doesn’t show up, then the Retailers/Customers will feel that they are not a serious Company or Business for them to support as a future long term product or business partner.  Cost for the Manufacturer for not attending any one of the shows. The following just makes it more difficult for the Manufacturer to not invest on doing Beauty Shows. If they are not ready to Invest for the show fees and cost, then they are strongly advised to not even sign this contract.  A Penalty of $2,000.00 to $5,000.00 will be due the Independent National Sales Broker depending on the agreed upon Booth Product Cost. This will also be the basis if no sale will be done due to any other reason of non-attendance of any of the agreed upon shows above.  Commissions; Normally sales will be made in the show. Therefore commissions are expected. If the Manufacturer decided not to attend any one show. The commissions that were paid from the prior show would be the basis of the lost commissions paid to the Independent National Sales Broker by the Manufacturer. (If this is the first show, then a basic average of $1,000.00 is just a fair amount).  The Independent National Sales Broker agrees to help the Manufacturer and work all the above Four Beauty shows for an agreed fee of $1,000.00 per show. This fee is due one week prior to the day of the show. (10% late fees will be charged for any late checks, an offer of a bank transfer is available upon request).  This fees includes helping Manufacturer to do a Professional Set Up; Merchandising & of Products; Preparation for Products in Booth; Packing & Unpacking the Booth; Selling & Promoting the Line for 8 hours per day for 4 to 5 Full Days of the Show Booth!  The Booth Sales is also a common tradition for all the Manufacturers who want to avoid the return shipping cost. Independent National Sales Broker is accustomed to selling the entire booth at an “Agreed Cost Prior the Show” (Cost is what Manufacturer’s Product Cost). The Sale will be considered a “Bonus” and “Half of the Sale of the Booth” will be paid to the Independent National Sales Broker at the end of the Show in cash or whatever means the Customer/Retailer paid for it. (10% late fees will be charged for any late checks, an offer of bank transfer is available upon request)!  All these above are also a part of the Independent National Sales Brokers income. Any deviation or changes made has to be agreed upon prior to the show, but must pay a penalty as stated above.  Manufacturer Agrees to Pay Independent National Sales Broker the Following Commission Structure: from the agreed “Final Cost” to the Retailer. (“Final Cost” must be written, agreed upon, and established by the Manufacturer and the Independent National Sales Broker prior to the Show and Sales to the Retailer and the signing of this Contract/Agreement establishes the acceptance of all of the above and below).  All prices, procedures and policy will be established in writing by the Manufacturer and Independent National Sales Broker to all other Independent Sales Brokers and the Retailers and should be published and printed as “Price List” and or called as “Cost/MSRP”. Commissions Structure Below are based on this.
  • 14. 14 COVER LETTER, RESUME, BEAUTY & RETAIL CUSTOMER LIST & SAMPLE CONTRACT __________INITIALS  15 % commission due for all personal sales made by the Independent National Sales Broker with a 1 to 15% discount off Price List given to the Retailer by the Manufacturer or Independent National Sales Broker.  10 % commission due for all personal sales made by the Independent National Sales Broker sales with a 16% to 20% discounts off Price List given to the Retailer by the Manufacturer or Independent National Sales Broker,  7% commission due for all personal sales made by the Independent National Sales Broker with a 21% to 25% discounts off Price List given to the Retailer by the Manufacturer or Independent National Sales Broker.  5% commission due for all personal sales made by the Independent National Sales Broker with a 26% to 50% discounts off the Price List given to the Retailer by the Manufacturer or the Independent National Sales Broker.  5% for all sales taken over the Telephone only when Manufacturer agrees to forward it’s 800 Toll Free number to the Independent National Sales Broker for all sales outside his Territory and for all other Independent Sales Brokers in their assigned Territories.  5% Override Commission for all sales made by any and all other Independent Sales Brokers and other Sales People for the 50 states including Puerto Rico. Once Manufacturer ships to the Retailer “All Sales are Final and were so agreed”. DUTIES OF THE MANUFACTURER  Manufacturer shall promptly notify Independent National Sales Broker of any changes in pricing and inventory-on-hand 3 months prior to the product going out of stock. This will help eliminate selling items that are out of stock!  Manufacturer is also aware that Independent National Sales Broker is not responsible for the Retailers terms and agreements of payment, and is only acting on behalf of the Manufacturer. Therefore, is not responsible for any actions taken by any Retailer, Filler, Designer and all other Manufacturers to the Manufacturer.  All account collections, credit references returns and product liabilities are Manufacturers sole responsibility. Independent National Sales Broker assumes that the delivery of goods by the Manufacturer to the Retailers is an acceptance of all terms and conditions by the Retailers to the Manufacturer and vice-versa.  Independent National Sales Broker will only be charged back commissions on accounts that do not pay Manufacturer after 120 days after due date is established by Manufacturer to the Retailer. Independent National Sales Broker agrees that all Retailers who are established by both parties as a “Bad Payer” will not be sold and shipped by Manufacturer until account is paid in full or Credits are re-established.  If the Manufacturer continues to ship any Retailer considered a “Bad Payer”, then Manufacturer assumes that responsibility and will forfeit charged back commissions from the Independent National Sales Broker.  If account becomes 60 days past due, Manufacturer’s duty to inform Independent National Sales Broker and other Independent Sales Brokers in their respective Territories in writing, via email or facsimile. They will then try to assist the Manufacturer in collecting outstanding debts. Manufacturer should then turn Retailer into Collections after 90 days has past and has exhausted all avenues of collecting amount due.

In the event any action is commenced to enforce the terms of this Agreement, the prevailing party therein shall be entitled to recover its reasonable costs, including attorney’s fees. This Agreement shall be construed in accordance with the laws of California and Los Angeles County, California; are deemed to be the proper venues for any action to enforce the terms hereof.  ENTIRE AGREEMENT. This is the entire Agreement of the parties and supersedes any prior oral and or written agreement or understanding between them effective as of the date the date this Agreement is so executed. This Agreement terminates on December 31, 2017 unless renewed in writing by both parties. This entire Agreement may not be modified, except in writing, upon the mutual consent of the parties here to.
