Executive Summary
R1B Enterprises, Inc., aka Root One Botanicals (“R1B”), is a cannabis startup located in Fort Bragg, CA seeking to raise
$3,000,000 in Series A funding for the buildout, outfitting, marketing and initial operating capital of a 5600 sq. ft.
manufacturing, refinement and distribution facility (the “Facility”); in exchange for 30% preferred stock equity or convertible
debt. This represents Phase I of the company’s mission. Operations are forecasted to begin August 2019.
Phase I primary objectives:
• Establish robust sales pipeline of Root One Botanicals branded products.
• Maximize Facility Production through bulk sales, private label and toll processing agreements.
• Highly scalable, with initial start-up capacity @ $795,000/ month revenue.
• Focus manufacturing on consumer favored, high value-add products.
• Develop methods for scalable chemical isolation of single-species cannabinoids transferable to a GMP
environment fully capable of suppling the pharmaceutical industry
• Be Cash-Flow Positive by May 2020.
Following the successful completion of Phase I, R1B will file an IPO in early 2021 to construct the largest GMP Cannabinoid
Isolate Refinery (the “Refinery”) in the World. This represents Phase II of the company’s mission. Headed by our Chief Science
Officer, world-renowned chemist and neuropharmacologist Dr. Nicholas V. Cozzi, the Refinery will use our proprietary
methods to provide pharmaceutical-grade single species cannabinoids at a scale capable of serving the global market, which is
forecasted to eclipse $150B by 2025. Anticipated completion date is Q3 2022.
R1B possess’ significant economic advantages over competing manufacturers that will allow it to maintain high margins as
cannabis commoditization continues to erode prices. This is achieved through a no-tax local cannabis ordinance from the City
Government, low cost of industrial-zoned Real Estate, local access to storied cannabis farmers, a moderate regional climate to
reduce climate control costs, and an abundance of affordable labor. These advantages well position R1B to excel in
California’s competitive landscape
R1B’s CEO, Jon McColley, has an extensive network of licensed operators throughout the “Emerald Triangle”. These industry
partners are ready and committed to providing top-tier cannabis materials for R1B’s work flow. Sales of Finished and Bulk
goods will be conducted primarily through established distribution and direct channels, with Business Development headed by
R1B’s President, Charles Ellis. To facilitate the creation of a valuable brand, the Executive team will hire marketing contractors
and execute marketing campaigns under the direction of Board member Mark Brashear.
