The New Board Program is pleased to

corporate governance curriculum at
Nyenrode Business Universiteit.
The 2-year program is geared towards
moving boardroom dynamics forward.
To do so, it focuses on adding value to
the dialogue about leadership, policy,
regulation, supervision, accountability
and the balance of power.

must confront a sometimes bewildering
arrayofinternalandexternalchallenges,
all of which are heightened during
times of economic crisis. Now, more
than ever, board members must
thoroughly examine contemporary
issues and develop a stronger, deeper
sense of obligation and engagement –
not just to the organization and the
shareholders, but also to the world
outside the company doors. The New
Board Program prepares directors to
face these challenges by bringing key
management from companies and
organizations together into a high-end
executive program that delivers an
unparalleled perspective on corporate
and organizational governance. The
goal is to improve boardroom dynamics
and increase boardroom effectiveness,
professionalizing boards so that they
are truly able to add value.
A holistic approach to specific issues
Corporate governance is all about
answering fundamental questions
regarding economics, socio-politics,
and global environments. From a
holistic perspective, therefore, the
dialogue includes topics such as board
efficiency, remuneration, internal
audits, risk management, corporate
social responsibility and diversity.
Naturally, all of these topics are
discussed with a real emphasis on the
merits of free enterprise in a larger
economy, and ways in which we can
sustain our values while protecting the
environment. Within this larger context,
managing and supervisory boards make
decisions that have an impact on issues
such as trust and risk – topics that
receive a lot of attention during the
program and that allow boards to
navigate through the dangers inherent
in today’s business environment.

The challenge for non-executive talent
is this: what is the best way to provide
leadership in the midst of the growing
complexity of companies in an ever
changing world. And how does one
create a bridge between a divided
global society and a unified global
economy? New corporate governance
is a first step. The New Board Program
brings structure, process, best practices,

and experience in dealing with new

Real life corporate
governance cases
All cases taught in the program relate to recent real
life situations – tried-and-true dilemmas and
practices from low and high performing non-
executive boards. Most of the cases are especially
written for the NBP and offer an excellent
opportunity to practice making contributions to the
organization as a non-executive board member.
Participants in the New Board Program also benefit
from an added dimension offered by no other
program: the opportunity to meet – in the role of a
non-executive board member – with a CEO who
haspersonalexperiencewiththeissuesencountered
in the case, as well as the alternatives considered
and the solutions presented.
Participants are asked to judge and decide on topics
as diverse as (and not limited to):

• Schiphol Airport’s rejected IPO;
• RoyalWessanen’s new brand strategy;
• Royal Numico’s executive and strategy change, as
well as their ‘end game’;
• Amsterdam Muziektheater’s integration of two

disclosing dynamics and control;
• The challenge for Deutsche Börse and the
London Stock Exchange attempts to form an
alliance.
The New Board Program Faculty develops 3-5 new
national and international cases each year.

Better performing boards make for
better companies
Research by the National Association of
Corporate Directors (NACD 2008 Public
Company Governance Survey) shows
that effective boards are more likely to
have fresh perspectives, see the broader
context, and use more efficient
procedures to get their work done. This
in turn can influence the board’s role,
involvement in strategy, understanding
of the company, and risk assessment
and mitigation. It also affects the board-
management relationship and their
involvement in management succession
and compensation. The New Board

Dates and duration
The New Board Program (NBP8) starts on March 25-26 of 2010 and runs for a
period of 2 years. NBP8 will be the 8th start of a successful curriculum containing
8 modules. There are 5 meetings per year, covering a total of 9 days. The program
also contains a major event known as the Executive Session. The Executive
Session agenda contains a listing of renowned international speakers and a
networking day for all participating NBP groups.
