How is CESAR legally established? 
We are a private, not-for-profit, 
self-sustained organization of civil society.

Meaning that: 
we are not formally related to any governmental organization; 
we were created by an initiative of civil society, therefore, although we are ruled by rules applied to any private company, since we have no owners, we reinvest all our surplus within the organization; 
we are not dependent on regular governmental funding and we are sustained solely by our private performance.
Our product is “innovation made in Brazil”. We develop products, solutions, services, training courses and companies intensive in ICTs. 
What does CESAR do?

Over the last 17 years we incubated and invested in over 40 ICT start ups, delivered over 1000 R&D projects to more than 200 clients (national and multinational companies) and trained over 2000 students; 
Since we are a not-for-profit organization, all of our efforts and results also aim to have an impact in our community and deliver value to society.
How is CESAR managing structure?

the highest decision body is the General Assembly, formed by the founders and associates; 
the next decision body is the Management Board, with eight people representing different stakeholders and the President of CESAR; 
the Executive Board is formed by the CEO and its team; 
whereas the most strategic decisions are made by the higher boards, the Executive Board is responsible by the direct management of the organization. 
How are decisions made?

How is the General Assembly Formed? 
Founders: professors of the Center for Informatics of the Federal University of Pernambuco; 
Regular:also professors of the Center for Informatics that contributed for the development of CESAR, but not directly involved in founding the organization; 
Sponsor:companies that are willing to endow in exchange of contributing to the development and good governance of CESAR; 
Benemerit:distinguished individuals with notorious professional skills that contribute to the good governance and high performance of the organization. 
By our founders and three types of associates: Regular, Sponsors and Benemerit
The General Assembly’s main responsibilities are:

Approvalof any changes to CESAR’s statutes; 
Deliberationabout the organization’s finance reports; 
Electionsof the Managing Board Members; 
Final Wordabout changing CESAR’s purposes and mission or ending the organization’s activities.

Some of the Managing Board’s main responsibilities are:

decideabout the organization’s strategic planning, including the opening of new branches and the sales of high value assets; 
auditC.E.S.A.R’s indicators, checking the organization’s and its executives performance; 
analyzeC.E.S.A.R’s finance reports, submitting its results to the General Assembly 
approvedeals and contracts over R$3million.

Why does CESAR have a President and a CEO? 
The President: Professor Fabio Silva. Rules the Managing Body –and is also the main legal representative of CESAR; 
The CEO: Professor Sérgio Cavalcante. Together with is executive team –manages the organization. 
As a not-for-profit organization, CESAR is obligated to separate its governance in different levels, leaving part of the civil responsibilities to volunteer unpaid members of society. In strategic decisions the CEO reports to the President and to the Boards.
Why does CESAR owns the holding company CESAR-PAR? 
Those assets include: shares of the companies CESAR creates, intellectual property CESAR develops and historic buildings retrofitted by CESAR to house its projects; 
As a not-for-profit organization, CESAR is entitled to some fiscal immunities. Those immunities do not apply to its for-profit assets, therefore the importance of maintaining a transparent separation of each. 
To separate the management and governance of its for-profit assets from the operation of the not-for-profit R&D institute.

Why CESAR keeps branches outside its headquarter? 
Although most of our team is based in Recife, we have branches in the cities of Sorocaba (38 people) and Curitiba (30 people) to generate proximity with our clients and better research different markets. In both cities we keep development teams and usability labs; 
We also have a commercial office in São Paulo and have employees working directly inside of our clients in Rio de Janeiro and Brasília. 
We have presence in the cities of São Paulo, Sorocaba, Curitiba, Rio de Janeiro and Brasília, in order to better serve our clients with local capacities.

Why Sorocaba and not São Paulo? 
We understand that Sorocaba, and its academic environment, provides a high level and high performing labor force; 
Sorocaba offerstheproximityweneedto São Paulo withoutthesameurbanproblemsandthecompetitionover thehighlytrainedteamwedeveloponouroperation; 
The partnership we maintain with the municipality, the local community and the local universities provides a safe environment to invest on the development of our activities.

  • 3. How is CESAR legally established? We are a private, not-for-profit, self-sustained organization of civil society. 1 Meaning that: we are not formally related to any governmental organization; we were created by an initiative of civil society, therefore, although we are ruled by rules applied to any private company, since we have no owners, we reinvest all our surplus within the organization; we are not dependent on regular governmental funding and we are sustained solely by our private performance.
  • 4. Our product is “innovation made in Brazil”. We develop products, solutions, services, training courses and companies intensive in ICTs. What does CESAR do? 2 Over the last 17 years we incubated and invested in over 40 ICT start ups, delivered over 1000 R&D projects to more than 200 clients (national and multinational companies) and trained over 2000 students; Since we are a not-for-profit organization, all of our efforts and results also aim to have an impact in our community and deliver value to society.
  • 5. How is CESAR managing structure? 3 ENG
  • 6. the highest decision body is the General Assembly, formed by the founders and associates; the next decision body is the Management Board, with eight people representing different stakeholders and the President of CESAR; the Executive Board is formed by the CEO and its team; whereas the most strategic decisions are made by the higher boards, the Executive Board is responsible by the direct management of the organization. How are decisions made? 4
  • 7. 5 How is the General Assembly Formed? Founders: professors of the Center for Informatics of the Federal University of Pernambuco; Regular:also professors of the Center for Informatics that contributed for the development of CESAR, but not directly involved in founding the organization; Sponsor:companies that are willing to endow in exchange of contributing to the development and good governance of CESAR; Benemerit:distinguished individuals with notorious professional skills that contribute to the good governance and high performance of the organization. By our founders and three types of associates: Regular, Sponsors and Benemerit

The General Assembly’s main responsibilities are: 6 What are the General Assembly responsibilities? Approvalof any changes to CESAR’s statutes; Deliberationabout the organization’s finance reports; Electionsof the Managing Board Members; Final Wordabout changing CESAR’s purposes and mission or ending the organization’s activities.

  • 11. 9 Why does CESAR have a President and a CEO? The President: Professor Fabio Silva. Rules the Managing Body –and is also the main legal representative of CESAR; The CEO: Professor Sérgio Cavalcante. Together with is executive team –manages the organization. As a not-for-profit organization, CESAR is obligated to separate its governance in different levels, leaving part of the civil responsibilities to volunteer unpaid members of society. In strategic decisions the CEO reports to the President and to the Boards.
  • 12. Why does CESAR owns the holding company CESAR-PAR? Those assets include: shares of the companies CESAR creates, intellectual property CESAR develops and historic buildings retrofitted by CESAR to house its projects; As a not-for-profit organization, CESAR is entitled to some fiscal immunities. Those immunities do not apply to its for-profit assets, therefore the importance of maintaining a transparent separation of each. To separate the management and governance of its for-profit assets from the operation of the not-for-profit R&D institute. 10

Why CESAR keeps branches outside its headquarter? Although most of our team is based in Recife, we have branches in the cities of Sorocaba (38 people) and Curitiba (30 people) to generate proximity with our clients and better research different markets. In both cities we keep development teams and usability labs; We also have a commercial office in São Paulo and have employees working directly inside of our clients in Rio de Janeiro and Brasília. We have presence in the cities of São Paulo, Sorocaba, Curitiba, Rio de Janeiro and Brasília, in order to better serve our clients with local capacities. 11
