c) Duringtheemploymentinourcompany,weexpectyounottocarryonanybusinessofyourownorengage

discloseto anyoneanyinformation,know-how,knowledge,secrets,methods,plans,etcof thecompany.
Breachofthisconditionshallliableto immediateterminationoftheservicesandthemmpanymaytakeany
otheractionsuitableforbreachofthecontract.
Resiqnation/ TerminationofServices:
a) Companyshallbeatlibertytoterminatethecontractforthwithwithoutanynoticeorcompensation,ifyouare
foundguiltyofanyactoranybreachofduty,eitherbywayofomissionorcommission,whichisprejudicialto
theOrganizationor in caseof absencefromdu$ fora continuousperiodof 10dayswithoutintimation/
permission.
b) Duringtheperiodofyourprobation,youarerequiredtoservenoticefora monthorpayusa month'ssalary
in lieuof suchnoticeperiodforseparation.Uponcompletionof probation/confirmation,the noticeperiod
for separationon eithersidewill beonemonth.Wheneithersideofferthepaymentinlieuofnotice,the
noticepayshallmeantheBasicSalaryonlyanddoesnotincludeanyotherallowances.
c) Yourcontinuanceinemploymentisalwayssubjecttoyourbeingphysicallyandmentallyfit.
ConfidentialityandNon-disclosure:
a) Proprietaryand Customerlnformation:Overthe courseof Employer'srelationshipwith Employee:
Employeehasand/orwillhaveaccesstoandexposedtoimportantinformation,data,andtradesecretsand
hasand/orwillbecomefamiliarwithEmployer's"ProprietaryInformation',andtechnicalitiesofagreements
andcontracts,financial,-businessandmarketingmodelsandplans.
b) Non-disclosure:Employeeagreesnottouseorcauseto beusedforhis/herownbenefitorforthebenefit
of anythirdpartiesor to discloseto anythirdpartyin anymanner,directlyor indirectly,andProprietary
Information,Customer'sConfidentialInformation,tradesecretsor any otherknowledgeor information,
exceptthatwhichispublicknowledge,of/orrelatingtothebusinessofEmployeroritscustomersatanytime
duringorafterEmployee'stermofemploymentwithEmployer,withouttheexpresspriorwrittenconsentof
Employer.
All informationregardingyourremunerationandtermsof employmentis confidentialandyoushallnot
divulgethecontenttoanycompanyemployeeexcepttoyourappropriatesuperiorauthorities.
c) Returnof EmployerMaterials:Employeeagreesto returnto Employerbeforethe terminationof
Employee'semploymentwithEmployer,anyandallwritteninformation,documents,materials,floppydisks,
CDs,datafilesorothermediacontainingcomputerprogramsordataandallotherpropertyandequipment
whichconstitutes,containsor relatesin any way to Proprietarylnformation,Customer'sConfidential
lnformationor tradesecretsof Employeror itscusiomers,andanyotherwriftbninformation,documents,
materials,disksorothermediacontainingcomputer;irogramsordataandallotherpropertyandequipment
of anykindrelatingin anywayto thebusinessof Employeror itscustomers,whichareor maybein the
possession,custodyor controlof Employeeandwhichareor maybe the propertyof Employeror its
customer,whetherconfidentialornot,includinganyandallcopiesthereofwhichmayhavebeenmadebyor
forEmployee.
d) Businesslnformation:EmployeeagreesthatduringthetermofemploymentwithEmployerandthereafter
andexceptasmayberequiredintheperformanceof Employee'sdutieswithEmployer,Employeewillnot
