Todayโs special situation picks -NTPC Ltd and our rating on it
NTPC Limited โ Company consider to give special dividend
a. Business โCompany engaged in the generation and sale of bulk power to state power. The Companyโs other business
includes providing consultancy, project management and supervision, oil and gas exploration, and coal mining. As of
March 31, 2012, the Company had installed capacity in India was 199877.03 mega-watts. During the fiscal year ended
March 31, 2012, the Company added 2,820 mega-watts of installed capacity. As of March 31, 2012, the Company had five
subsidiaries: NTPC Electric Supply Company Limited, NTPC Vidyut Vyapar Nigam Limited, NTPC Hydro Limited, Kanti Bijlee
Utpadan Nigam Limited and Bhartiya Rail Bijlee Company Limited
b. Special situationโOn 26 April 2013, company announced that it is going to consider paying special dividend along with
regular dividend
c. Fundamentals& valuationโHighly capital intensive business. In the last five years, free cash flow is negative. But power
business is the basic need for growing economy like India. So definitely this business has got good long term holding in
terms of value
d. CP-Arthaโs RatingโThis is a kind of blue chip stock where Government of India is major shareholder holding 75% of the
company. It is always good to hold this stock but for very long term say 10 years from now. Buy but for long term of at
least 10 years from now.

Company Special Situation Comments
Premier Ltd Special Dividend
Company along with regular dividend, declared one-time special
dividend of Rs 4 per share
ZEN Technologies Ltd Buyback
Company in its board meeting on 22 Apr 2013, decided that the
maximum amount that can be utilized in the present Buyback is Rs.
1,036.60 lakhs and the amount proposed to be expended for the
Buyback is Rs. 1,000.00 lakhs (including brokerage and other
charges, if any) (โBuyback Sizeโ), which is 9.65 % of the paid up
capital and free reserves of the Company as at March 31, 2012and
the maximum buyback price of Rs. 90/- per share
Maharashtra Seamless Ltd Buyback
Company in its board meeting on 22 Apr 2013, decided that , the
funds deployed for buy-back shall not exceed 10% of paid-up capital
and free reserves of the Company. Accordingly, the maximum
amount that can be utilized in the present buy-back is Rs 208.34
Crores. The aggregate amount proposed to be expended for the
buy-back is Rs 100 Crores. The Board has proposed Buyback at a
maximum buy-back price not exceeding Rs 300 /- per equity share
excluding Transaction Costs
