PREPARATION
Preparatory report
HQB Partners undertake pre-transaction analyses of the company’s shareholder base and corporate governance
structure in a recommended or hostile bid in order to develop an effective and targeted communication campaign.
In cases where an EGM is called, the analysis will also anticipate the likely shareholder reaction to management resolutions.

Hostile Bid Defence Solicitation
In conjunction with the client’s advisors, HQB Partners
develops strategies to most effectively deliver a company’s
message directly to the shareholder for both hostile and
friendly transactions. This includes soliciting support as well
as gauging investors’ views on the deal which is reported
back to the client on a daily basis.
HQB Partners solicits support from all ordinary and ADR
shareholders. The scope of this includes strategic institutional
investors, Private Client Asset Manager and Mutual Fund
solicitation (incl. discretionary / non–discretionary funds, private
hedge / arbitrage investment funds and international family
offices). The response and instruction flow throughout the
custodial chain is managed to insure that instructions are
correctly processed.

Retail Shareholder Solicitation
In situations requiring a maximisation of support in favour of management HQB Partners solicit retail shareholders.
The whole process is Partner-led, including the drafting and strategic formulation of legally compliant communication
scripts.
