የንግድ ምዝገባና ፈቃድ አዋጅ COMMERCIAL REGISTRATION AND
BUSINESS LICENSING PROCLAMATION

Whereas it is necessary to create conducive

የንግድ ምዝገባ ክንውንን እና የንግድ ፈቃድ Whereas it has been necessary to support

ክፍል አንድ PART ONE
ጠቅላላ ድንጋጌዎች GENERAL PROVISIONS

1. አጭር ርዕስ 1. Short Title

This Proclamation may be cited as “Commercial

2. ትርጓሜ 2. Definitions

የቃሉ አገባብ ሌላ ትርጉም የሚያሰጠው ካልሆነ In this Proclamation, unless the context otherwise
በስተቀር በዚህ አዋጅ ውስጥ፡- requires:

1/ "የንግድ ሕግ" ማለት በ09)$2 ዓ.ም. 1/ “Commercial Code” means the commercial

activities designated as such by law;
የሚወሰነውን ሥራ የሚሠራ ማንኛውም
ሰው ነው፤
3/ “commercial activity” means any activity
3/ "የንግድ ሥራ" ማለት በዚህ አንቀጽ ንዑስ carried on by a business person as defined
አንቀጽ /2/ በተተረጎመው መሠረት under sub article (2) of this Article;
ነጋዴ የሚሠራው ሥራ ነው፤

4/ "አገልግሎት" ማለት ደመወዝ ወይም 4/ “service” means any commercial dispensing of

5/ "የአገር ውስጥ ንግድ" ማለት እንደአግባቡ 5/ “domestic trade” means wholesale or retail of

ወይም በጅምላ መሸጥ ወይም አገልግሎት operating as a domestic trade auxiliary in

6/ "የውጭ ንግድ" ማለት ለሸያጭ የሚሆኑ
6/ “foreign trade” means the exporting from or

7/ "የንግድ ዕቃዎች" ማለት ገንዘብና ገንዘብነት 7/ “goods” means any movable goods that are

8/ "የንግድ እንደራሴ" ማለት መኖሪያው 8/ “commercial representative” means any person who

9/ "የንግድ ስም" በንግድ ሕጉ በአንቀፅ 9/ “trade name” shall have the meaning assigned

0/ "የጸና የንግድ ሥራ ፈቃድ" ማለት በዚህ 10/ “valid business license” means a business

01/ "ኢንዱስትሪ" ማለት ማንኛውም የንግድ 11/ “industry” means being any commercial
ተግባር ሆኖ በሞተር ሀይል በሚንቀሳቀሱ activity, includes the manufacturing of goods
ወይም በሌሎች መሣሪያዎች የንግድ ዕቃዎችን and inputs used to produce goods using
እና የንግድ ዕቃዎችን ለማምረት የሚያገለግሉ motor-power-driven equipments or other

02/ "የማምረት ሥራ" ማለት በኢንዱስትሪ 12/ “manufacturing activity” includes any

05/ "አግባብ ያለው ባለስልጣን" ማለት 15/ “appropriate authority” means the Ministry of
የንግድና ኢንዱስትሪ ሚኒስቴር ወይም Trade and Industry or the appropriate
ጉዳዩ የሚመለከተው የክልል ቢሮ ወይም regional bureau or the Ethiopian Investment
የኢትዮጵያ ኢንቨስትመንት ኤጀንሲ Agency;
ነው፤
16/ “Minister” or “Ministry” means the Minister
06/ "ሚኒስቴር" ወይም "ሚኒስትር" ማለት
or the Ministry of Trade and Industry;
የንግድና ኢንዱስትሪ ሚኒስቴር ወይም
ሚኒስትር ነው፤
17/ “region’ means any of those regions specified
07/ "ክልል" ማለት በኢትዮጵያ ፌዴራላዊ under Article 47 sub article (1) of the
ዲሞክራሲያዊ ሪፐብሊክ ሕገ መንግሥት Constitution of the Federal Democratic
አንቀጽ #7 ንዑስ አንቀፅ (1) የተመለከ Republic of Ethiopia and for the purpose of

08/ "ቢሮ" ማለት የክልል ንግድና ኢንዱስትሪ 18/ “bureau” means regional trade and industry
ቢሮ ወይም ሌላ የሚመለከተው ቢሮ bureau or another appropriate bureau or
ወይም የክልል የኢንቨስትመንት ፈቃድ regional body empowered to issue investment
ለመስጠት ሥልጣን የተሰጠው አካል permit;
ነው፤
19/ “person” means any natural or juridical
person;
09/ "ሰው" ማለት ማንኛውም የተፈጥሮ ሰው ወይም
በሕግ የሰውነት መብት የተሰጠው አካል ነው፤
20/ “regulations” means regulations issued to
implement this Proclamation;
!/ "ደንብ" ማለት ይህን አዋጅ ለማስፈጸም
የሚወጣ ደንብ ነው፤ 21/ “agricultural development” means the
production of perennial and annual crops as
!1/ "የግብርና ልማት" ማለት የቋሚና የዓመ well as the development of animal and

22/ “commercial registration” means registration
!2/ "የንግድ ምዝገባ" ማለት በንግድ ሕጉ comprising the particulars under Article 105
በአንቀፅ 1)5 ላይ የተገለጸው ይዘት ያለው of the Commercial Code;
ምዝገባ ነው፤
23/ “expansion” or “upgrading” shall have the

prescribed under Article 44 to 62 of the

25/ “unfair trade practice” means any act of

27/ “importer” means any person who imports

28/ “exporter” means any person who exports

ወደ ውጭ ሀገር የሚልክ ሰው ነው፤

!9/ "የበጀት ዓመት" ማለት በኢትዮጵያ 29/ “budget year” means the time from the 1st

31/ “wholesaler” means any person who sells goods to

"2/ "የችርቻሮ ሻጭ" ማለት የንግድ ዕቃዎችን 32/ “retailer” means any person who sells goods to

"4/ "የክልል የመንግሥት የልማት ድርጅት" 34/ “regional public enterprise” means a public
enterprise established by a regional state;
ማለት በክልል መንግሥት የሚቋቋም
የልማት ድርጅት ነው፤
35/ “basic goods or services” mean goods or
"5/ "መሠረታዊ የንግድ ዕቃ ወይም አገልግሎት"
services related to the daily need of

"6/ "የሙያ ብቃት መስፈርት” እና “የሙያ 36/ “requirements of professional competence”
ብቃት ማረጋገጫ የምስክር ወረቀት" and “certificate of professional competence”
ማለት እንደ ቅደም ተከተሉ የንግድ mean requirements set by the relevant
ፈቃድ ለሚሰጥባቸው የንግድ ስራ sectoral government institution to be fulfilled
መስኮች የሚመለከተው የሴክተር መስሪያ as appropriate with respect to commercial
activities for which business license is issued,

perform specific duties, the fulfillment of the

3. ዓላማዎች 3. Objectives

ይህ አዋጅ፡- This Proclamation shall have the objectives:

1/ የንግዱ ዘርፍ የሀገሪቱን የኢኮኖሚ ዕድ 1/ strengthening the situations where the trade
sector can be supportive of the economic

2/ protecting the trade sector from detrimental

የንግድ ፈቃድን የሚመለከቱ የዚህ አዋጅ The provisions of this Proclamation relating to
ድንጋጌዎች በዚህ አዋጅ አንቀጽ " ንዑስ business licenses shall apply to any person
አንቀፅ (1) ከተመለከቱት የንግድ ሥራዎች engaged in any commercial activity other than
በስተቀር በሌላ ማናቸውም የንግድ ሥራ those specified under Article 30 sub article (1) of
በተሰማራ ሰው ላይ ተፈጻሚ ይሆናሉ፡፡ this Proclamation.


ክፍል ሁለት PART TWO
ስለንግድ ምዝገባ COMMERCIAL REGISTRATION

5. የንግድ መዝገብ ስለማቋቋም 5. Establishment of Commercial Register

1/ A commercial resister administered by the

6. በንግድ መዝገብ ስለመመዝገብ 6. Registration in the Commercial Register

1/ ማንኛውም ሰው በንግድ መዝገብ ሳይመዘገብ 1/ No person shall engage in any commercial activity

ያሳውቃል፡፡
5/ As provided for under Article 105 of the

6/ Any person, who is not registered in the comme-

were in force prior to the coming into force of this

መመዝገብ ይኖርበታል፡፡ from the effective date of this Proclamation.


7/ የንግድ ማህበራት መስራቾች ወይም አባላት 7/ Founders or members of a business
በተፈረሙና በንግድ መዝገብ በገቡ organization shall sign their memorandum
መመስረቻ ጽሑፎቻቸውና መተዳደሪያ and articles of association at the Documents
ደንቦቻቸው ላይ ከሚያደርጓቸው ማናቸውም Authentication and Registration Office,
ማሻሻያዎቻቸው በስተቀር ለንግድ ምዝገባ according to standardized samples of

የመተዳደሪያ ደንብ ናሙናዎች መሠረት
መፈራረም አለባቸው፡፡
8/ Before signing their memorandum and article
8/ የንግድ ማህበር መስራቾች ወይም አባላት of association, founders or members of a

9/ Where the successors and the spouse of a sole
9/ በትራንስፖርት ንግድ ሥራ ተሰማርቶ business person who was engaged in
የነበረ ግለሰብ ነጋዴ ወራሾች እና የትዳር transport business, do not want to form a
ጓደኛ በንግድ ሥራው ለመቀጠል የንግድ business organization to resume the business,
ማህበር ለማቋቋም ያልፈለጉ ከሆነ ከወራሾቹ one of the successors or the spouse can be

1/ ማናቸውንም የንግድ ምዝገባ ጥያቄ በንግድ
ሥራ ለመሰማራት የሚፈልግ ሰው ሥራ 1/ Any Application to register in the commercial

to the registering office is found acceptable,

3/ በዚህ አንቀጽ ንዑስ አንቀጽ (1) እና (2) 3/ When the registering office rejects the

የተመዘገበውን የጣት አሻራ ይጠቀማል፡፡
9/ The registering office shall request the tax collecting
9/ መዝጋቢው መስሪያ ቤት ለምዝገባ የቀረበው office, in writing, to give the business organization
የንግድ ማህበር በንግድ መዝገብ ከመግባቱ በፊት applying for registration a taxpayer’s

0/ በማዕድን ዘርፍ የሚሰማሩ የውጭ 10/ Foreign investors to be engaged in the mining
sector, federal public enterprises, commercial
ባለሀብቶች፣ የፌዴራል መንግሥት የልማት
representatives, branches of foreign
ድርጅቶች፣ የንግድ እንደራሴዎች፣ የውጭ
companies, foreign traders that come to
ሀገር ኩባንያዎች ቅርንጫፎች፣ በዓለም operate in Ethiopia by winning international
ዐቀፍ ጨረታ አሸናፊ ሆነው የሚገቡ የውጭ bids, organizations that are permitted to
ሃገር ነጋዴዎች፣ የንግድ ስራ እንዲሰሩ engage in commercial activity and foreign
የተፈቀደላቸው ማህበራት እና ተቋቁሞ investors intending to buy an existing
የሚገኝ የንግድ ድርጅትን ገዝቶ ባለበት enterprise in order to operate it as it stands
ሁኔታ ንግድ ለማካሄድ የሚፈልግ የውጭ shall be registered with the Ministry.
ባለሀብት በሚኒስቴሩ ይመዘገባሉ፡፡

01/ በክልል መንግሥታት የሚቋቋሙ የመንግሥት 11/ Regional public enterprises shall be registered
የልማት ድርጅቶች በቢሮዎች ይመዘገባሉ፡፡ with the bureaus.

02/ የውጭ ባለሀብቶች በሚኒስቴሩ ወይም በኢን 12/ Foreign investors shall be registered only
ቨስትመንት ኤጀንሲ ብቻ ይመዘገባሉ፡፡ with the Ministry or the Ethiopian Investment
Agency.
03/ በዚህ አዋጅ አንቀጽ 6 ንዑስ አንቀጽ (2)
የተደነገገው እንደተጠበቀ ሆኖ ሚኒስቴሩ 13/ With out prejudice to the provision of Article
ፈቃድ በሚሰጥባቸው የንግድ ሥራ መስኮች 6 sub article (2) of this Proclamation, those
የሚሠማሩ ሰዎች በንግድ መዝገብ ለመመ business persons who engage in commercial
ዝገብ በቀጥታ ለሚኒስቴሩ ማመልከት activities for which license is issued by the

8. የምዝገባ መረጃዎችና ሠነዶችን ስለማስተላለፍ 8. Forwarding of Information and Documents
Relating to Registration

1/ በዚህ አዋጅ መሠረት የንግድ ምዝገባ ያደ 1/ The bureau or the Ethiopian Investment

1/ የንግድ ማህበራት በንግድ ሕግ አንቀፅ '7፣ 1/ Business organizations shall acquire legal

10. Commercial Registration of Sole Business
0. የግለሰብ የንግድ ምዝገባ Persons

አመልካቹ ግለሰብ ነጋዴ ከሆነ የሚከተሉትን Where the applicant is a sole business person he
ሰነዶች ከማመልከቻው ቅጽ ጋር በማያያዝ shall submit the following documents together
ማቅረበ አለበት፡- with his application format:

1/ የአመልካቹ በስድስት ወር ጊዜ ውስጥ 1/ passport size photographs of the applicant
የተነሳው ጉርድ ፎቶግራፍ፣ taken within six months time,

2/ የአመልካቹ የቀበሌ የመታወቂያ ካርድ ወይም 2/ photocopies of the kebele identification card or
የፀና ፓስፖርት ገጾች ፎቶ ኮፒ፣ copies of valid passport of the applicant,


3/ አመልካቹ የውጭ ባለሀብት ከሆነ 3/ where the applicant is a foreign investor his
የኢንቨስትመንት ፈቃድ፣ investment permit,

4/ እንደ ሀገር ውስጥ ባለሀብት የሚቆጠር 4/ where the applicant is a foreigner considered
የውጭ ሀገር ዜጋ ከሆነ ከኢትዮጵያ as a domestic investor, a document issued by
ኢንቨስትመንት ኤጀንሲ የተሰጠ ይህንኑ Ethiopian Investment Agency to testify this,
የሚያረጋግጥ ሰነድ፣

5/ ዕድሜው 08 ዓመት የሞላው መሆኑን 5/ a document which testifies that he has attained
የሚያረጋግጥ ሰነድ፣ the age of 18,

6/ የዋና መሥሪያ ቤቱ እና ያለም ከሆነ 6/ the exact address of the head office and branch
የቅርንጫፍ መሥሪያ ቤቶቹን ትክክለኛ offices of his business if any, and
አድራሻ፣ እና
7/ if the office of his business is his own a title
7/ ለንግድ ሥራ የሚጠቀምበት ቤት የራሱ
deed or if it is a leased one an authenticated

11. Commercial Registration of a Business
01. አክሲዮን ማህበር ያልሆነ የንግድ ማህበር Organization Other than a Share Company
የንግድ ምዝገባ

1/ Where the applicant is a business organization
1/ አመልካቹ በመቋቋም ላይ ያለ አክሲዮን
other than a share company, under formation;
ማህበር ያልሆነ የንግድ ማኀበር ከሆነ the founders or their attorney shall submit the

ሠ/ በዚህ አዋጅ አንቀጽ 0 ንዑስ አንቀጽ e) documents prescribed under sub-article
(6) እና (7) የተጠቀሱት ሰነዶች፣ (6) and (7) of Article 10 of this
እና Proclamation, and

ረ/ በዚህ ንዑስ አንቀፅ ከፊደል ተራ (ሀ) እስከ f) documents mentioned from paragraph (a)
(መ) የተጠቀሱት ሰነዶች ትክክለኛነት to (d) of this sub-article shall be

12. Commercial Registration of a Share Company
02. የአክሲዮን ማህበር የንግድ ምዝገባ
1) Where the applicant is a share company; under
1/ አመልካቹ በመቋቋም ላይ ያለ የአክሲዮን formation, the founders or their attorney shall
ማኀበር ከሆነ መሥራቾቹ ወይም ወኪላ submit the following documents as may be

ሠ/ በዚህ አዋጅ አንቀጽ 01 ንዑስ አንቀጽ (1)(c) and (d) of Article 11 of this
(1) (ሐ) እና (መ) የተጠቀሱት Proclamation, if necessary,
ሰነዶች እንደ አስፈላጊነታቸው፣
f) information and documents prescribed
ረ/ በዚህ አዋጅ አንቀጽ 0 ንዑስ አንቀጽ under sub article (6) and (7) of Article 10
(6) እና (7) የተጠቀሱት ሰነዶች፣ of this Proclamation;

ሰ/ በዚህ ንዑስ አንቀጽ ከፊደል ተራ /ሀ/ እስከ g) documents mentioned from paragraph (a)
/ሠ/ የተጠቀሱት ሰነዶች ትክክለኛነት በኢ to (e) of this sub-article shall be

4/ የዚህ አዋጅ አንቀጽ 01 ንዑስ አንቀጽ 4) The provisions of sub article (3), (5) and (6)
(3)፣ (5) እና (6) ለአክሲዮን ማኀበር of Article 15 of this Proclamation shall apply

5) The founders of a share company to be

አመልካቹ በውጭ አገር የተቋቋመ የንግድ ማኀበር incorporated business organization the attorney shall
የኢትዮጵያ ቅርንጫፍ ከሆነ ወኪሉ የማመልከቻ submit the following documents for registration after

3) original copy of the power of attorney of the

15. Commercial Registration of a Commercial
05. የንግድ እንደራሴ የንግድ ምዝገባ Representative

አመልካቹ በውጭ አገር ያለ የንግድ ማህበርን Where the applicant is a commercial representative of a
foreign-based business organization or sole business
ወይም ግለሰብ ነጋዴን የሚወክል የንግድ
person:
እንደራሴ በሆነ ጊዜ:-
1) authenticated documents by appropriate
1/ ትክክለኛነታቸዉ በኢትዮጵያ ውስጥ ባሉ
bodies in Ethiopia:
አግባብነት ባላቸው አካላት የተረጋገጡ:-
a) proof of registration and juridical existence of
ሀ/ ወካዩ የንግድ ማህበር በተቋቋመበት አገር the principal business organization in the
ወይም ወካዩ ነጋዴ በሚሠራበት አገር country of its registration or in the country
የተመዘገበ ሕጋዊ ሕልውና ያለው መሆ where the principal business person operates,
ኑን የሚያረጋግጥ ማስረጃ፣

ለ/ ወካዩ የንግድ ማኀበር ከሆነ የመመሥረቻ b) where the principal is a business organization
ጽሑፍና መተዳደሪያ ደንብ ወይም ድር its original copies of memorandum and

2/ ለበጀት ዓመቱ ለደመወዝና ለሥራ ማስኬጃ 2) a bank confirmation for having brought into the

16. Alteration and Amendment of Commercial

1/ ማናቸውም የንግድ ምዝገባ ለውጥ ወይም 1) Any alteration or amendment of a commercial

appropriate application form within two

months from the date the alteration or
