2. Introduction
An accomplished agribusiness executive, Carl Casale most recently
served as the president and chief executive officer of CHS Inc., a leading
agricultural cooperative based in Inver Grove Heights, Minnesota. In
December 2017, Carl Casale was nominated to join the board of
directors of Syngenta as an independent director.
The appointment was made following the retirement of Michel Demare,
who had served as the company’s vice chairman and lead independent
director for five years. Demare had planned to leave the company
earlier, but following its 2016 sale to ChemChina, board chairman Ren
Jianxin asked him to remain to facilitate the completion of the
transaction, support the incoming chief executive, and oversee the
implementation of a new governance structure.

Following the company’s successful transition, Demare opted to retire.
Jurg Witmer, a longstanding member of the company’s board, replaced
Demare as lead independent director. Board Chairman Jianxin
expressed optimism that Witmer and Casale’s combined agricultural
industry experience will be invaluable to Syngenta going forward.
