Duties summary:
• Ensuring and facilitating compliance with various legal requirements affecting the Company.
• Provide professional legal support and advice (1) to all business unit located in each country within the Africa
region (Mauritania – Ghana – Ivory Coast) and (2) to the Senior Management of the Las Palmas Regional Office.
• Provide proactive legal assistance and advice on various issues including employment related matters,
government relations, regulatory matters.
Specific duties:
• Provide legal support in relation to tenement management (assisting through phases from early exploration to
mining and surrender, while ensuring the assets /mining permits are always in good standing).
• Provide legal support in relation to permitting (EIAs, construction permits, and sectorial permits) including
ensuring compliance with obligations attached to obtained permits.
• Provide legal support and advice on employment related matters:
o Implement various human resources policies in compliance with applicable laws/regulations;
o Provide legal support through specific and difficult period: strike, company reorganization, cost saving
process (layoffs, working conditions re-negotiation);
o Draft, negotiate and implement Collective Labour Agreement (“Convention Collective”)
o Assist Human Resources team with any issues having potential legal impact;
o Manage labour dispute/litigation in collaboration with local counsels/lawyers.
• Analyze and advise on regulatory issues potentially impacting the Company, including compliance with new
laws/regulations.
• Collaborate with the Government relations team for any issue having potential legal impact and requiring
interaction with the Government.
2. • Provide legal support and advice in relation to commercial contracts entered into between the Company and
third parties, including drafting of such contracts, negotiation with third party suppliers and expert advice
pertaining to any legal, regulatory or compliance issues impacting on such contractual agreements.
• Provide legal support on corporate matters (registration, company secretary work)
• Manage and coordinate external legal counsels.
February 2006 to August 2012: Senior Legal Advisor (Ambatovy Madagascar S.A./ Dynatec Madagascar S.A. -

Duties summary:
• Ensuring compliance with various legal requirements affecting the Companies.
• Provide professional legal support and advice (1) to all business unit located in each operation sites and (2) to
the head office located in Antananarivo.
• Provide proactive legal assistance and advice on various issues including employment related matters,
government relations, regulatory matters.
Specific duties:
• Ensuring the Mining permits are always in good standing (filing application, ensuring compliance with all
obligations attached to the permits, assisting through phases from early exploration to mining and surrender.
• Provide legal support in relation to land management (acquisition, registration, mortgage/hypothec
registration).
• Provide legal support in relation to permitting (EIAs, eligibility of the Project to the specific Law to large mining
investments, construction permits, and sectorial permits) including ensuring compliance with obligations
attached to obtained permits and approval.
• Provide legal support and advice on employment related matters:
o Implement various human resources policies in compliance with applicable laws/regulations;
o Provide legal support through specific and difficult period: strike, company reorganization;
o Assist Human Resources team with any issues having potential legal impact;
o Manage labour dispute/litigation in collaboration with local counsels/lawyers.
• Provide legal support on anti-corruption policy implementation. Participate in company’s registration within EITI
(Extractive Industries Transparency Initiative)
• Analyze and advise on regulatory issues potentially impacting the Company, including compliance with new
laws/regulations.
