1. Car Hautel LLC will transport the vehicle described in Exhibit A for the Owner/Agent. 2. The agreement specifies the responsibilities and liabilities of both parties. Car Hautel will transport the vehicle in a safe, legal manner and is an independent contractor. 3. Exhibit A provides details on the vehicle, pickup/delivery dates, contact information, compensation amounts, and insurance coverage.

1. VEHICLE TRANSPORT AGREEMENT
THIS VEHICLE TRANSPORT AGREEMENT (“Agreement”) is entered into and effective as of
_____________________, 2010, by and between CAR HAUTEL LLC, 3851 Ironworks Pike, Lexington, Kentucky 40511, Attn:
Llewellyn Bruce Naude (“COMPANY”), and _______________________________ of ___________________________,
_____________, ____________ (“OWNER/AGENT”).
RECITALS:
A.The COMPANY is engaged in the business of transporting vehicles.
B.The OWNER/AGENT desires the Company to transport the vehicle (the “VEHICLE”) described in Exhibit A attached hereto and
incorporated herein on the terms and conditions of this Agreement.
C.The OWNER/AGENT either owns the VEHICLE or is the authorized agent of the OWNER for all purposes of this Agreement and
has the authority to execute this Agreement as agent of the OWNER.
AGREEMENT:
NOW, THEREFORE, the parties hereby agree as follows:
1.SERVICES: For the compensation described in Exhibit A, COMPANY shall transport the VEHICLE pursuant to the terms
and conditions of this Agreement and of Exhibit A in a professional, safe, legal and reasonable manner and in accordance
with all applicable local, state and federal traffic safety and other regulations, ordinances and laws.
2.INDEPENDENT CONTRACTOR: It is understood and agreed that COMPANY is an independent contractor for all purposes in
performing the services under this Agreement and not an agent, joint venturer or partner of the OWNER/AGENT.
3.LIMITATION OF AUTHORITY: COMPANY shall not have any authority to act on or on behalf of, or to bind, the OWNER/AGENT
in any manner, except as expressly authorized in this Agreement or in writing by the OWNER/AGENT.
4.DEFAULT: If COMPANY shall default on any provision of this Agreement, OWNER/AGENT may have all remedies at law
or equity to which OWNER/AGENT is entitled. If OWNER/AGENT should default on any provision of this Agreement, COMPANY may
have all remedies at law or equity to which COMPANY is entitled.
5.RISK AND INDEMNIFICATION: The COMPANY shall hold harmless and indemnify the OWNER/AGENT from any and all
damages, losses, costs, expenses, claims, injuries, deaths, judgments and any and all other liabilities caused by, or arising
from, the COMPANY’S obligation and responsibilities under this Agreement and/or the COMPANY’S default of any of its obligations
and responsibilities under this Agreement. The OWNER/AGENT shall hold harmless and indemnify the COMPANY from any and
all damages, losses, costs, expenses, claims, injuries, deaths, judgments and any and all other liabilities caused by, or
arising from, the OWNER/AGENT obligations and responsibilities under this Agreement and/or the OWNER/AGENT default of any of
its obligations and responsibilities under this Agreement.

2. 6.ASSIGNMENT: The rights and obligations of OWNER/AGENT under this Agreement may be assigned by OWNER/AGENT.
Except for engaging a driver to transport the Vehicle, Company may not assign their rights and obligations under this
Agreement to any other individual or entity.
7.MISCELLANEOUS:
A.Binding Effect: This Agreement shall be binding upon, inure to the benefit of, and be enforceable by,
the parties hereto and their respective executors, administrators, heirs, successors and assigns, except as limited herein.
Nothing in this Agreement shall be construed to confer any rights and/or benefits upon any other persons or entities or third
party beneficiaries.
B.Governing Law, Jurisdiction and Venue: This Agreement shall be construed and enforced in
accordance with, and governed by the laws of, the Commonwealth of Kentucky. The parties agree that any suit, action or
proceeding with respect to this Agreement may only be brought in the courts of the Commonwealth of Kentucky, sitting in
Fayette County, Kentucky or the United States District Court for the Eastern District of Kentucky, Lexington division.
C.Severability: If any provision of this Agreement shall be determined to be invalid, illegal or
unenforceable in whole or in part, neither the validity of the remaining part of such provision nor the validity of any other
provision of this Agreement shall in any way be affected.
D.Waiver: Failure to insist upon strict compliance with any of the Terms, covenants or conditions of this
Agreement shall not be deemed a waiver of such Term, covenant or condition, nor shall any waiver or relinquishment of
any right or power under this Agreement at any one or more times be deemed a waiver or relinquishment of such right or
power at any other time or times.
E.Entire Agreement Modification: This Agreement constitutes the entire agreement of the parties with
respect to the subject matter hereof and supersedes all prior agreements, oral and written, between the parties. This
Agreement may be modified or amended only by an instrument in writing signed by the COMPANY and OWNER/AGENT.
