This addendum amends an existing service agreement between PT. Asuransi AXA Indonesia and PT. City Vision. MADE BY AND BETWEEN
PT. ASURANSI AXA INDONESIA
AND
PT. CITY VISION
This Addendum No. 096/ADD-I/AXA TOWER/IV/2012 (hereinafter shall be referred to as the "Addendum") to
the Service Agreement No. 0961AXA TOWER/XI/2011 dated on the 1i h day of February 2012 (the "Service
Agreement") is made and entered on this day the 16 th day of April 20 12 (the "Effective Date"), by and between:
1. PT. Asuransi AXA Indonesia, having its registered office at Mayapada Tower 8th Floor, JI. Jend. Sudirman
Kav. 28, Jakarta 12920 (hereinafter shall be referred to as "AXA"); and
2. PT. City Vision, having its registered office at JI. Paradise Raya I F 24 No.1 RT 006IRW 012, Kelurahan
Sunter Agung, Kecamatan Tanjung Priok, Jakarta Utara (hereinafter shall be referred to as the "Supplier").
AXA and the Supplier hereby respectively agree to amend the Service Agreement by entering into this Addendum
with following terms and conditions:
/~ 1. As of the Effective Date of this Addendum, to amend the Term of the Service Agreement, as stated in Part 1:
Agreement Specifics, so that it shall be read and written as follows:
Term: The Term ofthe Service Agreement commenced on 25 August 2011 until the Completion Date.
2. As of the Effective Date of this Addendum, to amend the point 3 of Schedule 1: PricelRates of the Service
Agreement, by inserting new point e., to be read and written as follows:
e. LED videotron
Price : lOR 5,245,295,000.- (Indonesian Rupiah five billion two hundred forty five million two
hundred ninety five thousand);
Size : 10 (ten) meter x 17 (seventeen) meter;
Quantity : 2 (two);
Specification : as specified in the attached bill of quantity which considered integral and inseparable
part of this Agreement.
The amount to be payable by AXA is calculated based on the applicable percentage, as follows:
lOR 5,245,295,000.- (Indonesian Rupiah five billion two hundred forty five million two hundred ninety
five thousand) x 7.6% (seven point six percent) = lOR 398,642,420.- (Indonesian Rupiah three hundred
ninety eight million six hundred forty two thousand four hundred twenty) (hereinafter shall be referred to
as the "Fee").
3. As of the Effective Date of this Addendum, in respect to the addition as mentioned in Article 2 above, the
following payment schedule shall apply:
i) 50% (fifty percent) of Fee as down payment in the aggregate amount of lOR 199,321,210.- (Indonesian
Rupiah one hundred ninety nine million three hundred twenty one thousand two hundred ten) including
VAT 10% (ten percent) shall be payable in advance after this Addendum is signed by the Parties.
ii) 30% (thirty percent) of Fee in the aggregate amount ofIDR 119,592,726.- (Indonesian Rupiah one hundred
nineteen million five hundred ninety two thousand seven hundred twenty six) including VAT 10% (ten
percent) shall be payable upon the production of LED videotron is completed, as evidenced by the progress
report to be submitted by the Supplier to and agreed by AXA.
iii) 20% (twenty percent) of Fee in the aggregate amount of lOR 79,728,484.- (Indonesian Rupiah seventy nine
million seven hundred twenty eight thousand four hundred eighty four) including VAT 10% (ten percent)
shall be payable upon the Completion Date.

2. 4. As of the Effective Date of this Addendum, to amend the point 5 of Schedule 3: Payment Schedule of the
Service Agreement, so that it shall be read and written as follows:
Notwithstanding any provision to the contrary stipulated in Part Ill: Standard Terms and Conditions of the
Service Agreement, for any demand of payment, the Supplier shall provide AXA with the invoice together
with the tax invoice and any necessary documents related thereto. The payment to be made by AXA to the
Supplier is expected to be received in the Supplier's account within 14 (fourteen) working days after AXA has
received such invoice from the Supplier.
5. As of the Effective Date of this Addendum, to insert the definitions of Completion Date of Services and
Termination Date to the Clause 1 Definitions, Part III: Standard Terms and Conditions of the Service
Agreement, to be read and written as follows:
Completion Date means the date when the Services under this Agreement is fully completed by the Supplier
and received with satisfactory by AXA and simultaneously at the same time the minutes of delivery of services
(also known as BAST) is signed by AXA and the Supplier.
6. As of the Effective Date of this Addendum, to insert new provision into the Other Matters, Part I: Agreement
Specifics of the Agreement, to be read and written as follows:
,------ The Warranty Period as stipulated in Schedule 1: Prices/Rates, Part II: Schedule of the Service Agreement
shall survive upon the termination of the Agreement until its validity period expires.
Unless expressly amended by this Addendum each and every provision stipulated in the Service Agreement
(including its Schedule(s) and any attachment(s) thereto) shall remain valid and binding on the Parties.
The Parties further agree that this Addendum shall be an integral and inseparable part of the Service Agreement
and the reference to the "Agreement" in this Addendum shall be construed as reference to the Service Agreement
as it may be further amended and/or extended and/or supplemented from time to time by the Parties herein,
including by this Addendum.
This Addendum is executed by the Parties as at the date mentioned above, in 2 (two) sets of counterparts which
each shall be considered as original, affixed with stamp duty and has equal legal force.
