Project: Politely inform client that contract proposal is, like, totally unacceptable
Client: That’s going to have to remain confidential
Dear (redacted):
I’m writing to explain my concerns regarding the contract you forwarded.
While I respect your desire to protect your company’s interests, I can honestly say that I have never been
presented with a contract of this nature during my two decades in the (redacted) industry. Therefore,
having never signed a contract with such extensive language, I am hesitant to expose my employees and
myself to the unknown.
While most of the language appears to address standard issues such as the nature of the business
relationship, compensation, etc., there is language regarding the return of confidential information that
gives me pause. Specifically, I am not comfortable with a scenario that would compel my employees and
me to “immediately deliver to the Company all such property, including all copies (whether in electronic or
printed form), remaining in (redacted) possession or control.”
Given the time and effort it would take to comply with such a request, doing so simply would not be
practical.
I would enjoy an opportunity to speak with you regarding any concerns you might have regarding our
partnership. As someone who has operated a small business for almost two decades, nothing is more
important to me than the trust and respect of the people with whom I work.
And, after having such a conversation, I will be happy to consider signing an amended version of the
contract.
