‫شـــراء‬ ‫أو‬ ‫ببيــــع‬ ‫اوامــره‬ ‫لتنفـيـذ‬ ‫يلــزم‬ ‫ما‬ ‫بكافة‬ ‫األول‬
‫والسندات‬ ‫األسـهم‬,‫قبل‬ ‫من‬ ‫المقرة‬ ‫األنظمــة‬ ‫حسب‬ ‫وذلك‬
‫مجلس‬‫والسـلع‬ ‫المالية‬ ‫األوراق‬ ‫هيئة‬ ‫إدارة‬
Preamble:
As per the trading license, the first party is authorized to
execute, orders for the purchase and sale of securities
without making decisions thereof independently unless
with the prior consent of the “Second Client (Hereinafter
referred Party”
The Second Party hereby submitted an application for
opening an account to the First Party who henceforth
accepted, and subject to the commitments, warranties,
provisions and liabilities thereof, the Parties hereto –who
are legally competent to enter into this Agreement – have
agreed as follows:
Article (1):Complementary Text:
The above Preamble shall be an integral part of
This Agreement.
Article (2):Subject of Agreement:
The Second Party does hereby authorize the First Party to
execute the Second Party is orders for the sales and
purchases of securities, provided that the First Party shall
not take selling or buying decisions without the prior
consent of the Second Party. The Second Party shall
provide the First Party with all the necessary
requirements to help the First Party conduct and
complete these orders duly with regard to the sales and
purchases of shares and bonds, according to the systems
approved by the Securities and Commodities Authority
Board (SCAB).

A- The broker shall acknowledge that he has the power and
legal permit to sign this agreement. He shall execute all the
obligations herein completely.

provisions and conditions and signed herein , knowing their
content and reference and he shall agree on all its contents
and that he knows the requirements of trading in securities
and technical term in this field.

per market procedures, is an authorization for the broker to
execute all the contents thereof. He shall confess that the
broker has the rights to consider such instructions to be
correct and that he has the right to execute them if they do
not contradict with any laws or instructions issued by the
Market or SCA or any of the terms herein, the broker may
archive such instructions or record the phone call as a proof.

‫أن‬ ‫له‬ ‫ينبغي‬ ‫وال‬ ‫يكن‬ ‫ولم‬ ‫الشخصي‬ ‫قراره‬ ‫هو‬ ‫المالية‬ ‫األوراق‬ ‫وشراء‬ ‫بيع‬ ‫قرار‬
‫الوسيط‬ ‫ِبل‬‫ق‬ ‫من‬ ‫نصح‬ ‫أو‬ ‫توصية‬ ‫اية‬ ‫على‬ ‫مبنيا‬ ‫يكون‬.
E- The customer shall confess and agree that the broker, in
executing orders of securities sale and purchase, shall, in any
way, not work as a consultant and that the decision of sale and
purchase of securities is his personal decision that shall and
should not be based on any recommendation or advice by the
broker.
‫ح‬-‫الوسيط‬ ‫يطلبها‬ ‫قد‬ ‫التي‬ ‫المعلومات‬ ‫بكافة‬ ‫الوسيط‬ ‫بتزويد‬ ‫العميل‬ ‫يلتزم‬
‫تعليماته‬ ‫صالحية‬ ‫وعلى‬ ‫العميل‬ ‫هوية‬ ‫على‬ ‫للوقوف‬.
F- The customer shall provide the broker with all the
information that the broker may require to know his identity,
and if he has the authorization to give instructions.
‫خ‬-‫الصادرة‬ ‫التعليمات‬ ‫الوسيط‬ ‫تسلم‬ ‫من‬ ‫التأكد‬ ‫عن‬ ‫المسؤول‬ ‫بأنه‬ ‫العميل‬ ‫يقر‬
‫كما‬ ‫فعال‬ ‫بتنفيذها‬ ‫قام‬ ‫قد‬ ‫كان‬ ‫وإذا‬ ‫عنه‬‫بتنفيذ‬ ‫الوسيط‬ ‫قيام‬ ‫عدم‬ ‫من‬ ‫بالتأكد‬ ‫يقوم‬
‫العمل‬ ‫يوم‬ ‫نهاية‬ ‫هو‬ ‫أقصى‬ ‫بحد‬ ‫وذلك‬ ‫عنه‬ ‫تعليمات‬ ‫بشأنها‬ ‫تصدر‬ ‫لم‬ ‫صفقات‬
‫للتعلي‬ ‫التالي‬‫المنفذة‬ ‫الصفقات‬ ‫أو‬ ‫مات‬.
G- The customer shall agree that he is responsible for ensuring
the broker's receipt of his instructions and whether the broker
has duly executed the same. Besides, he shall ensure that the
broker did not execute any trades on his account without
previous instructions given by him.

‫الشرعية‬ ‫والرقابة‬ ‫الفتوى‬ ‫هيئة‬ ‫تقرره‬ ‫لما‬ ‫وفقا‬ ، ‫شرعا‬.‫في‬ ‫تداول‬ ‫أي‬ ‫بأن‬ ‫علما‬
‫أس‬‫األ‬ ‫قائمة‬ ‫في‬ ‫واردة‬ ‫هم‬‫العميل‬ ‫من‬ ‫بقرار‬ ‫تكون‬ ‫للشريعة‬ ‫المطابقة‬ ‫غير‬ ‫سهم‬
‫والتأمين‬ ‫التمويل‬ ‫وشركات‬ ‫البنوك‬ ‫ان‬ ‫على‬ ‫التاكيد‬ ‫مع‬ ،‫الكاملة‬ ‫مسؤوليته‬ ‫وعلى‬
‫عليها‬ ‫بالتداول‬ ‫السماح‬ ‫يتم‬ ‫ال‬ ‫االسالمية‬ ‫وغير‬ ‫التقليدية‬.
H- The Broker shall not accept any instructions of sale and
purchase of companies' shares whose main activity or
purposes include dealing in non shariah shares approved by
the shariah and Fatwa committee, taking in constriction that
any trade in shares included in shariah non compliant list, will
be conducted based on clients requests, and on their full
responsibility. In addition to that conventional and non Islamic
banks, finance, and Insurance companies are not permitted to
deal in.
‫ذ‬-‫قرض‬ ‫سندات‬ ‫هي‬ ‫التي‬ ‫التقليدية‬ ‫بالسندات‬ ‫تتعلق‬ ‫تعليمات‬ ‫أي‬ ‫الوسيط‬ ‫يقبل‬ ‫لن‬
‫يجوز‬ ‫التي‬ ‫السندات‬ ‫أو‬ ‫بالصكوك‬ ‫المتعلقة‬ ‫التعليمات‬ ‫ويقبل‬ ‫محرمة‬ ‫بفائدة‬
‫الشرعية‬ ‫والقابة‬ ‫الفتوى‬ ‫هيئة‬ ‫تقرره‬ ‫ما‬ ‫وفق‬ ‫شرعا‬ ‫وتداولها‬ ‫بها‬ ‫التعامل‬.
I- The Broker shall not accept any instructions related to the
traditional stakes which are loan stakes with prohibited
interest, and shall accept the instructions related to the stocks
or stakes that may be dealt with as per legal instructions in
accordance with the resolution of fatwa and Legal Supervision
Authority.

K- The customer (individual) shall confess that he is of legal
age (21years) and that he owns the capacity legally and
lawfully considered for signing this agreement and that he

L. The customer's representative (corporate person) shall
undertake that he has been duly incorporated as per the laws
of the country in which the company or institution has been
incorporated and that he has the full duly authorization and
power to sign this agreement on behalf of the company and
abide by its obligations.
M-The client hereby declares his full consent to bare any
exchange differences resulting from deposits, disbursement or
transfer of cash related to different foreign currencies beside
the national currency of UAE.
N-The Second Party does hereby declare, represent, and
warrant that all the information he /she has submitted to the
First Party with respect to the Second Party's application for
opening the account is valid, and that he/she did not conceal
any related information and that he/she certifies that all his
financial resources are from legitimate sources.

‫التي‬ ‫القرارات‬ ‫جميع‬ ‫وتكون‬ ‫ضمانات‬ ‫أو‬ ‫تأكيدات‬ ‫أو‬ ‫مالية‬ ‫أو‬ ‫استثمارية‬‫يتخذها‬
‫ورأيه‬ ‫لقناعته‬ ‫ووفقا‬ ‫المطلقة‬ ‫الحرة‬ ‫وبإرادته‬ ‫عنه‬ ‫صادرة‬ ‫نوعها‬ ‫كان‬ ‫أيا‬ ‫العميل‬
‫مسؤوليته‬ ‫وتحت‬ ‫الشخصي‬ ‫وحكمه‬.‫الوسيط‬ ‫ِبل‬‫ق‬ ‫من‬ ‫تقديمها‬ ‫يتم‬ ‫معلومات‬ ‫وأي‬
‫على‬ ‫ويجب‬ ‫مالية‬ ‫أو‬ ‫استثمارية‬ ‫استشارة‬ ‫تعد‬ ‫ال‬ ‫تابعيه‬ ‫أو‬ ‫موظفيه‬ ‫من‬ ‫أي‬ ‫أو‬
‫رؤيته‬ ‫وفق‬ ‫النهائي‬ ‫قراره‬ ‫اتخاذ‬ ‫العميل‬‫حكمه‬ ‫على‬ ‫وبناء‬ ‫فقط‬ ‫الشخصية‬
‫الخاصة‬ ‫وتقديراته‬.
A-Services of the broker to the investors shall be (brokerage's
services in securities only). The broker, his employees or
subordinates shall not provide any recommendations or
investment or financial advices or any warranties or
confirmations. All the decisions taken by customer, of
whatever type, shall be issued by him and wit his full
discretion as per his conviction and personal opinion and
judgment. Any information provided by the broker or any of
his employees, subordinates is not deemed any investment or
financial advice and the customer has to take his final decision
as per his personal vision and based on his judgment and
special estimations.
4-‫المالية‬ ‫والتسويات‬ ‫الدفع‬:4- payment and financial settlements:

‫أ‬-‫من‬ ‫إليه‬ ‫واردة‬ ‫تعليمات‬ ‫أي‬ ‫تنفيذ‬ ‫رفض‬ ‫أو‬ ‫قبول‬ ‫في‬ ‫بحقه‬ ‫الوسيط‬ ‫يحتفظ‬
‫التداول‬ ‫إلجراء‬ ‫كافية‬ ‫بمبالغ‬ ‫الوسيط‬ ‫بتزويد‬ ‫مسبقا‬ ‫يقم‬ ‫لم‬ ‫إذا‬ ‫العميل‬.
A- The Broker shall keep his right to accept or reject the
execution of any instructions addressed from the customer
unless he was previously provided with enough amounts to
trade with.
‫ب‬-‫أموال‬ ‫توافر‬ ‫دون‬ ‫العميل‬ ‫تعليمات‬ ‫بتنفيذ‬ ‫الوسيط‬ ‫قيام‬ ‫حالة‬ ‫في‬‫فإن‬ ، ‫كافية‬

‫العميل‬ ‫قيام‬ ‫عدم‬ ‫وعند‬ ‫السوق‬ ‫ِبل‬‫ق‬ ‫من‬ ‫المحدد‬ ‫الزمني‬ ‫الوقت‬ ‫خالل‬ ‫للوسيط‬
B- If the broker executes the instructions of the customer
without enough amounts, the customer should settle all the
due amounts in addition to the fees and expenses incurred by

the broker during the time table determined by market. In
case the customer does not pay in due time , the market shall
be informed, thus, the broker after having the approval from
Market Control in dealing with the securities in place of the
transaction executed by the broker.

‫نفقات‬ ‫أو‬ ‫تكاليف‬ ‫أو‬ ‫مصاريف‬ ‫وأي‬ ‫والسوق‬ ‫الوسيط‬ ‫عمولة‬ ‫ناقص‬ ‫السوق‬ ‫ِبل‬‫ق‬
‫الوسيط‬ ‫يتحملها‬ ‫قد‬.
C- The broker shall deposit sale revenues in case of executing
sale orders as per the agreement in the account of the
customer at the company during the due time determined by
the market less broker's commission and any expenses or
costs or charges may be incurred by the broker.
‫ح‬-‫يراه‬ ‫حسبما‬ ‫شراؤها‬ ‫تم‬ ‫التي‬ ‫المالية‬ ‫األوراق‬ ‫في‬ ‫التصرف‬ ‫للوسيط‬ ‫يحق‬

‫ويتحمل‬ ‫كان‬ ‫مهما‬ ‫السوق‬ ‫بسعر‬ ‫األوراق‬ ‫تلك‬ ‫بيع‬ ‫للوسيط‬ ‫ويحق‬ ‫السوق‬ ‫وعمولة‬
‫تنج‬ ‫قد‬ ‫اضرار‬ ‫أو‬ ‫خسائر‬ ‫أي‬ ‫عن‬ ‫الوسيط‬ ‫تعويض‬ ‫مسؤولية‬ ‫العميل‬‫البيع‬ ‫عن‬ ‫م‬
‫من‬ ‫تفويض‬ ‫وهذا‬ ‫الجزئي‬ ‫السداد‬ ‫أو‬ ‫الكامل‬ ‫السداد‬ ‫في‬ ‫العميل‬ ‫إخفاق‬ ‫نتيجة‬
‫جهة‬ ‫أي‬ ‫لدى‬ ‫أو‬ ‫آخر‬ ‫حساب‬ ‫أي‬ ‫أو‬ ‫العميل‬ ‫حساب‬ ‫على‬ ‫بالخصم‬ ‫للوسيط‬ ‫العميل‬
‫الخسائر‬ ‫بهذه‬ ‫عالقة‬ ‫لها‬ ‫مستحقات‬ ‫ألي‬ ‫باإلضافة‬ ‫الخسائر‬ ‫تلك‬ ‫بقيمة‬ ‫أخرى‬.
F- The broker may deal with the financial securities that have
been purchased as he deems fit if the customer fails to pay
their purchase value in addition to his commission and market
commission. the broker may sell such securities with market
price , whatsoever, while the customer shall be responsible for
indemnifying the broker for any losses or damages that may
be incurred as result of customer's failure to fully or partially
payment. This is an authorization from the customer to the
broker to deduct the same from the customer's account or any
other account or at any other agency as well as any dues
related to such losses.

‫أي‬ ‫في‬ ‫الكافي‬ ‫الرصيد‬ ‫توافر‬ ‫عدم‬ ‫حالة‬ ‫في‬‫العميل‬ ‫حسابات‬ ‫من‬.
G- The broker may sell any other shares related to the
customer that may be available in the trading account in
consideration of the amounts that can cover the losses and
damages mentioned in the previous paragraph in case there is
no enough balance in any of the customer's accounts.
‫د‬–‫أو‬ ‫التفاهم‬ ‫وسوء‬ ‫األخطاء‬ ‫عن‬ ‫ناجمة‬ ‫خسائر‬ ‫أية‬ ‫وحده‬ ‫العميل‬ ‫يتحمل‬
‫العميل‬ ‫عن‬ ‫الصادرة‬ ‫الصحيحة‬ ‫غير‬ ‫أو‬ ‫الدقيقة‬ ‫غير‬ ‫التعليمات‬ ‫بسبب‬ ‫التأخير‬
‫أن‬ ‫ثبت‬ ‫إذا‬ ‫إال‬ ‫أضرار‬ ‫اية‬ ‫عن‬ ‫تعويض‬ ‫بأي‬ ‫المطالبة‬ ‫في‬ ‫حق‬ ‫له‬ ‫وليس‬ ‫للوسيط‬
‫األخطاء‬‫الوسيط‬ ‫ِبل‬‫ق‬ ‫من‬ ‫كانت‬.
‫ذ‬-‫الوسيط‬ ‫يحملها‬ ‫والتي‬ ‫للعميل‬ ‫العائدة‬ ‫المالية‬ ‫واالوراق‬ ‫المبالغ‬ ‫كافة‬ ‫إن‬
‫العميل‬ ‫لصالح‬ ‫أوممثلية‬,‫الوسيط‬ ‫بحوزة‬ ‫وقت‬ ‫أي‬ ‫في‬ ‫تكون‬ ‫أن‬ ‫يمكن‬ ‫التي‬ ‫تلك‬ ‫أو‬
‫كان‬ ‫هدف‬ ‫ألي‬ ‫دفاتره‬ ‫في‬ ‫موجودة‬ ‫أو‬ ‫سيطرته‬ ‫تحت‬ ‫أو‬,‫بها‬ ‫اإلحتفاظ‬ ‫يتم‬‫من‬
‫و‬ ‫الضمان‬ ‫بهدف‬ ‫الوسيط‬ ‫قبل‬‫وحقالتعويض‬ ‫كرهن‬ ‫القانوني‬ ‫الحجز‬ ‫لحق‬ ‫تخضع‬
‫الوسيط‬ ‫تجاه‬ ‫العميل‬ ‫إللتزامات‬ ‫إيفاء‬ ‫والتسوية‬.
‫ر‬-‫طلب‬ ‫فور‬ ‫العميل‬ ‫حساب‬ ‫في‬ ‫يبقى‬ ‫عجز‬ ‫بأي‬ ‫اإللتزام‬ ‫العميل‬ ‫على‬ ‫يتوجب‬
‫حال‬ ‫في‬ ‫حسابه‬ ‫في‬ ‫عجز‬ ‫اي‬ ‫بتسديد‬ ‫العميل‬ ‫يلتزم‬ ‫األحوال‬ ‫وبجميع‬ ،‫ذلك‬ ‫الوسيط‬
‫أم‬ ‫كليا‬ ‫سواء‬ ‫المذكور‬ ‫الحساب‬ ‫تصفية‬‫العميل‬ ‫أو‬ ‫الوسيط‬ ‫قبل‬ ‫من‬ ‫جزئيا‬
H-The customer shall solely bear any damages resulted from
defaults or misunderstanding or delay because of the
inaccurate or incorrect instructions issued by the customer. He
has no right to claim for any compensation for any damages
unless it is proved that such defaults are committed by the
broker.
I-All funds and securities of the Client which the Broker or its
affiliates may at any time be carrying for Client or which may
at any time be in the Broker .s possession or control or carried
on its books for any purpose, are to be held by the Broker as
security and subject to a general lien and right of set-off for
liabilities of Client to the Broker.
J- Client shall at all times be liable for the payment of any
deficit balance of Client upon demand by the Broker and in all
cases,Client shall be liable for any deficiency remaining in
Client's Account in the event of the liquidation thereof in
whole or in part by the Broker or by Client.

‫لالرتفاع‬ ‫قابلة‬ ‫المالية‬ ‫األوراق‬ ‫أسعار‬ ‫أن‬ ‫فكما‬ ، ‫منه‬ ‫جزء‬ ‫أو‬ ‫لرأسماله‬ ‫المستثمر‬
‫اال‬ ‫لهذه‬ ‫يمكن‬ ‫فإنه‬‫إلحاق‬ ‫إلى‬ ‫تؤدي‬ ‫وقد‬ ،‫كبيرة‬ ‫بنسبة‬ ‫تنخفض‬ ‫ان‬ ‫أيضا‬ ‫سعار‬

The customer shall acknowledge that he has read and
understood the risk acceptance as follows:
Dealing in securities includes many risks that may result in
the investor's loss of all or part of his capital. The securities'
price increases, as well as may decrease with high potential,
causing damages to the Investor. Thus, liquidation of
securities and their sale shall be difficult since there is less
demand thereon. This is in addition to many other risks may
be faced by the investor. Therefore, the investment should
be based on scientific basis and with the professionals'
recommendations.

‫يملك‬ ‫فريد‬ ‫رقم‬ ‫هو‬ ‫هذا‬ ‫الحساب‬ ‫رقم‬ ‫أن‬ ‫حيث‬ ‫السرية‬ ‫من‬‫ينصح‬ ‫و‬ ‫فقط‬ ‫العميل‬ ‫ه‬
‫أخرى‬ ‫معلومات‬ ‫أي‬ ‫أو‬ ‫الحساب‬ ‫لرقم‬ ‫كشف‬ ‫أي‬ ‫عن‬ ‫االمتناع‬ ‫بشدة‬ ‫العميل‬ ‫الوسيط‬
‫وحده‬ ‫العميل‬ ‫مسؤولية‬ ‫من‬ ‫ذلك‬ ‫يعتبر‬ ‫حيث‬ ‫ثالث‬ ‫طرف‬ ‫إلى‬ ‫بالحساب‬ ‫خاصة‬.
A- The customer should treat his account number with the
broker with high confidentiality since such number is a
unique number owned by the customer solely. The broker
advices the customer not to expose his account number or
any other information related thereto to any third party
since such matter is the responsibility of the customer alone.

B-The customer shall put no responsibility on the broker in
case of any Fraud or misstatements concerning his identity
as a result of using his account number.

‫هوية‬ ‫من‬ ‫التحقق‬ ‫الثبات‬ ‫كاف‬ ‫الوسيط‬ ‫موظفي‬ ‫من‬ ‫أي‬ ‫إلى‬ ‫اخرى‬ ‫شخصية‬ ‫بيانات‬
‫العميل‬.
C-When calling by phone, submission of name and number
of the account to any employee of the broker is deemed to
be a sufficient proof for the customer's identity.
7-‫الداخلية‬ ‫المعلومات‬ ‫من‬ ‫االستفادة‬/‫المعلنة‬ ‫غير‬:7- Benefit from internal/ not exposed information:
‫أ‬-‫في‬ ‫فورا‬ ‫والوسيط‬ ‫السوق‬ ‫بإبالغ‬ ‫القانونية‬ ‫مسؤوليته‬ ‫بكامل‬ ‫ويتعهد‬ ‫العميل‬ ‫يقر‬
‫يلي‬ ‫مما‬ ‫أي‬ ‫حدوث‬ ‫حال‬:
A-The customer shall confess and undertake with his full
legal liability to inform the market immediately in case of
any of the following cases:

B- If the customer's ownership or his ownership together
with his minor kids' ownership is 5% of the company's total
shares in the market.

C- If practical ownership of the (company, association, club
or institution) is 5% of the shares on any company in the
market

A-If the customer is the chairman of board of directors,
director, employee of second rank relative in any company
listed in the market shall not use any internal information

shared in such registered companies or any other registered
company.

B- If the customer is the chairman of board of directors,
director, and employee of second rank relative in any
company listed in the market shall not spread rumors
concerning sale or purchase of shares or stakes, or exposing
any information not declared by the SCA or the Markets that
may affect, in any way, the prices of shares and stakes.
C-The client will be forbidden from placing any orders
that may imply factious trades or deliberate manipulating

If the customer himself or his employee or his second rank
relative is the chair man of board of directors, director,
employee or second rank relative and he wishes to deal with
the company’s stakes itself, he should inform such company,
or broker, or competent authorities before issuing the order.

The customer shall pay the broker, for the services, the
commission and expenses determined by the financial
markets declared in U.A.E, added by the broker to the
amounts required from the customer in case of purchase,
while deducted from the due amounts, in case of sale. It is
known that such commission is subject to changes as per the
resolutions of the SCA and market.

‫ذلك‬ ‫نتيجة‬ ‫أو‬ ‫يتعلق‬ ‫فيما‬ ‫العميل‬ ‫تجاه‬ ٌ‫ال‬‫مسؤو‬ ‫األول‬ ‫الطرف‬ ‫يعتبر‬.
‫ت‬-‫يقو‬‫مع‬ ‫وبمايتفق‬ ‫ألحكامها‬ ٌ‫ا‬‫طبق‬ ‫نية‬ ‫بحسن‬ ‫اإلتفاقية‬ ‫هذه‬ ‫بتنفيذ‬ ‫الطرفان‬ ‫م‬
‫وموجباتها‬ ‫اإلتفاقية‬ ‫هذه‬ ‫مثل‬ ‫تحكم‬ ‫التي‬ ٌ‫ا‬‫عموم‬ ‫المقبولة‬ ‫القانونية‬ ‫القواعد‬.
A-This agreement and all the documents attached there are
subject to the federal laws applicable in U.A.E and the laws of
Emirate of Abu Dhabi and Dubai only. And they shall be
construed as per the same. Both parties agree to adhere to
the judiciary of the competent courts in U.A.E without
prejudice to Islamic provisions. Arbitration conditions shall be
applied in any dispute arising from trading in securities and
commodities, issued by the resolution of Securities and
Commodities SCA No. 4 for the year 2000AD.
B-If, at any time, any provision hereof is proved to be illegal,
null or inapplicable under the applicable laws of UAE, such
will not affect the legality, effectiveness and applicability of
the other provisions hereof. The First Party shall not be held
responsible to the Second Party as a consequence of that in
this regard
C- The Parties hereto shall in good faith abide by this
Agreement according to the provisions thereof and in
accordance with the generally accepted legal rules governing

‫المختصة‬ ‫المحاكم‬ ‫ِبل‬‫ق‬ ‫من‬ ‫يصدر‬ ‫قرار‬.
‫ب‬-‫يحق‬ ‫فإنه‬ ‫الطرفين‬ ‫بين‬ ‫خالف‬ ‫وقوع‬ ‫حالة‬ ‫في‬ ‫انه‬ ‫على‬ ‫العميل‬ ‫يوافق‬
‫بها‬ ‫والمحتفظ‬ ‫به‬ ‫الخاصة‬ ‫والمراسالت‬ ‫والبيع‬ ‫الشراء‬ ‫أوامر‬ ‫استخدام‬ ‫للوسيط‬

‫نفسة‬ ‫العميل‬ ‫طريق‬ ‫عن‬ ‫تتم‬ ‫التي‬ ‫أو‬ ‫الوسيط‬ ‫طريق‬ ‫عن‬ ‫تتم‬ ‫التي‬ ‫تلك‬ ‫سواء‬
‫باستخدام‬‫اإلنترنت‬ ‫عبر‬ ‫التداول‬ ‫نظام‬.‫جميع‬ ‫بأن‬ ‫تام‬ ‫علم‬ ‫على‬ ‫العميل‬ ‫ويكون‬
‫مكالما‬‫منه‬ ‫كاملة‬ ‫بموافقة‬ ‫مسجلة‬ ‫للشركة‬ ‫التليفونية‬ ‫ته‬.
A-The broker should keep the confidentiality of all the details
related to the customer as per this agreement. He shall not
expose such information to any third party without the written
approval of the customer. The customer shall confess that
nothing in this agreement shall affect the broker's obligations
to expose information to the market or the SCA or any other
party as per the resolution of the competent courts.
B- The Client does hereby agree that, in case of any dispute,
the Broker has the right to use the Client buying and selling
orders and correspondence held by the Broker as well as the
phone calls made with the Client as evidence of discharging
the Broker.
C- The client hereby agree on recording all his buy and sell
orders related to his/ her executions either conducted
through the broker or the ones executed directly by him/her
through the E-trade system. The client is also completely
aware that all his phone calls with the company are recorded
with full consent from his side

‫الوكالة‬ ‫سند‬ ‫من‬ ‫نسخة‬ ‫الوسيط‬ ‫تسليم‬ ‫له‬ ‫ينبغي‬ ‫المجموعة‬ ‫يمثل‬ ‫الذي‬ ‫الشخص‬
‫السوق‬ ‫ألنظمة‬ ‫وفقا‬ ‫المشترك‬ ‫الحساب‬ ‫أصحاب‬ ‫جميع‬ ‫ِبل‬‫ق‬ ‫من‬ ‫له‬ ‫الممنوح‬
‫االت‬ ‫كافة‬ ‫بإنجاز‬ ‫لتفويضه‬‫االتفاقية‬ ‫هذه‬ ‫لبنود‬ ‫وفقا‬ ‫المالية‬ ‫األوراق‬ ‫بتداول‬ ‫فاقات‬
‫و‬ ‫عنهم‬/‫من‬ ‫إلغائها‬ ‫أو‬ ‫الوكالة‬ ‫هذه‬ ‫إنتهاء‬ ‫عند‬ ‫الوسيط‬ ‫بإشعار‬ ‫ويلتزم‬ ‫منهم‬ ‫أي‬ ‫أو‬
‫تجاه‬ ‫مسؤولية‬ ‫أدنى‬ ‫الوسيط‬ ‫يتحمل‬ ‫وال‬ ‫المشترك‬ ‫الحساب‬ ‫أصحاب‬ ‫باقي‬ ‫ِبل‬‫ق‬
‫إلغائها‬ ‫أو‬ ‫الوكالة‬ ‫انقضاء‬ ‫حال‬ ‫في‬ ‫العميل‬.
A- if some persons wish to open joint trading account, the
person representing them must provide the broker with a
copy of the power of attorney given to him by all owners of
the joint account as per market rules to delegate this person
to execute all the securities trading agreements as per the
terms of this agreement on their behalf and/or any one of
them by notifying the broker upon termination of such
attorney or abrogating the same by rest of joint account
owners , the broker shall assume no liability towards the
customer upon termination or abrogation of such power of
attorney.
‫ب‬-‫العميل‬ ‫يبلغ‬ ‫لم‬ ‫ما‬ ‫انتهائه‬ ‫تاريخ‬ ‫حتى‬ ‫المفعول‬ ‫ساري‬ ‫الوكالة‬ ‫سند‬ ‫يعتبر‬
‫بالغائه‬ ‫والوسيط‬ ‫والهيئة‬ ‫المالية‬ ‫األوراق‬ ‫سوق‬.
B- The power of attorney shall be valid till its expiry date
unless the customer informs Securities market and the SCA
and the broker with its termination.

‫وفي‬ ‫اإلدارة‬ ‫مجلس‬ ‫من‬ ‫المناسبة‬ ‫القرارات‬ ‫اصدار‬ ‫بعد‬ ‫للشركة‬ ‫األساسي‬ ‫والنظام‬
‫بإخطار‬ ‫العميل‬ ‫يلتزم‬ ، ‫آخرين‬ ‫أشخاص‬ ‫تعيين‬ ‫أو‬ ‫التفويضات‬ ‫هذه‬ ‫إلغاء‬ ‫حالة‬
‫أو‬ ‫مسؤولية‬ ‫أي‬ ‫الوسيط‬ ‫يتحمل‬ ‫وال‬ ‫حدوثها‬ ‫فور‬ ‫التعديالت‬ ‫بهذه‬ ‫خطيا‬ ‫الوسيط‬
‫ل‬ ‫تحدث‬ ‫قد‬ ‫خسائر‬‫بذلك‬ ‫الوسيط‬ ‫إخطار‬ ‫عدم‬ ‫نتيجة‬ ‫لعميل‬.
C- In case of the company's account, authorized persons
should be appointed by signatory to sign on behalf of the
company to sign this agreement and execute all the
transactions related to securities trading as per this
agreement, and in accordance with company's law ,
memorandum of association after issuing the proper
resolutions from Board of Directors. In case of terminating
such delegations, or appointing other persons, the customer is
obliged to provide the broker with written amendments
immediately. The broker shall assume no liability or losses that
may be incurred by the customer as a result of not notifying
the broker therewith.
15-‫عامة‬ ‫أحكام‬:15- General Provisions:
‫أ‬-‫العميل‬ ‫يوافق‬ ،‫االتفاقية‬ ‫هذه‬ ‫أطراف‬ ‫بين‬ ‫خالف‬ ‫أو‬ ‫نزاع‬ ‫أي‬ ‫حدوث‬ ‫حال‬ ‫في‬
‫بها‬ ‫يحتفظ‬ ‫التي‬ ‫والمراسالت‬ ‫المستندات‬ ‫جميع‬ ‫باستخدام‬ ‫مخول‬ ‫الوسيط‬ ‫أن‬ ‫على‬
‫العميل‬ ‫ضد‬ ‫كاثبات‬ ‫الوسيط‬.
A- In case of any dispute or disagreement arising between
parties of this agreement, the customer agrees that the broker
is authorized to use all the documents and correspondences
kept by the broker as a proof against the customer.
‫ب‬-‫تغييرات‬ ‫أي‬ ‫حدوث‬ ‫حال‬ ‫في‬ ‫البعض‬ ‫بعضهما‬ ‫بإبالغ‬ ‫والوسيط‬ ‫العميل‬ ‫يتعهد‬
‫في‬ ‫أساسية‬‫االتفاقية‬ ‫في‬ ‫المذكورة‬ ‫المعلومات‬.
B- The customer and the broker undertake to inform each
other in case of any basic changes in the information
mentioned herein.
‫ت‬-‫من‬ ‫االتفاقية‬ ‫هذه‬ ‫على‬ ‫تعديالت‬ ‫أي‬ ‫إجراء‬ ‫للوسيط‬ ‫يجوز‬ ‫بأنه‬ ‫العميل‬ ‫يدرك‬
‫التع‬ ‫هذه‬ ‫وتعتبر‬ ‫آلخر‬ ‫وقت‬‫إشعار‬ ‫من‬ ‫اسبوعين‬ ‫بعد‬ ‫المفعول‬ ‫سارية‬ ‫ديالت‬
‫التعديالت‬ ‫بهذه‬ ‫العميل‬.
C- The customer acknowledges that the broker may make any
amendments to the agreement herein from time to time, and
such amendments shall be valid after two weeks from notice
to the customer thereof.
‫ث‬-‫قد‬ ‫يعتبر‬ ‫فإنه‬ ‫لصالحه‬ ‫شراء‬ ‫أو‬ ‫بيع‬ ‫عمليات‬ ‫إنجاز‬ ‫حال‬ ‫في‬ ‫بأنه‬ ‫العميل‬ ‫يقر‬
‫على‬ ‫وينبغي‬ ‫العمليات‬ ‫تلك‬ ‫بخصوص‬ ‫مشروط‬ ‫غير‬ ‫قانونيا‬ ‫ملزما‬ ‫عقدا‬ ‫نفذ‬
‫والمعاملة‬ ‫العقد‬ ‫لذلك‬ ‫النفاذ‬ ‫إلعطاء‬ ‫المطلوبة‬ ‫المستندات‬ ‫جميع‬ ‫تقديم‬ ‫العميل‬
‫عن‬ ‫الناشئة‬ ‫التجارية‬‫ذلك‬.
D- The customer confesses that in case of completing sale or
purchase for his benefit, he is deemed to execute an
obligatory unconditioned legal contract concerning these
processes. The customer should provide all the required
documents to enforce such contract and commercial
transaction subsequent to the same.
‫ج‬-‫وفقا‬ ‫تنفيذها‬ ‫ينبغي‬ ‫السوق‬ ‫في‬ ‫المدرجة‬ ‫والسندات‬ ‫األسهم‬ ‫تعامالت‬ ‫جميع‬ ‫أن‬
‫االمارات‬ ‫دولة‬ ‫في‬ ‫بها‬ ‫المعمول‬ ‫والقوانين‬ ‫واألنظمة‬ ‫السوق‬ ‫في‬ ‫المطبقة‬ ‫للقوانين‬
‫المتحدة‬ ‫العربية‬.
E- All shares and stakes transaction listed in the market should
be executed as per the laws applied in the market as well as
the laws and regulations applicable in U.A.E.
