Kiwi Patents is an ideas company initially focused on a new patent pending roofing
technology. Other ideas are “under the radar” but will only be developed when the
company is profitable and paying dividends.
My last deal was with Nike USA in 2011 via my previous company Puku Ltd., so I
have excellent experience in delivering in the business side of patented technology.
This presentation can only be an over view of course and potential investors are
invited to ask questions, and of course it is always best to take legal and financial
advice, and to conduct independent research.

THE COMPANY
Kiwi Patents Ltd is a relatively new company formed in Jan 2013.
The company is solely focused on a new technology I have called “flex-mechanism”
Flex-mechanism is applicable to many applications and products, but it has been
determined an excellent initial focus is polycarbonate and aluminum roofing,
affordable, modular and clear span in character.
•  Polycarbonate offerings from other companies have a number of dis-advantages
and are more expensive.

From 15+ years of filing 60+ ideas into patents I know know the best ideas are

Kiwi Patents Ltd is not a raw start-up, by a fresh faced entrepreneur, with a loose
idea! Here are 7 reasons why 5.18% is actually very good value:
1.  My last company paid a tax-paid dividend of $780,000 in 2012.
2.  I have 15 years experience in IP development, prototyping and most
importantly business development from that base, and
3.  A first patent has already been granted in NZ and progressed further, and 3
other patents are filed, and
4.  There has been considerable development in positioning and branding with a
trademark secured along with URLs, and
5.  A first sale has been made with an excellent margin, and
6.  The technology has a nice present focus via Flexiroof™ – and revenue from

Around a year ago when I began to work on this area it became clear there
were many possible applications for this technology.
I looked at a number to determine which could be developed relatively simply
and cheaply to demonstrate the capability of the flex-mechanism technology,
and also to better understand it’s challenges, advantages and disadvantages.
I decided to work up a design for arched polycarbonate sun shelter. This was
initially merely a design exercise, but attending the Fieldays in June 2013
changed my thinking …
At the Fieldays we had people wanting to buy our terrible prototypes and I
realised that this space was clearly “ripe” for a well-marketed, focused,
elegant, modular and affordable new brand.

The stand was very busy, and although we were in the Innovation
Centre, we had more than 100 hundred enquiries from people wanting
to buy product. Many of these were for sunshades structure, as what
we had on display was obviously a cheaper and more elegant
alternative to what is available now: eg http://www.archgola.co.nz
However we also had enquiry for other structures including stock
shelter and barns of course as we were at the Fieldays!

FLEXIROOF™ - A NEW BRAND
SOME REVENUE STREAM OPTIONS
The next slides look at the product evolution over the last 9months or so …
1.  May to Jun 2013: Basically I created very crude prototypes for demonstration
purposes in the Innovation Centre at the 2013 Fieldays.
2.  Jul to Oct 2013: I focused on tooling up for UPVC S-shaped sheet connector.
This was OK, and very useful as a learning tool, but is was clearly not going to
deliver spans of more than 3m.
3.  Nov 2013 to Feb 2014: I moved to using aluminum via readily available profiles
designed for other uses. This worked very well for small spans, where it was
spectacular in the wind, but again it was found not be suitable for spans
beyond 4.2m.
4.  Mar to Apr 2014: A custom profile has been ordered which is 5x stronger, and
because it is a sinusoidal shape, that will fit perfectly to itself and the sheet
profile, it can be layered! to make composite beams which will span distances
in excess of the length of polycarbonate sheets commonly available (7.2m)

There are a number of aluminum and polycarbonate sun shade offerings, but
they all are at least $450/m2 installed, whereas Flexiroof™ is ~$300/m2 installed,
more elegant and as the next slide shows “cleaner” …

THE OPPOSITION HAS A PROBLEM
All other polycarbonate offerings I have seen to date have a significant cosmetic problem
where the polycarbonate sheets overlap. Mold, vegetation and muck accumulate there,
protected from the UV light by the excellent properties of polycarbonate!

WHAT ABOUT THE OTHER OPPOSITION?
Of course there are also other options for customers, for example PVC awnings, cloth
umbrellas, shade sails or timber pergolas with polycarbonate or vines.
Some of these of course are problematic in the wind.

A lot of progress has been made using off-the-shelf extrusions but these
can only take this technology so far.

INVESTMENT SUMMARY
This presentation scopes an investment into a new “platform” connection technology
with very wide application, and a defined first revenue opportunity via Flexiroof™ .
Everything you see here has been developed in less than a year by one person with
little funds, and the occasional assistance of several others.
I believe the technology and IP are at a point where with some more investment the
company can move to significant profit in a relatively short time.
Normally in an investment presentation one would define the offer via pre-money
valuation, and then present cash flows for 5 years, and perhaps even apply a
discounted valuation model to find the net present value of the investment. I am
familiar with these tools, but in this case I think there are just too many unknowns.
My approach is far more pragmatic. The future is unknown. Tight business plans are
out of date very quickly! It is better to know the general direction and be agile along
the path.

Dear Helen,
I deny and refute all the aspects of the argument the Claimants make, other than that there exists
a signed employment contract for a brief 9month period. More specifically there are 6 reasons
why this s65(1) claim is outrageous and should be rejected out of hand:
1. The claimants are not the rightful directors of Puku Ltd
a. I have evidence, and witness testimony available from more than 8 shareholders
who collectively own more than 40% of the companies voting stock, who can also be
called to give sworn testimony, to show the Claimants are not in fact the legal
directors of the company, but I am in fact still a director.
b. I note the Companies Office website is not sufficient proof as this entry is maintained
and controlled by themselves alone – specifically Daniel McElrea.
c. The same can be said for the Realme access to the IPONZ website
d. I therefore require the Claimants to prove they are the rightful directors of Puku Ltd.
2. The claim is not genuine, but is merely a tool for a power struggle
a. I have a large body of evidence to show that the Claimants seek 608523 for no other
reason but to naively use this as a lever to reduce my substantial shareholding.
b. I have a large body of material to show they have performed illegally as directors,
and ineffectively operationally, for a number of years, and they have brought this
case to create a lever / scapegoat / diversion so they may improve their chances of
winning the next director vote, which is already 5 months legally late.

3. The signed employment contract does not support the claim
a. The onus on them is to show that 608523 is from this brief contract window in a long
history of playing with ideas by a very inventive person. I note they claim a
completely new idea 608523 they knew nothing about, by citing a brief 9 month
employment contract in a 33 year history of inventor-ship, and by disingenuously
inflating the brief employment contract’s importance, meaning, and scope to a 11
year period via several inflationary ruses.
b. I require them to show how the employment contract supports their rights to own all
ideas, and/or specifically 608523, that have been dreamed up of by me from Sep
2003 to Oct 2013,
i. They are effectively attempting to take a 9-month agreement to an 11-year
“contract” – backwards and forwards in time.
4. The Claimants have provided no evidence at all as to when the idea of 608253 was
invented, and in fact by their extension of the claim catchment period back to when I was a
part-time CEO/contractor/optometrist, and their citing of an alleged unsigned draft
contractor agreement shows they are effectively admitting the inadequacies of the
employment contract and generally their case, and showing clearly they have no idea or
evidence as to the time frame.
a. On the other hand I do provide evidence to support that the inventive concept of
608253 is older than Puku Ltd itself, and also show that I am a person who has been
inventing for decades.
b. They need to absolutely prove the origin and timing of 608523 is related to the
employment contract 9 months. I require them to provide proof here.
5. 608523 is very different to all patents in the Puku Ltd portfolio
a. It is not enough to say it is in “connection”. My work since I delved into
blacksmithing full time in 1989 in the UK has been in “connection design”. Putting
things together using rivets, folding, and spring tension with forged iron is
“connection”.
b. It certainly is not enough to say “oh he thought of it so we own it” No human’s brain
can be “owned” in this modern world.

c. Sure Puku has fastener patents, but 608523 is an anti fastener patent which obviates
the need for fasteners. It is also in sheet material modular construction a new area
entirely.
d. Indeed that it has received notice of allowance by IPONZ confirms it is new.
i. If it leant on Puku patents then patent priority would apply and the idea would
be subservient to patents Puku already has.
e. No employment contract can own a lifetime of ideas most of which are just plain silly,
but a tiny tiny minority of which, may prove to be golden. The reality is of the 64
provisional patents filed in my name in the last 33 years only 3 have been
commercialised. I understand that 5% is even a little better than the industry
average here?
6. It is a basic human right to earn a living
a. Additional employment and case law have both established that no matter the
wording of any employment contract it is a basic human right to earn a living.
b. My work has evolved from optometry to inventor ship. It is my basic right to attempt
to earn my living. For me that is clearly now via invention and commercialization.
c. In fact I have no other viable option as I am no longer a registered optometrist and
would have to retrain.
d. I find it both naïve and offensive to think that the Claimants seem shocked I set up a
new company, as I founded Puku ltd. It was primarily my ideas drive passion and
business nous that delivered the Nike cash, which led to a substantial dividend we
all enjoyed.
Finally I give notice I will make claim on financial recompense from the Claimants as persons, not
the Company, for my time in responding to the action.

AGM
Today I am giving you advance
notice of the date of the AGM,
well actually two AGMs!
The company was formed on Jan
9th
2013 and s120(2) (inserted
below) of the Companies Act has
the first AGM must be held in 18
months. But we may as well have
the second AGM for 2013-14 on
the same day.
Therefore the Kiwi Patents Ltd.
2012-13 AGM is to be held at
11am on Saturday 10th
May 2014
in Hamilton, followed
consecutively by the Kiwi Patents
Ltd 2013-14 AGM.
Our financial year period runs
from April 1 to March 31 each
year.
Accounts and other papers
2
pertaining to both AGMs will be
sent out in early April, by April
10th
2014, and the location in
Hamilton will be advised then.
I hope you can attend. Many
shareholders have non-voting
shares but I want to assure you
that you are most welcome to
attend and ask questions discuss
and offer your suggestions!
Learning from v1 Flexiroof
You will recall one small first sale
of $1500 was made in Oct 2013.
Whilst the customer was happy, I
determined this first iteration of
our technology was not going to
be profitable enough, nor capable
of big enough spans.
Therefore over the last 4 months
I have been working on using
aluminum as the beam with a lot

of success … lets call this v2 …
Indeed last month I made a sale
with this v2 technology ($3800
with material costs <$1500) and
you will see some pretty pictures
on the next page.
Learning from v2 Flexiroof
Whilst v2 is much better I am far
from happy, and have determined
we have to create our own v3
custom aluminum extrusion
profiles now to move to a really
professional and profitable
implementation.
Early demand for v3
The great news there is clear
evidence of demand with 3 quote
enquiries in the last week alone,
and a number of people interested
in being installers as well.

These are the two v3 aluminum extrusion profiles I have asked for tooling quotes for
As you can see one is a wave form beam, (the green and
purple parts) a pair of which trap the sheets (blue) into a
self-supporting arch, and the other extrusion (red) is a
combination top-rail/gutter into which the ends of the
beams fit!.
At this time I have no funds at all to actually pay for
the tooling so that is a little problem! If you can help here
I can share that the total tooling quote, and a little
inventory will be $15,000 (I have one quote in already)
This v2 roof was put up in Hamilton. Whilst profitable … many things can be improved now from this sale & learning!
Archgola™ had quoted the customer $8500 and my price
was $3800. I have reworked this job’s pricing and
determined that with v3 I would charge $5875, and
materials (as a kitset ready for installation) total $2013

Other ideas are “under the radar” but will only be developed when the company is profitable and paying dividends. My last deal was with Nike USA in 2011 via my previous company Puku Ltd., so I have excellent experience in delivering in the business side of patented technology. Here are 7 reasons why 5.18% is actually very good value: 1.  My last company paid a tax-paid dividend of $780,000 in 2012. 2.  I have 15 years experience in IP development, prototyping and most importantly business development from that base, and 3.  A first patent has already been granted in NZ and progressed further, and 3 other patents are filed, and 4.  There has been considerable development in positioning and branding with a trademark secured along with URLs, and 5.  A first sale has been made with an excellent margin, and 6.  The technology has a nice present focus via Flexiroof™ – and revenue from that, and 7.  A very very large revenue opportunity from other applications. 12

I looked at a number to determine which could be developed relatively simply and cheaply to demonstrate the capability of the flex-mechanism technology, and also to better understand it’s challenges, advantages and disadvantages. I decided to work up a design for arched polycarbonate sun shelter. This was initially merely a design exercise, but attending the Fieldays in June 2013 changed my thinking … At the Fieldays we had people wanting to buy our terrible prototypes and I realised that this space was clearly “ripe” for a well-marketed, focused, elegant, modular and affordable new brand.

The next slides look at the product evolution over the last 9months or so … 1.  May to Jun 2013: Basically I created very crude prototypes for demonstration purposes in the Innovation Centre at the 2013 Fieldays. 2.  Jul to Oct 2013: I focused on tooling up for UPVC S-shaped sheet connector. This was OK, and very useful as a learning tool, but is was clearly not going to deliver spans of more than 3m. 3.  Nov 2013 to Feb 2014: I moved to using aluminum via readily available profiles designed for other uses. This worked very well for small spans, where it was spectacular in the wind, but again it was found not be suitable for spans beyond 4.2m. 4.  Mar to Apr 2014: A custom profile has been ordered which is 5x stronger, and because it is a sinusoidal shape, that will fit perfectly to itself and the sheet profile, it can be layered! to make composite beams which will span distances in excess of the length of polycarbonate sheets commonly available (7.2m) 24 FLEXIROOF™ - A NEW BRAND ONE YEAR OF PRODUCT EVOLUTION

  • 31. 31 THE OPPOSITION HAS A PROBLEM All other polycarbonate offerings I have seen to date have a significant cosmetic problem where the polycarbonate sheets overlap. Mold, vegetation and muck accumulate there, protected from the UV light by the excellent properties of polycarbonate!   • 32. 32 WHAT ABOUT THE OTHER OPPOSITION? Of course there are also other options for customers, for example PVC awnings, cloth umbrellas, shade sails or timber pergolas with polycarbonate or vines. Some of these of course are problematic in the wind.
  • 33. 33 APRIL 2014 – NEW EXTRUSION MOVING TO A VERSATILE MODULAR SOLUTION A lot of progress has been made using off-the-shelf extrusions but these can only take this technology so far. As noted before a new profile has been ordered and is due by mid April. The red is the extrusion used to date, and the green is the new one, which is 3mm thick and 92mm wide. As well as being 5x stronger, the new profile fits to itself perfectly, which is ideal for modular options.

  • 36. 36 KIWI PATENTS LTD INVESTMENT SUMMARY This presentation scopes an investment into a new “platform” connection technology with very wide application, and a defined first revenue opportunity via Flexiroof™ . Everything you see here has been developed in less than a year by one person with little funds, and the occasional assistance of several others. I believe the technology and IP are at a point where with some more investment the company can move to significant profit in a relatively short time. Normally in an investment presentation one would define the offer via pre-money valuation, and then present cash flows for 5 years, and perhaps even apply a discounted valuation model to find the net present value of the investment. I am familiar with these tools, but in this case I think there are just too many unknowns. My approach is far more pragmatic. The future is unknown. Tight business plans are out of date very quickly! It is better to know the general direction and be agile along the path. Appendices follow

Later I can provide a lot of information, but for now if you look at the recent letter to the right you will note that IPONZ is requiring the Claimants to provide evidence despite their original claim which was 42 pages long! More specifically there are 6 reasons why this s65(1) claim is outrageous and should be rejected out of hand: 1. The claimants are not the rightful directors of Puku Ltd a. I have evidence, and witness testimony available from more than 8 shareholders who collectively own more than 40% of the companies voting stock, who can also be called to give sworn testimony, to show the Claimants are not in fact the legal directors of the company, but I am in fact still a director. b. I note the Companies Office website is not sufficient proof as this entry is maintained and controlled by themselves alone – specifically Daniel McElrea. c. The same can be said for the Realme access to the IPONZ website d. I therefore require the Claimants to prove they are the rightful directors of Puku Ltd. 2. The claim is not genuine, but is merely a tool for a power struggle a. I have a large body of evidence to show that the Claimants seek 608523 for no other reason but to naively use this as a lever to reduce my substantial shareholding. b. I have a large body of material to show they have performed illegally as directors, and ineffectively operationally, for a number of years, and they have brought this case to create a lever / scapegoat / diversion so they may improve their chances of winning the next director vote, which is already 5 months legally late. 42
  • 43. 2 3. The signed employment contract does not support the claim a. The onus on them is to show that 608523 is from this brief contract window in a long history of playing with ideas by a very inventive person. I note they claim a completely new idea 608523 they knew nothing about, by citing a brief 9 month employment contract in a 33 year history of inventor-ship, and by disingenuously inflating the brief employment contract’s importance, meaning, and scope to a 11 year period via several inflationary ruses. b. I require them to show how the employment contract supports their rights to own all ideas, and/or specifically 608523, that have been dreamed up of by me from Sep 2003 to Oct 2013, i. They are effectively attempting to take a 9-month agreement to an 11-year “contract” – backwards and forwards in time. 4. The Claimants have provided no evidence at all as to when the idea of 608253 was invented, and in fact by their extension of the claim catchment period back to when I was a part-time CEO/contractor/optometrist, and their citing of an alleged unsigned draft contractor agreement shows they are effectively admitting the inadequacies of the employment contract and generally their case, and showing clearly they have no idea or evidence as to the time frame. a. On the other hand I do provide evidence to support that the inventive concept of 608253 is older than Puku Ltd itself, and also show that I am a person who has been inventing for decades. b. They need to absolutely prove the origin and timing of 608523 is related to the employment contract 9 months. I require them to provide proof here. 5. 608523 is very different to all patents in the Puku Ltd portfolio a. It is not enough to say it is in “connection”. My work since I delved into blacksmithing full time in 1989 in the UK has been in “connection design”. Putting things together using rivets, folding, and spring tension with forged iron is “connection”. b. It certainly is not enough to say “oh he thought of it so we own it” No human’s brain can be “owned” in this modern world. APPENDIX2 COUNTERSTATEMENT-PAGE2/3 43
  • 44. 3 c. Sure Puku has fastener patents, but 608523 is an anti fastener patent which obviates the need for fasteners. It is also in sheet material modular construction a new area entirely. d. Indeed that it has received notice of allowance by IPONZ confirms it is new. i. If it leant on Puku patents then patent priority would apply and the idea would be subservient to patents Puku already has. e. No employment contract can own a lifetime of ideas most of which are just plain silly, but a tiny tiny minority of which, may prove to be golden. The reality is of the 64 provisional patents filed in my name in the last 33 years only 3 have been commercialised. I understand that 5% is even a little better than the industry average here? 6. It is a basic human right to earn a living a. Additional employment and case law have both established that no matter the wording of any employment contract it is a basic human right to earn a living. b. My work has evolved from optometry to inventor ship. It is my basic right to attempt to earn my living. For me that is clearly now via invention and commercialization. c. In fact I have no other viable option as I am no longer a registered optometrist and would have to retrain. d. I find it both naïve and offensive to think that the Claimants seem shocked I set up a new company, as I founded Puku ltd. It was primarily my ideas drive passion and business nous that delivered the Nike cash, which led to a substantial dividend we all enjoyed. Finally I give notice I will make claim on financial recompense from the Claimants as persons, not the Company, for my time in responding to the action. The company was formed on Jan 9th 2013 and s120(2) (inserted below) of the Companies Act has the first AGM must be held in 18 months. But we may as well have the second AGM for 2013-14 on the same day. Therefore the Kiwi Patents Ltd. 2012-13 AGM is to be held at 11am on Saturday 10th May 2014 in Hamilton, followed consecutively by the Kiwi Patents Ltd 2013-14 AGM. Our financial year period runs from April 1 to March 31 each year. Accounts and other papers 2 pertaining to both AGMs will be sent out in early April, by April 10th 2014, and the location in Hamilton will be advised then. I hope you can attend. Learning from v1 Flexiroof You will recall one small first sale of $1500 was made in Oct 2013. Whilst the customer was happy, I determined this first iteration of our technology was not going to be profitable enough, nor capable of big enough spans. Therefore over the last 4 months I have been working on using aluminum as the beam with a lot 3 of success … lets call this v2 … Indeed last month I made a sale with this v2 technology ($3800 with material costs <$1500) and you will see some pretty pictures on the next page. Learning from v2 Flexiroof Whilst v2 is much better I am far from happy, and have determined we have to create our own v3 custom aluminum extrusion profiles now to move to a really professional and profitable implementation. Early demand for v3 The great news there is clear evidence of demand with 3 quote enquiries in the last week alone, and a number of people interested in being installers as well. Newsletter 10 - Page 2 of 2 These are the two v3 aluminum extrusion profiles I have asked for tooling quotes for As you can see one is a wave form beam, (the green and purple parts) a pair of which trap the sheets (blue) into a self-supporting arch, and the other extrusion (red) is a combination top-rail/gutter into which the ends of the beams fit!. At this time I have no funds at all to actually pay for the tooling so that is a little problem! If you can help here I can share that the total tooling quote, and a little inventory will be $15,000 (I have one quote in already) This v2 roof was put up in Hamilton. Whilst profitable … many things can be improved now from this sale & learning! Archgola™ had quoted the customer $8500 and my price was $3800. I have reworked this job’s pricing and determined that with v3 I would charge $5875, and materials (as a kitset ready for installation) total $2013
