Our experienced, approachableand well- resourced team can handle everything from the day-to-day commercial issues of SA-based businesses to co-ordinating complex overseas transactions for multinational companies. We can advise on a wide range of company law and corporate finance issues for private and public companies at state, national and international levels. We advise clients on all aspects of mergers and acquisitions including due diligence and negotiating and drafting documentation and agreements. We also assist clients with the Corporations Act and ASX Listing Rules, conduct compliance reviews and act for companies during divestment processes. Our team also advises clients on restructures, including share transactions, asset transfers, taxation and stamp duty ramifications. We’ve acted for clients in numerous major acquisitions, including Brown Brothers’ 2010 acquisition of Tamar Ridge Estates. In 2012, we advised ASX-listed IMX Resources Limited on its merger with Canadian-listed company, Continental Nickel Limited, involving consolidation of a Tanzanian nickel sulphite project and IMX listing on the Toronto Stock Exchange. We have also advised the South Australian Cricket Association Inc. on amendments to its constitution and other aspects related to the redevelopment of the Adelaide Oval. We represent overseas clients investing in Australia and act for clients in the wine, resources, manufacturing, healthcare and aviation sectors. We’re also experienced in foreign investment review board processes (FIRB), corporate structuring, financing arrangements and regulatory compliance for foreign investors. In 2012 we acted for a subsidiary of the Swiss Government in the acquisition of an Australian defence company. We have built strong links with industry through government and private sector networks and contribute positively to the corporate sector through representation on industry bodies. We’re working constantly to improve our understanding of our clients’ industries and strengthen our client relationships through secondments. Based in SA, we provide our clients with a cost-effective service, but it’s also a value-added service.
