CONSULTANCY AGREEMENT WITH WOW PRODUCTION COMPANY (AJEBO)

This documentserves as Agreementbetween BYTESIZE Limited with registered address at 79 Oduduwa CrescentGRA
Ikeja “The Agency” on the one part.
And
………… WOW PRODUCTION COMPANY with registered address at…………………………………………. herein referred
to as “The Consultants” on the other part.
(Each a “party” and both altogether referred to as “parties”)
Whereas
1. The Agency have approached The Consultant – AJEBO to engage his services in the areas ofcameo in the “ Call
To Register” video, contentand social media amplification of the execution ofthe Maltina Dance All
#HappinessAmplified Edition 2016 across social and digital media platforms.
2. The Agency and The Consultants have agreed to so act, upon the terms setout in this Agreementfor the period set
out herein.
3. The Maltina Dance All Digital Activation is a projectcontracted to The Agency by Nigerian Breweries Plc.
The agreement is as follows
1. Scope ofEngagement
a. The Consultants will show a cameo appearance on the MALTINA DANCE ALL “ RECRUITMENT PHASE”
videos
b. The Consultant- Ajebo is also engaged to provide digital push ofthis Activation all his owned social media
platforms (Instagram, Facebook and Twitter)
c. The Agency shall provide the contentand Images that the consultant will use on his social media pages
d. Only the provided Maltina contentand Images elements will be on the Consultants social media pages.No
other name(s) or branding shall be seeded
e. The Consultant – Ajebo will send an email stating his non -commitment to any FMCG brand especial any
non-alcoholic brand.
f. The parties will agree a consultancy fee that will be paid to The Consultant- Ajebo.
g. The Consultant will be willing to offer additional services out-of-scope within their means.
2. Commencement& Duration
a. This agreementshall commence on ……JULY…………. 2016 to …………DECEMBER……………. 2016
unless sooner terminated as resultof unforeseen circumstances or force majeure.
b. The Agencies will want to be informed ofany similar agreement. If the Consultant receives a bone fide offer
regarding similar project, then The Consultant will be obligated to communicate such to The Agencies
within five (5) working days.

3. Payments/Fees
a. In consideration ofthis engagement, The Agencies will pay The Consultant the total sum of
NGN…………400,000.00
b. The Agencies shall also pay The Consultant for the cameo appearance and social media amplification on
his owned platforms after agreeing on the cost.
EXCLUSIVITY
c. The Consultants are free to engage other agent(s) butshall not acceptany offer by a competing
brand/product . (FMCG BRAND, MALT AND NON ALCOHOLIC BRANDS)
d. The Consultant shall keep adequate records ofthis engagementand make available same atrequestby
the Agencies or ifneed be.
4. Notices
Any other notice(s) or other communication hereunder shall be in writing, will transmit via registered or certified mail
addressed as setforth or such other mean that shall be agreed by The Parties.
5. Miscellaneous
a. The terms and conditions ofthis Agreementare confidential and may not be disclosed by either party
without approval ofthe other party.
b. The Parties agree that this Agreementis entered into without violating the right ofany person.
c. Any amendmentin this Agreementshall be in writing and signed by both Parties.
