MEMORANDUM OF UNDERSTANDING / AGREEMENT

1. This Memorandum of Undertaking is made on this day, the ………………………………....
between Infinite Voice Call Center Management (MANAGER) herein refer to as
MANAGERS having its office at 29 Gill Street Belize City Belize which expression shall
include authorized representative of training, Outsourcing services know in the
modern world as a Call Center.
( Referred to as a Call Centre represented by its authorized representative) of the second
part, for the nation of ……………BELIZE CENTRAL AMERICA……………………………………
1. The Programme for which this MoU is signed is to be known as “SERVICES RENDERED of
the Government of BELIZE.
1. Whereas the Centre is desirous of undertaking a joint project for the training and
handholding component of the said Scheme of a Call Center, the two parties to this
Memorandum of Understanding, with the intention of both being legally bound, accept
the following terms and conditions:
1. Coordination and Contact Points
a. MANAGER for coordination on broad policy issues and matters related to centralized
operations.
b. Training for all operational matters which includes training, handholding component as
per MANAGE guidelines.
1. Responsibilities of Payment for Goods and Services rendered
A center shall pay Infinite Voice either by agreed hourly rate or by talk time and also and
bonuses and commission stated.
TRAINING and FINANCIAL GUIDELINES
a) organize training is a must for outsourcer to agents.
b) Ascertain for itself the financial viability of the project and shall pay all cost overruns,
if any;
c) Not make any financial commitment on behalf of MANAGER, nor shall take loans or
create any other financial liability binding MANAGER under this agreement;
d) Have in mind that all employees relating to this project are on payroll.
e) Follow the course outline supplied by MANAGER, as may be amended from time to
time;
f) Conduct no such parallel activity which may be prejudicial to the interests of the said
Scheme of the call center
g) Maintain records and provide invoices and material upon request by center
h) Provide the following:
i. Hourly Pay at $4.50 USD per hour and after 90 days successful work hourly will be set at
$5.00 USD per hour.
ii. Provide assistance upon request
iii. Provide Payment on time as requested
iv. Provide accurate information about said campaign
v. Provide necessary log ins and dialer programs for campaign.
Provide assistance for conduct agent productivity reports.;
Register agents for organizing training
b) Responsibilities of INFINITE VOICE’s MANAGER:
The MANAGER shall:
a. Develop and provide broad course outline to the Training.
b. Provide list of trainees allotted to Centre or be entitled to ask training institute to
generate applications.
c. Provide norms and guidelines wherever necessary;
d. Provide lump-sum grant to the Training to the Centre on per trainee basis at the
rates fixed by Scheme guidelines.
e. Be responsible for the logistics and operational aspects of the training component of
the said Scheme;
f. Provide timely clarifications regarding Academic Inputs and any other necessary
information to the Centre;
g. Shall ensure through proper coordination and consultation that all the Training Centres
provide quality training under the said Scheme;
h. Shall ensure that all amounts released under the said Scheme to them by GOB, shall be
disbursed to the Centre timely, and keep a track of the number of attending the programmes
at each Centre.
c) Force Majeure
In the event of non-fulfillment of the contract terms and conditions due to any reason of
force majeure namely fires, wars, riots, strikes, natural calamities, etc., neither the Centre
nor MANAGER shall be held responsible for any loss or consequential loss.
d) Indemnity
The Centre hereby agrees jointly and severally to indemnify MANAGER, their representatives,
administrators and properties from and against all action, demands, proceedings,
prosecutions, attachments, and the like arising out of its liabilities and all charges, taxes,
etc.
Similarly, You shall be liable to indemnify/compensate the Centre on account of any losses.
e) Liabilities
YOU shall not, however, be liable for:
a. any payments of claims by employees of the Centre
b. discharging any financial commitments made by Centre.
c. Any suit on account of demands for infringement of copyright and other laws by the
the Centre which have no nexus with the object of the MoU being entered into.
f) The Centre shall ensure that all its software is legal. And shall not be responsible in any
way for any liabilities arising out of use of pirated software.
g) Breach of Agreement
Center shall have the right to terminate the agreement with the Centre, in case the Training
Centre either fails to provide the services successfully as mentioned in the agreement, or
violates any of the clause mentioned in the MOU, or exploits or misuses the partnership with
in any way.
h) Amendment to the Agreement
The obligation of the Centre have been outlined in this agreement. However, during the
operation of the agreement, circumstances may arise which call for alteration or
modifications of this Agreement. These modifications/alterations will be mutually discussed
and agreed upon in writing.
i) Period of Validity
This agreement shall be initially valid for one year from the date of signing the agreement
and to be renewed subsequently by mutual consent of both the parties.
j) Arbitration
Any dispute arising with regard to any aspect of this Agreement shall be settled through
mutual consultations and agreements by the parties to the Agreement.
