optimus energy terms conditions of sale.
1. Price
1.1 The unit price for the product to be supplied
(“product”) will be stipulated in the purchase order. A
purchase order issued by the purchaser is valid upon
being countersigned by Optimus Energy or confimed by
Optimus via a sales order document or invoice.
1.2 Trade terms used in the purchase order shall be
subject to incoterms 2010 of ICC
1.3 All prices for products are exclusive of any direct or
indirect taxes, levies, customs tariffs, duties, GST, value
added taxes VAT, levies, imposts, fees /or any other
payment that shall be paid by the purchaser.
2. Orders
2.1 Purchaser may place a purchase order (“Purchase
Order”) with supplier specifying the details of product
purchased, delivery terms, payment terms etc. Subject
to written confirmation of Optimus Energy. Purchase
order shall be binding and valid, and no revocation or
changes can be madeto the order if confimed by the
supplier.
2.2 If for any reason (except for force majeure event)
purchaser cancels a purchase order after being accepted
by Optimus Energy within 30 calendar days prior to the
Estimated Delivery Date (EDD), the purchaser shall pay
to Optius Energy an amount equal to 10% of the total
amount of the purchase order. This fee can be waived at
the discretion of Optimus Energy.
3. Payment
3.1 Unless otherwise agreed in writing by both parties,
the purchaser shall pay Optimus Energy 100% of the
amount through EFT, Credit Card, Pay Pal or Bank
Cheque. If goods happen to be supplied prior to full
payment being remitted, payment must be made
immedately otherwise payment will be considered
as overdue and clause 3.5 of this agreement will be
enacted within 24hrs of any unpaid goods being
supplied to the purchaser.
3.2 If the purchasor receives goods under credit terms,
additional terms will be imposed upon the purchasor.
These additional terms are outlined in the Optimus
Energy credit application form.
3.3 In case of a credit line for Purchaser via a third
party risk taker insurance company used by Supplier as
Collection Assurance, the following applies:
i. Purchaser is aware that at the time of order
confirmation Supplier may grant a credit line for
Purchaser via a third party insurance company as
Collection Assurance. Purchaser is further aware and
hereby expressly informed that the third party insurance
company may reduce or cancel the credit line at any
time, in particular after order confirmation by Supplier.
ii. In case the accepted order provides for such a credit
line and the risk taker insurance company cancels and/
or reduces the credit line of Purchaser after Supplier
confirmed the order, Supplier shall be entitled suspend
the on-going and all subsequent shipments of the
Product until
(a) the third party risk taker insurance company
approved a new sufficient credit line, or (b) until
Purchaser provides another Collection Assurance (on-
demand bank guarantee and/or cash in advance and/or
L/C) to Supplier.
iii. In case neither a new credit line is approved nor
Purchaser provides the requested Collection Assurance
within a reasonable time line stipulated by Supplier,
Supplier may withdraw from the Purchase Order.
Neither Party may claim any damages or remedies from
the other arising out of or related to such withdrawal.
3.4 All payments shall be made by Purchaser to Supplier
without any deductions or offset for any reason.
3.5 Any overdue amounts will be subject to interest at
the rate of 0.02 % per day running from the seventh
(7th) day after due date for such payment until receipt
by the Supplier of the full amount.
4. Delivery
4.1 All Product shall be delivered to Purchaser according
to the delivery schedule as stipulated in Purchase Order
pursuant to applicable Incoterms 2010, provided that
Purchaser has fulfilled its payment obligation in due
time as required in Clause 3 hereof.
4.2 Supplier shall immediately notify Purchaser in
writing of any anticipated delay in meeting the delivery
schedule, stating the reasons for the delay.
4.3 Unless otherwise agreed, transshipment and partial
shipment will be allowed. Risk of loss or damage to
the Product will pass from Supplier to Purchaser at the
delivery point as defined by the trade terms in Purchase
Order.
