INVESTMENT PHILOSOPHY
Alpha Blue Ocean has developed a tactical holistic
approach to its investments through the use of “Darwin
IQ”, our proprietary artificial neural network model.
Through deep learning & real-time data mining approach,
all quantitative and qualitative parameters are being
identified, then evaluated for significance. Over time, the
identified parameters becomes more or less significant,
sometimes obsolete, and the model thus constantly
adjusts the strategy in order to reflect relevance and
corrects the weight of influence for the aforementioned
parameters.
Systematic and dynamic trading signals production allows
for ever faster response time to an ever faster changing
macro- & micro-economic environment while combining a
multiple valuation approach.
The dynamic weight allocation tends to maximize toward

Instrument Characteristics
• Irrevocable Commitment from the Investor, irrespective of
the potential future changes in market conditions for a
period ranging from 2 to 5 years.
• The Commitment is structured in Tranches (e.g. 10
tranches of EUR 1M for a EUR 10M commitment)
disbursed over time or along a pre-agreed calendar.
• The Bonds must convert into Equity making the
commitment a “quasi-equity” financing; additionally they
most often bear no coupons thus immediately improving
the capital structure of a portfolio company.
• The Investee controls the timing of disbursement of the
tranches, effectively controlling the dilution; while the
Investor has full control over the conversion of the bonds
into equity, keeping control over its market risk.
• The Conversion occurs at a price that is tracking the
evolution of the share price. The higher the share
price goes the lower the dilution will be at the time
of a conversion.
- The key underlying assumption is that while the company
receives money upfront, it allows them to create added value
that will reflect in the share price thus allowing for lower
(and delayed) dilution crowning good stock performance.
• Warrants are attached to each investment in a
sequential or global basis being disbursed to the
company. The Warrants are priced at premium to
market price thus aligning interests with other
shareholders and acting as a success trigger for
further funding.
